SECTION H - SPECIAL CONTRACT REQUIREMENTS

H.1 Minimum Order / Total Government Obligation. _____________________________________________

The minimum value of services the Government will order against this contract will be the value of Task Order 0001***** IAW FAR _____________ _______ _________________________________

16.504(a)(4)(ii). The Government is not obligated to issue additional effort in excess of this value.

H.2 Maximum Contract Value. ________________________

The maximum quantity of services the Government will acquire under this IDIQ contract is $47 Million over five one-year periods, IAW FAR

16.504(a)(4)(ii).

The Government estimates 524,908 hours over the five-year contract term. The Government will not obligate more than $47 Million under this contract.

H.3 Order Limitations. ___________________

Clause 52.216-19 of this contract specifies the Order Limitations.

H.4 Authority to issue Task Orders and Modifications to Task Orders. ________________________________________________________________

H.4.1 Army Contracting Command - Warren is the only authorized ordering office. The contractor shall furnish supplies and/or services under this contract in accordance with the task orders issued by the Contracting Officer. All task orders are subject to the terms and conditions of this contract. This contract shall control in the event of conflict with any task order.

H.4.2 The Contracting Officer is the only person with the authority to modify this contract or any task orders issued hereunder.

H.4.3 The Cost Plus Fixed Fee for each task order may not be changed except when authorized by a modification to the task order.

H.4.4 Unilateral Orders. Task orders under this contract will ordinarily be issued after both parties agree on all terms. If the parties fail to agree, the Contracting Officer may require the contractor to perform and any disagreement shall be deemed a dispute within the meaning of FAR 52.233-1 ("Disputes").

H.5.1 Types of Task Orders. ____________________

H.5.1 The decision on whether or not a task order will be Cost-Plus-Fixed-Fee (Completion) or Cost-Plus-Fixed-Fee (Term) will be made dependent on the amount of detail the specification/statement of work provides. The Government will state the appropriate task order type within each task order Request for Proposal sent to the Contractor.

H.5.1.1 Term (Level-of-Effort) task orders describe the work in general terms and require the contractor to devote a specified Level-of-

Effort for a stated period. See FAR 16.306(d)(2). At its discretion, the Government may award additional hours, through a modification, to continue the effort.

H.5.1.2 Completion Task Orders describe work with specific outcomes to be achieved or end products to be delivered. See FAR

16.306(d)(1).

H.6 Task Order Award Process. ________________________

H.6.1 Once the Government identifies a task order requirement, it will issue a task order Request for Proposal to the contractor. The task order Request for Proposal will include the following information, as applicable:

(i) Type of Task Order (see paragraph H.5.1);

(ii) Performance Work Statement;

(iii) DD Form 1423 (Contract Data Requirements List).

(iv) Period of performance/delivery date.

(v) List of Government furnished equipment, material, and information.

H.6.2 Within five days after task order Request for Proposal issuance, the contractor shall submit its proposal to the Contract

Specialist and Contracting Officer. At a minimum, the contractor shall ensure its proposal includes the composite labor grouping(s)

(i.e., Engineering, Logistics, CONUS FSR, and OCONUS FSR) from the base contract with the corresponding quantity of hours to perform the task(s) in the task order and composite labor rate (if applicable), as well as any ODCs/material/travel that will be needed for successful completion of the task order. Sufficient information shall be provided by the contractor to substantiate the costs proposed for ODCs/material/travel.

Additionally, the offeror shall include in its task order proposal submission (or with each Engineering Change Proposal or Preliminary

Design Review), each of the following: non-commercial technical data, non-commercial computer software, commercial technical data, and commercial computer software. The contractor may revise its pre-award assertion of restrictions for commercial data only if such an expansion or revision would be permitted for comparable noncommercial technical data or noncommercial computer software including firmware pursuant to DFARS Provision 252.227-7013 or 252.227-7014 (i.e., based on new information). The offeror's assertion of

9 12

Name of Offeror or Contractor:

restrictions will be incorporated into the contract at time of Task Order award.

H.6.2.1 No fee is allowed on ODCs/material/travel; the contractor shall propose and invoice those costs on a cost-only, no fee basis.

The contractor may propose indirect cost elements, such as G&A and material handling; however, the contractor shall not propose any fee on indirect cost elements.

H.6.2.2 The contractor shall propose its estimated travel costs in accordance with the Joint Travel Regulations (JTR).

H.6.2.3 The contractor shall propose the composite labor rate corresponding to the date of the task order award, not the performance date(s). For example, if a task order is awarded on the final day of ordering period 1, with performance in the ordering period 2, order period one's rates will apply.

H.6.2.4 The offeror shall include its assertion of restrictions in its proposal submission for each Task Order or ECP or PDR, and include each of the following: non-commercial technical data, non-commercial computer software, commercial technical data, and commercial computer software.
