About this file
This is a Terms and Conditions document for state and local contract opportunities issued by the State of West Virginia, applicable to the Audio/Visual services contract for the Governor's Conference 2026. The document establishes the standard contractual framework governing the relationship between the State of West Virginia and contracted vendors providing goods or services. The contract is classified as a Fixed Period Contract with a term of 365 calendar days from the vendor's receipt of the notice to proceed. The vendor is authorized to begin performance on the date of encumbrance listed on the Award Document. The contract becomes binding upon the vendor's signature on the bid or certification page, signifying acceptance of all mandatory requirements and terms and conditions outlined in the solicitation.
The pricing established in the contract is fixed for the life of the agreement unless otherwise specified by the State, with vendors prohibited from including unauthorized price adjustment provisions. Payment for goods and services will be made in arrears upon receipt of proper invoices or goods, whichever is later, through electronic funds transfer or P-Card, with the vendor responsible for all applicable sales, use, and personal property taxes. The vendor must maintain Commercial General Liability Insurance of at least $1,000,000 per occurrence with the State named as an additional insured, comply with workers' compensation requirements, and provide proof of licensing and certifications as specified. The contract requires vendor compliance with all applicable federal, state, and local laws, inclusion of mandatory subcontractor compliance notifications, and adherence to West Virginia Code regarding licensing requirements and business standing with state and local entities.
