About this file

This document is signature authority guidelines issued by the Maryland Transit Administration for official contract documents. The guidelines establish requirements for authorized signatories based on the legal entity type of the bidding or contracting organization. For corporations and professional service corporations, the President, Vice President, or Chief Executive Officer may sign without additional proof, while other signatories must provide corporate bylaws, articles of incorporation, or a corporate resolution demonstrating signing authority. Partnerships require any general partner to sign as an agent without proof, or other signatories must provide a statement of partnership authority. Limited partnerships follow similar requirements with general partners authorized to sign and a certificate of limited partnership required for other signatories.

Limited liability companies, religious corporations and churches, and limited liability partnerships or limited liability limited partnerships all require proof of authority in the form of operating agreements, articles of incorporation, bylaws, corporate resolutions, or partnership certificates and agreements. These signature guidelines are applicable to IFB 2276 for the procurement of heated pantographs by the State of Maryland and establish the documentation standards that bidders must comply with when submitting official contract documents and signatures.
