Attachment 1 - New Jersey State
Standard Terms and Conditions (SSTC) -
Section 4.1 - Indemnification
Q: Modify as redlined: A. Indemnification for Third Party Claims- The contractor shall assume all risk of and responsibility for, and agrees to indemnify, defend, and save harmless the State of New Jersey and its employees from and against any and all claims, demands, suits, actions, recoveries, judgments and costs and expenses in connection therewith as a result of contractorâ??s negligence or negligence of contractorâ??s subcontractors which shall arise from or result directly . . . Reason for suggested change: In order for us to price competitively, we need a balanced indemnity language that is limited to claims caused by our negligence or parties we control, like our subs. If the harm is caused by someone else, our company should not be responsible
A: The State does not accept this proposed modification. Terms and conditions on publicly bid procurements must be consistent for all potential Bidders, and cannot be based on a single vendor’s terms.
Jersey State
Standard Terms and Conditions (SSTC) –
Section 4.3 – Limitation of Liability
Q: Modify as redlined: The Contractorâ??s liability to the State for actual, direct damages resulting from the Contractorâ??s performance or non-performance of, or in any manner related to this Contract, for any and all claims, shall be limited in the aggregate to 200% of the total value of this Contract. The Contractorâ??s indemnification obligation is not limited by but is in addition to the insurance obligations. Reason for suggested change: â?¢We cannot commit to a numeric value for the limitation of liability until we ascertain the value of the contract. â?¢The clarification in part A is commensurate with our third-party indemnification obligations in section 4.1.
â?¢Regarding section C, this is a commercial transaction and we cannot be expected to take on an unreasonable amount of liability.

Q: 1. Exhibit A and B show a list of ISU locations. Included as part of this bid I believe through amendments in the last Master Blanket were other State agencies such as NJMVC, NJDOT and perhaps more. Those agencies have standardized on other Video and Access control Equipment other than RS2. Iâ??ve seen Avigilon for Access control and Video Surveillance Systems being the standard at NJDOT and Iâ??ve also seen Brivo Access Control in other State locations. Instead of having, bidders needing to be authorized dealers or certified dealers of every product would it make sense to change the terminology to something like â??Any vendor installing or servicing any product at any site must be an authorized dealer or certified on the product in each Facilityâ??? The way the bid is written around only RS2 does not qualify an RS2 vendor to work on one of these other products. It in fact would put that dealer and the State both at a disadvantage. It just seems to make sense that whoever the vendor is should have experience in the product that they are working on.

Q: Exhibit D #24DPP000924, page 2, 3.2 II, Are vendors required to use the same method of mark up for mini bids using the discounted worksheet that is used for service? If it is to be done this way, then the same vendor will get all the projects and there wil be reason to bid on these mini bids.
A: As provided in Exhibit D – Method of Operations, Section 3.2(3)(b)(II), Contractors participating in the mini-bid process must submit an itemized list of all materials for the project, including part number, description, list price, and discounted price, if applicable. See Bid Solicitation Section 4.3.3 – Discounts for Equipment, Materials, and Supplies. The State considers the material mark-up percentages provided on the State Supplied Price sheet to be the maximum mark-up that a Contractor can charge the state. Contractors responding to a mini-bid request may offer discounted pricing with a lower material mark-up percentage on a project-by-project basis.

Q: Do the vendors have to acknowledge an intent to respond? In exhibit D "The Mini Bid Process" requires this; however we do not see this in the main solicitation.
A: In order to be considered for award, the Bidder’s Quote must be received electronically by the Division’s Proposal Review Unit, through NJSTART, by the required date and time. The date and time of the Quote opening are indicated on the Bid Solicitation cover sheet and on the “Summary” Tab of the Bid Solicitation webpage within NJSTART. If the Quote opening deadline has been revised, the new Quote opening deadline will be shown on the posted Bid Amendment and on the “Summary” Tab of the Bid Solicitation webpage within NJSTART. Quotes not received prior to the Quote opening deadline shall be rejected.
If Bidders wish to be considered for any future project service tasks and consulting services through the mini-bid process they are to fill out Price Lines 11-12 on the State-Supplied Price Sheet. Using Agencies will send out an RFQ package to all awarded Contractors who have submitted Price Lines 11-12 on the State-Supplied Price Sheet if future project service or consulting services are requested. Per Exhibit D – Method of Operations, Vendors will have five (5) days to respond if they are interested In Bidding on the RFQ.
