SECTION B

SUPPLIES OR SERVICES AND PRICE/COSTS

B.1 DESCRIPTION OF SERVICES

The Contractor shall provide the personnel, facilities, equipment, and other materials and services necessary to perform the effort described in Section C, Statement of Objectives.

B.2 GENERAL DESCRIPTION

PBGC intends to establish a single-award Indefinite-Delivery Indefinite-Quantity (IDIQ) contract for the acquisition of Operations & Maintenance (O&M) and Development, Modernization & Enhancement (DME) services for the Benefit Calculation and Valuation (BCV) system to the Pension Benefit Guaranty Corporation (PBGC). Task Orders will be issued using Firm Fixed Price (FFP) and Labor Hour (LH) contract types.

PBGC expects to issue two (2) task orders immediately after this contract is awarded for Operations and Maintenance support of Legacy BCV and modernization to New BCV.

B.3 MINIMUM AND MAXIMUM AMOUNTS

The minimum quantity of services that the Government will acquire under this contract is $1,000,000.00 over the entire period of performance (including any options exercised).

The maximum quantity of services that the Government will acquire under this contract shall not exceed $65,000,000.00 over the entire period of performance and applies to the aggregate value of all Task Orders.

B.4 PBGC 52.216-7003 CEILING PRICE (FEB 2013)

It is anticipated that the total cost to the Government for performance of this contract shall not exceed the ceiling price of $65,000,000.00 for the Base Year Performance Period, and any Option Periods. The contractor agrees to use its best efforts to perform the work specified in the schedule and all obligations under this contract within the ceiling price. If at any time the contractor has reason to believe that the hourly rate payments and material costs that will accrue in performing this contract in the succeeding 30 days, if added to all other payments and costs previously accrued, will exceed 85 percent of the ceiling price set forth in this clause, the contractor shall notify the Contracting Officer in writing, giving a revised estimate of the total price to the Government for performing this contract, with supporting reasons and documentation. If, at any time during the performance of this contract, the contractor has reason to believe the total price to the Government for performing this contract will be substantially greater or less than the stated ceiling price, the contractor shall notify the Contracting Officer in writing, giving a revised estimate of the total price to the Government for performing this contract, with supporting reasons and documentation. If, at any time during the performance of this contract, the Government has reason to believe the work required in performing this contract will be substantially greater or less than the stated ceiling price, the Contracting Officer will so

PAGE 9 OF 106 PBGC01-RP-16-0011

advise the contractor, giving them the revised estimate of the total amount of effort to be required under this contract. The ceiling price for each contract period is shown in the clause title Price/Cost. The Government shall not be obligated to pay the contractor any amount in excess of the ceiling price, and the contractor will not be obligated to continue performance, if to do so would exceed the ceiling price, unless and until the Contracting Officer notifies the contractor in writing that the ceiling price has been increased and of the new ceiling price of the contract.

Once the Contracting Officer increases the ceiling price, any otherwise allowable hours and material costs incurred by the contractor which were in excess of the previous ceiling price before the increase shall be allowable to the same extent as if the hours had been expended or costs incurred after the increase in the ceiling price.

B.5 PERIOD OF PERFORMANCE

Base Period August 1, 2016 through July 31, 2017 Option Period One August 1, 2017 through July 31, 2018 Option Period Two August 1, 2018 through July 31, 2019 Option Period Three August 1, 2019 through July 31, 2020 Option Period Four August 1, 2020 through July 31, 2021

Any ODC’s must be prior approved by the COR. All travel costs must be in accordance with Federal Travel Regulations. ODC’s are comprised of Hardware, Software and Travel required for performance under a Task Order.

Failure to provide pricing for every labor category will result in the Offeror’s proposal being deemed incomplete and the Offeror’s proposal will not be eligible for award.

*Note 1) The proposed Labor Hour rates in the IDIQ Pricing Schedule above will become part of the contract award and will be binding for future task order proposals (i.e. proposed Task Order hourly rates may not exceed those specified in the IDIQ Pricing Schedule) for the base year and four option year periods. However, the contractor may propose lower rates at the Task Order level.

B. 2 52.216-22 INDEFINITE QUANTITY (OCT 1995)

PAGE 11 OF 106 PBGC01-RP-16-0011

DESCRIPTION/SPECIFICATIONS/WORK STATEMENT

C. 1 STATEMENT OF OBJECTIVES (SOO)

PAGE 13 OF 106 PBGC01-RP-16-0011

Benefit Calculation and Valuation (BCV) System Statement of Objectives

C.1 PBGC BACKGROUND

The Pension Benefit Guaranty Corporation (PBGC) protects the retirement incomes of about 41 million American workers in more than 26,000 defined benefit pension plans. A defined benefit plan provides a specified monthly benefit at retirement, often based on a combination of salary and years of service.

PBGC was created by the Employee Retirement Income Security Act (ERISA) of 1974 to encourage the continuation and maintenance of defined benefit pension plans, provide timely and uninterrupted payment of pension benefits, and keep pension insurance premiums at a minimum. Defined benefit pension plans promise to pay a specified monthly benefit at retirement, commonly based on salary and years on the job.

In FY2014, PBGC paid monthly retirement benefits, up to a guaranteed maximum, to nearly 813,000 retirees in more than 4,600 pension plans that ended. Including those who have not yet retired, PBGC is responsible for the current and future pensions of about 1,408,000 people.

C.2 PBGC’S UNIQUE CHALLENGES

The mission of administering a large and growing number of terminated plans makes PBGC unique in the pension industry. Out of the sheer volume of terminated plans come complex and varied calculations of pension benefits, to which the ERISA benefit limitations are applied and plan assets are allocated to the six ERISA priority categories.

These complexities are superimposed over unusual plan provisions spread across generations of predecessor plans – and these in turn correspond to different areas of legislation, regulation and policy affecting multiple groups of plan participants in differing ways. Ongoing changes to laws, regulations, policies, and procedures further complicate the process.

Additionally, the calculations rely on a foundation of potentially incomplete, inconsistent or missing plan documents and participant data due to bankruptcies, abandoned plans, partially developed administration systems, imminent system shutdowns or inoperable software, paper files, old record collection systems, lack of electronic data, and limited availability of knowledgeable plan personnel. Nonetheless, ERISA requires a greater degree of accuracy for final Benefit Determinations in terminated plans than for the annual valuation of ongoing plans.

There have been previous efforts and assessments conducted around the modernization of the BCV system. The most recent assessment identified key gaps associated with BCV.

Those gaps and other system information are included in the BCV Modernization Assessment 2015 Report.

PAGE 14 OF 106 PBGC01-RP-16-0011

Offerors should note that although the BCV Modernization Assessment 2015 Report includes Modernization Recommendations, a Target Architecture, and a High Level Modernization Roadmap, offerors should view these recommendations as just one possible path for meeting the gaps outlined in the Report. PBGC encourages offerors to propose any proven innovative approaches, solutions, target architectures and roadmaps to meet the objectives of the new BCV. PBGC is committed to determining the best approach to solving our BCV challenges, as such, offerors are not being evaluated on compliance with PBGC’s target architecture (reference: Sections L and M).

C.3 OFFICE BACKGROUNDS

The Office of Benefits Administration (OBA) manages the termination process for defined benefit plans, provides participant services (including calculation and payment of benefits) for PBGC-trusteed plans, provides actuarial support for PBGC, and carries out PBGC's responsibilities under settlement agreements. When it is necessary to terminate a defined benefit pension plan, OBA values plan assets and liabilities, and collects, evaluates, and performs participant and plan financial audits, making decisions on participant benefit entitlements and plan worth. See Business and Process Background for OBA’s organization structure and roles, and business processes. The Benefit Calculation and Valuation (BCV) system is used by OBA to calculate and value benefits for the PBGC-trusteed plans.

The Office of Information Technology (OIT) is responsible for PBGC's Information Technology (IT) programs. OIT provides IT and electronic communications services and support to PBGC; plans for, directs and coordinates the allocation of corporate resources for IT services, support and related activities; delivers IT business solutions driven by customer requirements; operates, maintains and safeguards PBGC business and infrastructure system; and oversees the acquisition of IT resources for PBGC.
