SUMMARY OF CHANGES

SECTION SF 30 - BLOCK 14 CONTINUATION PAGE

The following have been added by full text:

SUMMARY OF CHANGES

The purpose of this modification is to incorporate the following changes:

1. The set‐aside in Block 10 of the RFP is changed from EDWOSB to Small Business.

2. Changes to the Addendum to 52.212‐1 were made as follows:

a. Paragraph 1.1: changed “PWS” to “Statement of Work (SOW)”

b. Paragraph 1.1: added “The Government intends to award a Firm‐Fixed Price, Indefinite

Delivery Indefinite Quantity (IDIQ) Multiple Award Contract (MAC). The Government anticipates making award to up to three Offerors under this IDIQ MAC. Once awards are made to the IDIQ MAC awardees following this competition, the Government will issue individual delivery orders among the IDIQ MAC awardees utilizing the MAC Ordering Procedures discussed in this solicitation.”

c. Paragraph 1.7: changed “cannot” to “should not”

d. Paragraph 1.8: added “The encryption password shall be sent in a separate email prior to the closing date and time.”

e. Paragraph 1.9: removed “and may be construed as an indication of the offeror’s lack of price consciousness.”

f. Factor 2 paragraph b.: removed “evidence”

g. Factor 3 paragraph a.: changed “contract award” to “delivery order”

h. Factor 4 paragraph f.: changed “Task Order” to “IDIQ Contract” (two occurrences)

3. Changes to the Addendum to 52.212‐2 were made as follows:

a. Paragraph (a): changed from “The basis of evaluation is described below. However, future delivery orders will be evaluated in accordance with the Ordering Procedures contained in this Solicitation.” to “The Government’s basis of evaluation is described here regarding the IDIQ MAC. As discussed above, future delivery orders under this IDIQ MAC will be evaluated in accordance with the MAC Ordering Procedures contained in this Solicitation.”

b. Paragraph (b): changed the first sentence from “The Government anticipates awarding up to three Multiple Award Contracts (MAC) to the offerors who represent the best value to the

Government.” to “The Government anticipates awarding up to three MAC awards to the offerors who represent the best value to the Government under this IDIQ MAC.”

c. Paragraph (d): removed “The Government may also reject any offer and consider the proposal as non‐responsive if it is materially unbalanced as to the estimated price of each delivery order). Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more delivery orders is significantly overstated or understated as indicated by the application of price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government. Offerors are advised that a proposal containing unrealistic technical assertions or unrealistically low prices will be deemed indicative of a lack of technical understanding or a failure to comprehend the complexity and risks of the contract requirements and consequently may make the proposal unacceptable.”

d. Paragraph (i): changed from “Evaluation criteria consist of four non‐price factors and price for establishing the initial MAC awardees. The “MAC Ordering Procedures” in the solicitation outline the criteria and how future delivery orders will be issued for each MAC awardee.” to “Evaluation criteria consist of four non‐price factors and price for establishing the initial IDIQ MAC awardees. Please note that the “MAC Ordering Procedures” in this solicitation pertain to future delivery orders and only applicable to offerors who receive an award under this IDIQ MAC competition.”

e. Paragraph (k): changed from “Factors 1, 2, 3, and 4 are equal in importance. Factors 1, 2, 3, and 4, when combined, are equal in importance to Factor 5.” to “Factors 1, 2, 3, and 4 are equal in importance and when combined are more important than Factor 5, Price.

However, as competing proposals approach technical equality, Factor 5, Price will increase in importance.”

f. Paragraph (l): added “IDIQ MAC” to the beginning of the paragraph

g. Paragraph (m): abbreviated “Multiple Award Contracts” to read “MAC awards”

h. Factor 1 – Production Demonstration Models: changed “The PDMs shall meet the following criteria:” to “The Government will evaluate the degree to which the Offeror meets the following criteria:”

i. Factor 1 – Production Demonstration Models: added “NOTE: OFFERORS ARE FOREWARNED

THAT FAILURE TO MEET ANY OF THE REQUIREMENTS LISTED ABOVE MAY RESULT IN A

DEFICIENCY BEING ASSIGNED RENDERING THE PROPOSAL UNAWARDABLE.”

4. Changes to the MAC Ordering Procedures were made as follows:

a. Section 3 Paragraph b.: added “with the exception to the first Delivery Order under each IDIQ for FAT. Delivery Orders for the FAT will be awarded on a non‐competitive basis.” and “The Government will not conduct a price realism analysis. Only price reasonableness will be conducted.”

5. The CLIN Structure detailed in the “Inspection and Acceptance Terms” and “Delivery Information” sections were changed to match the CLIN Structure (Item No.) detailed in the “Schedule of Supplies/Services” section as follows:

a. Changed “0101 – 0104” to “0002 – 0005”

b. Changed “0105” to “0006”

c. Changed “1101 – 4104” to “1002 – 4005”

6. Except as provided herein, all terms and conditions of the document referenced in Item 9A or

10A, as heretofore changed, remains unchanged and in full force and effect.

To this end, the proposal shall be specific, detailed and complete as to clearly and fully demonstrate that the prospective Offeror has a clear understanding of the solicitation requirements.

ii. Statements that paraphrase the specifications/Statement of Work or attest that "standard procedures will be employed” are inadequate to demonstrate how the proposal complies with the requirements of the specification, drawings and/or Statement of Work.

iii. General statements that the offeror understands the problem and can or will comply with the requirements of the solicitation will be considered to be inadequate.

iv. In the event any portion of the non-price proposal is written by anyone who is not a bona fide employee of the firm submitting the proposal, a certificate to this effect shall be furnished. It must be signed by a responsible officer of the Offeror and shall show the author's name, employment capacity, the name of the person's firm, the relationship of that firm to the Offeror's, and the portion of the non-price proposal he/she wrote.

v. Technical information previously submitted, if any, may not be considered by the Government; hence, any such information should not be relied upon or incorporated in the Non-Cost/Price Proposal by reference.

vi. The Government will assess performance risk for each factor. Offerors shall specifically identify area(s) within their non-price proposal where risk is present and identify what steps they will take to mitigate this risk to ensure fully successful performance.

b. NON PRICE FACTORS - The Non-Price Factors include the following:

Factor 1- Production Demonstration Model

Factor 2 - Ballistic Material/Blunt Impact Data

Factor 3 - Manufacturing Capability

Factor 4 - Past Performance

FACTOR 1: PRODUCTION DEMONSTRATION MODEL

a. Submit two (2) size Medium and two (2) size Extra-Large product demonstration models of the MSH. One of each size PDM shall be complete, finished helmets including padded suspension system and Adjustable Retention System in accordance with Attachments J-1 and J-2. One of each size will be unfinished MSH shells with no coating or edging.

b. Actual helmet label shall be in place, with representative data/information per Attachment J-1.

FACTOR 2: BALLISTIC MATERIAL/BLUNT IMPACT DATA

a. Provide ballistic test data relevant to the ballistic performance requirements of the SOW and Attachment J- 1.

b. Provide test data sheets that originate from ATC or a National Institute of Justice (NIJ) certified lab.

c. Provide the test data sheets for Resistance to Penetration (RTP) and Ballistic Transient Deformation (BTD) Testing per Attachment J-1.

d. Provide test data sheets for V50, dry, zero degree obliquity fragmentation threats per Attachment J-1.

e. Provide test data supporting blunt impact performance of proposed helmet per Attachments J-1 and J-2.

All test data sheets shall originate from ATC or an independent certified lab.

FACTOR 3: MANUFACTURING CAPABILITY

a. The Offeror shall describe its ability to produce and deliver a minimum of 1,000 MSH per month, commencing 60 days after the FAT approval/production delivery order.

b. Describe monthly maximum manufacturing capacity to produce MSH.

c. Describe the quality assurance plan and corrective action methods and how these will be implemented during the production process.

FACTOR 4: PAST PERFORMANCE

a. Provide up to three past performance references using Attachment J.6 that reflect recent, relevant experience within the last five years that demonstrate the Offeror’s ability to handle the scope and breadth of the PWS. Three of the Prime's relevant past performances are desired, however, the Government will accept two Prime past performance references and one past performance reference from a teamed subcontractor. Example contracts may have been performed for Federal, State, and/or local Governments, as well as private industry.

b. Include the following information for each past performance reference:

i. Contract/Task Order number

ii. Contract type

iii. Program name

iv. Total contract cost

v. Short description of work performed

vi. Description of how the work performed is relevant to the requirements in the PWS

vii. Names and valid phone number, e-mail address, and mailing address for the Procuring Contracting

Officer (PCO),

viii. Contracting Officer’s Representative (COR) and Program Manager (PM).

c. Offerors are responsible for providing contract descriptions and applicable experience in sufficient detail to permit evaluation of the example contract’s relevancy. If the Offeror does not provide up to three past performance references during the last five years, the Offeror shall address this and provide a written narrative detailing the reasons for not providing three references.

d. The relevancy of Offerors’ past work and how this experience will assist in performing under this contract shall be explained in detail. Offerors are advised that: (1) the Government may contact any or all references in the proposal and third parties (such as other customers, the DoD Past Performance Information Retrieval System (PPIRS), other Government contractors, the Environmental Protection Agency, the Department of Labor, consumer protection organizations, etc.) for performance information; (2) the Government reserves the right to use any such information received as part of its evaluation of the Offeror’s past performance;

(3) the Government reserves the right to directly solicit input on the Offeror’s past performance from any other sources and the Government may use any other data available to its evaluators, including the personal knowledge of those individuals; and (4) if the Offeror omits projects of which the Government evaluation team is aware or becomes aware, customer assessments may be sought from the relevant organization.

e. The Government reserves the right to limit or expand the number of references it contacts and to contact references other than those provided by the Offeror. If subcontracting is proposed for subject Contract/Task Order, past performance references where the Offeror has served as a prime Contractor with Subcontractors would be of interest.

f. If past performance is supplied for a firm who’s CAGE CODE and DUNS Number does not match the

CAGE CODE and DUNS NUMBER for the offeror, the offeror MUST provide a DETAILED written explanation of how the past performance information is relevant. For example, if the offeror provides past performance data from a different firm with a different CAGE CODE and DUNS NUMBER, the offeror’s proposal MUST clearly demonstrate how it will employ into this IDIQ Contract the same policies, procedures, processes, management, and similar systems and delineate how the offeror will achieve the same quality of past performance in performance of this IDIQ Contract. The proposal must clearly show how experience from any other entity other than the offeror is relevant to the offeror’s ability to perform.

The relevant considerations are whether the resources of a different firm will be provided or relied upon for contract performance such that the other firms(s) will have meaningful involvement in contract performance. Failure to provide an adequate connection and link between the offeror and the submitted past performance from a different firm(s) may result in a lower relevancy rating.

3.3 VOLUME III

FACTOR 5: PRICE PROPOSAL

a. Pricing information shall be submitted by completing all CLINs on the SF 1449, Continuation Pages.

b. If any amendments to the solicitation are issued the Offeror must ensure that such SF 30 amendment(s) are signed, dated, and returned with the proposal by the submission date and time.

c. Please ensure all the information for your company is current within the System For Award Management.

d. Complete all required Representations and Certifications.

ADDENDUM TO 52.212-2

ADDENDUM TO 52.212-2, EVALUATION – COMMERCIAL ITEM

EVALUATION FACTORS FOR AWARD

(a) The Government’s basis of evaluation is described here regarding the IDIQ MAC. As discussed above, future delivery orders under this IDIQ MAC will be evaluated in accordance with the MAC Ordering Procedures contained in this Solicitation.

(b) The Government anticipates awarding up to three MAC awards to the offerors who represent the best value to the Government under this IDIQ MAC. Within the best value continuum, the Government will employ a tradeoff analysis of price and non- price factors (FAR 15.101-1) in evaluating the proposals submitted. The Government will determine best value on the proposal responses to the evaluation factors in the solicitation. "Factors" shall include all of those evaluation factors which are described in FAR 52.212-2 and its applicable addendum. Any proposal that is found to be an “UNACCEPTABLE” in any factor of the non-price proposal will result in the entire Proposal being deemed unacceptable and ineligible for award.

(c) The Government intends to evaluate proposals and award contracts to the Offerors based upon initial offers, without discussions. Therefore, each initial offer should contain the offeror’s best and most favorable terms and conditions from a cost or price and technical standpoint. However, if considered necessary, discussions may be conducted with offerors in the competitive range. Additionally, the contracting officer may determine that the number of most highly rated proposals that might otherwise be included in the competitive range exceeds the number at which an efficient competition can be conducted.

The contracting officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.

(d) Offerors must propose on all items in this solicitation to be eligible for award. The Government may reject any or all proposals if such action is in the Government’s interest.

(e) The Government may waive informalities and minor irregularities in proposals received.

(f) If an Offeror (a) takes exception to any of the terms and conditions of the RFP, (b) imposes additional conditions, or (c) omits material information required by this RFP, then the Government will consider an offer to be unacceptable and the Offeror to be ineligible for contract award. The Government reserves the right to change the terms and conditions of this RFP by amendment at any time prior to the source selection decision.

(g) The Government reserves the right to make an award to other than the lowest priced offeror or to the offeror with the highest non-price ratings.

(h) Offerors are advised that non-price proposals may be evaluated without consideration of any proposed subcontractor which is deemed to have an organizational conflict of interest.

(i) Evaluation criteria consist of four non-price factors and price for establishing the initial IDIQ MAC awardees. Please note that the “MAC Ordering Procedures” in this solicitation pertain to future delivery orders and only applicable to offerors who receive an award under this IDIQ MAC competition.

(j) The following definitions will be used for the evaluations:

1. Deficiency is a material failure of a proposal to meet a Government requirement or a combination of weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.

2. Risk, as it pertains to source selection, is the potential for unsuccessful contract performance. The consideration of risk assesses the degree to which an Offeror’s proposed approach to achieving the technical factor or sub-factor may involve risk of disruption of schedule, increased cost or degradation of performance, the need for increased Government oversight, and the likelihood of unsuccessful contract performance.

3. Weakness means a flaw in the proposal that increases the risk of unsuccessful contract performance.

4. Significant Weakness is a flaw that appreciably increases the risk of unsuccessful contract performance.

5. Strength is an aspect of an Offeror's proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.

(k) The Government has established the relative importance of the factors as follows:

Factors 1, 2, 3, and 4 are equal in importance and when combined are more important than Factor 5, Price.

However, as competing proposals approach technical equality, Factor 5, Price will increase in importance.

(l) IDIQ MAC awards will be made to the Contractors: (1) deemed responsible in accordance with FAR 9.104;

(2) submitting proposals that conform to the solicitation's requirements, and; (3) considered the best value to the Government.

(m) Determination for the MAC awards will be issued based upon evaluation of Factors 1- 5. Each of the non-price factors shall have adjectival ratings and Factor 5- Price shall be determined by a Total Evaluated Price. The (TEP) shall be comprised of the firm fixed prices submitted for each Contract Line Item Number (CLIN).

(n) The following adjectival ratings/definitions shall be used for the evaluation of Factors 1, 2, and 3. The combined technical/risk rating includes consideration of risk in conjunction with the strengths, weaknesses and deficiencies in determining technical ratings.

Rating Description Outstanding Proposal indicates an exceptional approach and understanding of the requirements, contains multiple strengths and risk of unsuccessful performance is very low.

Good Proposal indicates a thorough approach and understanding of the requirements, contains at least one strength and risk of unsuccessful performance is low.

Acceptable Proposal indicates an adequate approach and understanding of the requirements and risk of unsuccessful performance is no worse than moderate.

Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements and/or risk of unsuccessful performance is high.

Unacceptable Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is unawardable.

FACTOR 1 – PRODUCTION DEMONSTRATION MODELS (PDMs) BASIS FOR EVALUATION: Factor 1 will be evaluated as an overall factor with no sub-factors. The Government will evaluate the degree to which the Offeror meets the following criteria:

- Helmet Weight (dry weight) (NQ/PD 16-02 paragraph 3.10 and 4.9.12)

- Helmet Shell Shape (NQ/PD 16-02 paragraph 3.5 and 4.9.2)

- Shell Thickness/Uniformity (NQ/PD 16-02 paragraph 3.5.2 and 4.9.3)

- Integration/Compatibility (NQ/PD 16-02 paragraph 3.13)

- Retention System Adjustability (NQ/CID 16-01 paragraph 3.3.2)

NOTE: OFFERORS ARE FOREWARNED THAT FAILURE TO MEET ANY OF THE REQUIREMENTS

LISTED ABOVE MAY RESULT IN A DEFICIENCY BEING ASSIGNED RENDERING THE PROPOSAL

UNAWARDABLE.

FACTOR 2: BALLISTIC MATERIAL/BLUNT IMPACT DATA

BASIS FOR EVALUATION: Factor 2 will be evaluated as an overall factor with no sub-factors. The Government will evaluate the degree to which the Offeror’s approach is realistic, thorough and detailed.

FACTOR 3: MANUFACTURING CAPABILITY

BASIS FOR EVALUATION: Factor 3 will be evaluated as an overall factor with no sub-factors. The Government will evaluate the degree to which the Offeror’s approach is realistic, thorough and detailed.

FACTOR 4: PAST PERFORMANCE

BASIS FOR EVALUATION: Factor 4 will be evaluated as an overall factor with no subfactors. The Government will evaluate the recency, relevancy and quality of the past performance information to assign a performance confidence rating.

Recency: The first aspect of Past Performance determines if the offeror’s past performance references meet the time period established under Factor 4. Recency, as it pertains to past performance information, is a measure of the time that has elapsed since the past performance reference occurred. Recency is generally expressed as a time period during which past performance references are considered relevant.

Relevancy: The second aspect of Past Performance determines how relevant a recent effort accomplished by the offeror is to the solicitation requirements, particularly if the effort is similar in size, scope, and complexity.

Relevancy, as it pertains to past performance information, is a measure of the extent of similarity between the service/support effort, scope of work, complexity, dollar value, contract type, and subcontract/teaming or other comparable attributes of past performance examples and the source solicitation requirements; and a measure of the likelihood that the past performance is an indicator of future performance. Relevancy of the past performance information shall be evaluated as follows:

Rating Definition Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

Quality: The third aspect of Past Performance is to establish the overall quality of the offeror’s past performance.

The Government will review all past performance information collected and determine the quality of the offeror’s performance, general trends, and usefulness of the information and incorporate these into the performance confidence assessment. A separate quality assessment rating will not be assigned.

Sources of Past Performance Information for the Performance Confidence Assessment are as follows:

- Past performance information may be provided by the Offeror, as solicited.

- Past performance information may be obtained from questionnaires tailored to the circumstances of the acquisition.

- Past performance information shall be obtained from any other sources available to the Government, to include, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases; interviews with Program Managers, Contracting Officers, and Fee Determining Officials.

The Government will use the adjectival ratings disclosed in the table below for the Performance Confidence Assessment which considers the recency, relevancy and quality of the past performance information evaluated.

Rating Description Substantial Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Neutral Confidence No recent/relevant performance record is available or the Offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.

Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

FACTOR 5 - PRICE

a. This effort is firm-fixed-price.

b. As a result, the risk of price escalation is on the Contractor and not the Government. Therefore, the Government will not conduct a price realism analysis.

c. The Government will only evaluate the total proposed price for reasonableness. To determine the total evaluated price, the Government will add the “Amount” column for all of the CLINs.

d. The Government anticipates adequate price competition and adequate price competition establishes reasonableness. However, the Government reserves the right to use other methods to determine reasonableness, but is not obligated to do so.

e. The Government may reject a price proposal if it is materially unbalanced between line items or subline items.

b. Unless the Contracting Officer applies the exceptions noted below, each delivery order will be awarded, as a result of competition.

c. The Contracting Officer reserves the right to make award of a delivery order without competition based upon one of the circumstances described below.

- The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays.

- Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized.

- The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order.

- It is necessary to place an order to satisfy a minimum guarantee.

- For orders exceeding the simplified acquisition threshold, a statute expressly authorizes or requires that the purchase be made from a specified source.

- In accordance with section 1331 of Public Law 111-240 (15 U.S.C. 644(r)), Contracting Officers may, at their discretion, set aside orders for any of the small business concerns identified in 19.000(a)(3). If discussions are required, each contractor will be requested to provide a final proposal revision, unless eliminated from discussions through the establishment of a competitive range.

The Government will not conduct a price realism analysis. Only price reasonableness will be conducted

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
