AMENDMENT/MODIFICATION NO.
2 | P a g e
The purpose of this amendment is to:
A. Provide responses to questions received from potential offers.
B. Amended requirements for clearance levels C. Provide detailed positions descriptions.
D. Provide Attachment l-1 Cost Summary Format spreadsheet with correct formula for tab two, line 146 to 149.
E. Provide changes pages to the Conformed copy of the Request For Proposal. Page 80 is attached.
F. Clause 52.222-17 – Nondisplacement of Qualified Workers is hereby added by reference to Section I of the RFP.
A. Responses to questions received from potential offers.
1. RFP B2 Page 6 Second Paragraph; H-8(a) page 35; H-8 (b) page36
The total and monthly direct labor hours cited in these sections do not equate to one another. We assume that the 360,675 hours of direct labor cited in H-8(a) is the intended amount as this aligns with the Table in H-8(k) pages 37 and 38.
Please provide clarification.
Government Response: This question has been answered in Amendment 0001, response #8
2. Transition Plan, Page 78 If this is a transition plan for the contract what is the transition schedule? How shall we reflect the pricing?
Government Response: The transition plan is for the “phase in” period of the contract.
The phase in period is 30 days from the date of award.
3. RFP Section L. Proposal Organization (2), Page 71 This section does not define any page limitation for the proposal. Please clarify that there are no page count restrictions. If there are restrictions please provide the restrictions.
Government Response: There is not a page limitation on this RFP.
4. RFP Section L. Factor 5, Page 80; In our experience, a small business plan is not required of a small business prime contractor. Please confirm that a small business plan is required.
Government Response: The government will evaluate proposals based on the subcontracting small business participation.
5. RFP: Page 36, Appendix C – (D) Start-up/Shutdown of HVAC Systems.
The PWS states “Normally, heating start-up and air conditioning shutdown shall be accomplished during the period October 1st to May 1st, and air conditioning start-up and heating shutdown shall be accomplished during the period April 1st to October 1st” this indicates overlap for the heating and cooling periods (April 1 – May 1), please clarify.
Government Response: The overlap was done to account for unseasonable weather occurrences.
6. RFP Section H-2 ONR 5252.237-9705 - Key Personnel
Page 31 “The following are identified as key personnel:
3 | P a g e
Questions – the RFP sentence (The following are identified as key personnel: ) indicates every position in the list is a key personnel; however (key personnel) is inserted after only Senior Tech Engineer, Digital Tech, and Performance Analyst. Please clarify.
Government Response: See amendment 0001, question 5.
7. PWS: 1.3.3 The heading for the paragraph is “custodial services”, but calls out mission support functions in the final sentence. Is custodial service on-call 24/7, or is it limited to mission support? What is the expected time response to satellite mission support during off-duty hours?
Government Response: Custodian services are not on call 24/7.
Government Response: Expected time response to satellite mission support during off-duty hours is: one hour.
8. 3.1.2 Requirement calls for providing real-time and near real-time performance analysis, fault detection, and correction. This seems to be in conflict with staffing 8 hrs x 5 day/week Government Response: Real-time is defined as the next business day for performance analysis but actual time for fault detection when called in for emergencies.
9. PWS: ROSC dated 23 June 2008 is included in RFP; however ROSC, dated 8 Dec 2008, is referenced in PWS. Please clarify which date is correct. If 8 December 2008 is the most recent, please provide.
Government Response: Requirements for On Sight Contractors, dated 8 Dec 2008 the most current and is available at http://heron.nrl.navy.mil/contracts/15onsite.htm.
10. PWS: 2.4.2.2: It is not clear what is meant by “the contractor shall facilitate assigned employees during designated Government non-work days”. Is this referring to having off-site facilities for them to work at if necessary?
Government Response: No, off-site facilities are not expected.
11. PWS: 3.2.1 The on-line synopsis calls out software support. Is this section intended to include the software support?
Government Response: Yes, there will be some software support as part of this effort on a case by case basis.
12. PWS: 3.2.4 What are the requirements for systems engineering / engineering analysis for preparation for new missions to BPTF? Neptune®/Common Ground Architecture is listed as the core, government-owned TT&C system for C2. Is requirements development for Neptune/CGA and/or hardware part of the scope of this contract?
Government Response: No, the systems engineering/engineering analysis is to assist in designing the system to accommodate new missions. This is an undefined mission as the government currently does not have a requirement but does anticipate future requirements.
4 | P a g e
13. PWS states that “Contractor personnel performing work under this contract must have a Top Secret/SCI at time of the proposal submission? Our understanding is that the current contract requires certain personnel to have CI Polygraphs as well. Is this still a requirement or have the security requirements been downgraded?
Government Response: The requirement for CI Polygraphs still exists for certain individuals.
14. Page 1, Section 1.a, Section 1.a states that a Top Secret clearance only is required however Section 10.e states that the contractor will require access to SCI data. What is the highest level of clearance required?
Government Response: TS/SCI with Single Scope Background Investigation (SSBI) will be required as well as a successful Counter Intelligence (CI) polygraph.
15. Are there more sites than just Blossom Point?
Government Response: Yes but all work is based out of Blossom Point Tracking Facility with only temporary travel required for the other sites.
16. Question - Reference: PWS Appendix A – Personnel Qualifications and the labor category table found in RFP Section H-8 (k). In order to provide more uniformity when evaluating offers suggest the Government provide Personnel Qualifications (as found in the PWS, Appendix-A) for all the Labor Categories Government Response: Labor category descriptions provided in section C of this amendment.
17. Section L – Technical Volume – Factor 5, Small Business Utilization, Page 89, Section M Question – The Government does not give any specifics on the ratings for the Small Business Utilization Factor? Is submitting the requested information all that is required or will a proposal be evaluated more favorably if work scope is given to other small businesses?
Government Response: Update RFP conformed copy Page 82 to include the below information:
Submittal Requirements:
(i) The Past Performance Questionnaire included in the solicitation is provided for the offeror or its team members to submit to the client for each project the offeror includes in its proposal for Factor 1, Corporate Experience. Ensure correct phone numbers and email addresses are provided for the client point of contact. Completed Past Performance Questionnaires are to be mailed or faxed from the client directly to the Government, not be submitted via the offeror. In order for the client evaluation to be considered, the Past Performance Questionnaires must be submitted no later than the proposal due date. Completed questionnaires shall be submitted to James Friel, email james.friel@nrl.navy.mil. Include with your proposal
5 | P a g e submission a copy of the Past Performance Questionnaire Cover Sheet which contains the point of contact information for each questionnaire. Also include performance recognition documents received within the past five (5) years such as awards, award fee determinations, customer letters of commendation, and any other forms of performance recognition.
A copy of the blank Past Performance Questionnaire to be used for requesting client references is located at http://heron.nrl.navy.mil/contracts/pastperf.htm.
(ii) As part of its past performance submission, if the Offeror foresees negative past performance information for any contract submitted, it shall submit a discussion of significant problems encountered and corrective action taken. Safety and environmental violations and their corrective actions shall also be discussed. The Government may use information obtained from sources other than the offeror's proposal.
The Government reserves the right to contact references for verification of additional information. The Government's inability to contact any of the offeror's references or the references unwillingness to provide the information requested may affect the Government's evaluation of this factor. In addition to the above, the Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS) using all CAGE DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent/subsidiary/affiliate) identified in the offeror's proposal, inquiries of owner representatives), and any other known sources not provided by the offeror.
b. Basis of Evaluation:
The degree to which past performance evaluations and all other past performance information reviewed by the Government (e.g., PPIRS, performance recognition documents, and information obtained for any other source) reflect a trend of satisfactory performance considering:
‐ A pattern of successful completion of tasks;
A pattern of deliverables that are timely and of good quality;
A pattern of cooperativeness and teamwork with the Government at all levels (task managers, contracting officers, auditors, etc.);
‐ Tasks that are identical to, similar to, or related to the task at hand;
and
‐ A respect for stewardship of Government funds"
Offeror’s lacking relevant past performance history will not be evaluated favorably or unfavorably in past performance. However, the proposal of an offeror with no relevant past performance history, while rated "No rating" in past performance, may not represent
6 | P a g e the most advantageous proposal to the Government and thus, may be an unsuccessful proposal when compared to the proposal of other offeror’s.
Offeror’s past performance will be rated using the evaluation rating scales shown below:
18. RFP Section I – Clauses Page 48, I-3 FAR 52.216-19 ORDER LIMITATIONS – Question – Can the Government please clarify this clause? It appears to be inconsistent with respect to minimum/maximum direct labor hours. Also, please clarify what the terms “direct hours” vs. “direct labor hours”.
Government Response: Replace Section I-3, (b) with:
Maximum order. The Contractor is not obligated to honor -
(1) Any order for a single item in excess of 78,000 direct hours.

Page 30, Section H-8 (a) – “The total level of effort for performance of this contract shall be 360,675 total hours of direct labor…” Question: Per the RFP Section B-2, page 6, the maximum quantity that the Government may order during the contract is 153,604 direct labor hours. Even if your Representations and Certifications are filed at the SAMS web site, please furnish them in hard COR.”
Question – Is last part of sentence supposed to read “hard copy”?
9 | P a g e
Government Response: Yes, amend conformed copy page 81, to show: Even if Representations and Certifications are filed at the SAMS web site, please furnish them in hard copy.
35. RFP: Section L, page 75 Volume I, Factor 1 a).(iii) Offeror’s should demonstrate experience on projects which have similar requirements to the project described in the statement work/specifications. If submitting a proposal as a Joint Venture and/or subcontractor, provide examples of previous experience. The referenced projects must include the following Question - Seems to be duplicative to paragraphs above.
Government Response: Section (ii) is to address information if the proposal includes “significant subcontractors”, second (iii) is where the vendor can provide experience on similar projects where they were in a Joint Venture and /or Subcontractor.
36. RFP: Section I – Contract Clauses, Page 41, Section I, FAR 52.222-41 – Service Contract Act of 1965 (Nov 2007) CAD Operator/Specialist Only Question: It seems a number of labor categories for this proposal would be subject to SCA, and we do not anticipate the need for a CAD Operator/Specialist for this effort.
Please confirm SCA applies to all applicable labor categories.
Government Response: SCA does apply to CAD Operator/Specialist and all other applicable labor categories.
37. RFP: Section L, Cost/Price - General Questions: Are sealed bids required from subcontractors? If so, are full details (including labor documentation) required for FFP, as well as CPFF, CLINs?

39. RFP: Paragraph B-1, Item No. 0008 states that transition costs only apply to CLINs 0001

Government Response: A transition plan is requested for all factors. Pricing for CLIN 0008 is intended to cover only transition costs costs for requirements covered in CLIN 0001 and 0002.
40. Paragraph H-6(b) states that “…significant organization conflicts of interest (OCIs) could result if the Contractor is allowed to participate (at any level) in future Federal
10 | P a g e
Government acquisitions that include requirements that may be established or affected by the performance of the Statement of Work (SOW) by the Contractor under this Contract” and paragraph H-6(d)(1) references submission of an OCI mitigation plan.
Question #1: Does the Government prefer an Offeror that works exclusively as a Research and Development (R&D) contractor (i.e., providing R&D hardware/software products) or an Offeror that works exclusively as a support services contractor?
Government Response: The government does not have a preference.
Question #2: Does the Government require an OCI mitigation plan to be submitted as a part of the response to the Solicitation?
Government Response: An OCI plan is not required. This amendment removes sections: (a) H-6 ORGANIZATIONAL CONFLICTS OF INTEREST and (b) pg 73, Potential Organizational Conflicts of Interest.
41. Key Personnel: For those labor categories considered key, is the entire labor category considered key, or just a single individual within that labor category?
Government Response: The entire labor category is considered key.
42. Paragraph L-14, Factor 1, paragraph a)(i), Corporate Experience: Paragraph is vague.
Government Response: Please amend the paragraph to read “…provide at least one and no more than 5 examples of contracts similar in size, scope, and complexity, completed, within the last five (5) years with individual values of $2,000,000 per year or greater. For each contract the offeror shall provide:”
43. PWS paragraph 3.3.1: To meet the timeliness requirement, it is anticipated that this information exists and must only be verified/updated.
Question: Does this information exist and will it be furnished to the incoming contractor immediately upon award?
Government Response: From PWS: the Contractor shall establish a separate history file for each facility listed in Appendix B. The information does not exist, the file shall be created and from award date forward, the information will be captured.
44. Paragraph L-1 a. invokes FAR 52.222-46, Evaluation of Compensation for
Professional Employees, which requires the Offeror to submit with its proposal a total compensation plan setting forth salaries and fringe benefits proposed for the professional employees who will work under the contract. Furthermore, paragraph L-14, Factor 3, appears to indicate that the total compensation plan required by this clause should also be included in the Technical/Management volume. Question: Because total compensation plans typically include sensitive, cost- related information, should this plan be included in the Business Proposal, with a summary provided in the Technical/Management proposal?
Paragraph L-1 a. invokes FAR 52.237-10, Identification of Uncompensated Overtime, which requires the Offeror to submit with its proposal its policy on Uncompensated Overtime. Furthermore, paragraph L-14, Factor 3, appears to indicate that the Offeror’s policy addressing Uncompensated Overtime should be included in the Technical/Management volume.
11 | P a g e
Question: Because Uncompensated Overtime policies can include sensitive, cost-related information, should this policy be included in the Business Proposal with a summary provided in the Technical/Management Proposal?
Government Response: Please include the information in volume II, Business Proposal.
45. Reference a: RFP, Pages 2-6 of 91, Section B – Supplies or Services and Prices/Costs, Item Nos. 0007, 1007, 2007, 3007 and 4007 Equipment. Reference b: RFP, Page 83 of 91, Section L – Instructions Conditions and Notices to Offerors or Respondents, 3rd paragraph, 2nd sentence states, “The government estimates….material costs to be $4,500,000 per year.” Question a: Will the Government confirm that equipment purchases are also included in this estimated figure, in addition to material?
Government Response: See government response 19 to this amendment.
46. Reference: RFP, Page 9 of 91, Section C – Description/Specifications/Statement of Work, Item 6. Contractor Personnel Training Question: Will the Government confirm that the Contractor Personnel Training mentioned within this paragraph will be Government reimbursable?
Government Response: Training noted in RFP Page 9 of 91 will be provided by the government.
47. Reference: RFP, Page 10 of 91, Section C – Description/Specifications/Statement of Work, Item 5. On-Site Personnel, 1st sentence states, “Within 60 days after date of contract award, the contractor shall submit to their cognizant Defense Contract Audit Agency (DCAA) a list containing the names of personnel working under the contract on the NRL site.”
Question: Will the Government confirm that the listing containing the names of personnel working under the contract must be submitted 60 days after contract “start”, rather than contract “award”, also will the Government confirm that this requirement is only for the prime contractor?
Government Response: Amend page 80 of the conformed copy of the RFP current sentence: The contractor shall furnish a copy of the cost proposal to their cognizant DCAA office. to: The prime contractor shall furnish a copy of the cost proposal to their cognizant DCAA office.”
48. Reference: RFP, Page 84 of 91, Section M – Evaluation Factors For Award, M-1 Evaluation, Item (b) states, “Technical Factors are listed in decreasing order of importance, with Company Experience and Management Ability being equal in importance.”
Question: If the offeror is to assume that Technical Factors 1 and 3 are of equal importance, but the factors are listed in order of importance, can the Government please clarify the level of importance placed on Factor 2: Past Performance?
Government Response: A page insert (page 80) which addresses priority.
12 | P a g e

SECTION M
EVALUATION FACTORS FOR AWARD
M-1 Evaluation
(a) Award will be made to the responsible offeror whose proposal is determined to provide the best overall value to the Government in accordance with the established criteria and rating methodology set forth in Section M-2 below.
(b) Selection will be based on a complete assessment of each offeror’s technical proposal, past performance information and cost proposal. Within the best value continuum, the Government will employ a Price/Technical Tradeoff analysis of both price and non-price factors (FAR 15.101-1) in evaluating each proposal submitted. The Technical Factors are listed in decreasing order of importance. The non-price evaluation criteria (technical and past performance), when combined, are significantly more important than cost or price. However, as non-price factors become closer in perceived value, cost considerations will become more important. Trade-off considerations may result in the determination that it is in the best interest of the Government to award to other than the lowest priced offeror or other than the highest technically rated offeror.
(c) To be considered for award, a rating of no less than “Acceptable” must be achieved for the technical factors.
