SUMMARY OF CHANGES

SECTION SF 30 - BLOCK 14 CONTINUATION PAGE

The following have been added by full text:

RFP MODIFICATION 2

Solicitation N00024-14-R-6204 Q&A Modification 2 Question 13 Reference is made to RFP, Page 160, Paragraph d, Data Cost. This paragraph states for the Offeror to fill Blocks 17 and 18 on each CDRL form.

Is the amount to fill in for the total offer or for each submittal?

Answer 13 Guidance for filling out Blocks 17 and 18 of the DD-1423 is provided in DoD 5010.12-M http://www.dtic.mil/whs/directives/corres/pdf/501012m.pdf

Question 14 Reference is made to the RFP, Page 157, SECTION 3.0 wording and Page 164, SECTION 3.0 wording. Page 157 states a Make or Buy Plan and Page 164 is missing the wording of a Make or Buy Plan. Is a Make or Buy Plan required?

Answer 14 See modification to Section L in Amendment N00024-14-R-6204-0002 under Cost/Price Proposal Structure, Section 3.0, deleting "Make or Buy Plan". A Make or Buy Plan is not required.

Question 15 Reference is made to the RFP, Page 73 and 74, Delivery Dates for ITEMs 0101AB and 0104AA, RFP Page 103, Option Exercise Table and Reference to Specification PMS435-IMG-LPPM-13-34 (Rev A) Paragraph 4.2.2. Specification PMS435-IMG-LPPM-13-34 (Rev A) Paragraph 4.2.2 states that if First Article is not conducted (on ITEM 0002), then the first production unit will be subject to First Article/PVT testing. According to the option exercise table on Page 103, it is possible that ITEM 0104AA, Spare LPPM could be exercised and scheduled for delivery prior to ITEM 0101AB, LPPM. ITEM 0104AA delivery is 20 months and ITEM 0101AB is 27 months. If ITEM 0002, First Article is not exercised, please confirm that the costs to perform the First Article should be priced into both ITEM 0101AB and 0104AA since each is an option and is unknown.

Answer 15 See modification in Amendment N00024-14-R-6204-0002 to Item 0002AA. The Costs of the First Article Qualification Shall be proposed under Item 0002AA. First Article testing will not be performed on Item

0104AA.

Question 16 Reference is made to the RFP, Page 57, FIRST ARTICLE, Paragraph ( c ) and reference to RFP Page 97, 52.209-3, FIRST ARTICLE APPROVAL, Paragraph (e ). Please clarify which area is correct.

Answer 16 The First Article shall not be delivered as part of the production quantity.

Question 17 Reference is made to Specification PMS435-IMG-LPPM-13-34(Rev A), Paragraph 3.6.1.1, Single Points of Failure states the LPPM Shall have no single points of failure for mission critical functions. This Paragraph (3.6.1.1) also references Paragraph 3.8.2.1 for the definition of what mission critical functions include. Paragraph 3.8.2.1 identifies items that are not within the control of this RFP. We assume that section 3.6.1.1 (single points of failure as defined by 3.8.2.1) apply to the entire ship's imaging system which is composed of two imaging masts. Please confirm.

Answer 17 In accordance with the modification of Attachment 3 to the solicitation N00024-14-R-6204, detailed in Amendment N00024-14-R-6204-0002, text within Section 3.6.1.1 is modified.

Question 18 The RFP specifies the Dip Loop part number 8212325 per Attachment 4, GFI to be procured and also requires the contractor to perform First Article Testing on the Dip Loop. In the event of a First Article failure for the Dip Loop, who will be the design authority agency?

Answer 18 Naval Undersea Warfare Center Newport will be the design authority agency.

Question 19 Reference is made to RFP, Page 62, Software Development Requirements. Can the SDP be placed in an appendix?

Answer 19 See Modification to Section C in Amendment N00024-14-R-6204-0002 under Clauses Incorporated by Full Text, deleting the Clause;

"SOFTWARE DEVELOPMENT REQUIREMENTS (NAVSEA) (DEC

2006) (MODIFIED) (SEP 2012)". A Software Development Plan is not required to be provided with Offeror's proposals.

Question 20 Reference is made to RFP Page 161, Subsection 2.4, Subcontractor Costs. Please confirm our assumption, given that fair and reasonable price determinations will be obtained through the competitive bidding process, that the $500K per year threshold referenced in this section only applies to those non-competitive or sole-source subcontract purchases.

Answer 20 See modification to Section L in Amendment N00024-14-R-6204-0002 under Supporting Cost Data, Section 2.4, which changes the definition of major subcontractor or team member. Offeror's Shall provide the content for Subcontractors or Team Members meeting the criteria set forth in subsecton 2.4 Subcontractor Costs.

Question 21 Reference is made to Classified Spec PMS435-IMG-LPPM-13-34-1, Paragraph 3.1.13 and 3.1.16 lists ESM/IMG ICDs to be provided as GFI.

The following two items were not in the GFI provided: PMS401-ICD- ESM/IMG-00X Interface Control Drawing between Imaging and ESM 77C733539 – SSN 780-783 C3I System Interface ICD/IDD as GFI.

Please provide.

Answer 21 In accordance with the modification of Attachment 3 to the solicitation N00024-14-R-6204, detailed in Amendment N00024-14-R-6204-0002, text within Section 2.2, is modified. In accordance with the modification of Attachment 4 to the solicitation N00024-14-R-6204, detailed in Amendment N00024-14-R6204-0002, the requested documents are incorporated: ESM 77C733539 – SSN 780-783 C3I System Interface ICD/IDD Between ESM Subsystem and Imaging System. These documents will be emailed to offerors who have previously requested and been cleared to receive the Specification and GFI package.

Question 22 Reference is made to RFP, Page 101, entitled Incentive Price Revision- Firm Target, Paragraph (d), (2), (ii) and (iii) and RFP Section B. Please clarify which area is correct as the share ratios conflict with each other.

Answer 22 See modification to Section I in Amendment N00024-14-R-6204-0002 to Clause 52.216-16 Incentive Price Revision- Firm Target.

Question 23 Reference is made to Specification PMS435-IMG-LPPM-13-34 (Rev A)

4.2.5.2. We assume the reference to paragraph 3.7.1.3 in paragraph

4.2.5.2 should be changed to reference paragraph 3.6.1.2, is that a correct assumption?

Answer 23 In accordance with the modification of Attachment 3 to the solicitation N00024-14-R-6204, detailed in Amendment N00024-14-R-6204-0002, text within Section 4.2.5.2 is modified.

Question 24 Reference is made to Specification PMS435-IMG-LPPM-13-34 (Rev A), Appendix A. We assume that in Appendix A that the verification method for requirement paragraph 3.6.1.2 should be T for PVT and NR for FAT because this should only need to be tested when changes are made to the software. Is that a correct assumption?

Answer 24 In accordance with the modification of Attachment 3 to the solicitation N00024-14-R-6204, detailed in Amendment N00024-14-R-6204-0002, Appendix A is modified.

Question 25 Reference is made to Specification PMS435-IMG-LPPM-13-34 (Rev A), Appendix A and the Specification PMS435-IMG-LPPM-13-34 (Rev A).

The paragraph numbers with the titles on the SRVM do not match the paragraph numbers and titles in the (unclassified) specification. i.e. on Appendix A, SRVM 3.5.2.6 has a title of FOV Switching Timing and the title of 3.5.2.6 in the specification is Imaging Video Metadata. Please clarify.

Answer 25 In accordance with the modification of Attachment 3 to the solicitation N00024-14-R-6204, detailed in Amendment N00024-14-R-6204-0002, Appendix A is modified.

Question 26 Reference: Page 29 UNCLASS specification: Section 3.8.8.2 states “identify in the classified annex” . This information cannot be found in the classified annex. Please identify where this information can be found.

Answer 26 In accordance with the modification of Attachment 3 to the solicitation N00024-14-R-6204, detailed in Amendment N00024-14-R-6204-0002, text within Section 3.8.8.2 is modified.

Question 27 Reference: PMS 435-IMG-LPPM-13-34-1 (REV A) Section 3.2.2, Section 3.2.3. Please confirm that the critical dimensions in Table 16/17 are intended to correspond to a unique target not referenced in Section L, Volume 1, Subfactor 1.4

Answer 27 The Critical dimensions in Table 16/17 are not intended to correspond to a unique target referenced in Section L, Volume 1, Subfactor 1.4. The offeror Shall utilize the two targets (Hammerhead and Atlantique) in Section L, Volume 1, Subfactor 1.4 (LPPM Imaging Analysis) and the search routines in PMS 435-IMG-LPPM-13-34-1 (REV A), Table 16/17 to conduct their image analysis.

Question 28 Reference: PMS 435-IMG-LPPM-13-34-1 (REV A), Section 3.2.2, Table 16: Column 4, “Range”, Row 4. Please confirm that this number is correct as written.

52.216-16 INCENTIVE PRICE REVISION--FIRM TARGET (OCT 1997)

Applies separately and independently to each item listed below:

(a) General. The supplies or services identified in the Schedule as Items 0101AA, 0101AB, 0101AC, 0102AA, 0102AB, 0102AC, 0104AA, 0105AA, 0201AA, 0201AB, 0201AC, 0202AA, 0202AB, 0202AC, 0203AA, 0204AA, 0301AA, 0301AB, 0301AC, 0302AA, 0302AB, 0302AC, 0303AA, 0304AA, 0401AA, 0401AB 0401AC, 0402AA, 0402AB, 0402AC, 0403AA, 0404AA are subject to price revision in accordance with this clause; provided, that in no event shall the total final price of these items exceed the ceiling price of TBD. dollars ($TBD). Any supplies or services that are to be (1) ordered separately under, or otherwise added to, this contract and (2) subject to price revision in accordance with the terms of this clause shall be identified as such in a modification to this contract.

(b) Definition. "Costs," as used in this clause, means allowable costs in accordance with Part 31 of the Federal Acquisition Regulation (FAR) in effect on the date of this contract.

(c) Data submission. (1) Within 30 days after the end of the month in which the Contractor has delivered the last unit of supplies and completed the services specified by item number in paragraph (a) of this clause, the Contractor shall submit in the format of Table 15-2, FAR 15.408, or in any other form on which the parties agree--

(i) A detailed statement of all costs incurred up to the end of that month in performing all work under the items;

(ii) An estimate of costs of further performance, if any, that may be necessary to complete performance of all work under the items;

(iii) A list of all residual inventory and an estimate of its value; and

(iv) Any other relevant data that the Contracting Officer may reasonably require.

(2) If the Contractor fails to submit the data required by subparagraph (1) above within the time specified and it is later determined that the Government has overpaid the Contractor, the Contractor shall repay the excess to the Government immediately. Unless repaid within 30 days after the end of the data submittal period, the amount of the excess shall bear interest, computed from the date the data were due to the date of repayment, at the rate established in accordance with the Interest clause.

(d) Price revision. Upon the Contracting Officer's receipt of the data required by paragraph (c) above, the Contracting Officer and the Contractor shall promptly establish the total final price of the items specified in (a) above by applying to final negotiated cost an adjustment for profit or loss, as follows:

(1) On the basis of the information required by paragraph (c) above, together with any other pertinent information, the parties shall negotiate the total final cost incurred or to be incurred for supplies delivered (or services performed) and accepted by the Government and which are subject to price revision under this clause.

(2) The total final price shall be established by applying to the total final negotiated cost an adjustment for profit or loss, as follows:

(i) If the total final negotiated cost is equal to the total target cost, the adjustment is the total target profit.

(ii) If the total final negotiated cost is greater than the total target cost, the adjustment is the total target profit, less ( See Share Ratios in Section B) percent of the amount by which the total final negotiated cost exceeds the total target cost.

(iii) If the final negotiated cost is less than the total target cost, the adjustment is the total target profit plus (See Share Ratios in Section B) percent of the amount by which the total final negotiated cost is less than the total target cost.

(e) Contract modification. The total final price of the items specified in paragraph (a) above shall be evidenced by a modification to this contract, signed by the Contractor and the Contracting Officer. This price shall not be subject to revision, notwithstanding any changes in the cost of performing the contract, except to the extent that--

(1) The parties may agree in writing, before the determination of total final price, to exclude specific elements of cost from this price and to a procedure for subsequent disposition of those elements; and

(2) Adjustments or credits are explicitly permitted or required by this or any other clause in this contract.

(f) Adjusting billing prices. (1) Pending execution of the contract modification (see paragraph (e) above), the Contractor shall submit invoices or vouchers in accordance with billing prices as provided in this paragraph. The billing prices shall be the target prices shown in this contract.

(2) If at any time it appears from information provided by the contractor under subparagraph (g)(2) below that the then-current billing prices will be substantially greater than the estimated final prices, the parties shall negotiate a reduction in the billing prices. Similarly, the parties may negotiate an increase in billing prices by any or all of the difference between the target prices and the ceiling price, upon the Contractor's submission of factual data showing that final cost under this contract will be substantially greater than the target cost.

(3) Any billing price adjustment shall be reflected in a contract modification and shall not affect the determination of the total final price under paragraph (d) above. After the contract modification establishing the total final price is executed, the total amount paid or to be paid on all invoices or vouchers shall be adjusted to reflect the total final price, and any resulting additional payments, refunds, or credits shall be made promptly.

(g) Quarterly limitation on payments statement. This paragraph (g) shall apply until final price revision under this contract has been completed.

(1) Within 45 days after the end of each quarter of the Contractor's fiscal year in which a delivery is first made (or services are first performed) and accepted by the Government under this contract, and for each quarter thereafter, the Contractor shall submit to the contract administration office (with a copy to the contracting office and the cognizant contract auditor) a statement, cumulative from the beginning of the contract, showing--

(i) The total contract price of all supplies delivered (or services performed) and accepted by the Government and for which final prices have been established;

(ii) The total costs (estimated to the extent necessary) reasonably incurred for, and properly allocable solely to, the supplies delivered (or services performed) and accepted by the Government and for which final prices have not been established;

(iii) The portion of the total target profit (used in establishing the initial contract price or agreed to for the purpose of this paragraph (g)) that is in direct proportion to the supplies delivered (or services performed) and accepted by the Government and for which final prices have not been established--increased or decreased in accordance with subparagraph (d)(2) above, when the amount stated under subdivision (ii), immediately above, differs from the aggregate target costs of the supplies or services; and

(iv) The total amount of all invoices or vouchers for supplies delivered (or services performed) and accepted by the Government (including amounts applied or to be applied to liquidate progress payments).

(2) Notwithstanding any provision of this contract authorizing greater payments, if on any quarterly statement the amount under subdivision (1)(iv) above exceeds the sum due the Contractor, as computed in accordance with subdivisions (1)(i), (ii), and (iii) above, the Contractor shall immediately refund or credit to the Government the amount of this excess. The Contractor may, when appropriate, reduce this refund or credit by the amount of any applicable tax credits due the Contractor under 26 U.S.C. 1481 and by the amount of previous refunds or credits effected under this clause. If any portion of the excess has been applied to the liquidation of progress payments, then that portion may, instead of being refunded, be added to the unliquidated progress payment account consistent with the Progress Payments clause. The Contractor shall provide complete details to support any claimed reductions in refunds.

(3) If the Contractor fails to submit the quarterly statement within 45 days after the end of each quarter and it is later determined that the Government has overpaid the Contractor, the Contractor shall repay the excess to the Government immediately. Unless repaid within 30 days after the end of the statement submittal period, the amount of the excess shall bear interest, computed from the date the quarterly statement was due to the date of repayment, at the rate established in accordance with the Interest clause.

(h) Subcontracts. No subcontract placed under this contract may provide for payment on a cost-plus-a-percentage-of-cost basis. The Contractor shall--

(1) Insert in each price redetermination or incentive price revision subcontract the substance of paragraph (g), above, and of this paragraph (h), modified to omit mention of the Government and to reflect the position of the Contractor as purchaser and of the subcontractor as vendor, and to omit that part of subparagraph (g)(2) above relating to tax credits; and

(2) Include in each cost-reimbursement subcontract a requirement that each lower-tier price redetermination or incentive price revision subcontract contain the substance of paragraph (g) above and of this paragraph (h), modified as required by subparagraph (1) above.

(i) Disagreements. If the Contractor and the Contracting Officer fail to agree upon the total final price within 60 days (or within such other period as the Contracting Officer may specify) after the date on which the data required by paragraph (c) above are to be submitted, the Contracting Officer shall promptly issue a decision in accordance with the Disputes clause.

(j) Termination. If this contract is terminated before the total final price is established, prices of supplies or services subject to price revision shall be established in accordance with this clause for (1) completed supplies and services accepted by the Government and (2) those supplies and services not terminated under a partial termination. All other elements of the termination shall be resolved in accordance with other applicable clauses of this contract.

(k) Equitable adjustment under other clauses. If an equitable adjustment in the contract price is made under any other clause of this contract before the total final price is established, the adjustment shall be made in the total target cost and may be made in the maximum dollar limit on the total final price, the total target profit, or both. If the adjustment is made after the total final price is established, only the total final price shall be adjusted.

(l) Exclusion from target price and total final price. If any clause of this contract provides that the contract price does not or will not include an amount for a specific purpose, then neither any target price nor the total final price includes or will include any amount for that purpose.

(m) Separate reimbursement. If any clause of this contract expressly provides that the cost of performance of an obligation shall be at Government expense, that expense shall not be included in any target price or in the total final price, but shall be reimbursed separately.

(n) Taxes. As used in the Federal, State, and Local Taxes clause or in any other clause that provides for certain taxes or duties to be included in, or excluded from, the contract price, the term "contract price'' includes the total target price or, if it has been established, the total final price. When any of these clauses requires that the contract price be increased or decreased as a result of changes in the obligation of the Contractor to pay or bear the burden of certain taxes or duties, the increase or decrease shall be made in the total target price or, if it has been established, in the total final price, so that it will not affect the Contractor's profit or loss on this contract.
