These documents will be emailed to offerors who have previously requested and been cleared to receive the Specification and GFI package.
Question 4 Reference is made to RFP N00024-14-R-6204 dated 4/21/14, Page 157, Paragraph 1.1. Please clarify if SF Form 1411 is still valid and if so, provide a copy.
Answer 4 See Modification to Section L in Amendment N00024-14-R-6204-0001 under Cost/Price proposal Structure, to deleting SF1411.
Question 5 Reference is made to RFP N00024-14-R-6204, Page 141, Table at bottom of page stating 10 resumes required and reference in RFP N00024-14-R-6204, Page 151, Paragraph 3.1, Subparagraph a, third paragraph stating 12 resumes are required. Please clarify the number of resumes required for submittal.
Answer 5 See Modification to Section L in Amendment N00024-14-R-6204-0001 to Section 3.0 Management Factors changing the number of Key Personnel resumes to 10. System Engineering Lead has been added to the Key personnel list. See Modification to Section M to Section 3.1 Management Factor, stating the Government will evaluate the Offeror's 10 resumes for the technical, engineering, design and management personnel that will be engaged in this contract.
Question 6 Reference is made to RFP N00024-14-R-6204, Section B, ITEMS 0101AA, 0102AA, 0201AA, 0202AA, 0301AA, 0302AA, 0401AA and 0402AA entitled EOQ MATERIAL for LPPM and Dip Loops. Each one of these CLINs state they are individual options and Reference is made to RFP N00024-14-R-6204, Page 103 entitled 52.217-7, Option for Increased Quantity indicates these individual line items/options will be awarded at any time up to 12 MACA. Please clarify if the EOQ ITEMS to be priced are only for the Qty. stated in the ITEM (i.e. 0101AA EOQ for ITEMS 0101AB and 0101AC) or will all EOQ ITEMS be awarded at the same time?
Answer 6 See Modification to Section I, clause 52.217-7 in reference to Option Exercise for ITEMS 0101AA, 0102AA, 0201AA, 0202AA, 0301AA, 0302AA, 0401AA and 0402AA entitled EOQ MATERIAL for LPPM and Dip Loops. It is the Government's intent to simultaneously exercise all EOQ SLINs within one year of contract award.
Question 7 Reference is made to RFP N00024-14-R-6204, Page 24, ITEM 0302AB. What is the Qty to be quoted?
Answer 7 See Modification to Section B in Amendment N00024-14-R-6204-0001 which adds Quantity 2 to CLIN 302AB.
Question 8 There appears to be a discrepancy between the announcement in FedBizOpps and the RFP for the submission of questions. The FBO announcement (2/28/14) provides seven days while the RFP (page 139) provides for 14 days. Can you please clarify?
Answer 8 The Government will consider all comments received on the RFP. The Government does not commit to providing a response to any comment or question. All such questions should be received in writing within fourteen (14) days after release of the RFP to allow the Navy adequate time to prepare and issue responses to all Offerors prior to the date and time set for receipt of proposals. The subsequent revision to any specification or RFP based on comments received remains solely at the Government's discretion. Questions received after fourteen (14) days may not allow the Government adequate time to respond in order for the Offeror's to affect changes in their proposals.
Question 9 Is there a format for the verification of receipt of the classified material? Please provide a receipt confirmation to send to the Government.
Answer 9 If Offerors desire to acknowledge receipt of the classified material, they may do so by submitting the attached form (or substantially similar) via email to Karen Giunta at karen.giunta@navy.mil.
Question 10 Will a Word copy of RFP N00024-14-R-6204 (less Page 1) be provided for bidders to fill in?
Answer 10 The Government will not be providing a word copy of the RFP to prospective offerors.
Question 11 Reference is made to SOW , Attachment 2, Page 3, Paragraph 2.4, Non-Government Stds and Publications. Please provide the following documents:ISO/IEC 12207:2008 Systems and Software Engineering –Software Life Cycle Processes, dated 18-Mar-2008ISO/IEC 15288:2008 Systems and Software Engineering – SystemLife Cycle Processes, dated 18-Mar- 2008ISO/IEC 16085:2006 Systems and Software Engineering – LifeCycle Processes – Risk Management, dated 1-Jan-2006TECHAMERICA EIA GEB1 EIA Engineering Bulletin:

Answer 11 The Government will not provide this with the RFP.
Offerors may find information regarding these publications and how to obtain them at the following sources:
International Organization for Standardization (www.ISO.org) and TechAmerica (www.TechAmerica.org)
Question 12 Reference is made to RFP N00024-14-R-6204, Page 147, Paragraph 1.3, Initial Development, Integration and Testing, first paragraph. Please provide the definition of “intended inboard system” at the end of the second sentence.
Answer 12 The intended inboard system is a subset of the Integrated Submarine Imaging System (ISIS) and is defined as the inboard equipment that is only required to control the mast, display the camera imagery, provide imagery overlays, and to provide status messaging between the inboard equipment and the mast. It is not necessary to mimic the functionality and performance of functions over and above those noted (i.e. functionality not required such as image storage, Onboard Team Training, radar, etc.).
Additionally, the intended inboard system for RF is the AN/BLQ-10 ESM system. Appropriate lab equipment to mimic the RF receive sensitivity of the inboard equipment is needed to verify performance requirements in the classified annex of the Performance Specification. The inboard system interface requirement for the AN/BLQ-10 system is specified in the ISIS classified performance specification (annex). Specifically, the Interface Requirements Specification (IRS) reference is provided as GFI for the C&D Subsystem of BLQ-10 ESM Subsystem. The inboard equipment needs to mimic the BLQ-10 interface definition in the classified annex, per the specified IRS, for the purposes of verifying digital interface requirements during government and vendor factory acceptance testing of the mast.

The pricing detail quantity 2.00 has been added.
SECTION C - DESCRIPTIONS AND SPECIFICATIONS
The following have been modified:
FIRST ARTICLE (CONTRACTOR TESTING) (NAVSEA) (SEP 1990)
APPLICABLE TO ITEM 0002
(a) For the purpose of this contract, the "First Article" is synonymous with the terms "preproduction model(s) and "preproduction equipment".
(b) The production equipment shall be manufactured with tools, material and methods which are the same as or representative of the tools, material and methods which were used to manufacture the First Article.
(c) Pursuant to paragraph (e) of the clause entitled "FIRST ARTICLE APPROVAL--CONTRACTOR TESTING" (FAR 52.209-3), the First Article shall not be delivered as part of the production quantity.
SECTION I - CONTRACT CLAUSES
52.216-10 INCENTIVE FEE (JUN 2011)
(a) General. The Government shall pay the Contractor for performing this contract a fee determined as provided in this contract.
(b) Target cost and target fee. The target cost and target fee specified in the Schedule are subject to adjustment if the contract is modified in accordance with paragraph (d) below.
(1) "Target cost," as used in this contract, means the estimated cost of this contract as initially negotiated, adjusted in accordance with paragraph (d) below.
(2) "Target fee," as used in this contract, means the fee initially negotiated on the assumption that this contract would be performed for a cost equal to the estimated cost initially negotiated, adjusted in accordance with paragraph
(d) below.
(c) Withholding of payment.
(1) Normally, the Government shall pay the fee to the Contractor as specified in the Schedule. However, when the Contracting Officer considers that performance or cost indicates that the Contractor will not achieve target, the Government shall pay on the basis of an appropriate lesser fee. When the Contractor demonstrates that performance or cost clearly indicates that the Contractor will earn a fee significantly above the target fee, the Government may, at the sole discretion of the Contracting Officer, pay on the basis of an appropriate higher fee.
(2) Payment of the incentive fee shall be made as specified in the Schedule; provided that the Contracting Officer withholds a reserve not to exceed 15 percent of the total incentive fee or $100,000, whichever is less, to protect the Government's interest. The Contracting Officer shall release 75 percent of all fee withholds under this contract after receipt of an adequate certified final indirect cost rate proposal covering the year of physical completion of this contract, provided the Contractor has satisfied all other contract terms and conditions, including the submission of the final patent and royalty reports, and is not delinquent in submitting final vouchers on prior years' settlements.
The Contracting Officer may release up to 90 percent of the fee withholds under this contract based on the Contractor's past performance related to the submission and settlement of final indirect cost rate proposals.
(d) Equitable adjustments. When the work under this contract is increased or decreased by a modification to this contract or when any equitable adjustment in the target cost is authorized under any other clause, equitable adjustments in the target cost, target fee, minimum fee, and maximum fee, as appropriate, shall be stated in a supplemental agreement to this contract.
(e) Fee payable. (1) The fee payable under this contract shall be the target fee increased by 40 cents for every dollar that the total allowable cost is less than the target cost or decreased by 40 cents for every dollar that the total allowable cost exceeds the target cost. In no event shall the fee be greater than 12 percent or less than 0 percent of the target cost.
(2) The fee shall be subject to adjustment, to the extent provided in paragraph (d) above, and within the minimum and maximum fee limitations in subparagraph (1) above, when the total allowable cost is increased or decreased as a consequence of (i) payments made under assignments or (ii) claims excepted from the release as required by paragraph (h)(2) of the Allowable Cost and Payment clause.
(3) If this contract is terminated in its entirety, the portion of the target fee payable shall not be subject to an increase or decrease as provided in this paragraph. The termination shall be accomplished in accordance with other applicable clauses of this contract.
(4) For the purpose of fee adjustment, "total allowable cost" shall not include allowable costs arising out of--
(i) Any of the causes covered by the Excusable Delays clause to the extent that they are beyond the control and without the fault or negligence of the Contractor or any subcontractor;
(ii) The taking effect, after negotiating the target cost, of a statute, court decision, written ruling, or regulation that results in the Contractor's being required to pay or bear the burden of any tax or duty or rate increase in a tax or duty;
(iii) Any direct cost attributed to the Contractor's involvement in litigation as required by the Contracting Officer pursuant to a clause of this contract, including furnishing evidence and information requested pursuant to the Notice and Assistance Regarding Patent and Copyright Infringement clause;
(iv) The purchase and maintenance of additional insurance not in the target cost and required by the Contracting Officer, or claims for reimbursement for liabilities to third persons pursuant to the Insurance Liability to Third Persons clause;
(v) Any claim, loss, or damage resulting from a risk for which the Contractor has been relieved of liability by the Government Property clause; or
(vi) Any claim, loss, or damage resulting from a risk defined in the contract as unusually hazardous or as a nuclear risk and against which the Government has expressly agreed to indemnify the Contractor.
(5) All other allowable costs are included in "total allowable cost" for fee adjustment in accordance with this paragraph (e), unless otherwise specifically provided in this contract.
(f) Contract modification. The total allowable cost and the adjusted fee determined as provided in this clause shall be evidenced by a modification to this contract signed by the Contractor and Contracting Officer.
(g) Inconsistencies. In the event of any language inconsistencies between this clause and provisioning documents or Government options under this contract, compensation for spare parts or other supplies and services ordered under such documents shall be determined in accordance with this clause.
(End of clause)

The following text under SUPPORTING COST DATA and within Subsection 2.7: Rights in Technical Data and Computer Software is hereby modified:
Delete:
a. License Option Cost/Price Information. For each item of noncommercial TD, CS, and/or CSD that the Offeror asserts shall be delivered with less than Government Purpose Rights (GPR) (as defined in (DFARS 252.227-7013 "Rights in Technical Data" Noncommercial Items (MAR 2011) and/or DFARS 252.227-7014 "Rights in Noncommercial Computer Software and Noncommercial Computer Software Documentation" (MAR 2011)), and for which the Offeror is willing to sell to the Government greater rights than those identified in the 7017 List, the Offeror shall identify those greater rights and provide an option cost/price at which the Government may purchase such greater rights. Similarly, for each item of commercial TD/CS/CSD for which the Offeror is willing to sell to the Government greater rights than the associated commercial software license, the Offeror shall identify those greater rights and provide an option cost/price at which the Government may purchase such greater rights. The option cost/price shall include costs required to convert the markings on the deliverable item to conform to the greater rights, should the Government choose to exercise the option. The Offeror may state any license option cost/price as a FFP, a percentage royalty rate, or any other comparable compensation scheme, provided that the Government can reasonably calculate a sum-certain cost/price for the license option using the cost/price information and terms and conditions information the Offeror provides. The Government prefers that any license option cost/prices the Offeror provides in the Supplemental 7017 Cost/Price List cover all noncommercial and commercial CS, CSD and TD included in any affected software and that the Offeror state them on a cost/price-per-system basis;
further, the Government prefer that any option be made available for the full duration of the contract at a minimum. Finally, no option for TD/CS/CSD licenses shall be conditioned upon subsequent production contracts. In fact, any offered licenses, either as an option or in the base award, that do not track with the DFARS three-level scheme (i.e., unlimited, Government purpose, and restricted/limited), e.g., any commercial licenses or special licenses), shall not be conditioned upon subsequent production contracts or orders.
b. For all TD, CS, and/or CSD that the Offeror proposes to deliver with less than Government Purpose Rights (GPR), as defined in DFARS 252.227-7013 (MAR 2011) and/or DFARS 252.227-7014 (MAR 2011), and for which the Offeror does not offer an option or the terms of any option offered are deemed undesirable by the Government, the Government will apply a cost/price adjustment factor to an Offeror’s proposed cost/price in arriving at the total evaluated cost/price, as set forth in Section M.
The Offeror may provide information, including the cost of any available licenses, whether commercial or noncommercial, to assist the Government in making an accurate estimate of such costs.

For each item of noncommercial TD, CS, and/or CSD that the Offeror asserts shall be delivered with less than Government Purpose Rights (GPR) (as defined in (DFARS 252.227-7013 "Rights in Technical Data" Noncommercial Items (FEB 2014) and/or DFARS 252.227-7014 "Rights in Noncommercial Computer Software and Noncommercial Computer Software Documentation" (FEB 2014)), and for which the Offeror is willing to sell to the Government greater rights than those identified in the 7017 List, the Offeror shall identify those greater rights and provide an option cost/price at which the Government may purchase such greater rights. Similarly, for each item of commercial TD/CS/CSD for which the Offeror is willing to sell to the Government greater rights than the associated commercial software license, the Offeror shall identify those greater rights and provide an option cost/price at which the Government may purchase such greater rights. The option cost/price shall include costs required to convert the markings on the deliverable item to conform to the greater rights, should the Government choose to exercise the option. The Offeror may state any license option cost/price as a FFP, a percentage royalty rate, or any other comparable compensation scheme, provided that the Government can reasonably calculate a sum-certain cost/price for the license option using the cost/price information and terms and conditions information the Offeror provides. The Government prefers that any license option cost/prices the Offeror provides in the Supplemental 7017 Cost/Price List cover all noncommercial and commercial CS, CSD and TD included in any affected software and that the Offeror state them on a cost/price-per-system basis;
further, the Government prefer that any option be made available for the full duration of the contract at a minimum. Finally, no option for TD/CS/CSD licenses shall be conditioned upon subsequent production contracts. In fact, any offered licenses, either as an option or in the base award, that do not track with the DFARS three-level scheme (i.e., unlimited, Government purpose, and restricted/limited), e.g., any commercial licenses or special licenses), shall not be conditioned upon subsequent production contracts or orders.
b. For all TD, CS, and/or CSD that the Offeror proposes to deliver with less than Government Purpose
Rights (GPR), as defined in DFARS 252.227-7013 (FEB 2014) and/or DFARS 252.227-7014 (FEB 2014), and for which the Offeror does not offer an option or the terms of any option offered are deemed undesirable by the Government, the Government will apply a cost/price adjustment factor to an Offeror’s proposed cost/price in arriving at the total evaluated cost/price, as set forth in Section M.
The Offeror may provide information, including the cost of any available licenses, whether commercial or noncommercial, to assist the Government in making an accurate estimate of such costs.
