The purpose of amendment 0001 is to (1) revise Section B CLINs 0042, 0142, 0242, 0342 and 0442 to clarify that offerors shall not submit a price for those CLINs, (2) revise Section J to add Attachment 7, (3) revise Section J, Attachment 1 PWS, to remove the reference to

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

Section L Information: INSTRUCTIONS, CONDITIONS AND NOTICES TO OFFERORS
L.1 GENERAL INSTRUCTIONS. The intent is to award a single IDIQ contract under the
Authority of Federal Acquisition Regulation (FAR) Part 15, Contracting by Negotiations, to an Offeror who represents the Best Value to the Government.
As prescribed by FAR 52.215-1, the Government may award on the basis of initial offers received without conducting discussions. Therefore, each proposal should contain the offeror’s best terms from a business and technical standpoint.
a. Offerors shall submit only one (1) proposal in response to this solicitation.
b. A concise and comprehensive proposal is required. Organization, clarity, accuracy of information, relevance, and completeness are of prime importance. The proposal shall be complete and clear in all respects without the need for additional explanation or information.
c. Unnecessarily elaborate proposals beyond that sufficient to present a complete and effective proposal are not desired. Offerors shall confine their submission to essential matters, sufficient to define their offer, and provide an adequate basis for evaluation. Likewise, Offerors are cautioned against general, vague, or unsubstantiated statements which prevent or render difficult the Government’s evaluation of the proposal. Statements such as "we understand,"
"will comply," "standard procedures will be used" or "noted and understood" without supporting narrative to define compliance are generally insufficient responses. Moreover, the Government will generally not assume that an Offeror possesses a capability, understanding, or commitment that is not specifically delineated and supported in its respective proposal. A concise and comprehensive proposal is required.
d. Rejection of Unrealistic Offers and or Exceptions, Conditions or Assumptions to the Request for Proposal (RFP).
The Government will reject any proposal that is unreasonable in price. The Government may also reject any proposal that is evaluated to be unrealistic in terms of program commitments, including contract terms and conditions, such that the proposal is deemed to reflect an inherent lack of competence or failure to comprehend the complexity and requirements of the program.
Offers that take exception to any requirement, or condition in any manner their obligation to perform under the contract, even via assumptions or “understandings” provided, may be rejected outright. If a proposal is rejected, no further evaluation will take place on that proposal.
An example of a circumstance that may lead to the rejection of a proposal is when the Offeror fails to submit a meaningful response to the Instructions to Offerors specified in Section L.
Examples of failure to respond meaningfully include:
1) When a proposal makes a mere statement to perform work according to the RFP terms but fails to present the Offeror's approach and capability to comply with the RFP terms, and does not provide support and elaboration where requested in Section L of this solicitation.
2) A proposal fails in any respect to provide the data and information required in Section L.
3) A proposal provides some data, but omits significant material, data and information required by Section L.
4) A proposal that merely repeats the PWS without elaboration on processes or illustration of a clear understanding of the requirements.
5) A proposal that is unreasonable in price and/or unrealistic in terms of technical or schedule commitments.
6) An Offeror that includes pricing information in the Executive Summary or Technical
Volume,
7) The proposal offers a service that does not meet all stated requirements of the solicitation.
e. Offerors must carefully read, understand, and provide all the information requested in
Section L. If there are questions concerning Section L, request clarification from the Contracting
Officer in writing, in accordance with Section L.2.
f. Offerors shall provide pricing for all Contract Line Item Numbers (CLINs) in Section B, including the related Exhibit Line Item Numbers (ELINs) located in the Section J Exhibits of this solicitation.
g. The Offeror shall not include classified material in any proposal section.
h. A ceiling on the number of pages in the proposal has been imposed, as indicated in the paragraphs below. In the event that an Offeror exceeds the maximum page limitations provided below, the Government will evaluate only the pages that comply with the maximum number prescribed (starting with page one and continuing until the maximum number is reached). The following will not be counted towards the proposal page limitations if they are not on the same page as the technical narrative: Title page, table of contents, acronym list, PWS requirements matrix (cross reference matrix), glossary, Staffing Matrix, OCI mitigation plan.
i. Proposals shall be valid for a minimum of one hundred twenty (120) calendar days from the date for receipt of proposals.
j. Proposals in both paper copies and CD version, shall arrive at the address below NOT
LATER THAN the closing date and time stated on page 1, item 9, of the solicitation. Offerors shall prominently mark all packages used for delivery of proposals with the following statement and address:

NOTE: Packages sent using the US Postal Service take additional time to arrive at this location. Email or facsimile submission will not be accepted.
All proposals shall include one original and six copies of the technical volume and one original and two copies of the price volume, all on paper. All proposals shall also include one electronic copy of the complete technical volume on CD-ROM and one electronic copy of the complete price volume on a separate CD-ROM, both using a format which is compatible with Microsoft
Office 2010 and Adobe Acrobat for Windows and formatted for a personal computer. The price files on the CD-ROM price volume shall include MS Excel spreadsheets with formulas intact.
The Offeror shall ensure that the submitted files are accessible and legible for the Government;
in the event that a file cannot be opened or read, the Government reserves the right to find the proposal non-compliant and ineligible for evaluation and award. Embedded files are not allowed.
No cost or pricing information shall appear in the Technical volume. Inclusion of cost or pricing information, or information from which cost or pricing could be reasonably inferred, in the
Technical volume may render the proposal non-compliant and ineligible for evaluation and award. If there is a discrepancy between the original, copies and the CDs of the proposal, the one original technical volume and price volume will take precedence.
k. Offerors shall submit an Executive Summary Letter with the following information in the price volume; however, no price information shall be included in the letter itself.
1. A statement either specifying agreement to all terms and conditions and provisions in the solicitation or identifying any exceptions, conditions, deviations, waivers and assumptions. Any exceptions, conditions, deviations, waivers or assumptions taken to or regarding the terms and conditions of solicitation, attachments, exhibits, appendices, or other solicitation documents must be fully explained. Understand that any such exceptions, conditions, deviations, waivers, or assumptions may be grounds for the Government to reject the proposal from further consideration in the source selection process.
2. Offerors shall state whether it has a current SECRET Facility Clearance, and whether any proposed subcontractors currently have the Facility Clearance required to perform their respective requirement.
3. State whether or not the award of a task order for this requirement will create an
Organizational Conflict of Interest (OCI) or potential OCI for itself or any of its subcontractors and, if so, provide an OCI mitigation plan. An OCI that cannot, in the
Government’s judgement, be mitigated may be grounds for the Government to reject the proposal from further consideration in the source selection process.
4. A statement specifying its CAGE code and providing the email address and phone numbers for a primary and alternate company representative to serve as the
Government’s point of contact.
5. Identify all prospective Tier-1 subcontractors, including their CAGE codes.
6. A description of its accounting system and any Defense Contract Management Agency
(DCMA) or Defense Contract Audit Agency (DCAA) determination of adequacy for the purposes of incurring costs under a cost reimbursable basis.
7. A statement specifying the offer validity period.
l. The estimated date of contract award is 01 May 2016. The Government reserves the right to award sooner or later, if necessary. The Section F periods of performance will be unilaterally adjusted accordingly, upon contract award.
L.2. QUESTIONS.
Questions regarding the solicitation are due by 10:00 AM Local Time, Quantico, VA on 12
February 2016 with the information provided in the below table identified clearly. Questions shall be submitted via email to the Contract Specialist at nicholas.booth@usmc.mil and chris.enos@usmc.mil with the following subject line: “RFP M67854-16-R-7100 Questions
(Insert Company Name)”. Please do not bundle multiple questions into one. The Government reserves the right not to answer all questions. Questions received after the above time and date may not be addressed. No questions will be answered via telephone. Government responses will be posted electronically.

L.3 PROPOSAL FORMAT.
This solicitation is written in the Uniform Contract Format described in FAR 15.204-1. Sections
A through J comprise the model contract. The Government advises prospective Offerors to read the terms and conditions of the model contract and all other sections of the solicitation carefully.
Proposals shall be prepared using “Times New Roman” 12 point font style on 8½ x 11 inch white paper. Tables and illustrations may use a reduced font not less than 10 point, which should be used for labeling or descriptive purposes. One page equals one side of a paper. Tables and illustrations containing technical narrative information with a reduced font (less than 12 point), mailto:chris.enos@usmc.mil exceeding ½ page, will be counted as two (2) pages. Margins shall be no less than one (1) inch on all sides. All material submitted must be single-spaced. Offerors shall ensure that each page provides identification of the submitting Offeror and solicitation number in the header or footer.
All pages shall be numbered sequentially and labelled “Source Selection Sensitive.”
Offerors shall submit proposals with technical and price volume in accordance with the table below. Attachments not requested in the solicitation, may not be submitted to supplement the content designated below and will not likely be evaluated. The page limits for each section are designated in the following table:

L.4 PROPOSAL INSTRUCTIONS.
The following specific instructions are provided for the relevant portions of the proposal. The
Technical and Price volumes shall be submitted as separate documents.
A. TECHNICAL VOLUME.
The Offeror shall provide a technical volume which meets the requirements of this solicitation.
The Offeror shall provide sufficient information in the technical volume to allow for an evaluation of the capabilities that the Offeror will provide to support the requirement.
The Offeror shall not assume that the Government evaluators possess any knowledge or familiarity with their company or the approach in their proposal.
Factor 1 - Technical Approach
The Technical approach shall:
• Provide a written narrative of the offeror’s technical understanding and capability with a detailed and thorough description of the procedures and methodologies which will be used in accomplishing PWS requirements 2.0 through 5.0.
• Provide a resume for the Program Manager which contains his or her background, education, work experience and accomplishments.
» The Program Manager must have a Bachelor's degree from an accredited school. A
Program Manager with a Master's degree from an accredited school, in the area of
Project Management, Information Management, Human Resource Management, Business Administration, or Management is preferred.
» The Program Manager must have at least 8 years of experience in management and supervision of projects with multiple personnel; management of remote personnel;
scheduling and reporting. A Program Manager with at least 14 years of experience in management and supervision of projects with multiple personnel, management of remote personnel, scheduling and reporting is preferred.
» The Program Manager must have at least 5 years of experience in the management of
Professional Military Education (PME) programs delivered to students. A Program
Manager with at least 5 years of experience in the management of PME programs delivered to students world-wide is preferred.
• Provide a Quality Control Plan that articulates the Offeror's ability to execute the PWS requirements in a manner that ensures successful performance.
• Explain any proposed schedules, processes, or procedures which are relevant to understanding the proposed technical approach.
• Describe how the offeror will ensure continuation of services at an acceptable quality level during personnel absences due to sickness, leave, voluntary and involuntary termination from employment.
• Provide a Transition Plan which includes a detailed approach to executing an orderly transfer of support responsibilities from the incumbent contractor to itself, as the replacement contractor. The transition plan may become an attachment to the contract at award. At a minimum, the proposed transition plan shall thoroughly substantiate the following:
1) The replacement contractor’s overall approach to the transition from the current contract.
2) The hiring and recruiting process, the schedule of events and timeline for each event to become fully staffed and operational, and any risk mitigation strategies which may be applicable. This will include a discussion of the availability of staffing that is required to execute the approach.
3) The transition period length and key activities. This will include a detailed schedule of the transition period activities, with start and end dates. The Government anticipates a maximum 30-day overlap between performance of this requirement and the existing requirement.
Factor 2 - Management Approach
The Management Approach shall:
▫ Provide a Project Management Plan that clearly describes the labor categories, labor mix, personnel responsibilities, communication and coordination plans to perform the PWS requirements. Describe the minimum labor qualifications for each PWS requirement, along with rationale supporting the qualifications. The minimum labor qualifications may be incorporated into the contract and will serve as minimum staffing qualification requirements for the PWS requirements.
▫ Describe any subcontracting and teaming arrangements, including the portions of the PWS to be assigned to subcontractors and teammates, the offeror’s plan for managing these arrangements, and an explanation of why this constitutes an optimal arrangement.
▫ Describe the offeror’s management structure, organization, assignment of functions, duties, responsibilities, internal management procedures, lines of authority, and the proposed interface between the Government and the Offeror.
▫ Provide an Organization Chart of the offeror’s corporate structure and the project team that will perform the PWS requirements (including subcontractors) with position titles and the number of full time equivalents (FTEs) proposed for each position. Identify which personnel are current employees of the Offeror or its subcontractor and teammates and which personnel are not current employees.
▫ Discuss the availability of personnel for this effort associated with the positions in the
Organization Chart that are not current employees.
▫ Provide a Staffing Matrix that adequately addresses each PWS requirement. All supporting rationale for the proposed staffing shall clearly track from the position to the applicable requirement(s). At a minimum, for each PWS requirement, the matrix must address the following:
a) The proposed labor categories assigned to the requirement, and
b) The proposed FTE of each labor category assigned to the requirement.
Factor 3 – Past Performance: Offerors shall provide past performance information that demonstrates the offeror's record of performing similar efforts during the four year period prior to the submission of its proposal.
For up to three contracts or task orders issued under Indefinite Delivery Indefinite Quantitiy
(ID/IQ) contracts or BPAs performed within the last four years (excluding ID/IQ Contracts and
Blanket Purchase Agreements), the Offeror shall send out, and track the completion of a Past
Peformance Questionnaire (PPQ) to each of the Offeror’s Government/Commercial Points of
Contact (POCs). Any completed PPQs must be submitted directly from the Offeror’s
Government/Commercial POCs to the Government. Each of the Offeror’s POCs shall email its complete PPQ directly to the Contract Specialist at nicholas.booth@usmc.mil. The PPQ form is
Attachment 4 to Section J of the solicitation.
In addition to the PPQs, a maximum of three summaries of previous work performed may be provided. Any summaries provided shall not exceed one page each. The summaries must be for the same previous work addressed by the PPQs. Summaries should address the following:
- Names and contact information of Government/Contractor Points of Contact (POCs), and contact number;
- How the past performance is or is not similar to the work required in this solicitation;
- The relevance of the contract performed to this solicitation (in terms of the scope, complexity, contract value, and contract type);
- How ratings above satisfactory were obtained;
- Roles of the offeror's key personnel, teammates, or subcontractors with significant involvement that will also perform the requirements in this solicitation; and
- Any adverse past performance information, including an explanation of corrective measures the Offeror has taken to avoid negative performance in the future.
Offerors are advised that the Government may use and evaluate independently obtained past performance data from other sources such as the Past Performance Information Retrieval System
(PPIRS) and Government requested PPQs, in addition to the past performance data provided by the Offeror. Moreover, since the Government may not necessarily interview the sources provided by the Offeror, it is incumbent upon the Offeror to explain the relevance of ay past performance data provided. Furthermore, the Government does not assume the duty to search for data to explain or remedy any inconsistencies it finds in the information provided by the
Offeror. The burden of providing thorough and complete past performance information remains with the Offeror.
The Government will determine whether or not PPQs received after the proposal due date will be considered.
B. PRICE VOLUME.
Factor 4 - Price:
The Offeror shall provide a price volume which meets the requirements of this solicitation. The
Offeror shall provide sufficient information in the price volume to allow for a price evaluation and determination of price reasonableness. The Offeror shall not assume that the Government evaluators possess any knowledge or familiarity with their company or the approach in their proposal. Therefore, the Offeror shall explain its proposed prices and ensure its proposed hours in the price volume reconcile to any hours included in the technical volume.
The Offeror shall submit an Executive Summary, described in L.1 (above), the model contract, Section K representations and certifications, and a price breakdown and explanations. In the model contract, the Offeror shall provide pricing for all Contract Line Item Numbers (CLINs) in
Section B, (except for Travel CLINs 0042, 0142, 0242, 0342, and 0442 and the CLINs that have
ELINs) and the Exhibit Line Item Numbers (ELINs) in the Section J Exhibits. All line item total prices (extended prices) shall be evenly divisible by the quantity stated in Section B of the model contract (i.e. without repeating decimals). In addition, a completed price spreadsheet (from
Section J, Attachment 5) shall be included as part of the price proposal.
For all line items, the Offeror shall submit a price breakdown (showing estimated labor hours, labor categories, labor rates, material, travel, ODCs, etc.) associated with each priced line item.
Each breakdown should sum to the price of the line item. Any difference must be noted and explained (e.g. rounding to ensure evenly divisible by stated quantity). The CD files shall include all formulas, functions, macros, computations and equations used to compute the prices. The breakdown shall include a basis of estimate for the prices. Failure to provide the requested information may result in the proposal being ineligible for award without discussions.
The Offeror is advised that this information, with pricing redacted, may be provided for review by the technical evaluators (normally if there is an observed inconsistency with labor, travel or
ODC information provided in the technical volume). This cost or pricing information is requested in accordance with FAR 15.403-1(b), and is not certified cost or pricing data.
L.5 INTENT TO INCORPORATE CONTRACTOR’S TECHNICAL VOLUME
All or part of the successful Offeror’s technical volume may be incorporated in any contract resulting from this solicitation; however, nothing contained in the successful Offeror’s technical volume —whether or not incorporated— shall constitute a waiver of any requirement of the contract. In the event of any conflict between the successful Offeror’s technical volume and any portion of the contract, the conflict shall be resolved in favor of the contract.
