L-2 CONFIDENTIAL INFORMATION

L-2.1 Freedom of Information Act - The Freedom of Information Act (FOIA) and its amendments have resulted in an increasing number of requests from outside the Government for copies of contractor qualifications and proposals submitted to federal agencies. The Offeror should mark its submissions in the following manner:

Place the following notice on the title page: “Some parts of this document, as identified on individual pages, are considered by the submitter to be privileged or confidential trade secrets or commercial or financial information not subject to mandatory disclosure under the Freedom of Information Act. Material considered privileged or confidential on such grounds is contained on page(s) _______.”

Each individual item considered privileged or confidential under FOIA should be marked with the following notice: “The data or information is considered confidential or privileged, and is not subject to mandatory disclosure under the Freedom of Information Act.”

L-3 SOURCE SELECTION METHODOLOGY

L-3.1 The Government contemplates award of one (1) Fixed Price Incentive (Firm)(FPI), Firm Fixed-Price, and Cost, - Indefinite Delivery/Indefinite Quantity (ID/IQ) contract to the successful Offeror for the Production and Deployment Phase over a five-year ordering period. This is a best value source selection based on proposal received from Offerors. The Government will select for award the most advantageous proposal representing the best value to the Government using the stated Factors, Subfactors, Elements and general considerations. Proposals will be evaluated for compliance with the terms, conditions, and requirements set forth by the solicitation. Offerors that provide non-responsive proposals may not be eligible for award and will not be further evaluated for consideration. Alternate proposals are not allowed. Proposals with contingent terms and conditions may be deemed non-responsive and could result in the rejection of an Offeror’s proposal. It is the Government’s intent to award to the Offeror whose proposal is determined to provide the best overall value to the Government; however the Government reserves the right to make a single award or no award. The proposal instructions in this section are designed to assist Offerors in preparing a complete response that reflects a full understanding of the proposed approach to accomplish all contractual requirements. Section M provides further detail as to how the proposals will be evaluated.

L-3.2 As prescribed by FAR 52.215-1, the Government may award on the basis of initial offers received, without discussions. Therefore, each initial offer should contain the Offeror’s best terms from a technical, management and cost standpoint. The diagram below provides a visual representation of the acquisition approach to this procurement:

L-4 PROPOSAL PREPARATION INSTRUCTIONS

L-4.1 The Offeror's proposal shall include data and information requested and shall be submitted In Accordance With (IAW) these instructions. An Offeror’s proposal must encompass and be compliant with all stated requirements.

L-4.2 The Offeror’s proposal shall be clear, concise, and include sufficient detail for effective evaluation by the Government and for substantiation of stated claims. The proposal shall not simply rephrase or restate the Government's requirements; but rather shall provide convincing rationale to address how the Offeror intends to meet the Factors and Subfactors to be evaluated. Offerors shall assume that the Government has no prior knowledge of its experience and will base its evaluation on the information presented in the Offeror's proposal. The Offeror’s proposal must respond to all Factors and Subfactors. The proposal must demonstrate that the Offeror possesses the capability to plan, organize, and deliver the PERM Engineering and Manufacturing Development (EMD) effort in a coordinated, technically competent fashion that is timely and cost efficient.

Determinations as to the Government's rights for any technical data or computer software generated in the performance of the referenced contracts or any subcontracts should be made in reliance upon Contractor or subcontractor records established IAW paragraph (g) of DFARS 252.227-7013 and 252.227-7014.

L-4.3.1 Technical data furnished by the Government is in an "as is" condition without any warranty as to its accuracy, completeness, or adequacy. The Offeror shall use this technical data at its own risk. The Government assumes no responsibility for such furnished data/documentation nor will the Government have any liability for an Offeror’s proposal should such data/documentation prove to be inaccurate, incomplete, or otherwise defective. The Contractor shall use technical data as marked and IAW DFARS 252.227-7013 and 252.227-7014.

L-4.4 The Offeror shall organize the proposal as set forth in the Proposal Organization Table, below. The titles and contents of the volumes shall be as defined in this table, shall be within the required page limits and with the number of copies as specified in the table. L-6.4.2 CHAPTER 2.0 – SUPPORTING COST DATA

Supporting cost data shall be submitted as required herein.

Poor or inadequate supporting cost data may negatively impact the Government’s evaluation of the Offeror. Omitted data may result in Government assumptions regarding the omitted data. Such assumptions may be detrimental to the Offeror; therefore, Offerors are encouraged to submit as complete a disclosure of their pricing methodologies as they deem appropriate.

Offerors shall round dollar amounts to the nearest whole dollar. The final dollar amount per CLIN in Section B of the offer shall be rounded to the nearest dollar. Offerors shall round ratios, factors, and decimal numbers to four decimal places to the right of the decimal point.

An Offeror’s proposal is presumed to represent its best effort to respond to the solicitation. Accordingly, the Offeror is required to fully explain any inconsistencies between the various volumes of their proposal. For example, if the intended use of new and innovative techniques is the basis for an abnormally low cost estimate, the nature of these techniques and the impact on the Offeror’s cost or price should be explained in this section and technically in Volume 1, Subfactor 1. “Management reductions” (or challenges) to costs must also be fully explained. For example, if an Offeror makes a “management reduction: or challenge which makes their offer, or portions of their Offer, below actual anticipated costs, the Offeror shall identify the management reductions and the Offeror’s plan for achieving these reductions. In addition, any new or changed direct or indirect cost allocation rates (e.g., direct labor, overhead, or G&A allocation rates) or planned revisions to cost accounting disclosures shall be fully explained. The offeror shall describe the extent to which these revised rates are projected to benefit performance of the efforts contained in this solicitation. The Offeror shall also describe its ability and commitment to maintain these rates or revised accounting procedures after contract award. Should the Offeror include one or more “rate caps,” the Offeror shall provide an in-depth analysis of the rate history including the rational for offering such rate caps and an assessment of the potential risks (including the risk to performance) should actual rates exceed the proposed caps. Finally, the Offeror shall also provide a specific clause for inclusion in the resulting contract that describes the affective rates, established the rate cap, and grants the Government the unilateral right to include the rate cap provision into the resulting contract. If the proposed costs, for FPI CLINs only, are considered unrealistic, the Government may make upward adjustments only to the Offeror’s proposed costs to develop an estimate of the projected cost to the Government for each Offeror’s proposed approach.

The supporting cost data shall be organized by section as described below. Each section shall be titled and tabbed for easy identification. The Offeror shall provide cost and price data, and supporting explanations and rationale, in an orderly, organized, and easy-to-follow format. The summary estimates shall track to detailed basis of estimates.

For FPI CLINs only, the Offeror shall provide a narrative or description, in sufficient detail, to demonstrate cost/price reasonableness, credibility, and reliability for each cost element. Defense Contract Management Agency (DCMA), Defense Contract Audit Agency (DCAA) and other Government agencies may be contacted to verify data. The Offeror shall provide methodologies used to estimate each cost element (i.e., labor costs including labor mix, labor hours, labor hour expenditure pattern, labor rates, escalation, and indirect rates; etc.). The offeror shall include any Forward Pricing Rate Agreements (FPRAs) in support of labor rates. If no FPRA is available, the Offeror shall provide the Forward Pricing Rate Recommendation (FPRR). If no FPRA or FPRR is available, the Offeror shall provide another form of rate corroboration (e.g., payroll data).

With the exception of 2.6, the below sections 2.1 through 2.5 are applicable to the FPI CLINs only. Section 2.6 is applicable to all CLINs regardless of contract type.

6.4.2.1 Section 2.1 – Work Week Assumptions

A standard 40 hour/week, 2080 hours/year is recommended. If another standard is used, it should be precisely defined. Any deviation from the above hours, without substantiation, may cause an Offeror’s proposal not to be considered for award. The hour estimates provided shall include all hours (i.e. all prime Contractor hours, all subcontractor hours, and all consultant hours).

6.4.2.2 Section 2.2—Direct Costs

This section shall include the following:

Provide the percentage of subcontracts that will be awarded through the competitive process and the dollar amount of the subcontracts to be awarded competitively.

The Offeror shall submit with the price proposal a listing of Production Special Tooling and Production Special Factory Test Equipment (PST/PSTE) which shall identify the PST and PSTE required to manufacture the PERM round, quantity of each item required, cost of each item, whit it will be purchased, and the source of financing.

In all cases where labor hour category, material cost, and other direct costs are based upon historical information, the Offeror shall identify the past experience, explain how the past experience relates to the current effort, and explain how labor hour category, material cost, and other direct cost data derived from past experience were adapted to the current effort. If the past experience concerns a specific hardware item built or acquired, the Offeror shall identify the item, buying activity, contract number, applicable dates, and item cost.

6.4.2.2.1 Material

Identify and discuss the types and quantities of the proposed direct material. Provide methodology used to generate the proposed material costs including, as a minimum, the percentage of cost based on:

1. Vendor quotations;

2. Prior purchase orders;

3. Catalog prices;

4. Engineering estimate;

5. Sole source; and

6. Competitive purchases.

Provide rationale and history for any estimates and factors used in the calculations of the proposed cost.

6.4.2.2.2.1 Labor Hours

The proposal shall include proposed direct labor hours by category, calendar year (as appropriate) and by Work Breakdown Structure (WBS) element. In all cases where estimates are based upon learning/improvement curve applications, the Offeror should identify the specific area subject to learning, the curve hypothesis (unit or cumulative), and the slope of the curve as a percent. Also, the offeror shall explain what data was used to develop the slope, how this data relates to the current effort, and how data incorporated into the learning curve was attained (i.e., how the first unit was derived).

The proposed direct labor hours shall be clearly stated. Provide detailed rationale and history for all labor hour estimates and factors used in the calculations of the proposed hours. Provide any assumptions, including, for example, overtime hours or weekend hours for any manufacturing, in-house, or testing activities.

Provide direct labor rates by calendar year for each category of labor proposed as appropriate. Indicate whether these rates are subject to a FPRA with the Government (enclose a copy of any FPRA). Additionally, detail any union agreements that control labor rates. Highlight wage rate forecasting assumptions, including escalation, and provide the basis for such escalation. If known, any differences between the DCAA-recommended rates and those proposed should be isolated and discussed. Finally, provide the most recent three (3) years of prior actual rate history by labor category. If no FPRA is available, the Offeror shall provide another form of rate corroboration (e.g., payroll data).

6.4.2.2.2.2 Other Direct Cost

Any other direct costs including (but not limited to); computer usage/leasing, travel and subsistence, and equipment/facilities rental/leasing shall be documented and suitable rationale provided.

Section 2.3—Indirect Costs

Provide proposed overhead and G&A rates and amounts in the proposal, along with cost of money factors and amounts of each calendar year. Indicate if these rates are subject to a FPRA with the Government (enclose a copy of and FPRA). If known, any differences between the DCAA-recommended rates and those proposed should be isolated and discussed. Explain the basis for any significant rate difference between the prior three (3) year’s period and those rates now proposed.

Cost of Money (COM) will only be an allowable cost if proposed; see FAR 15.408(h) and 15.408(i).

Section 2.4—Inter- and Intra-Divisional Transfers

Provide material and labor hours information, as appropriate, for all inter- and intra-divisional transfers. Indicate whether such transfers are “at cost” or “other than cost.” If “other than cost,” describe what the basis is.

6.4.2.5 Section 2.5—Subcontractor Costs

Furnish material, indirect costs and fees, labor hours and other direct costs for each major subcontractor, as appropriate. Offerors may arrange for Subcontractor cost and pricing information to be submitted directly to the PCO as an individually wrapped submittal and indicated as an attachment to the prime’s submittal in the format required in this RFP. Indicate potential subcontractor competition, rationale for the selection of probable source(s), and the reasons why the costs proposed are considered reasonable and realistic. The Offeror shall furnish a copy of any cost or price analyses performed on subcontractor costs performed.

NOTE: The prime-contractor is responsible for timely sub-contractor submissions.

6.4.2.6 Section 2.6—Contractor Self-Assessment of Cost Risk

The Offeror shall explain how the prices it proposes evidences that the Offeror understands the nature of the work it proposes. The Offeror shall discuss the technical, schedule or other risks that may impact the Offeror’s cost significantly. The Offeror shall explain how risk management will be applied for each case. If no areas of significant cost risk can be identified, the Offeror shall explain, in detail, why there is considered to be minimal cost risk, with emphasis on those areas requiring development effort.

L-6.5 Volume 3 – Past Performance

The Past Performance Volume shall include the Offeror’s Past Performance data. The Past Performance Volume shall address Evaluation Factor 3 – Past Performance, as per solicitation Section M. No production or pricing information shall be contained in the Past Performance Volume. Submitting pricing in this volume may lead to an unfavorable evaluation.

Offerors are advised that the Government may use and evaluate independently obtained past performance data such as Past Performance Retrieval System (PPIRS) data and Past Performance Questionnaires (PPQ) (Attachment (9) – Section J), as well as recent and relevant past performance data provided by the Offeror. Therefore, the Government requests that Offerors provide past performance information that adequately supports its stated capabilities to accomplish the work defined in this solicitation. Since the Government may not necessarily interview all of the sources provided by the Offeror, it is incumbent upon the Offeror to explain the relevance of any past performance data provided. Furthermore, the Government does not assume the duty to search for data to explain or remedy any inconsistencies it finds in the information provided by the Offeror. All past performance information required is applicable to all proposed key subcontractors with whom the Offeror is teaming, as well as the Offeror. The Offeror shall submit with its proposal its key subcontractors’ letter(s) of consent allowing the Government to disclose the subcontractors’ past performance to the Offeror if necessary. Key subcontractors are those which perform 25% or more of the proposed cost of this effort and/or whose performance on the award contract is such that if it fails, could significantly impact program success.

At a minimum, proposals shall include the following information for work similar in size, scope, and/or complexity to the PERM: technical relevance of the referenced effort to this procurement, demonstrated technical and schedule performance, general responsiveness to contract requirements, management aspects of the effort to include problem resolution, quality of the products and services, and overall customer satisfaction with products and services. For any contracts which did not/do not meet the original requirements with regard to original cost, schedule, or technical performance, the Offeror shall provide a brief explanation of the reason(s) for such shortcomings and any demonstrated corrective actions taken to avoid recurrence. Provide a copy of any cure notices or show cause letters received on each contract listed and a description of any corrective action taken.

Offeror shall submit past performance citations within the past three (3) years that are relevant to the efforts required by this solicitation. PLEASE SUBMIT NO MORE THAN THREE (3) CITATIONS PER OFFEROR AND TWO (2) PER KEY SUBCONTRACTOR. Pages are limited to no more than three (3) pages per citation. In addition, any and all contracts terminated in whole or in part during the past five (5) years, to include those currently in the process of such termination are considered relevant and the Offeror shall provide past performance information for those contracts.

Offerors shall complete Part I of the Past Performance Questionnaire (Attachment (9) – Section J) and send it to the assessors (Government or Commercial personnel that had experience with the Offeror on a previous, relevant contract). Offerors shall request the assessors complete Part II of the questionnaire and ask they email it by the closing date of the solicitation, directly to margot.haycook@usmc.mil. Offerors shall also identify to whom Past Performance Questionnaires were submitted for completion by providing, via email to margot.haycook@usmc.mil, the Name of the Government Agency or Commercial Organization, Address, Contract Number, and Evaluator’s Name/Contact Info (Phone Number and Email Address). Any Offeror that is unable to provide three (3) relevant contracts for past performance evaluation may submit a lesser number.

Copy of Past Performance Questionnaires Previously Distributed

Offeror shall provide a copy of all questionnaires distributed with your proposal. If the completed questionnaires are not received from the listed assessors by the requested due date, the Government will make one attempt to contact the assessor at the phone number or email address identified on the form. If this information is not current or correct, the Government will make no further attempts to contact. In order to determine recency and relevancy, parts I – III must be fully completed. The Government will not perform research to obtain additional information not provided on the form.

L-6.6 Volume 3 Small Business Participation

Small Business (SB) Participation Strategy — All Offerors (Large and Small Businesses) shall address their strategies for utilizing SB Concerns and historically black colleges or universities and minority institutions in the performance of the contract, whether as a joint venture, teaming arrangement or subcontractor. SB Offerors may include the work they perform themselves.
