Instructions, Conditions, and Notices to Offerors or Respondents

L-I FAR 52.215-1 ADDENDUM--INFORMATION TO OFFERORS AND INSTRUCTIONS FOR PROPOSAL PREPARATION

1. Program Title and Objectives

The purpose of this procurement is to obtain technical, analytical, and managerial support services required by PA&E in order to accomplish its assigned mission. The Government will evaluate each Offeror’s understanding of the contract and Performance Work Statement requirements, and each Offerors ability to perform the work on the basis of its proposal.

1. General Instructions

(a) This section of the Information to Offerors provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The offeror's proposal must include all data and information requested by the RFP and must be submitted in accordance with these instructions. The offer shall be compliant with the requirements as stated in the Performance Work Statement (PWS) and deliverables. Non-conformance with the instructions provided in this Information to Offerors may result in removal of the proposal from further evaluation.

(b) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the offeror's proposal.

(c) Elaborate brochures or documentation, binding, detailed art work, internet hyperlinks, or other embellishments are unnecessary and are not desired.

(d) The proposal acceptance period is specified in Section A of the solicitation. The offeror shall make a clear statement in Section A of the proposal documentation volume that the proposal is valid through this date.

(e) In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.

(f) QUESTIONS RELATED TO THE SOLICITATION: All questions must be received by: 8 January 2016. All questions shall be submitted via email to the Contracting Officer and Contract Specialist. Questions shall be submitted to Curtis Harris, Contract Specialist at curtis.harris@usmc.mil and Jamie A. Dufrene, Contracting Officer at jamie.dufrene@usmc.mil.

(g) For informational purposes only, a historical workload summary is provided in section J, Attachment V.

2.1 General Information

2.1.1. Point of Contact

The Contracting Officer (KO) and the Contract Specialist are the points of contact for this procurement. Address any questions or concerns you may have to the KO or Contract Specialist. Written requests for clarification must be sent to the Contract Specialist via email.

2.1.2. Debriefings

The KO will notify offerors of any decision to exclude them from the competitive range; whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The KO will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

2.1.3. Discrepancies

If an offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the KO in writing. The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussions.

2.1.4. Electronic Reference Documents

All referenced documents for this solicitation are available on the Federal Business Opportunities (FEDBIZOPPS) web site at http://www.fedbizopps.gov. Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation. The FEDBIZOPPS web page is http://www.fedbizopps.gov/.

2.1.5. Communications

Exchanges of source selection information between Government and offerors will be controlled by the Contracting Officer. Email may be used to transmit such information to offerors only if the email can be sent and received encrypted and includes “Source Selection Information – See FAR 2.101 & 3.104” in the Subject line. Otherwise, source selection information will be transmitted via U.S.P.S, FedEx, UPS, or pick-up by local representative.

2.2 Organization/Number of Copies/Page Limits

The offeror shall prepare the proposal as set forth in the Proposal Organization Table (Table 2.2 below). The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limits and with the number of copies as specified in Table 2.2. The attachments identified in the table shall be separately bound in 3-ring, loose-leaf binders, as necessary. The contents of each proposal volume are described in the information to offerors paragraph as noted in the table below.

2.2.1 Page Limitations

Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal. Page limitations may be placed on responses to Discussion Items (DI). The specified page limits for DI responses will be identified in the letters forwarding the DI’s to the offerors. Page limitations shall not be circumvented by including inserted text boxes/pop-ups or internet links to additional information; such inclusions are not acceptable and will not be considered part of the proposal. The Government reserves the right not to consider for award any proposal that does not adhere to the administrative requirements of this solicitation. Each page shall be counted except the following: Cover pages, tables of contents, glossaries, resumes, executive summaries, OCCI mitigation plans, and Section 508 compliance etc.

2.2.2 Page Size and Format

2.2.2 .1 A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, it shall be counted as two pages. Page size shall be 8.5 by 11 inches, not including foldouts. Pages shall be single spaced typed with 1.5 line spacing. Except for the reproduced sections of the solicitation document, the text size shall be no less than 12 point Ariel, Times New Roman, or Courier New font for all text. The technical volume of the proposal is to be submitted as a Microsoft (MS) Word 2007 or PDF document. Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Use at least 1 inch margins on the top and bottom and ¾-inch side margins. Pages shall be numbered sequentially by volume. These page format restrictions shall apply to responses to DI's. These limitations shall apply to both electronic and hard copy proposals.

2.2.2 .2 Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 by 17 inches in size. Foldout pages shall fold entirely within the volume, and count as a single page. Foldout pages may only be used for large tables, charts, graphs, diagrams and schematics not for pages of text. For tables, charts, graphs and figures, the text shall be no smaller than 12 point Ariel, Times New Roman, or Courier New font for all text included in a table. These limitations shall apply to both electronic and hard copy proposals.

2.2.3 Cost or Pricing Information

All cost or pricing information shall be addressed ONLY in the Cost/Price Proposal Volumes. Cost tradeoff information, workhour estimates, and material kinds and quantities may be used in other volumes only as appropriate for presenting rationale for alternatives or design and tradeoff decisions.

2.2.4 Cross-Referencing

To the greatest extent possible, each volume shall be written on a standalone basis so that its contents may be evaluated with a minimum of cross referencing to other volumes of the proposal. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is not permitted.

2.2.5 Indexing

Each volume shall contain a detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections.

2.2.6 Glossary of Abbreviations and Acronyms

Each volume shall contain a glossary of all abbreviations and acronyms used, and with an explanation for each.

2.2.7 Binding and Labeling

Each volume of the proposal should be separately bound in a 3-ring, loose leaf binder permitting the volume to lie flat when open. Staples shall not be used. A cover sheet should be bound in each book, clearly marked as to volume number, title, copy number, solicitation identification, and the offeror's name. The same identifying data should be placed on the spine of each binder. All unclassified document binders shall have a color other than red or other applicable security designation colors. Be sure to apply all appropriate markings including those prescribed in accordance with FAR 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.

2.3 Electronic Offers

In order to respond to this solicitation, the offeror shall deliver a copy of its proposal in CD-ROM format to 2010 Henderson Rd, Quantico, Virginia 22134, ATTN: Curtis Harris not later than the time and date specified in this solicitation. The offeror's proposal submission will be considered complete when all volumes are received.

Submitting proposals via CD: The content and page size of electronic copies must be identical to the hard copies. For electronic copies, indicate on each CD the volume number and title. Use separate files to permit rapid location of all portions, including factors, exhibits, annexes, and attachments, if any. The offeror shall submit volumes I through IV in electronic format, using recordable CDs. Each volume shall be in a different directory on a CD. If files are compressed, the necessary decompression program must be included. The electronic copies of the proposal shall be submitted in a format readable by MS Office Word 2007, MS Office Excel 2007, MS Office Project 2007, and MS Office Power Point 2007, as applicable. In the event that hard copies and electronic copies of a proposal are submitted and if there are any discrepancies between the hard copies and the electronic copies of the proposal, the hard copies will be used for evaluation.

2.4 Distribution

The "original" proposal shall be identified. Proposals shall be addressed to the contracting officer and mailed or hand carried to: 2010 Henderson Rd, Quantico, Virginia 22134, ATTN: Curtis Harris. Hand carried proposals shall only be accepted by Mr. Curtis Harris at 703-432-1782. It is the Offeror’s responsibility to ensure that their proposals are received by the date and time listed on the SF33

3.0 Volume I Executive Summary

In the executive summary volume, the offeror shall provide the following information:

3.1 Narrative Summary

The narrative summary of the entire proposal should be concise, to include addressing the significant risks, and highlighting any key or unique features, excluding cost/price. The salient features should tie in with Section M evaluation factors. The narrative shall include a summary of the small business participation and the Organizational Conflict of Interest (OCI) Mitigation Plan (if applicable). Any summary material presented here shall not be considered as meeting the requirements for any portions of other volumes of the proposal. Summary shall be signed by an authorized company official.

3.2 Table of Contents

Include a master table of contents of the entire proposal.

3.3 Small Business Subcontracting Plan

If the offeror is other than a small business, the Government will review and approve the offeror's Small Business Subcontracting Plan for compliance with FAR 19.704, FAR 52.219-9, and DFARS 215.304.

The Small Business Subcontracting Plan shall be submitted with the proposal and will be reviewed by the Government to determine if it is Acceptable/Unacceptable. Offerors must possess an Acceptable Small Business Subcontracting Plan to be considered for contract award.

If a large business is selected for award, a Subcontracting Plan with subcontracting goals for small business participation will be negotiated for this procurement to ensure adequate small business participation. The Small Business Specialist will review the Subcontracting Plan submitted by the successful Offeror to ensure its acceptability. The desired goal is established at 35% of the proposed total dollars.

0. Small Business Participation Plan

· All Offerors (large or small business) shall submit a Small Business Participation Plan that demonstrates the extent of small business participation specifically related to the PA&E, Technical, Analytical and Managerial Support Services contract. The Small Business Participation Plan is separate from the Small Business Subcontracting Plan and shall include the following, at a minimum:

4.0 Volume II – Technical/Management Volume

4.1 General

The Technical/Management Volume should be specific and complete. Your responses will be evaluated against the technical and management factors defined in Section M, Evaluation Factors for Award. Using the instructions provided below, provide as specifically as possible the actual methodology you would use for accomplishing/satisfying these factors. All the requirements specified in the solicitation are mandatory. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation. The Prime Contractor must be capable of performing at least 50% of the onsite work required in this PWS without subcontractor support.

4.2 Format and Specific Content

4.2.1 Technical/Management

In the Technical/Management volume, address your proposed approach to meeting or exceeding the minimum performance or capability requirements of each technical and management factors, as well as the risks in your proposed approach in terms of technical/performance, cost, and/or schedule.

4.2.2 Volume Organization

The Technical/Management volume shall be organized according to the following general outline:

4.2.2.1. Factor 1: Technical Capability. The Offeror shall describe their technical capabilities to demonstrate an understanding and ability to meet or exceed the PWS Task areas outlined in Sections 3.1, 3.2, and 3.3. The offeror shall demonstrate their knowledge and understanding to effectively and efficiently execute the PWS requirements. The offeror shall describe and demonstrate their technical innovative approaches in providing services required to meet the PWS requirements. The offeror shall describe and demonstrate their capability to show mastery of the Program Objective Memorandum (POM) and budgeting cycle; Program Evaluation Boards (PEB) and Program Working Group (PWG) processes and decision-making methodologies, funds execution and accounting; HQMC agencies and DON structure, plans, policies, and guidance; cost, price, gap, and affordability analysis; modeling and simulations and operational research techniques; employment of a knowledge management process; data visualization techniques; portfolio analysis; manpower analysis; current and planned aviation platforms and programs; data science techniques; assessing institutional readiness; and use of optimization software utilizing linear, nonlinear, and mixed integer programming techniques. The Offeror shall demonstrate an understanding of the technical and programmatic requirements encompassed by the support of the effort.

4.2.2.2. Factor 2: Management Approach. The offeror shall demonstrate their ability to provide Key Personnel to meet qualifications, expertise and credentials identified in the PWS Section 4.0. The offeror shall provide a detailed description on how they will manage personnel, provide initial staffing and fill vacancies. The Offeror shall describe their program management team structures, relationships, roles and responsibilities that are clearly defined and established to provide maximum quality performance and minimize risk to performance. The offerors shall describe their processes, procedures, and organizational structures that support work outlined in the PWS. The offerors shall describe their approach for recruiting, staffing and retaining sufficient numbers of personnel to support the requirements of the PWS. The offerors shall describe their plan to ensure that personnel with the required expertise and qualifications will be provided and ensuring their availability. The offerors shall describe their plans for initial training, recurring training, cross training, and corporately sponsored professional development of technical personnel. The offerors shall include all resumes for Key Personnel as part of this factor for evaluation by the Government. Resumes need to demonstrate that key personnel meet the PWS Section 4.1 requirements.

5.0 Volume III - Past Performance

5.1 General

Each offeror shall submit a past performance volume with its proposal, containing past performance information in accordance with the format contained in Attachment 6, Past and Present Performance Information. Offerors are cautioned that the Government will use data provided by each offeror in this volume and data obtained from other sources in the evaluation of past performance.

Along with the information required in this section, the offeror shall submit a consent letter executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of past performance information to the offeror so the offeror can respond to such information. Information on up to three (3) recent contracts performed by an offeror’s significant teaming partners / subcontractors and significant subcontractors considered most relevant in demonstrating their ability to perform the proposed effort may be submitted. The Government considers a significant subcontractor and / or teaming partner to be a company who provides 20% or more of the support required, and / or a company who provides a critical portion of the effort required and / or influences the results of performance. The maximum number of past performance efforts submitted by the prime Offeror and its teaming partners may not exceed six (6) total. Client authorization letters cannot exceed more than one page.

For each of the contracts the offeror describes in a Past Performance Information Sheet (Attachment 6), the offeror is requested to provide a Past Performance Questionnaire (Attachment III) to a reference at the organization that awarded the contract. It is requested that the reference, not the offeror, email or fax the completed Past Performance Questionnaire (Attachment III) BEFORE THE DUE DATE FOR PROPOSALS directly to Curtis Harris, curtis.harris@usmc.mil. The offeror, NOT THE GOVERNMENT, is responsible for ensuring that the Government receives a sufficient number of questionnaires.

5.2 Relevant Contracts

Submit information using the format contained in Attachment 6, Past and Present Performance Information. Past and Present Performance Information for the offeror/prime/subcontractors on a minimum of three (3) recent (active within the past five (5) years from the date of this solicitation) contracts that you consider most relevant in demonstrating your ability to perform the proposed effort. The total of Past and Present Performance Information references will not exceed three (3) references. Total page count for this Past Performance volume is annotated above in Table 2-2. Include rationale supporting your assertion of relevance. The Government uses degrees of relevancy when assessing recent, relevant contracts DoD Source Selection Procedures, paragraph 3.1.3.1, Table 4, exerted in Section M as Table 2, Past Performance Relevancy Ratings. The past performance evaluation team will consider the performance quality of relevant recent efforts for the second aspect of the past performance evaluation using Section M Table 3, Past Performance Quality Assessment. Finally, the past performance evaluation team will review this past performance information and determine the quality as it applies to performance confidence assessment. Performance Confidence Assessment ratings are identified in Section M, Table 4.

5.2.1 Specific Content

Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a limited or no confidence rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently demonstrated the ability to overcome the problems encountered. The offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified. Categorize the relevant information into the specific technical and management factors used to evaluate the proposal.

5.2.2 Organizational Structure Change History

Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this procurement. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/confidence assessment. Since the Government intends to consider past performance information provided by other sources as well as that provided by the offeror, the "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.

6.0 Volume IV - Cost/Price

6.1 General Instructions

6.1.1 Cost Reasonableness, Realism, and Completeness

This section is to assist Offerors in submitting cost or pricing data that is required to evaluate the reasonableness, completeness, realism, balance, and/or affordability of their proposed cost. The Government will verify that all solicitation requirements have been priced, figures are correctly calculated, and prices are presented in a clear and useful format. Note that unrealistically low or high proposed costs, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the offeror does not understand the requirement or has submitted an unrealistic proposal. Additionally, unbalanced costs pose an unacceptable risk to the Government and may be a reason to reject an offeror’s proposal. Cost submissions should be sufficiently detailed to demonstrate their reasonableness and be adequate enough to support and sustain a DCAA audit.

The prime contractor is responsible for obtaining sufficient cost data per these instructions and perform a reasonableness and realism analysis. Proprietary subcontractor data may be submitted directly to RCO-NCR, but must be received by the solicitation closing date and time.

6.1.2 Estimating Techniques and Methods

When responding to the Cost/Price Volume requirements in the solicitation, the offeror and associated subcontractors may use any generally accepted estimating technique, including contemporary estimating methods (such as Cost-to-Cost and Cost-to-Non-Cost Estimating Relationships, commercially available parametric cost models, in-house developed parametric cost models, etc.), to develop their estimates. If necessary, reasonable and supportable allocation techniques may be used to spread hours and/or costs to lower levels of the WBS. Methodology must include supporting data including the Basis of Estimate for each cost element.

6.1.3 Cost/Price Information

All information relating to the proposed price, including all required supporting documentation must be included in the section of the proposal designated as the Cost/Price Volume. Under no circumstances shall this information and documentation be included elsewhere in the proposal.

6.1.4 Cost or Pricing Information Requirements

In accordance with FAR 15.403-1(b) and 15.403-3(a), data other than certified cost or pricing data may be required to support price or cost reasonableness and, if applicable, cost realism. Information shall be provided in accordance with FAR 15.403-5. Offerors shall provide supporting other than cost or pricing data in the format of the Cost Model template provided in Section J. The other than cost or pricing data shall include sufficient information to support the cost estimates contained in the cost proposal. Offerors shall describe any forward pricing rate agreements (FPRAs) in their pricing proposals (if applicable) and identify the latest cost or pricing data already submitted in accordance with the FPRA. If, after receipt of proposals, the KO determines the required conditions of adequate competition do not exist or there is insufficient information available to determine price reasonableness and none of the exceptions in FAR 15.403-1 apply, the offeror may be required to certify its submitted cost or pricing data (see FAR 15.406-2, Certificate of Current Cost or Pricing Data).

6.1.5 Breakdown of small business participation

The Offeror shall provide a breakdown of small business participation that reconciles with the dollar allocation included in the subcontracting plan. The breakdown shall identify the small businesses proposed, their classification, and amounts.

6.1.6 Professional Employee Compensation Plan

The Offeror shall provide a copy of its company’s compensation plan, as required by FAR 52.222-46 “Evaluation of Compensation for Professional Employees.”

6.2 Volume Organization

The Cost/Price volume shall consist of the following sections:

SECTION 1 – Table of Contents; summary descriptions of estimating, purchasing, and accounting systems; changes to estimating, accounting practices, or Cost Accounting Standards (CAS) Disclosure Statement.

SECTION 2 – Cost or pricing information and supporting data, to include a Basis of Estimate.

SECTION 3 – Other information such as Government Furnished Property/Government Furnished Equipment (GFP/GFE), long lead costs, termination costs, development/production schedule, inflation rate summary and explanation, life cycle cost, and special tooling/test equipment. List each exception to the ground rules and assumptions provided in the solicitation and each qualification of the Cost/Price volume, if any. Provide complete rationale for any exceptions.

SECTION 4 – Small Business participation breakdown.

6.3 Estimating Methodology

6.3.1 Estimating System

Provide a summary description of your standard estimating system or methods. The summary description shall cover separately each major cost element (e.g., Direct Material, Engineering Labor, Manufacturing Labor, Indirect Costs, Other Direct Costs, Overhead, G&A, etc.). Also, identify any deviations from your standard estimating procedures in preparing this proposal volume. Indicate whether you have Government approval of your system and, if so, provide evidence of such approval.

6.3.2 Purchasing System

Provide a summary description of your purchasing system or methods (e.g., how material requirements are determined, how sources are selected, when firm proposal are obtained, what provision is made to ensure quantity and other discounts). Also, identify any deviations from your standard procedures in preparing this proposal. Indicate whether you have Government approval of your system and, if so, provide evidence of such approval.

6.3.3 Accounting System

All Offerors shall Indicate whether the Defense Contract Audit Agency (DCAA) has determined their accounting system to be adequate and, if so, provide evidence of such determination (include date and audit reference number). Also, identify any deviations from your standard procedures in preparing this proposal.

6.4 Submission of Cost Models

Submit an electronically encoded cost/price model in support of the proposed price using Section J, Attachment VI “Cost Model” Spreadsheet. Pricing shall be provided for the base period and four one-year option periods. Any cost/price model submitted must be consistent with your approved accounting system, estimating system and must duplicate the logic and mathematical formulas reflected in the paper copy of your proposal. Cost/price models submitted must comply with the following format requirements:

(a) Data file should be submitted on a CD.

(b) Data file should be .XLS file format (MS-Excel 2007 or earlier).

(c) Data file shall include all mathematical and operational formulas and shall NOT be “hard numbered.”

0. Direct Labor – Include Individual labor categories or persons, with associated labor hours and unburdened direct labor rates. Provide escalation rates for out years. Note: Salaries of administrative and clerical staff are normally indirect costs (and included in an indirect cost rate). The straight-time hourly rates shall use a forty-hour week for the conversion of salaried employees to the hourly basis and shall be exclusive of loading factors; e.g., vacation, sick leave, holidays, overhead, G&A, fee. In order to facilitate the Government’s cost realism analysis, offerors who do not have current fiscal year direct labor rate information on file with DCMA shall submit, as part of their cost proposal, documentation establishing the accuracy of their proposed direct labor rates. Acceptable documentation may include the following other than certified cost and pricing data:

0. Most recent payroll run or paystubs (if proposing current, named employees OR for proposed labor categories);

0. Copies of signed letters of intent that indicate agreed upon annual salary (if proposing named, new hires);

0. Copies of current or prior fiscal year DCMA Forward Pricing Rate Agreement (FPRA) or Forward Pricing Rate Recommendation (FPRR) (if proposing unnamed existing labor categories);

0. Recent Government contracts;

0. Labor Category Averages- If labor category averages are used, provide a detailed narrative and the calculation used to establish the category average. For example, provide the list of all the current employee salaries working in that labor category divided by the number of current employees in that labor category; and provide Company Disclosure Statements (if applicable);

0. A comprehensive basis of estimate used to establish the proposed direct rate (if proposing rates that do not fall within one of the above criteria). A comprehensive description is more than merely stating a "salary survey" or "market survey" was used. A comprehensive description shall include both the source from where the rate was obtained and a description of how the resulting rate was calculated.

0. Basis of Estimate for labor hours by CLIN.

0. Indirect Costs (e.g., Overhead, Fringe Benefits, G&A, etc.) - The proposal should show the rates and calculation of the costs for each rate category, including the applicable allocation bases. If the rates have been approved/negotiated by a Government agency, provide a copy of the memorandum/agreement. If the rates have not been approved/negotiated, provide sufficient detail to enable a determination of allowability, allocability, and reasonableness of the allocation bases, and how the rates are calculated. Additional information may be requested, if needed. If composite rates are used, provide the calculations used in deriving the composite rates. Historical indirect data, to include provisional rates, actual incurred rates, and annual incurred cost claims (if submitted), shall be provided for the three (3) years prior to the offeror's current fiscal year. This data shall include the offeror's fringe benefit, overhead (on and off-site as applicable), general & administrative, and material & subcontracting handling rates as applicable to the offeror's accounting system. If proposing indirect rates significantly different from recent incurred rates, include a detailed explanation and supporting cost data (including budget information).

0. Subcontracts/Consultants - Provide an itemized list of any subcontractors and/or consultants for the requirements and their associated costs. If the Prime Contractor is proposing a subcontractor above $750K, all subcontractors must provide a full up proposal at the same level of detail that is required of the Prime Contractor.

0. FCCOM- If facilities capital cost of money are proposed, the Offeror shall submit a completed DD Form 1861 entitled "Contract Facilities Capital Cost of Money" and show the calculation of the proposed amount.

0. Fixed Fee- Provide a fixed fee, based on profit, to be paid each period of performance. Provide a basis for the fixed fee amount. Offerors shall not apply a fixed fee on top of their subcontractor fee.

0. Totals- Sum of all the above cost elements and fee.

6.5. Historical Travel Data

There is required travel in providing the PA&E support outlined in the PWS. All Offerors should consider the historical travel data that outlines, quantity, frequency and locations to support the PWS requirements. All travel costs should be built into the estimated cost of each CLIN identified in Section B of the soliciation. See Section J, Attachment VII for historical travel data.

7.0 Volume V – Contract Documentation

7.1 Representations and Certifications

The purpose of this volume is to provide information to the Offeror for preparing its proposal. The Offeror's proposal must include a signed copy of the solicitation and completion of Sections A through K.

7.1.1 Section A – Solicitation/Contract Form

Complete Blocks 12 through 18 of the Standard Form 33 (SF33). Signature by the Offeror on the SF33 constitutes an offer, which the Government may accept. The "original" copy should be clearly marked under separate cover and should be provided without any punched holes.

7.1.2 Section B – Supplies or Services and Costs/Prices

Complete pricing information in Section B of the RFP.

7.2 Other Information Required

7.2.1 Authorized Offeror Personnel

Provide the name, title, and telephone number of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate your company contractually. Also, identify those individuals authorized to negotiate with the Government.

7.2.2 Company/Division Address, Identifying Codes, and Applicable Designations

· Provide company/division's street address, county and facility code; CAGE code; DUNS code; TIN; size of business (large or small); and labor surplus area designation. This same information must be provided if the work for this contract will be performed at any other locations. List all locations where work is to be performed and indicate whether such facility is a division, affiliate, or subcontractor, and the percentage of work to be performed at each location.

· Provide the name, title, mailing address, telephone number, fasimile number, and e-mail address for your company’s cognizant Defense Contract Audit Agency (DCAA) office.

7.2.3. Organizational Conflict of Interest (OCI) Mitigation Plan (if applicable)

The Offeror shall submit a Mitigation Plan (if applicable) that addresses all actual or potential conflicts of interest in adequate detail for the KO to determine whether an OCI exists or has been mitigated. If an Offeror determines that an actual or potential OCI does not exist, the Offeror shall include a statement to that effect as part of its proposal, and does not need to submit an OCI Plan.

To facilitate resolution of any potential or actual OCIs, Offerors are encouraged to submit their OCI Plans in advance of the proposal submission due date. The OCI Mitigation Plan shall specifically address the OCI disclosures required in this section, and explain how the prime is in full compliance with the agency's OCI policy. As part of its OCI Mitigation Plan, the Offeror must identify which contracts or subcontracts it will continue to support and those it intends to terminate or allow to lapse to eliminate any conflicts of interest. The OCI Mitigation Plan shall also address other OCI resolution and mitigation measures to include the divestment of business units. The OCI Mitigation Plan can incorporate mitigation measures included in the OCI Mitigation Plan by reference.

The Government's review of the offeror's Organizational Conflict of Interest (OCI) Mitigation plan will consider:

a) the degree to which the Offeror addressed OCI concerns,

b) the Offeror's approach for mitigating actual OCI issues,

c) the Offeror's approach to mitigate potential OCI issues,

d) the adequacy of its OCI training and oversight programs,

e) the adequacy of its procedures, and

f) whether or not the Offeror's OCI plan and / or mitigation strategy complies with all regulatory and statutory requirements, including FAR Subpart 9.5.

The Offeror shall provide an Organizational Conflict of Interest Plan which delineates the company's approach to avoiding, mitigating or neutralizing any identified OCI risks.

7.2.4 Government Furnished Property

The Government plans to provide the items listed in Attachment 10 of the solicitation as Government Furnished Property (GFP). If the offeror requires the use of Government furnished items other than those specified, the offeror shall provide a listing including quantity, federal stock number, nomenclature, date needed and duration of availability, rental value per FAR 45.1 and 45.2, reason for need, and cross reference to cost/price volume paragraphs which pertain to GFP.
