About this file

This document contains contract amendments for the Wisconsin IT Vendor Managed Services and Solutions contract (#505ENT-M21-SERVICESIT-01), managed by State Contract Manager Laura Bergum and involving Knowledge Services as the primary contractor. The amendments span from Amendment #1 through Amendment #6, with various effective dates and modifications to the original contract terms, including changes to insurance requirements, business rules, service level agreements, and contractor obligations.

The contract covers IT vendor managed services and solutions with detailed job classifications and maximum hourly rates for various IT positions. Amendment #1 established maximum hourly rates ranging from $45.00 for Help Desk IV positions to $180.00 for PeopleSoft Project Manager II/Sr. roles, with 58 different job categories covering applications, systems, data management, networking, project management, and specialized roles. Subsequent amendments added new job categories (Help Desk levels I-III, Cloud Engineers/Architects, OnBase positions, and Workday roles) and implemented rate increases. Amendment #5 introduced a 4% rate increase across most positions effective for renewal periods, while Amendment #6 appears to contain additional contract modifications. The contract includes a rebate mechanism where Knowledge Services refunds VMS fees on rate increases during the first contract year, ensuring no profit on rate escalations during the initial period.

Amendment #2 – Attachment B of the IT Vendor Managed Services and Solution

Contract # 505ENT-M21-SERVICESIT-01

IT VMS Rebate

The terms and conditions of Amendment #2 are effective from the date Amendment #2 is signed by both parties until February 15, 2022.

For the period beginning with the effective date of Amendment #2 until February 15, 2022 (the first anniversary date of the IT VMS Contract) Knowledge Services will rebate any VMS fees earned on the increase in the maximum hourly rates between the original contracted maximum hourly rates and the maximum hourly rates established in Amendment #2. The rebate will be calculated as follows:

For all hours worked under the Help Desk Job Title Levels I, II, III & IV between Amendment #2 effective date and February 15, 2022, Knowledge Services will calculate the difference between the original contracted maximum hourly rates and the invoiced hourly rates and rebate the difference in the VMS Fee (0.95%) for the difference in hourly rates.

For example if a Help Desk III Contracted Personnel is selected at a rate of $42.00 per hour, Knowledge Services will rebate to the State the difference in the VMS fee between the $35.00 original contracted maximum hourly rate and the $42.00 Amendment #2 maximum hourly rate.

This rebate would represent 100% of any VMS fees earned by Knowledge Services in excess of the originally contracted maximum hourly rates, ensuring Knowledge Services does not profit from the increase in maximum hourly rates during the first year of the IT VMS contract.

Amendment #4 - SLA Update_Redacted.pdf

Attachment A of Amendment #4 to the IT Vendor Managed Services and Solution

70.1 Contractual Service Levels:

The matrix shows in Attachment B: SLA Matrix, incorporated here by reference, provides a minimum set of service levels that the VMS Company and Subcontractors must meet or exceed throughout the life of the contract in order to remain in good standing. The VMS Company shall also work with the state to develop performance metrics for measuring the ongoing performance of the VMS Company and its Subcontractor within 60 calendar days of the effective date of this Contract, and to report to the State on the results thereof on a quarterly basis or as requested. VMS Company shall work with the State to develop any other performance metrics necessary for its own performance under this Contract, including its continued assistance to the state in increasing its administrative efficiencies and costs savings resulting from the VMS program, and shall report to the State on the results thereof on a quarterly basis or as requested.

The performance metrics and reporting obligations detailed in this Section 70 will not be active until mutual execution by both parties of this contract. This will provide the VMS Company and

Subcontractors with time to acclimate to the program and implement the processes necessary to meet the SLAs. However, it is the State’s expectation that the service levels will be met prior to that time, and the VMS Company will be able to provide any documentation required to highlight its ability to meet these services obligations. Within 60 Calendar Days of mutual execution of this Contract, SLA reports shall be sent by the VMS Company Quarterly (or as otherwise required) and must be received by the Contract Manager no later than one month immediately following the last day of the quarter.

The Contract Manager will audit these reports accordingly, in effort to verify that the VMS

Company and Subcontractors’ obligations are being met. If performance metrics indicate that the VMS company is not meeting minimum SLA requirements, then the VMS Company is

Required to provide monthly reports on the service level metric(s) that are not being met until they meet the required minimum service level. The monthly reports will be used by the State to enforce the Service Level Deficiency actions described in section 70.2. The VMS Company, Subcontractors and Contracted Personnel must assist the Contract Manager as necessary to ensure that all parties remain in compliance with the SLA’s.
