Non-Disclosure and Conflict of Interest Agreement

SUBJECT: Protection of Proprietary and Business Sensitive Information for the Coveralls, Chemical Protective, JPACE and Repair Kits (JPACE & LJPACE)

AGREEMENT

1. This Agreement applies to individuals and agencies involved in the response to Solicitation (TBD) also known as the Coveralls, Chemical Protective, JPACE and Repair Kits (JPACE & LJPACE) Request for Proposal.

2. This Agreement contains the rules of conduct relating to this assessment of alternative sources for Joint Project Manager for Protection (JPM-P) approval. It includes rules of conduct regarding conflicts of interest as well as the safeguarding of confidential information.

3. Your signature on this Agreement indicates that you have read this Agreement and agree to be bound by its terms.

4. No persons may receive, possess or use documentation, data or information provided as part of this assessment unless a fully executed non-disclosure agreement has been signed and provided to Jessica De La Hoz, Contract Specialist and/or Patricia A. Martin, Contracting Officer at the Defense Logistics Agency.

TERMS

5. I will observe the following rules during the conduct of the assessment:

a. I will not solicit or accept, directly or indirectly, any promise of future employment or business opportunity from, or engage, directly or indirectly, in any discussion of future employment or business opportunity with, any officer, employee, representative, agent, or consultant of the government or any contractors participating in the review of responses to this solicitation.

b. I will not offer or agree to provide, directly or indirectly, any money, gratuity, or other thing of value to any officer, employee, representative, agent, consultant or family member of the government or any contractors participating in the review of responses to this solicitation. I will advise my family that the offer or provision of a gratuity from those who are engaged in or seek to do business with the Department of Defense may be imputed to me and must therefore be avoided.

c. I will not attempt to obtain the names, parent agencies or physical location of those persons participating in the evaluation and source selection process.

6. I understand that my obligations under this certification are of a continuing nature, and if anything takes place which would cause a change to any statement, or create a violation of any representation or rule of conduct herein, I will immediately bring such matter to the attention of the Contracting Officer.

7. I will comply with International Trade and Arms Regulations (ITAR) as regards this undertaking.

8. These items contain technical data whose export is restricted by the Arms Export Control Act (Title 22, U.S.C, Sec 2751, et seq) or the Export Administration Act of 1979 (Title 50, U.S.C. APP2401 et seq) as amended. Violations of these export laws are subject to severe criminal penalties. Dissemination is in accordance with provision of DoD Instructional 5230.24 dated 23 August, 2012 and DoD Directive 5230.25. Distribution of technical data is authorized to Department of Defense and U.S. DoD Contractors only. Critical determination was made 12 February 2009. Other requests shall be referred to:

Any prospective interested offeror must sign and complete the “Non-Disclosure Agreement (NDA)” in order to receive a copy of JPMP-PD-JPACE-01C, dated December 6, 2018, CAGE code 32263, associated patterns, and Section C & D. In addition, interested parties shall complete and submit DD Form 2345 with the JCP certification number. Upon receipt of the DD Form 2345 with the JCP certification number and the signed and completed Non-Disclosure Agreement, the Government will furnish copies of all required technical data. By signing below, offerors hereby certify that they agree and shall comply with all the terms of this Non-Disclosure and Conflict of Interest Agreement.

CERTIFICATION

9. I acknowledge the Terms of this Agreement and shall comply with all the terms of this Non-Disclosure and Conflict of Interest Agreement.
