5. This will be an Indefinite Delivery Indefinite Quantity (IDIQ) contract. It is the intent of the Government to award this IDIQ contract to multiple offerors. The specific number of awards to be made is contingent upon the number of eligible proposals received and the best interests of the Government. Specific work will be placed by means of FAR Part 16.505 Task Orders using fair opportunity guidelines as outlined in FAR Part 16.505(b)(1) and in the IDIQ Ordering Guide (Attachment 03). At the discretion of the Contracting Officer, orders may also be placed using the exceptions to fair opportunity described in FAR Part 16.505(b)(2). To the extent possible, and contingent on the number of Small Business base contract awardees, the Government intends to set-aside task orders for Small Businesses approximately 50% of the cumulative dollar value awarded. In general, task orders for the languages accepted as more common and those involving Interagency Language Roundtable Ratings at the Very Low and Low levels will be set-aside candidates.

6. The Minimum Guarantee for this contract is $7,500.00, which must be satisfied during the Base Year or Option Year One periods of performance. The Government will obligate the Minimum Guarantee upon award of each Base Contract. The contract cumulative ceiling for the IDIQ shared amongst all base contract holders will be 35,000 Test Items over the life of the contract. The IDIQ ceiling is based on estimated annual quantities of 5000 Test Items during the Base Year and 7500 Test Items during each option year. These estimated quantities for each Period of Performance are used to calculate the cumulative IDIQ ceiling and do not service as ceiling quantities for each period.

MAXIMUM CONTRACT CEILING AND MINIMUM CONTRACT GUARANTEE

(a) Maximum. The cumulative maximum contract ceiling value of all contracts in this multiple award procurement is established at 35,000 Test Items.

(b) Minimum. The minimum guaranteed award amount for this IDIQ contract is $7,500.00 dollars per Contractor for the combined Base Year and Option Year One term of the IDIQ Contract. The exercise of option periods does not re-establish the contract minimum.

Should the contract expire or be unilaterally terminated for convenience by the Government without the contractor receiving the minimum guaranteed award amount, the contractor may present a claim to the contracting officer for an amount not to exceed the minimum guaranteed award amount. The minimum guaranteed award amount is not applicable if the contract is terminated for default or is bilaterally cancelled by the parties. The contractor has six (months)s after contract termination or expiration to submit any claim relating to the guaranteed minimum award amount and waives such claims not submitted within that time.

(c) The Government has no obligation to issue Task Orders (TO) to the Contractor beyond the amount specified in paragraph (b) of this clause. Once the conditions of paragraph (b) have been met the Contractor continues to be afforded fair opportunity, as per FAR 16.505(b)(1), to compete for Task Orders issued through the expiration of the IDIQ Contract or termination of the Contractor’s IDIQ Contract, whichever occurs first.

7. PROPOSALS ARE DUE BY: July 03, 2019, 2:00 PM Central (see SF33 block 9). Technical questions are due by June 11, 2019, 10:00 AM Central (see Section L – Instructions to Offerors)

8. See Section L and M of this solicitation for proposal submission requirements and the basis for award.

9. Contract Line Item Numbers (CLINs) 0001, 0002, 1001, 1002, 2001, 2002, 3001, 3002, 4001 and 4002, Labor: Per unit pricing for each Test Item associated with a particular period of performance will serve as ceiling rates for follow-on task orders.

10. Contract Line Item Numbers (CLINs) 0003, 1003, 2003, 3003, and 4003, Travel: The purpose of the Travel CLIN is to reimburse the Contractor for authorized travel required in accordance with the requirements outlined in the Performance Work Statement. The Offerors are not to enter any pricing information for these CLINs as part of their proposal. A pricing estimate has been filled in by the Government. Offerors are asked to fill-in (if any) their fixed administrative fee for processing travel for each Period of Performance. Proposed G&A rates apply only to cost reimbursement Travel CLINs. Quantity pricing for Test Items should be fully burdened.

52.216-19 ORDER LIMITATIONS. (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than one hundred fifty (150) Test Items, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.

(d) Notwithstanding paragraphs (b) and (c) above, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 5 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons.
