About this file
This is a Hold Harmless Agreement template prepared for the City of Royal Oak, Michigan, in connection with the 2026 Catalpa Drive Resurfacing Improvements project (Contract CAP2607). The agreement requires the contractor to defend, indemnify, and hold harmless the City of Royal Oak, its elected and appointed officials, employees, and volunteers against all claims, demands, suits, and losses—including costs and damages—arising from personal injury (including bodily injury and death) and property damage connected to the contract. The contractor assumes full responsibility for any liabilities that may be asserted against or recovered from the city or its representatives as a result of the work performed under this contract.
The Hold Harmless Agreement represents a standard risk allocation provision requiring the contractor to assume comprehensive liability protection for the municipal entity. This indemnification clause is typical for infrastructure construction projects of substantial scope and is enforceable to the fullest extent permitted by law. The agreement does not specify monetary caps on indemnification obligations and applies broadly to all personnel and volunteers associated with the city, effectively transferring project-related legal and financial risk from the municipality to the contractor.
