SUMMARY OF CHANGES
SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
The following have been modified:
INSTRUCTIONS TO OFFERORS
SECTION L – INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS OR RESPONDENTS
1.0 Program Title and Objectives
(a) Commercial Broadband Satellite Program (CBSP) Satellite Services Contract (CSSC)
(b) In support of the Navy’s commercial satellite communications requirements, the objective of the CSSC end-to-end acquisition is to acquire worldwide commercial telecommunications services, to include satellite capacity in C, Ku, Ka, and X-band for mobile and fixed satellite transceivers on maritime, airborne, and ground platforms, as well as commercial teleport services, backhaul connectivity, monitoring and control, and operations. CSSC will augment Government-owned and operated telecommunications systems, providing significant improvement in data throughput and capability redundancy to Military satellite communications to meet critical mission requirements.
CSSC will meet the Navy’s increased demand for satellite throughput.
2.0 General Instructions
(a) This section of the instructions to offerors provides general guidance for preparing proposals, as well as specific instructions on the format and content of the proposal. The offeror's proposal must include all data and information requested by the request for proposals (RFP) and must be submitted in accordance with (IAW) these instructions. The offer shall be compliant with the requirements as stated in the performance work statement (PWS).
Non-conformance with the instructions provided in the instructions to offerors may result in removal of the proposal from further evaluation.
(b) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the offeror's proposal.
(c) Elaborate brochures or documentation, binding, detailed art work, internet hyperlinks, or other embellishments are unnecessary and are not desired.
(d) The proposal acceptance period is specified in Section L paragraph 6.2 of the solicitation. The offeror shall make a clear statement in Volume V of the proposal documentation volume that the proposal is valid through this date.
(e) IAW the Federal Acquisition Regulation (FAR) subpart 4.8 (Government Contract Files), the
Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.
2.1 General Information
2.1.1. Point of Contact (POC)
The DISA contracting office is the sole POC for this procurement. Address any questions or concerns you may have to the contracting officer (KO) or the contracting specialists. Written requests for clarification must be sent to the KO at the address located in Section A of the solicitation.
2.1.2. Debriefings
The KO will notify offerors of any decision to exclude them from the competitive range; whereupon, they may request and receive a debriefing IAW FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The KO will notify unsuccessful offerors in the competitive range of the source selection decision IAW FAR 15.506. Upon such notification, debriefings of unsuccessful offerors will be done in accordance with the
FAR.
2.1.3. Discrepancies
If an offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the KO in writing. The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion.
2.1.4. Electronic Reference Documents
All referenced documents for this solicitation are available on the Federal Business Opportunities (FedBizOpps) web site at http://www.fedbizopps.gov. Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.
2.1.5 Communications
Exchanges of source selection information between the Government and offerors will be controlled by the KO.
Email may be used to transmit such information to offerors only if the email can be sent and received encrypted and includes “Source Selection Information – See FAR 2.101 & 3.104” in the subject line. Otherwise, source selection information will be transmitted via United States Post Office.
2.2 Organization/Number of Copies/Page Limits
The offeror shall prepare their proposal as set forth in Table 2.1 – Proposal Organization, as depicted below. The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limits and with the number of copies as specified in Table 2.1. The volumes identified in the table shall be separately bound in three-ring, loose-leaf binders, as necessary. The contents of each proposal volume are described in detail in the remainder of this document.

2.2.1 Page Limitations
Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal. Page limitations may be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the offerors. Page limitations shall not be circumvented by including inserted text boxes/pop-ups or internet links to additional information; such inclusions are not acceptable and will not be considered part of the proposal. Each page shall be counted except the http://www.fedbizopps.gov/ following: cover page, table of contents, list of tables and figures, cross reference matrix, glossaries, link budgets, information assurance (IA) compliance matrix, satellite availability reports, coverage maps, EIRP and G/T diagrams, and organizational conflict of interest (OCCI) mitigation plans.
2.2.2 Page Size and Format

Page size shall be 8 1/2 x 11 inches, not including foldouts. Pages shall be typed with single line spacing. Except for the reproduced sections of the solicitation document, all text shall be no less than 11 point Ariel, Times New Roman, or Courier New font. The technical/management volume of the proposal is to be submitted as a Microsoft (MS) Word 2007 document or later.
Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Use at least 1 inch margins on the top and bottom and 3/4-inch side margins. These page format restrictions and limitations shall apply to both electronic and hard copy proposals, as well as to responses to ENs.
2.2.2.2 Legible tables, charts, graphs, and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated and shall not exceed 11 x 17 inches in size. Foldout pages shall fold entirely within the volume, and count as a single page. Foldout pages may only be used for large tables, charts, graphs, diagrams, and schematics; not for pages of text. For tables, charts, graphs, and figures, all included text shall be no smaller than 8 point Ariel, Times New Roman, or Courier New font. These limitations shall apply to both electronic and hard copy proposals.
2.2.2.3 Page Numbering. The offeror shall use a standard page numbering system to facilitate proposal references.
Consecutive page numbering within parts is preferred, e.g., Page I-2-5, indicates Volume I, Part 2, page 5. Charts, graphs, and other insert materials shall be page-numbered as part of the page numbering system.
2.2.3 Pricing Information
All pricing information shall be addressed in the Pricing Volume and in the CSSC Section B Pricing Schedule of the RFP. Information shall be limited to contract line item numbers (CLINs) or subCLINs (SLINs), including unit and extended pricing, as specified in Attachment 1 of the RFP, CSSC Section B Pricing Schedule.
2.2.4 Indexing
Each volume shall contain a more detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections.
2.2.5 Glossary of Abbreviations and Acronyms
Each volume shall contain a glossary of all abbreviations and acronyms used, and with an explanation for each.
Glossaries do not count against the page limitations for their respective volumes.
2.2.6 Binding and Labeling
Each volume of the proposal shall be separately bound in a three-ring, loose-leaf binder permitting the volume to lie flat when open. Staples shall not be used. A cover sheet should be bound in each book, clearly marked as to volume number, title, copy number, solicitation identification, and the offeror's name. The same identifying data should be placed on the spine of each binder. All unclassified document binders shall have a color other than red or other applicable security designation colors. Be sure to apply all appropriate markings, including those prescribed IAW FAR 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.
2.2.7 Cross-Referencing
Each volume shall be written on a stand-alone basis so that its contents may be evaluated with a minimum of cross referencing to other volumes of the proposal. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal.
The offeror shall fill out the Cross Reference Matrix, provided as Attachment 9 of this RFP indicating the proposal reference information as it relates to the RFP, and PWS references found therein.
2.3 Electronic Offers
Submitting proposals via compact disc (CD). The content and page size of electronic copies must be identical to the hard copies. For electronic copies, indicate on each CD the volume number and title. Use separate files to permit rapid location of all portions, including subfactors, exhibits, annexes, and attachments, if any. The offeror shall submit Volumes I through V in electronic format, using recordable CDs. Each volume shall be in a different directory on a CD. If files are compressed, the necessary decompression program must be included. The electronic copies of the proposal shall be submitted in a format readable by MS Word 2007, MS Excel 2007, MS Project 2007, and MS PowerPoint 2007, as applicable. To demonstrate full understanding of this requirement and to allow the technical team to fully review the proposed solution, the IA Compliance Matrix Template (Attachment 2) must be completed and submitted via MS Excel 2007 with the technical proposal. The specific IA Compliance Matrix line items that correspond to each of the controls are likewise delineated in PWS Sections 6.12 – 6.12.5.
5.0 Volume III – Past Performance
5.1 General
Each offeror shall submit a Past Performance Volume with its proposal, containing past performance information IAW the format contained in Attachment 4 of the RFP. Offerors are cautioned that the Government will use data provided by each offeror in this volume as well as data obtained from other sources in the evaluation of past performance.
Along with the information required in this paragraph, the offeror shall submit a consent letter executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of past performance information to the offeror so the offeror can respond to such information.
Consent letters are limited to two pages each and will not be counted towards the overall page count for Volume III.
5.2 Relevant Contracts
Submit information IAW Attachment 4: Past Performance Information on no more than five recent (active within the past 5 years from the date of this solicitation) contracts that you consider most relevant in demonstrating your ability to perform the proposed effort. The information submitted shall reference the offeror’s past performance, and past performance of the offeror’s teaming partners, joint venture partners, and/or significant subcontractors. Include rationale supporting your assertion the submission meets the listed criteria. Total page count for the Past Performance Volume is annotated above in Table 2-1. The Government uses degrees of relevancy when assessing recent, relevant contracts, as indicated in the Department of Defense (DoD) Source Selection Procedures, paragraph 3.1.3.1, Table 4. Finally, the past performance evaluation team will review this past performance information and determine the quality as it applies to the performance confidence assessment. Performance confidence assessment ratings are identified in Section M.
5.2.1 Specific Content
Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts, as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a limited or no confidence rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently demonstrated the ability to overcome the problems encountered. The offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified. Categorize the relevant information into the specific technical/management subfactors used to evaluate the proposal.
5.2.2 Organizational Structure Change History
Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this procurement.
To facilitate this relevancy determination, include in the past performance volume a "roadmap" describing all such changes in the organization of your company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/confidence assessment. Since the Government intends to consider past performance information provided by other sources as well as that provided by the offerors, your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.
5.2.3 Questionnaires
The offeror shall provide the past performance questionnaire found in Section J of the RFP to each of the customer POCs identified for each of the relevant past performance efforts. In order to expedite the assessment process, the offeror may complete Sections 1, 2, and 3 of the past performance questionnaire for the convenience of the POC.
The offeror shall not, however, complete any other section of the past performance questionnaire. Once the questionnaires are completed by the POCs, the information contained therein shall be considered sensitive and shall not be released to the offeror. Early submission of the past performance questionnaire is encouraged. Electronic submission is preferred. Questionnaires must be completed by the Government POC on past performance for Government contracts, but may be completed by commercial POCs on commercial past performance efforts.
6.0 Volume IV – Price
6.1 General Instructions
The offeror shall submit a price proposal containing their proposed unit prices in the CLINs/SLINs. The CSSC Section B Pricing Schedule (Section J, Attachment 1) will be used to record all proposed unit prices. The offeror shall submit pricing for base period and all option periods, including option pricing for an additional 6-month period that may be authorized IAW FAR 52.217-8. Option pricing for the additional 6-month period shall be identical to the proposed pricing in the 6 months prior to expiration of the base period, or the final option period, if option periods are present. The offeror’s price proposal shall be complete, submitting prices for all of the CLIN/SLINs identified for the entire contract period. Failure to price all requirements in the CLIN/CLINs may result in rejection of the offeror’s proposal.
6.1.1 Price Reasonableness and Completeness
This section is to assist you in submitting information other than pricing data that is required to evaluate the reasonableness and completeness of your proposed price. The Government will verify that all solicitation requirements have been priced, figures are correctly calculated, and prices are presented in a clear and useful format.
Note that exceptionally low or high proposed prices, initially or subsequently, may be grounds for eliminating a proposal from competition on the basis that the offeror does not understand the requirement. Additionally, unbalanced pricing poses an unacceptable risk to the Government and may be a reason to reject an offeror's proposal. Price submissions should be sufficiently detailed to demonstrate their reasonableness and be adequate enough to support and sustain a Defense Contract Audit Agency audit.
6.1.2 Price Information
Information beyond that required by this instruction shall not be submitted, unless the offeror considers it essential to document or support their price position. All information relating to the proposed price, including all required supporting documentation must be included in the section of the proposal designated as the /price volume. Under no circumstances shall this information and documentation be included elsewhere in the proposal.
6.1.3 Pricing Information Requirements
IAW FAR 15.403-1(b) and 15.403-3(a), data other than certified cost or pricing data may be required to support price reasonableness. Information shall be provided IAW FAR 15.403-5. If, after receipt of proposals, the KO determines the required conditions of adequate competition do not exist or that there is insufficient information available to determine price reasonableness, the offeror may be required to submit other than certified cost and pricing data.
6.1.4 Pricing Proposal
The offeror shall provide their price proposal utilizing the CSSC Section B Pricing Schedule (Section J, Attachment 1). The proposed unit monthly recurring charge/non-recurring charge shall reflect a firm fixed price and include all regulatory telecommunications charges and fees as well as all applicable Federal, State, and local taxes and duties.
The evaluated price will be computed by adding the extended prices for all periods of performance. All formulas used shall remain present in the spreadsheet for verification.
6.2 Volume Organization
The pricing proposal shall be a separate volume from the technical proposal. The offeror shall use the CSSC Section B Pricing Schedule included with the RFP. The offeror agrees to hold the price in its proposal firm for 120 calendar days from the date specified for receipt of proposals or as requested in any subsequent amendment(s).
The offeror shall submit their proposed unit prices for the CSSC Section B Pricing Schedule in MS Excel Version 2007. The offeror’s price proposal shall be complete, submitting prices for all of the CLINs identified in the CSSC Section B Pricing Schedule; failure to price all CLINs may result in rejection of the proposal. The offeror must provide pricing for the base year and each of the option years. Each option year must be clearly marked.
There is no page limitation for the price proposal. However, each text page shall use 11 point Ariel, Times New Roman, or Courier New font, single-spaced, single-side, 8½ x 11 inches (no exceptions allowed). Excel spreadsheets may be submitted on paper up to 11 x 17 inches using 10 point Ariel, Times New Roman, or Courier New font.
Certified cost or pricing data are not required for this procurement; however, the KO is required to determine the offeror's proposed price costs to be reasonable.
The pricing proposal should utilize the formats identified in CSSC Section B Pricing Schedule.
The failure to submit any of the information requested in this RFP may lead to the rejection of your proposal without further consideration.
7.0 Volume V – Contract Documentation
7.1 Contract/Representations and Certifications
The purpose of this volume is for the offeror to provide information to the Government for preparing the contract document and supporting file. The offeror's proposal shall include a signed copy of the Standard Form (SF) 1449, and Sections A through J.
7.1.1 Section A – Solicitation/Contract Form
Completion of block 17a and signature and date for blocks 30a, 30b, and 30c of the SF 1449 are required. Signature by the offeror on the SF 1449 constitutes an offer, which the Government may accept. The "original" copy should be clearly marked under separate cover and should be provided without any punched holes.
7.1.2 Section I – Contract Clauses
The offeror shall comply with the clauses provided in Section I. Please note that many clauses require the prime contractor to include the same or similar clause in contracts with subcontractors.
7.1.3 Section J – Attachments
The offeror shall complete the DoD Security Classification Specification (DD Form 254) located in Section J, Attachment 3.
7.1.4 Section K – Representations, Certifications, and other Statements of Offerors Completed representations, certifications, acknowledgments, and statements are required.
7.2 Other Information Required

Dunn and Bradstreet Number; taxpayer identification number; size of business (large or small); and labor surplus area designation. This same information must be provided if the work for this contract will be performed at any other locations. List all locations where work is to be performed and indicate whether such facility is a division, affiliate, or subcontractor, and the percentage of work to be performed at each location.
7.2.3 OCCI Mitigation Plan
The offeror shall submit an OCCI mitigation plan to the KO, which concisely describes all relevant facts concerning any past, present, or current planned interests (financial, contractual, organizational, or otherwise) relating to work to be performed under the CSSC contract/task orders that will or may result in an actual or potential OCCI. The OCCI mitigation plan shall explain how the OCCI will be minimized to a level acceptable to the Government.
If applicable, the Government may confer with the offeror to address their OCCI mitigation plan. The evaluation of the OCCI mitigation plan will consider the degree to which the offeror’s approach presents OCCI concerns, the offeror’s approach for ensuring that CSSC task orders are not influenced as a result of the offeror’s other work product(s), contracts/task orders in support of DISA and will consider the offeror’s approach for avoiding, neutralizing, or mitigating OCCI issues based on the general rules of FAR 9.505.
7.2.4 Small Business Participation
7.2.4.1 Small Business Participation and Commitment
The Government‘s assessment of small business participation and commitment as measured against the total contract value which is separate from the FAR requirement for KO review and acceptance of an offeror‘s small business subcontracting plan. Large business offerors shall ensure that individual subcontracting plan submissions are consistent with proposal information. All offerors shall provide the proposed participation dollars and percent of estimated contract value for the period of performance. Small business participation is small business contributions to contract performance at the prime contract through first tier subcontract levels. Offers shall include a narrative explanation regarding the basis for and efforts associated with establishing proposed participation dollars and percentages including a breakout of prime and first tier small business participation.

Offerors shall clearly describe the nature of commitment (e.g., fully executed teaming agreement, planned purchase order). Offers shall describe new, contract specific initiatives and tools (e.g., mentor protégé agreements and developing second sources focused on improving readiness or reducing cost. Offerors shall describe the process they will use to ensure proper flow-down of requirements, process management, and performance assessments of small business utilization at lower tiers.
Subcontracting plans will be evaluated on an acceptable/unacceptable basis by the KO, the Small Business Specialist, and Small Business Administration for compliance with Section M of this RFP.
8.0 Non-Government Advisors
8.1 Proposal Evaluation
