SUMMARY OF CHANGES

SECTION SF 1449 - CONTINUATION SHEET

SOLICITATION/CONTRACT FORM

The required response date/time has changed from 05-Jan-2017 12:00 PM to 06-Jan-2017 12:00 PM.

The following have been modified:

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2016)

(a) North American Industry Classification System (NAICS) code and small business size standard. The

NAICS code (541930 – Translation and Interpretation Services) and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 365 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender’s request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Reserved.

(f) Late submissions, modifications, revisions, and withdrawals of offers.

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 12:00 p.m., Central

Standard Time (CST), for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer (CO) determines that accepting the late offer would not unduly delay the acquisition; and—

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m.

one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the CO to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. Only one award will be made.

(i) Availability of requirements documents cited in the solicitation.

(j) Unique entity identifier. (Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database.) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “Unique Entity Identifier” followed by the unique entity identifier that identifies the

Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative

EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.

(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the

SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.

(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

(1) The agency’s evaluation of the significant weak or deficient factors in the debriefed offeror’s offer.

(2) The overall evaluated cost or price and technical rating of the successful and debriefed offeror and past performance information on the debriefed offeror.

(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.

(4) A summary of rationale for award;

(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.

(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

The instructions contained herein are intended to serve as guidelines for the preparation of the proposal and are not intended to be all inclusive. Specific instructions for each of the

Volumes required by these instructions are contained in below paragraphs.

1.3 Submitting Your Proposal – The AMRDEC SAFE application shall be used as the official means of submitting your proposal in response to this RFP. A hardcopy of your proposal is also required. The

AMRDEC SAFE application is used to send large files to individuals which would normally be too large to send via email. There are no user accounts for SAFE - authentication is handled via email and CAC.

1.3.1 Sending Files

1.3.1.1 The AMRDEC SAFE application can be accessed via https://safe.amrdec.army.mil/safe.

1.3.1.2 There are two options to proceed from the SAFE homepage:

1.3.1.2.1 Proceed as CAC User - Select this option if you have a valid US DoD-issued CAC.

1.3.1.2.2 Proceed as Guest - Select this option if you do not have a CAC .

1.3.1.3 After selecting one of the options above, the page will be redirected to the package upload form.

1.3.1.3.1 Your Name - Your name;

1.3.1.3.2 Your Email address - Your email address;

1.3.1.3.3 Confirm Your Email Address - Re-enter your email address;

1.3.1.3.4 Description of File(s) - Enter a description for the package;

1.3.1.3.8 Grant access to these people - This is the list of people you have granted access to the package.

To remove a recipient, highlight their name and click the "Remove" button;

1.3.1.3.9 Caveats - Default is "None";

CAC to download the file(s). Recipients without a CAC will not be able to download the package.

1.3.1.4 Clicking the "Submit" button will upload the files and submit the package. Guest users will need to check their email to verify their email address before the recipients will be notified. No additional action is required by CAC users.

https://safe.amrdec.army.mil/safe/Welcome.aspx mailto:manuel.cueto@us.af.mil mailto:carissa.lechner@us.af.mil

1.3.1.5 After the package has been uploaded (and verified, if proceeding as a guest), each recipient will receive a link to the package download page as well as a password. These passwords are unique for each recipient (not the package), and will be disabled once SAFE detects that the user successfully downloaded each file within the package.

1.3.2 Managing Packages – After uploading a package, the sender will receive a notification email with a link and a password. After accessing the link and entering the password, the sender will be able to manage their package:

1.3.2.1 Adding Files - The sender can upload additional files to the package. Recipients will receive an additional notice email informing them that the package has been updated. Recipients who have already downloaded the package will be allowed back in to get the additional files.

1.3.2.2 Adding Recipients - The sender can grant access to additional recipients to the package.

1.3.2.3 Resending Recipient Notifications - If a recipient lost or never received their notification to pickup the files, the notification can be resent.

1.3.2.4 Checking Recipient Status - The list at the bottom of the status page will show each recipient and whether or not they have downloaded the package. A download status of "False" means that they have not downloaded the package, whereas a download status of "True" means that they have. This feature is available regardless of whether or not the sender selected the "Notify me" on the upload page.

1.4 Clarity of Proposal – The proposal shall be clear, concise and shall include sufficient detail to permit effective evaluation and to substantiate the validity of stated claims. Offers will be evaluated using the factors and subfactors in provision 52.212-2 Evaluation – Commercial Items. Non-compliance with the solicitation may be grounds to eliminate the proposal from consideration for contract award. Offerors are advised proposals are presumed to represent the offeror’s best efforts and most complete responses to this solicitation. Cursory responses or responses which merely reiterate the Performance Work Statement

(PWS) will be considered unacceptable. Demonstration of capability and qualifications that clearly support the offeror’s claims are essential. The absence of such evidence will adversely influence evaluation of the proposal.

1.5 Discrepancies – If an offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the CO/CS, in writing, with supporting rationale as well as the remedies the offeror is asking the CO/CS to consider as related to the omission or error. The offeror is reminded the Government reserves the right to award this effort based on the initial proposal, as received, without discussion. This reservation includes matters of additional or substitute pages of the initial proposal.

1.6 Bidder’s Library / Electronic Reference Documents – All referenced documents for this solicitation are available at the Federal Business Opportunities (FedBizOpps) website at http://www.fbo.gov.

Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the FedBizOpps website.

1.7 Retention of Proposals – IAW FAR Part 4.803, the Government will retain one (1) copy of all unsuccessful proposals. The Government will destroy extra copies of unsuccessful proposals. No destruction certificate will be provided.

1.8 Unnecessary Elaboration and Formatting – Elaborate brochures or documentation, bindings, detailed artwork or other embellishments are UNNECESSARY and are not desired.

1.9 Classified Materials – All information provided in the proposal must be UNCLASSIFIED.

1.10 Debriefing – The CO will promptly notify offerors of any decision which excludes them from the competitive range, whereupon they may request and receive a debriefing IAW FAR Part 15.505 – Pre-award Debriefing of Offerors. The CO will notify unsuccessful offerors in the competitive range of the

Source Selection decision IAW FAR Part 15.506 – Postaward Debriefing to Offerors. Upon such notifications, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request IAW the requirements of FAR Parts 15.505 and 15.506, as applicable.

Notwithstanding the above, it is the Government’s intention to award without setting a competitive range or conducting discussions, if at all possible.

All information (except for document numbers, page numbers, etc.) shall be provided within an image area of 9 x 15 inches. Text used for call-outs on graphics and exhibits as well as text used in illustrations and tables shall be no smaller than Times

6.2 The purpose of the cross reference matrix is to show critical interrelationships and dependencies among the technical requirements document PWS, 52.212-1 (Instructions to Offerors – Commercial

Items) and 52.212-2 (Evaluation – Commercial Items). This matrix is a tool which helps ensure all the evaluation criteria and proposal submittal requirements identified in the solicitation have been responded to properly. The offeror shall fill out the cross reference matrix indicating where in their proposal the information can be found. Failure by the offeror to complete the matrix will result in the offeror being considered as failing to meet the RFP terms and conditions.

7.0 Volume III –Past Performance (FACTOR 2)

The Government may utilize the government-owned software, EZ-Source, for the evaluation. The software administration for EZ-Source is provided by ARRAY Information Technology. ARRAY

Information Technology has executed a nondisclosure agreement. This non-disclosure agreement is available for review upon request. Stellar Innovations & Solutions and Harris Information Technology may also provide software and hardware support during the proposal evaluation process. Stellar

Innovations & Solutions and Harris Information Technology have executed nondisclosure agreements.

The exclusive responsibility for source selection will reside with the Government. Any objection shall be provided in writing prior to the date set for receipt of proposals and shall include a detailed statement of the basis for the objection. Proprietary information submitted in response to this solicitation will be protected from unauthorized disclosure as required by Subsection 27 of the Office of Procurement Policy

Act as amended (41 U.S.C.423) (hereinafter referred to as “the Act”) as implemented in the FAR.

ARRAY Information Technology, Stellar Innovations & Solutions, and Harris Information Technology are bound contractually by organizational conflict of interest and disclosure clauses with respect to proprietary information.

7.1 Offerors shall submit a Past Performance Volume containing the following:

1. Table of Contents: Not to exceed one (1) page

2. PPI Narrative: Not to exceed five (5) pages. See paragraph 7.1.2

3. Past Performance Information (PPI): Not to exceed two (2) pages per submission, max of 5 submissions. 7.2 & 7.2.1

4. Business Relationship Report: See paragraph 7.2.1 *not included in page limit

5. Subcontractor/Teaming Partner Consent Letter: See paragraph 7.2.2 *not included in page limit

6. Organization Structure Change History: Not to exceed two (2) pages (bullet format, narrative not required). See paragraph 7.2.3

7.1.1 Table of Contents.

7.1.2 PPI Narrative. Offerors shall submit a single five (5) page narrative that provides frank, concise statements regarding the Contractor(s)’ performance on all of the PPI references provided.

7.1.3 Roles of Proposed Team. The PPI Narrative shall describe the role of Offerors (Primes) and all subcontractors, teaming partners, and/or joint venture partners considered critical to overall successful performance of this requirement. Include a detailed matrix that depicts how each PPI meets the relevancy criteria defined in paragraph 52.212-2 para 3.3.3. If submitting a reference for a subcontractor, teaming partner, joint venture, or a corporate division related to the Prime, describe the nature of the work to be performed on Linguist/Analyst requirement by the company referenced on the PPI, and clearly define the relationship.

7.2 Past Performance Information (PPI). Submit information on contracts you consider most relevant in demonstrating your ability to perform the proposed effort. Each relevant contract shall have a minimum of 2 years of active performance within 5 years preceding the (Linguist Analyst Support Services/LASS) final solicitation issuance date. This includes contracts that were awarded prior to this period, but still had performance occurring as of this time. This information is required on the offeror, subcontractors, teaming partners and/or joint venture partners the offeror considers critical to overall successful performance. Submit a minimum of (3) and a maximum of (5) references; (1) of the references provided should be on the Offeror (Prime Contractor), if available. The remaining references may be provided for subcontractors, teaming partners, and/or joint venture partners considered critical to successful performance of the requirement. If the PPI reference is an overarching Indefinite Delivery/Indefinite

Quantity (ID/IQ) or Blanket Purchase Agreement (BPA), the Government will only assess performance at the ID/IQ level and not performance on each individual underlying task/delivery order. If Offerors would like assessment of an individual task/call/delivery/purchase order, the Offeror shall submit that as a separate PPI reference. PPI Reference inputs will be treated as source selection information IAW FAR

Part 2.101 and 3.104.

7.2.1 PPI Tool. Submit a separate PPI input using the PPI tool (posted on FedBizOpps with the solicitation information as "ppi_tool.accdb") and instructions provided (Attachment 7 - PPI Tool

Instructions) for each reference. Hard copies of the pages generated from this tool shall be used as the hard copy of the Past Performance volume subject to the limitations outlined in this RFP and should be

Tab 1 of the Past Performance volume. If you are unable to download the Past Performance information tool, contact the Contracting Officer for assistance. Save the PPI database file as prime contractor name +

RFP number + .accdb (e.g. XYZCompanyFA703716R0001.accdb)

7.2.2 Subcontractor/Teaming Partner Consent Letter (Attachment 5). PPI concerning subcontractor and teaming partners cannot be disclosed to a private party without the subcontractor’s or teaming partner’s consent. Because a Prime Contractor is a private party, the Government will need that consent before disclosing subcontractor/teaming partner PPI to the Prime during exchanges. These letters are only required for subcontractors and teaming/joint venture partners for which the Prime submits Past Performance

Information as part of the Past Performance Volume. Completed consent forms shall be submitted as part of the Past Performance Volume.

7.2.3 Organizational Structure Change History. Many companies have acquired, have been acquired by, or have otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate the

Government’s past performance evaluation, Offerors shall include in this proposal volume a detailed

"roadmap" describing all such organizational changes (if applicable), to include specific names and dates of the prime / joint venture and any companies for which the Offeror provides PPI.

7.2.4 Past Performance Questionnaires (PPQ). The Government will use a PPQ (Attachment 6) as a tool for conducting Past Performance telephonic or email interviews only on PPI’s that do not have a

CPAR. In the event a PPQ is used, it will be treated as source selection information IAW FAR Part 3.104.

7.3 Recent. Each relevant contract shall have active work/services that was/were performed during the last five (5) years from the final solicitation release date. This includes contracts that were awarded prior to this period, but still had a minimum of two (2) years of active performance during the previous five (5) years. NOTE: Underlying task/delivery order periods of performance will determine the recency of an

ID/IQ contract or BPA (in other words, there must have been active performance that meets the recency definition in 3.3.2 of FAR 52.212-2).

7.4 Relevant. To be relevant, each recent past performance citation submitted by the offeror, teaming partner or subcontractor will be reviewed, the relevance of the work performed will be assessed against the

Linguist/Analyst PWS and technical subfactors. Consideration will be given to past performance of similar size and complexity. The PPI must show the contractor has supported a requirement that has provided at least 80 FTEs at geographically separated units (GSU’s) in the CONUS and OCONUS (combined).

7.4.1. Offerors shall describe how each reference is relevant in demonstrating the ability to perform the full range of Linguist/Analyst Services capabilities IAW the PWS requirements and the relevancy definitions in 3.3.3 of FAR 52.212-2. As applicable, address how the proposed reference provided on each

PPI relates to each of the two (2) technical subfactors shown in 52.212-1 paragraph 5.2 or 52.212-2 paragraph 3.2. NOTE: The overall scope, dollar value and locations of performance of the underlying task/delivery orders will determine the relevancy of an ID/IQ contract or BPA.

8.0 Volume IV – Factor 3– Cost/Price

8.1 General Instructions – Offerors will propose fully loaded labor rates for each of the labor categories included in the labor matrix (Attachment 4). These labor categories represent the Governments currently known labor categories. The proposed rates in the offerors’ Attachment #4 will be incorporated as an attachment of the resultant contract award and will be the rates used to price subsequent task orders. Offerors may submit any other pricing data that they believe is prudent and necessary to justify their cost/price proposal.

8.1.1 Cost/Price Reasonableness - Offers should be sufficiently detailed to demonstrate their reasonableness. Note that unrealistically low or high proposed costs or prices, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the offeror does not understand the requirement or has made an unrealistic proposal. Offers should be sufficiently detailed to demonstrate their reasonableness. The burden of proof for credibility of proposed costs/prices rests with the offeror.

8.1.2 Estimating Techniques and Methods – When responding to the Cost/Price Volume requirements in the solicitation, the offeror and associated subcontractors may use any generally accepted estimating technique, including contemporary estimating methods [such as Cost-to-Cost and Cost-to-Non-Cost

Estimating Relationships (CERs)], commercially available parametric cost models, in-house developed parametric cost models, etc.), to develop their estimates.

8.2. Cost/Pricing Content

8.2.1. Basis of Price Evaluation– Offerors are required to propose a Firm Fixed Price (FFP) amount for

Linguist/Analyst Support Services. Offerors are also required to provide fully loaded FFP labor rates for each labor category included in the labor matrix (attachment 4).
