SECTION SF 30 BLOCK 14 CONTINUATION PAGE

SUMMARY OF CHANGES

SECTION SF 1449 - CONTINUATION SHEET

The following have been modified:

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. A

Lowest Price, Technically Acceptable (LPTA) source selection approach will be utilized during evaluation in accordance with FAR 13.106-2(b)(1), to include an assessment of offerors past performance. Tradeoffs between non-price factors (i.e. Technical/Past Performance) and price are not permitted, whereby proposals will be evaluated for acceptability but not ranked using the non-price factors. The following factors and respective sub-factors shall be used to evaluate offers:

(1) TECHNICAL CAPABILITY

(a) Transition Plan

(b) Quality Control Plan

(c) Mission Essential Plan

Technical Capability will be evaluated and rated on an acceptable or unacceptable basis (e.g.

pass/fail), whereby unacceptability of any respective sub-factor will result in an unacceptable technical capability-rating.

(2) PAST PERFORMANCE

In addition, ratings for past performance will be assigned utilizing an evaluation basis of acceptable or unacceptable.

(3) PRICE

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

52.212-2 ADDENDUM

1. BASIS FOR CONTRACT AWARD: The Government’s evaluation of offeror’s proposals will be conducted utilizing the evaluation factors of: 1. Price, 2. Technical Capability, and 3. Past Performance. Evaluation of these factors will utilize a Lowest Price Technically Acceptable (LPTA) evaluation approach, to include an evaluation of offeror’s past performance, utilizing procedures in accordance with FAR 13.5.

The Government intends to award a contract without formal discussions. Upon completion of the Government’s initial evaluation of proposals, exchanges with offerors may occur, for purpose of clarifications and communications in accordance with FAR 13.106-2(b)(1). The Government reserves the right to conduct formal discussions with offerors for the purpose of negotiations at any point during the evaluation if deemed in the best interest of the

Government. Once discussions, if conducted, have been concluded, the Contracting Officer will request Final

Proposal Revisions from each of the offerors remaining within the competitive range.

2. EVALUATION FACTORS FOR AWARD: Three (3) evaluation factors will be used to evaluate proposals: a)

Technical Capability, b) Past Performance, and c) Price.

Part I – Technical Capability. Technical rating evaluation processes reflects the degree to which the proposed approach meets or does not meet the minimum performance or capability requirements through an assessment of the strengths, weaknesses, deficiencies, and risks of a proposal. The government will evaluate technical proposals and the three (3) below listed sub-factors of Transition Plan, Quality Control Plan, and Mission Essential Plan utilizing the Technical Acceptable/Unacceptable Ratings chart listed below through assigning ratings of acceptable and unacceptable . An unacceptable rating for any of the below sub-factors will result in an unacceptable rating for this

Technical Capability primary factor. Accordingly, under the LPTA source selection approach, offerors who receive an unacceptable rating for this factor may not be considered for award. Technical Rattings shall be evaluated against the following sub-factors:

(i) Transition Plan: Transition Plans by offerors will be evaluated to assess if they comprehensively address the transition activities prescribed by clause 52.212-1 that result in successful performance on the contract start date of 1 Oct 2015 (Transistion period begins 1 September 2015).

The acceptability of an offeror’s transition plan will be based upon whether the proposed information and associated activities reasonably demonstrate to the Government that successful performance will commence on the contract start date. As the Government intends to award a contract without discussions, offerors that do not provide sufficient information to clearly and comprehensively illustrate their plans for transitioning, may result in an unacceptable rating for this Technical Capability sub-factor, and therefore, such offerors may be removed from consideration for award.

(ii) Quality Control Plan (QCP): Quality Control Plans by offerors will be evaluated for completeness in thoroughly addressing the Services Summary performance objectives as identified in the addendum to clause 52.212-1, with relation to proposed surveillance and/or validation methods and associated descriptions thereof.

The acceptability of Quality Control Plans will be based upon whether the proposed quality control processes by the offeror, with reference to surveillance, and/or validation methods of each Services

Summary performance objective, reasonably demonstrate to the Government that services will be provided at an acceptable level of quality in meeting all requirements of the Performance Work Statement. As the

Government intends to award a contract without discussions, offerors that do not provide sufficient information to clearly and comprehensively illustrate their processes for controlling quality in meeting the requirements of the Performance Work Statement, may result in an unacceptable rating for this Technical

Capability sub-factor, and therefore, such offerors may be removed from consideration for award.

(iii) Mission Essential Services – This includes a method on how the contractor will provide mission essential services during a crisis or emergency outlined in the PWS paragraph 4.1.4. Contractor must illustrate how resources and personnel will be available and how the contractor intends to use them during crisis or emergency events.

As a result of the government’s evaluation of the aforementioned Technical Capability sub-factors of

Transition Plan, Quality Control Plan (QCP), Mission Essential Services and all associated elements accordingly, a determination of technical capability will be assigned using the following Technical Ratings chart:

Technical Acceptable/Unacceptable Ratings

Rating Description

Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.

Part II – Past Performance

(i) The Government will evaluate Past Performance by reviewing questionnaires sent to the points of contact listed by offerors in their Past Performance proposal, and data independently obtained from other Government and commercial sources. The Government will assess recency (performed within the last three years) and relevancy (undertaking similar in size and scope) of associated projects and the offeror’s demonstration of ability to successfully perform.

(ii) Note that the past performance evaluation performed in support of this requirement does not establish, create, or change the existing record and history of the vendor’s past performance on past contracts;

rather, the past performance evaluation process gathers information from customers on how well the offeror performed those past contracts/projects.

NOTE: If a customer point of contact cannot be reached, the Government may contact the offeror again and request an additional point of contact.

Past Performance Evaluation Ratings

Rating Description

Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown. (See note below.)

Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the offeror shall be determined to have unknown past performance. In the context acceptability/unacceptability, “unknown” shall be considered “acceptable.”

Part III – Price Evaluation. The Government will evaluate prices submitted by offeror.

(i) Each offeror’s line item price will be verified by multiplying the quantities identified at the contract line item number (CLIN) level by the proposed unit price to confirm the extended amount for each CLIN (to include the base period AND the option years). The offeror’s total proposed price will be verified by adding base period CLINs and all option year CLINs. All proposals must be submitted in USD (United

States Dollars).

a) As this requirement is a “commercial” service, that will result in a “firm-fixed-priced” contract, a comparison of offeror’s proposed, competitive prices will satisfy the requirement for price analysis. If a determination of reasonable pricing cannot be established through adequate price competition, the Government may use additional price analysis to determine price reasonableness.

The depth at which price analysis is conducted by the Government in determining price reasonableness, is left to the Government’s discretion. Price evaluation applied to FY20 Option

Period proposed pricing will also be utilized for the potential of exercising Option to Extend

Services clause 52.217-8. An offeror’s proposal constitutes acceptance of continued rates for the option period in which the clause is exercised by the government.

AWARD DETERMINATION: As a result of the Government’s evaluation, only those offerors whose proposals are assigned acceptable ratings for both non-price factors entailing Technical Capability and Past Performance, either initially or as a result of discussions, will be considered for award. Under the LPTA evaluation process trade-offs will NOT be permitted between price, and the non-price factors of Technical Capability and Past Performance.

Additional Information for Offerors regarding the Government’s evaluation of proposals:

Offerors are cautioned to submit sufficient information and in the format specified in 52.212-1, Instructions to

Offerors—Commercial Items. Offeror’s may be asked to clarify certain aspects of their proposal (for example, the relevance of past performance information or to resolve minor clerical errors). In addition, communications may be conducted regarding adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports an unacceptable rating or any unfavorable comments received from sources without a formal rating system. These communications will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revisions.

(1) ( ___ ) Are, ( ___ ) are not presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency; and

(2) ( ___ ) Have, ( ___ ) have not, within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: Commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a Federal, state or local government contract or subcontract; violation of Federal or state antitrust statutes relating to the submission of offers; or Commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property; and

(4) [ ___ ] Have, [ ___ ] have not, within a three-year period preceding this offer, been notified of any delinquent

Federal taxes in an amount that exceeds $3,000 for which the liability remains unsatisfied.

(i) Taxes are considered delinquent if both of the following criteria apply:

(A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
