Solicitation Questions

SOLICITATION NO.:FA5270-17-R-0003DATE: 19 January 2017
PROJECT TITLE:Multiple Award Construction Contract (MACC) for Various Locations, including Okinawa and outlying area of Japan.
Question No.Reference (Sect/Para/Page)QUESTIONGOVERNMENT RESPONSE
1Solicitation Page 47 of 52, Section L, sub-section B.3. Part III(a) Past Performance Sheet states offeror to submit previous design-build and construction only experience. Can a contract that was partially design-build and partially construction only be used as a past experience for a design-build project? This question is unclear as written, but a partial design and the associated construction may be submitted for past experience for a design-build project. I am unclear as to what would constitute a project to be partially design-build and partially constructed.
2Past PerformanceCan an Offeror submit for consideration compliant past performance information of its parent company, if the parent will be meaningfully involved in the execution of the work?
The Cage Code for the company that the past performance is being submitted on should match the cage code provided for the offeror in blk 14 of the SF 1142. If a Joint Venture 9JV) is identified in Block 14 of the SF 1442 as the "prime contractor", then a signed joint venture agreement must be submitted with the proposal and the JV shall be registered as such in the System for award Management.
3Item 2: Past Performance

Discussion: Page 47 of 52 of the RFP states that, "(I) The offeror may demonstrate prime contractor experience through one or more of the members to the JV".

Page 50 of 52, item 6 states that "If the Offeror is part of a team arrangement as defined in FAR 9.601 (joint venture, teaming/partner), the offeror shall provide all required solicitation information for all parties".

Regarding page 46 of 52, item 1.f

(f) Licensing Requirement: Any contract resulting from this solicitation will be awarded and performed in its entirety in the country of Japan. Contractors must be duly authorized to operate and conduct business in Japan, and must fully comply with all laws, decrees, labor standards, and regulations of Japan during the performance of the contract. Offerors must be registered to do business in Japan and possess a construction license (Kensetsu-Gyo Kyokasho) issued by the Ministry of Land, Infrastructure and Transport, or prefectural government. As such, the offeror shall submit a copy of their Japanese Business License and Japanese Construction License.

Will the Government please confirm that if each member of the JV is properly licensed that provision of these JV member licenses will satisfy this requirement? If a Joint Venture (JV) is identified in Block 14 of the SF 1442 as the "prime contractor", then a signed joint venture agreement must be submitted with the proposal and the JV shall be registered as such in the System for award Management. If the above is completed, current and accurate then only one business and construction license needs to be submitted.
4Page 47 of 52 of the RFP states that, "(I) The offeror may demonstrate prime contractor experience through one or more of the members to the JV".

Page 50 of 52, item 6 states that "If the Offeror is part of a team arrangement as defined in FAR 9.601 (joint venture, teaming/partner), the offeror shall provide all required solicitation information for all parties".

Regarding page 46 of 52, item 1.e

(e) Representations and Certifications: The offeror shall complete the necessary fill-ins and certifications in Sections I through K. Section K shall be returned in its entirety. For Sections C through I, the offeror shall submit only those pages that require a fill-in.

Will the Government please confirm that Representations and Certifications are to be provided for each JV member?Reps and Certs need only be provided for the Offeror (cage code) outlined in Block 14 of the SF 1442.
5Page 47 of 52 of the RFP states that, "(I) The offeror may demonstrate prime contractor experience through one or more of the members to the JV".

Page 50 of 52, item 6 states that "If the Offeror is part of a team arrangement as defined in FAR 9.601 (joint venture, teaming/partner), the offeror shall provide all required solicitation information for all parties".

Regarding page 47 of 52, Part III

Will the Government please confirm that a total of three to five D-B projects and three to five construction only projects are required total, regardless of whether the Offeror is a JV entity or a single firm?Correct, a total of three to five D-B projects and three to five construction only projects are required total, regardless of whether the Offeror is a JV entity or a single firm.
6Page 48 of 52 states that "(f) The evaluation of past performance information will not take into account past performance of predecessor companies"Will the Government please confirm that companies that have undergone name changes will be allowed to submit past performance for projects performed under past company names? The Cage Code for the offeror that the past performance is being submitted on should match the cage code provided for the offeror in blk 14 of the SF 1142. Companies are allowed to submit whatever past performance information they feel is most relevant to this solicitation.
83) Under Section L- RFP Instructions – Part III – Past Performance Proposal paragraph b) Past Performance Information you state: “Only recent relevant design/build and construction projects are requested for evaluation. Relevant projects include…item (4) projects completed in Japan.” Must each individual project have been completed in Japan to be considered relevant? In addition, in Item 5 you state: “Were completed within International Climate Zone 2A”.Will you consider projects not completed in Japan, but completed in International Climate Zone 2A? As currently worded, it appears that only projects completed in Okinawa would be considered relevant, because that is the only part of Japan that is in Climate Zone 2A, and yet the RFP suggests that there will be projects that will be performed outside of Okinawa. To avoid confusion, under Section L- RFP Instructions – Part III – Past Performance Proposal paragraph b) Past Performance Information, we suggest changing relevant factor item 4 to read: “Were completed in Japan or within International Climate Zone 2A.” and, then, eliminate item #5.This will not be changed. Understand that projects completed in Japan demonstrate local market understanding and operability, projects completed within International Climate Zone 2A demonstrate climate specific capabilities (i.e. HVAC design and corrosion control of steel and concrete) Projects completed in Japan may be rated relevant, but projects in Okinawa will be rated more favorably (higher) or more relevant.
94) Under Section L- RFP Instructions – Part III – Past Performance Proposal paragraph b) Past Performance Information you state “Only recent relevant design/build and construction projects are requested for evaluation. Relevant projects…item 5, Were completed within International Climate Zone 2A.”However, would you consider construction projects completed in Climate Zone 1A, which consists of more severe heat and humidity than Climate Zone 2A, and which includes Hawaii, Guam, and other tropical locations? Please consider adding Climate Zone 1A to the section, which would then read, “Climate Zones 1A or 2A.”This will not be changed. Offerors are encouraged to submit the past performance information they deem most relevant to this solicitation. For further explanation please see answer #8.
105) Under Section L- RFP Instructions – Part III – Past Performance Proposal paragraph b) Past Performance Information, you state: “Only recent relevant design/build and construction projects are requested for evaluation. (emphasis added) Six separate factors are then listed. To be considered “relevant” must a project include all of the listed factors?Past performance information on projects that meet all six factors will be rated more favorably (higher) or more relevant than past performance information on projects that do not.
11The Joint Venture offeror consists of two (2) Japanese entities, both of which are authorized to do business in Japan and hold current Japanese construction licenses. One of the entities, an LLC, has a sole member, a corporation organized and existing under US law, who is a licensed construction contractor in a number of jurisdictions and who performs, almost exclusively, U.S. DoD construction prime contracts.

On both U.S Army Engineer District, Japan, and Naval Facilities Engineering Command, Far East, solicitations for work to be performed in Japan, we have been allowed to use the project experience or example performed by an “affiliate,” as that term is defined in FAR 2.101, and those project examples were evaluated as long as the offeror demonstrated a firm commitment that the affiliate will participate meaningfully in the performance of the solicited contract.

In light of this, please confirm that the experience and/or past performance of the sole member of a Japanese LLC may be used.Refer to answer #2 and #3

Proposal.

Will the Government consider a past experience by the Offeror under a Joint Venture, be considered as experience of the Offeror as a prime contractor?

Refer to answer #2 and #3
13A-E/Designer registrationRegarding A-E/Designer registration provisions, the solicitation incorporates both DFARS 252.236-7011 Overseas Architect-Engineer Services – Restriction to United States Firms and NFAS 5252.236.9307 Drawings Prepared by An Architect-Engineer. Depending on the planned teaming/approach for performance of design for D-B task orders under this contract, would the Government please provide clarification regarding requirements for DOR, preparation and stamping of drawings/submittals, etc?Under advisement
14Regarding JPY v. USD for contract price and payment, the solicitation requests prices proposed in JPY, however Section B of the contract establishes max values in USD. Attachment J-3 pg 19 states that the contract price and payment will be in JPY. Attachment J-5 AF establishes an exchange rate of $1 to ¥121.83. Would the Government please confirm the contract currency to be listed in Section B and in which currency payments will be made via WAWF?Task orders will be awarded and paid in Japanese Yen. Proposed prices shall be reflected in Yen.
15We respectfully request that the following DFARS Systems clauses be deleted as not applicable to this type of contract: DFARS 252.242-7006 and 252.242-7004. Both clauses are prescribed for cost reimbursement type contracts or contracts with payment based on costs incurred. This contract’s payment provision is 52.232-5 Payments Under Fixed Price Construction, which calls for payment based on work accomplished, not costs incurred. These clauses will not be deleted at this time.
16RFP page 49 of 52, section 4 states that, "Each Part shall contain a Table of Contents, Cross References, and the List of Tables". However this section also states, "Each Part shall be complete in itself and shall not reference information contained in other Parts".Would the Government please remove the requirement for Cross References in each Part in order to rectify this contradiction? This will not be removed, this is standard language. If there is no cross reference contained in the proposals please put N/A
17RFP page 49 of 52, section 4 states that, "Each Part shall contain a . . . List of Tables" and that "proposals will be on 8 1/2" x 11" paper, except for fold-outs used for charts, tables, or diagrams, which may not exceed 11" x 17". However this section also states, "Pages depicting tables, charts, graphs, and figures are not requested and will not be evaluated".Would the Government please remove the sentence that states that "Pages depicting tables, charts, graphs, and figures are not requested and will not be evaluated" in order to rectify this contradiction? This will not be removed. As stated, "Pages depicting tables, charts, graphs, and figures are not requested and will not be evaluated", as such a list of tables would be N/A.
18RFP page 49 of 52, item 4.g states that, "The electronic version of the proposal shall be submitted in a format readable by Microsoft Office 2007 which includes software programs such as WORD, EXCEL, or Powerpoint".Would the Government please amend this requirement to allow for the submission of electronic proposal documents in PDF format?Requirement has been amended to include Adobe - See Amendment 0006

5252.229-9302 CONSUMPTION TAX EXEMPTION PROCEDURES ON PURCHASE OF GOODS AND SERVICES BY THE UNITED STATES ARMED FORCES IN JAPAN [JAPANESE LAW NO. 108, 1988] (JUN 1994)

(a) The Consumption Tax Law (Law No. 108, 1988) was enacted in the Diet of Japan on 24 December 1988, and applied from April 1, 1989. The Government of Japan (GOJ) and the United States Government (USG), in accordance with paragraph 3, Article XII, of the "The Agreement Under Article VI of the Treaty of Mutual Cooperation And Security Between Japan And The United States of America Regarding Facilities And Areas And The Status of United States Armed Forces In Japan" (SOFA), have agreed upon procedures for exempting the United States from the Consumption Tax on the following transactions upon appropriate certification:

(1) Goods and services purchased in Japan for official purposes of the U. S. Armed Forces by the U. S. Armed Forces or its authorized procurement agencies;

(2) Goods and services purchased in Japan, by persons, including corporations, who are designated by the USG in accordance with the provisions of paragraphs 1 and 2, Article XIV of the SOFA (Article XIV Contractors), solely for the purpose of performing the business of construction, maintenance or operation under the contract for construction, etc., for use by the U. S. Armed Forces, or film and gasoline purchased in Japan by Article XIV Contractors solely for the business activities described above.

(b) The underlying objective is to obtain the full amount of the exemption from the tax on U.S. Forces procurements immediately at the time of purchase, and at the same time give the Contractor a proof of purchase document, acceptable to GOJ tax authorities, which he/she can present to the tax authorities to obtain a tax credit and/or refund for tax already collected and paid by previous sellers.

(c) By the submission of their offer, the offeror certifies that Japanese consumption tax is not part of the bid price, nor will it be a part of any subsequent modification to the contract. Procedures for Contractors to obtain a consumption tax credit are described in a handbook that may be obtained from the Procuring Contracting Office.

(End of clause) Will the contractors receive a tax exemption certificate for this MACC? Can the contractor be provided the handbook referenced in sub paragraph c of Attachment J-6 NFAS (NAVFAC) other contract requirements?
