MEMORANDUM FOR RECORD

FROM: 18 CONS/LGCC

SUBJECT: Pre-Proposal Conference Meeting Minutes, Multiple Award Construction Contract

1. The Meeting was held on 22 December 2016 at 0900. The location of the meeting was The Keystone Theater aboard Kadena Air Base. All persons in attendance, both perspective company representatives and government personnel, were required to sign in prior to entering the meeting.

Please see attached sign in sheets for the list of attendees.

2. Introductions were completed. Ms. Shyloe Werner (Lead Contract Specialist) and TSgt David Delgado (Contract Specialist) for the Multiple Award Construction Contract (MACC) team led the discussion for 18 CONS. Ms. RubyAnn Prout and Mr. Gary Wynder were recognized along with members of 18CONS, 718 CES and NAVFAC. Attendees were advised that the conference would last approximately two and a half hours. Attendees were also reminded that only those individuals in possession of a Photo Authorization Letter would be allowed to take pictures on the flight line once attendees arrived at the site.

3. Slide 5 – Project Overview: TSgt David Delgado provided a brief overview of the request for proposal. Information provided included the RFP number, a description of the project and the type of contract that would be awarded as a result of the RFP. It was explained that task orders for individual projects would be competed amongst only existing MACC contractors and they would be awarded on a Firm Fixed Price basis.

4. Slide 6 – Project Overview (con’t): TSgt Delgado stated the performance period of the project would be initially one year with six subsequent option years, for a total of seven years of performance from date of award. He explained that option years were not guaranteed and that sixty (60) days prior to the expiration of the current year, a preliminary notice of intent to exercise the option would be sent to the contractors. Additionally, a notice to exercise the option would be sent within thirty (30) days of contract year expiration.

TSgt Delgado went on to say the government intended to award five (5) MACC IDIQ Contracts, but reserved the right to make either fewer or more awards depending on the quantity and quality of proposals received from perspective contractors.

5. Slide 7 – On Ramping: TSgt Delgado described the process of on-ramping during the contract performance period. He explained that the government reserves the right, at any time during the seven (7) year period, to reopen competition for the purpose of adding contractors to the MACC if it is in the government’s best interest to do so. He advised that the solicitation process for such an opening would be advertised on FedBizOps and would be the same as the original solicitation. Awardees must meet the same criteria as original awardees. Those new awardees would then compete with existing MACC contractors for task orders from that point

forward. He stated the contract ceiling would not increase due to on ramping and unsolicited requests for addition to the competitive pool would not be considered.

6. Slide 8 – Order Limitations: TSgt Delgado informed attendees of the order limitations on the MACC. He stated there was a minimum guarantee for all awardees in the amount of $2000.00 for initial task orders, except for the seed project awardee. Minimum orders will be $500,000. He explained that MACC contractors are not obligated to perform any order over $30,000,000 nor are they obligated to perform any series of orders made within three (3) business days which exceed $30,000,000 total.

7. Slide 9 – SF 1442: TSgt Delgado provided an overview of the SF 1442 that is required with the submission of proposal. He informed all attendees that Blocks 14, 15, 17, 19, 20A, 20B and 20C are mandatory.

8. Slide 10 – Section B: TSgt Delgado went through Section B of the solicitation, describing in detail the inclusion of CLIN information in this section. All attendees were informed that no pricing information should be submitted for this section in their proposals. It was also stressed that the inclusion of multiple CLINs in Section B did not imply that option years were guaranteed. He stated that pricing for the seed and sample projects should be included in proposals via Attachments J-2-2 and J-4-2.

9. Slide 11 – Sections C & E: TSgt Delgado informed attendees that the Statement of Work and Specifications, which are normally located in Section C of a solicitation, are located in Section J for this solicitation.

TSgt Delgado then went on to Section E. He stated that within Section E, prospective bidders would find two clauses, FAR 52.246-13, Inspection, Dismantling, Demolition or Removal of Improvements and FAR 52.246-12, Inspection of Construction. He explained that this latter clause states that although a government inspector will be assigned to each task order, the contractor will not be relieved of any contract requirements. He also stressed that the government inspector is not authorized to make any changes to the terms or conditions of any contract without written approval from the Contracting Officer.

10. Slide 12 – Section F: TSgt Delgado explained that two clauses are contained in Section F of the solicitation. The first is FAR 52.211-12 Liquidated Damages. This clause states that any applicable liquidated damages would be specified in the individual task orders. The second is FAR 52.211-10 Commencement, Prosecution and Completion of Work. TSgt Delgado stated that through this clause, contractors were required to commence work within forty (40) calendar days of a receipt of a notice to proceed on a task order. Additionally, the completion of work will be specified within each task order.

11. Slide 13 – Section G: TSgt Delgado briefly described Section G which covers the paying office information identified on each task order and the inclusion of DFARS 252.232-7003 which requires contractors to submit electronic invoices through Wide Area Work Flow.

12. Slide 14 – Section I: TSgt Delgado informed the attendees that Section I is where prospective bidders can locate the majority of the contract clauses that will be contained in the awarded contract. He advised everyone that clauses could be incorporated by either full text or reference and gave the website information where they shall review any clauses incorporated by reference. He also stated that offerors should complete all necessary fill-ins and certifications in Sections I through K.

TSgt Delgado stressed to attendees that, for the seed project and all subsequent task orders, they need to ensure that FAR 52.223-3, Hazardous Material ID & MSDS, DFARS 252.223-7001, Hazardous Warning Labels and DFARS 252.229-7001, Tax Relief must be completed prior to bid submission.

At this point, Ms. Shyloe Werner took the lead in the conversation and briefed the remaining portion of the presentation.

13. Slides 15 through 18– Section J: Ms. Werner provided a brief listing/description of all of the attachments contained in Section J to include the following:

14. Slide 19 – Section K: Ms. Werner informed all attendees that Section K needs to be returned in its entirety. She stated that all Reps and Certs information must be completed prior to submission.

15. Slides 20 through 23 – Section L: Ms. Werner covered the requirements listed in Section L.

She stated that all awardees must be registered in the System for Award Management. She also briefed FAR 52.215-1 Instructions to Offerors and stressed the importance of understanding all of the definitions contained within the solicitation and subsequent resulting award along with the submission, modification, revision and withdrawal of submitted proposals.

Ms. Werner went on to state that all specifications and drawings required for this solicitation were available for pickup at 18CONS.

She went through the proposal preparation instructions for Part I (Summary and Miscellaneous Data) of the proposal including the requirement of providing the original proposal plus one (1) copy of this part, again stressing the requirements of reps and certs information, licensing requirements for both business and construction, performance bonding requirements including a letter from the surety stating the company’s bonding capacity.

Ms. Werner then covered the proposal preparation instructions for Part II (Price Proposal) including the requirement of providing the original proposal plus two (2) copies of this part.

Attendees were advised to provide complete bid schedules for both the seed and model projects.

Ms. Werner briefed the proposal preparation requirements for Part III (Past Performance) including the requirement of providing the original proposal plus six (6) copies. Prospective offerors were told to provide a minimum of three (3) but no more than five (5) relevant design/build projects and three (3) but no more than five (5) relevant construction only projects.

Offerors were told to use the Project Information Sheet located in the Section J attachments. Ms.

Werner then briefed what the government will be assessing to determine relevancy for the submitted past performance projects.

Ms. Werner stated that any projects that began between the period of 01 December 2011 and 01 December 2016 would be eligible for consideration for the purposes of assessing past performance. She said that it was very important for the offerors to follow up with the clients they are requesting past performance questionnaires from as it is the offerors responsibility to ensure that they are sent in to 18CONS. PPQs are due by 16 January 2017. Ms. Werner also informed attendees that a past performance evaluation cover letter will be provided by an amendment to the solicitation no later than 23 December 2017.

16. Slide 24 through 26 – Section M: Ms. Werner emphasized to the attendees that all three (3) parts of the proposal submission should be clearly separated and identified. She requested that an electronic copy (CD) of the proposals also be submitted in addition to the hard copies. She restated the proposal due date of 16 January 2017 by 1500 and that submissions must be put to the attention of TSgt David Delgado. Ms. Werner informed the attendees that email, telegraphic and telefax offers will not be accepted.

Ms. Werner went on to explain the basis of award for the contract would be subjective trade-off where past performance would be significantly more important that price. The government will rank seed and model project proposals by price. The pricing will then be evaluated for fairness and reasonableness. The proposed prices for the seed project and the model project will be summed up to establish a total evaluated price for award.

Each offeror’s past performance information will be used to establish a confidence rating for each proposal. The confidence rating will be coupled with pricing information to make a best value determination for award. A sample matrix detailing how the proposals will be assessed was provided on slide 26. Ms. Werner also stated that the request for proposal details how the government will be evaluating proposals.

17. Slide 27 and 28 – More Info: Ms. Werner stated that the information provided at this conference shall not qualify the terms and conditions of the solicitation and/or specifications and that the terms and conditions of the solicitation and specifications remain unchanged unless they are changed in writing via an amendment.

Ms. Werner pointed out that two amendments to the solicitation have already been posted to FedBizOps. RFIs are due by 03 January 2017 at 1400. PPQs and proposals are both due by 16 January 2017 at 1500. Ms. Werner stressed that all documents must be submitted in English.

18. Slides 29 through 32 – Seed Project: Ms. Werner spoke about the seed project for the solicitation. She gave a brief description of what the project involved including the location and project magnitude. Ms. Werner stated that funds are not presently available and award will not be made until funds become available. She then explained that in order to attend the site visit individuals must have been pre-authorized. Those persons who did not receive pre-authorization cannot attend the site visit and are welcome to reconvene at the theater for questions and answers at the conclusion of the site visit.

19. At 0945 all attendees authorized to attend the site visit, along with government personnel, proceeded to the buses. They were transported to the site visit location. Upon arrival, attendees were given the opportunity to observe and photograph three (3) HAS facilities along with a transformer site that is a part of the seed project scope of work. After approximately one (1) hour at the site, attendees boarded the buses for return to the Keystone Theater for closing comments and questions and answers.

20. Ms. Werner thank everyone for coming. She encouraged all prospective offerors to submit questions via RFI to ensure that the government would be able to provide adequate answers. She requested that all questions be submitted to TSgt David Delgado by 03 January 2017 at 1400.

At this point in the conference, the floor was opened for questions. The following questions were asked:

Q: MLV Dubai:

Can the proposal be submitted by mail or does it have to be submitted in person?

A: Ms. Werner stated that delivery by mail was acceptable as long as it was received before the proposal due date.

Q: Contract Watts Inc.

On past performance requirement #4, projects must be completed in Japan, will the government consider projects not completed in Japan as relevant?

A: Ms. Werner explained that requirement #5 allowed for flexibility with this issue since it allows for projects that are completed within a similar climate zone to be considered.

Q: Mirait

According to the past performance information in the solicitation, with regard to the contract value limitation, is that taken into account for past performance evaluation relevancy?

A: Ms. Werner stated that all requirements are directly related to past performance evaluation.

The projects that are submitted for past performance evaluation purposes should be within the established guidelines. Offerors can submit additional projects. However, for relevancy purposes the submitted projects should be within the guidelines.

Q: Contract Watts Inc.

Part 3 Section A of past performance requirements; are you requesting three (3) design/ build projects and three (3) construction only projects, for a total of six (6) projects?

A: Ms. Werner explained that there should be a minimum of three (3) and no more than five (5) of both types, so three (3) design/build and three (3) construction only projects submitted.

Q: Gilbane In what situation would the government consider going through the on ramping process and adding an additional contractor? Also the same for off ramping.

A: Ms. Werner stated that on ramping was done at the CO’s discretion. There is not a process for off ramping; option years will simply not be exercised.
