SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

SECTION L - RFP INSTRUCTIONS

Section L - Instructions, Conditions, and Notices to Offerors

A. PROGRAM STRUCTURE AND OBJECTIVE

The Government intends to award up to five (5) Multiple Award Construction (MACC) IDIQ contracts, but retains the right to award more or fewer contracts based on quantity and quality of proposals received. The MACC program will consist of a broad range of multiple disciplined two-phase, design build, and/or construction only projects throughout Okinawa, Japan and provide contingency and response capabilities throughout the country of Japan. Such projects may include maintenance, alteration, repair, renovation, and minor construction utilizing multiple engineering disciplines such as architectural, structural, electrical, mechanical, and civil. The Government reserves the right to award without discussions. Award will be made on the basis of “best value” utilizing Subjective Tradeoff source selection procedures where past performance is significantly more important than cost or price. Each awarded contract will have a one (1) year base period, six (6) one-year option periods. The Government reserves the right not to exercise an option period if determined not to be in the best interest of the Government.

B. PROPOSAL PREPARATION INSTRUCTIONS

To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and any other requirements stated in the solicitation, in addition to those identified as evaluation factors. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of three (3) separate parts; Part I – Summary and Miscellaneous Data, Part II - Price Proposal, and Part III - Past Performance Proposal.

1. PART I – SUMMARY AND MISCELLANEOUS DATA. Submit original and 1 copy.

(c) Complete blocks 14, 15, 16, 17, 19, and 20A, 20B, 20C of the RFP Section A, SF1442. In doing so, the offeror accedes to the contract terms and conditions as written in the RFP Sections A through K. These sections constitute the seed contract.

(e) Representations and Certifications: The offeror shall complete the necessary fill-ins and certifications in Sections I through K. Section K shall be returned in its entirety. For Sections C through I, the offeror shall submit only those pages that require a fill-in.

(f) Licensing Requirement: Any contract resulting from this solicitation will be awarded and performed in its entirety in the country of Japan. Contractors must be duly authorized to operate and conduct business in Japan, and must fully comply with all laws, decrees, labor standards, and regulations of Japan during the performance of the contract. Offerors must be registered to do business in Japan and possess a construction license (Kensetsu-Gyo Kyokasho) issued by the Ministry of Land, Infrastructure and Transport, or prefectural government. As such, the offeror shall submit a copy of their Japanese Business License and Japanese Construction License.

(g) Performance Bonding: The Offeror shall submit a letter from a registered surety company demonstrating a surety line of credit equivalent to $30,000,000.00 (thirty million USD or Yen equivalent) for a single project, the maximum Task Order amount. The surety letter shall also outline the Offeror’s total (aggregate) bonding capacity.

2. PART II – PRICE PROPOSAL - Submit original plus 2 copies.

Offerors are not required to enter pricing information in the Section B CLINs. The CLINs show the estimated amounts inserted by the government for each performance period. In lieu of Section B, offerors are required to submit a total price for each model project on the attached project Bid Schedules in order to meet the requirements outlined in Section M, Basis of Award. Offerors shall place the Bid Schedules in Part II of their submittal.

3. PART III – PAST PERFORMANCE PROPOSAL - Only references for past efforts/contracts of relevance completed in the past five (5) years will be accepted. Submit Original plus 6 copies.

(a) Project Information Sheet (Attachment J-7) included in this solicitation, is provided for the offeror to submit previous design-build and construction only experience whose past performance is to be considered under this solicitation. Only recent projects are requested for evaluation. Offerors shall use the attached Project Information Sheet when submitting past performance information.

(1) Use Attachment J-7, Project Information Sheet, to submit a minimum of three (3) but no more than five (5) relevant design/build projects. If more than five (5) projects are submitted, only the first five (5) projects will be considered for evaluation. The sixth (6th) and any additional project will not be considered for evaluation.

This is regardless whether or not the first five (5) projects are classified as “relevant” or “not relevant” by Government evaluators.

(2) Use Attachment J-7, Project Information Sheet, to submit a minimum of three (3) but no more than five (5) relevant construction only projects. If more than five (5) projects are submitted, only the first five (5) projects will be considered for evaluation. The sixth (6th) and any additional project will not be considered for evaluation. This is regardless whether or not the first five (5) projects are classified as “relevant” or “not relevant” by Government evaluators.

If a Joint Venture (JV) is identified in Block 14 of the SF 1442 as the “prime contractor”, then a signed joint venture agreement must be submitted with the proposal and the joint venture shall be registered as such in the System for Award Management (SAM).

(i) The offeror may demonstrate prime contractor experience through one or more of the members to the

JV.

(ii) Projects performed by contractors other than the offeror (such as teaming partners) will not be evaluated as design/build or construction experience by a prime contractor unless those other contractors are part of a joint venture for this solicitation as demonstrated by a signed joint venture agreement.

(iii) For projects in which your firm or a joint venture partner firm performed the role of a subcontractor, this will not count as experience as a prime contractor.

(iv) The government will not consider prior projects completed by a joint venture prime contractor as experience by the prime contractor unless the offeror is the same joint venture entity that performed the work as the prime contractor on the prior project.

(v) Teaming arrangements are subject to the same past performance submission requirements.

(c) Quality and Satisfaction Rating of Contracts: Past Performance Questionnaires (PPQs) shall be used by the offeror in obtaining and providing past performance information. PPQs shall be sent directly from your reference to this office marked to the attention of TSgt David Delgado via e-mail to david.delgado.6@us.af.mil, or mailed to the following address:

18th Contracting Squadron Attn: TSgt David Delgado Unit 5199, Bldg. 95

APO, AP 96368-5199

(d) In addition to the above, the Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the offeror.

(e) While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

(f) The evaluation of past performance information will not take into account past performance regarding predecessor companies, will not take into account past performance of key personnel who have relevant experience, and/or

(iii) will not take into account past performance regarding subcontractors that will perform major or critical aspects of the requirement when such information is relevant to this acquisition.

(g) If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past performance information on previous teaming arrangements with same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past contracts of relevance.
