Section H - Special Contract Requirements
SPECIAL CONTRACT REQUIREMENTS
H-950. CONTRACTING OFFICER’S AUTHORITY:
No oral or written statement of any person other than the Contracting Officer will in any manner or degree modify or otherwise affect the terms of this contract. The Contracting Officer is the only person authorized to approve changes in any of the requirements under this contract and, notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely with the Contracting Officer. In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in cost incurred as a result thereof.
H-951. OPTION TO EXTEND CONTRACT LINE ITEMS (CLINS)
Due to the dynamic and changing nature of the Air Force mission requirements, the Government reserves the right to exercise or not exercise specific CLINs in any or all option periods of this contract.
H-952. CONTINUITY OF SERVICES:
In the event the incumbent is not the successful contractor for the follow-on contract award, the incumbent contractor hereby agrees to cooperate with the successor and to allow its successor to conduct on-site interviews with its employees. If said employees are agreeable to the change and are accepted by the successor, then the incumbent contractor shall release them at a mutually acceptable date. Further, the contractor shall turn over to the successor contractor all administrative records and technical data acquired or formulated during the life of this contract.
a. The incumbent contractor’s own work shall carefully fit into the successor contractor’s phase-in schedule. The incumbent contractor shall not commit or permit any act which will interfere with the performance of work by the successor contractor or by the Government. The incumbent contractor shall take reasonable steps to aid in the transition of the successor’s work force into the environment, on a non-interference basis with the incumbent contractor’s responsibilities.
b. On a non-interference basis the successor shall be allowed to observe all activities which occur during the phase-in period. These activities shall include as a minimum over-the-shoulder observance of daily activities and other requests mutually agreed to by the involved parties.
H-953. INSPECTION AND ACCEPTANCE:
Acceptance of the services and supplies performed under this contract will be accomplished by the designated Project Officer/Contracting Officer Representative (PO/COR) and all Contracting Officer Representative (CORs) at all of the locations specified in the resultant contract. In this respect, their decisions on details of inspection and acceptance (except in cases of disputes or questions of fact and law) will be accepted by the Contracting Officer, when they are within the terms of the contract.
H-954. TECHNICAL DIRECTION:
a. Technical direction under this contract will be given to the Contractor by the designated CORs only.
Technical direction is defined as the process by which the contractor receives guidance and approval for his technical effort as it relates to an element of work solely within the existing requirements of the contract, or as a result of a technical review of the Contractor’s work by the designated CORs.
b. Notwithstanding any of the terms contained herein or elsewhere in this contract, only the Contracting Officer is authorized to direct the Contractor in any manner changing the requirements of the contract.
Such redirection or modification of contract terms shall be accomplished by issuance of change orders or supplemental agreements to this contract signed by the Contracting Officer. If the Contractor believes technical direction given by a COR involves a change in contractual requirements, he will immediately notify the Contracting Officer.
H-955. INCORPORATION OF CONTRACTOR’S PROPOSAL:
a. The Government reserves the right to incorporate into this contract, by reference or full text, portions of the successful contractor’s proposal submitted in response to this solicitation as revised and supplemented through the date of Final Proposal Revision. The Performance Work Statement (PWS), and the terms and conditions of this contract take precedence over any ambiguity in the contractor’s proposal.
b. In those areas where the contractor’s proposal exceeds the stated PWS requirements, the contractor’s proposal is binding and prevails. The contractor is expected and required to adhere to its proposal approach to meeting the contract requirements.
H-956. PERIODIC PROGRESS MEETINGS:
a. The Contracting Officer, COR and other Government personnel, as appropriate, may select to meet periodically with the contractor to review the contractor’s performance. At these meetings, the Contracting Officer will apprise the contractor of how the Government views the contractor’s performance and the contractor will apprise the Government of problems, if any, being experienced. The contractor will also notify the Contracting Officer (in writing) of any work being performed, if any, that the contractor considers over and above the requirements of the contract. Appropriate action shall be taken to resolve outstanding issues.
b. The minutes of these meetings will be reduced to writing by the contractor, approved by the Contracting Officer and any other signatures as deemed appropriate, and distributed to the functional area and the contractor. Should the contractor not concur with minutes, the contractor will set out in writing to the Contracting Officer any areas of non-concurrence within 10 calendar days following approval of the minutes.
H-957. IDENTIFICATION OF CONTRACTOR EMPLOYEES:
Each Contractor employee shall, while on duty, wear in plain view on the upper portion of his outer garment a metal or plastic identification badge to be furnished by the Contractor, containing the company name, employee’s name, and the section where the employee works. In addition, all contractor employees shall clearly distinguish themselves as such in, e-mail, and verbal communications. Contractors with access to the base Local Area Network shall include their company name or the designation “Ktr” in their global address.
H-958. REIMBURSABLE TRAVEL EXPENSES:
When the Government requires the contractor to travel, in performance of this contract, the contractor will be reimbursed for actual travel costs incurred. No profit or fee will be paid in support of cost reimbursable travel . The contractor is required to provide an itemized estimate of travel costs to the Program Manager and Contracting Officer for approval – prior to scheduling travel. Travel shall be invoiced no later than the month following completion of travel. Invoices shall include backup data for travel expenditures showing the breakdown of costs.
The contractor will be reimbursed for travel expenses as follows:
a. Commercial air travel is authorized for contractor personnel traveling between their normal work location and the location of Government directed meetings and conferences. Transportation cost shall be based on actual costs incurred, on mileage basis or a combination thereof. The contractor is not authorized first-class airfare; rather he/she shall use economy/discount airfares. Costs incurred for lodging, meals and incidental expensed will be reimbursed to the extent they are reasonable for the travel location and should be comparable to the Joint Travel Regulation. The contractor is not authorized deluxe accommodations.
b. The contractor is authorized rental fees and associated costs for not more than one midsize sedan per three employees per location during each cost-reimbursable travel period. Any deviation from this type of vehicle shall require prior approval by the Contracting Officer before the contractor incurs any costs. The contractor shall take advantage of reduced weekly rates to the maximum extent possible.
c. Travel will be funded at contract award or by unilateral modification, as services are required. Funds will be established by a not to exceed (NTE) amount. The contractor shall notify the Government when 80% of the NTE amount has been reached.
d. The contractor is responsible for maintaining tracking logs of travel estimates and actuals, which shall be provided to the Government upon request.
H-959. VARIANCES AND MISSION LOAD
a. Variances
The best estimated quantity (BEQ) of annual mission load identified in the schedule is based on the anticipated need of the Air Force. The Government contemplates issuing a firm fixed price contract for simulator and platform instruction training services based on the anticipated mission for that period of performance. The monthly capability requirement for the year can be computed by dividing the mission load ordered by the number of months in the respective performance period. Should the load increase or decrease, the Government will attempt to notify the contractor in writing at least thirty (30) days in advance of any permanent mission load change so the contractor can adequately prepare for the change. The contract will then be adjusted by modification (upward or downward) to the appropriate ELIN (Exhibit Line Item Number) to match the mission load. However, the contractor shall maintain a stable and quality contract Instructor force at each site.
