About this file
Exhibit N is a confidential or proprietary information disclosure document related to a Request for Offer for Dot Net Nuke (DNN) Software Maintenance in Texas. This exhibit establishes the framework and requirements for vendors to identify and protect any confidential or proprietary information they wish to exclude from public disclosure during the procurement process. The document outlines the procedures vendors must follow when submitting sensitive business information, trade secrets, or proprietary data as part of their bids or proposals, ensuring that such information receives appropriate protection under state procurement regulations and public records laws.
The exhibit serves as a critical protective mechanism for bidders who must disclose certain operational details, pricing strategies, or technical methodologies as part of their proposals but seek to maintain confidentiality for competitive reasons. By clearly marking and justifying confidential or proprietary designations on specific documents or sections, vendors establish a formal record of their claims to confidentiality, which procurement officials must consider when responding to public records requests. This process balances the state's transparency requirements with vendors' legitimate interests in protecting sensitive business information from competitors.
