ITB Section Question Response

Terms and Conditions

1. Is there a Diversity participation percentage goal for this contract? If not, would the state be amenable to removing the Diversity Utilization Plan requirement or making it optional only if proposing diversity partners? If there is a percentage goal, participants would

There is not a required Diversity participation goal. The State declines to remove the included attachment.

ITB # 32110-13547 – Amendment # 3 Page 2 need to be able to perform professional services in order to engage diversity partners, which would require the inclusion of professional services terms and conditions.

Specifications Section 4.3

2. With the understanding that Professional Services are limited to installation and implementation services only, the members conducting these services are still determined on a case-by-case basis. For example, a particular subject matter expert may be used for a database upgrade. However a different subject matter expert may be used to conduct a database migration. There are different subject matter experts who are proficient in executing/conducting these separate project activities, and have different hourly rates associated with each subject matter expert. We request reconsideration for the State to allow a response to include all labor categories we offer, and the hourly rates associated with those members in our response. One line item/One resource will put the State in a predicament of not being able to allocate subject matter experts pertinent to delivering a successful project.

The State declines to add multiple lines for installation and implementation services. The current specification allows a supplier to charge an hourly rate up to the proposed maximum to capture a range of installation and implementation services.

Terms and Conditions Section 6.3

3. Terms and Conditions document.

Section 6.3. Could you confirm that a catalog is NOT required at the time of bid submission? If it is, could you confirm that a link to the publicly posted price lists would be sufficient to meet this requirement?

The State requires a current, digital copy of the catalog for each proposed Oracle software product at the time of bid submission.

Terms and Conditions Attachment A

4. Could you confirm if the included Oracle Supplemental Public Sector License and Technical Support Terms and Conditions Attachment A have been approved by Oracle Government Resell Group for incorporation into the new resulting contract?

The Oracle Software Programs and/or Services Public Sector Supplemental Terms and Conditions was provided to the State by the Oracle Government Resell Programs Group (GRPG) in December 2024. The State re-confirmed that this is the approved document in January 2025. For clarity, the most up to date Terms and Conditions with the approved Supplemental Terms and Conditions is included with this response.

Specifications Section 4.3

5. Installation and implementation services are not covered by the Oracle terms and conditions. May vendors propose additional professional services terms and conditions to address the implementation and integration services that are intended to be part of the resulting contract without being disqualified?

Additional terms and conditions should not be submitted.

6. We have reviewed the documents closely and there are certain items/terms that we would need to propose redlines to/negotiate in order to comply with Mythics’ reseller agreement with Oracle and Oracle’s policies, as Oracle governs the terms of all its products and related services? As the past contract allowed for negotiations, could you please confirm that we may submit proposed redlines for negotiation without being disqualified?

A Response could not be conditioned on the State agreeing to a Respondent’s terms and conditions.

The State will offer a third round of questions for bidders to submit exceptions to the State’s terms to comply with applicable Oracle reseller agreements. No other redlines will be considered.

7. Would the State be willing to add on-premise Utilities to the scope of this contract?

No. The contract will be limited to the scope outlined in section 1 of the Specifications.

Terms and Conditions Section 5.1

8. 5.1 Term of Contract. Assuming the contract effective date has been updated. Could you confirm the effective date and that the initial base term is intended to be 3 years with 2 option years?

The State now expects the contract will become effective March 14, 2025.

This is subject to change. The contract will extend for a period of 36 months after the effective date. The State reserves the right execute up to two

(2) twelve-month renewal options. The maximum term, including all renewals or extensions, shall not exceed a total of sixty (60) months.

3. ITB Amendment Effective Date. The revisions set forth herein shall be effective upon release. All other terms and conditions of this ITB not expressly amended herein shall remain in full force and effect.
