About this file
This document is the Terms and Conditions (Exhibit B) for a contract issued by the Texas Office of Court Administration (OCA) under RFO 212-26-0281. The contract establishes the foundational legal and operational framework governing the relationship between OCA and the awarded contractor. The contract becomes effective upon purchase order execution and has an initial term of 36 months, with OCA retaining the option to extend the service term for two additional 24-month periods by providing written notice in advance of expiration. The document does not specify particular products or services, response dates, or bidding conference details, as those elements are contained in other referenced exhibits including the Statement of Work (Exhibit A), Requirements (Exhibit C), Service Level Agreement (Exhibit E), and Service Level Requirements (Exhibit E-1).
The Terms and Conditions establish comprehensive requirements for contractor performance, personnel management, data security, and state compliance. The contractor must maintain professional standards of service, employ only qualified personnel approved by OCA's Project Manager, and conduct background checks and criminal history investigations on all staff with access to Authorized User Data at contractor expense. The contractor is required to maintain Workers Compensation Insurance, Commercial General Liability Insurance with minimum limits of $1,000,000 per occurrence and $2,000,000 per aggregate, and Professional Liability/Cyber Risk Insurance with minimum limits of $1,000,000 per occurrence and $2,000,000 annual aggregate. All Authorized User Data must remain exclusively within the United States, and the contractor bears responsibility for any Security Incidents, including costs for credit monitoring (36 months), identity theft insurance ($50,000), and call center support (30 days) for affected authorized users. OCA retains broad termination rights, including termination for convenience with 30 days' notice and termination for cause without notice, and the contractor must provide a 90-day warranty period following deployment acceptance. Invoicing occurs quarterly following OCA's fiscal quarter structure, with the contractor responsible for invoicing OCA at accounting@txcourts.gov and maintaining all supporting documentation for seven years following contract termination.

OCA may terminate this contract due to inadequate appropriations. OCA will not be in default for nonpayment under this contract if such funds are not available to OCA for payment of the OCA's obligations under this contract. Upon termination of the Contract, OCA will discontinue payment hereunder.
4. Standards of Services Contractor shall provide all deliverables and related services in accordance with applicable professional standards of a contractor providing the same or similar deliverables or services.
