About this file
This document is a Due Diligence Posting for ITS64, a statewide contract for Oracle Products and Services issued by the Commonwealth of Massachusetts, specifically the Operational Services Division (OSD). The contract is designed for use by Massachusetts state and local government entities, including cities, towns, counties, state branches, public libraries, school districts, public hospitals, higher education institutions, and public purchasing cooperatives. Additionally, public sector entities in Maine, New Hampshire, Vermont, and Rhode Island are eligible to use the contract, with potential expansion to other entities as approved by the State Purchasing Agent.
The contract replaces the previous ITS19 Oracle Software and Services contract and will have a primary vendor (Oracle America, Inc.) providing a comprehensive range of Oracle software products and related services. The initial contract term is 5 years with up to 5 optional 1-year renewals, for a maximum total contract duration of 10 years. The contract covers software licensing, technical support, maintenance, consulting, training, and cloud services, with the potential to add hardware in the future. A 1% Contract Administration Fee will be applied to all purchases, and Oracle is required to maintain a supplier diversity program. Eligible entities can place orders directly through Oracle, and the contract includes provisions for adding new products and services through contract amendments.

1 INTRODUCTION AND GENERAL DESCRIPTION
The intent of this due diligence posting is to determine if there are any interested vendors, other than Oracle America, Inc., who can commit to providing the full range of products and services specified herein. This includes all Oracle software and all Oracle software-related services presently available under ITS19, such as maintenance, support, consultation, training, and Software as a Service (SaaS). Although the initial scope of the contract will not include hardware, the contract will allow for addition of hardware at a later date.
The current contract, which began on 11/16/2004, is PO-15-1080-OSD01-OSD10-00000003846 on COMMBUYS. A COMMBUYS login is needed to view this document. To obtain a COMMBUYS login, go to www.commbuys.com and follow instructions at the "Register" link.
Interested bidders, other than Oracle America, Inc., must provide evidence of their qualifications and willingness to meet the specifications below, some of which will be subject to negotiation. In addition to negotiations that will be needed to establish the initial term of the Contract, over the life of the Contract, changes may occur to either Commonwealth requirements (for example, due to new Executive Orders, laws, regulations, or policies) or to Oracle requirements (for example, due to new software delivery models or software acquisitions, or to other factors). In the past, changes have required extensive negotiations between the Commonwealth and Oracle. The bidder must indicate how such negotiations requiring Oracle's approval would be handled so as not to introduce delays in the negotiation process, as would normally be expected if the Commonwealth were negotiating with a third party rather than dealing with Oracle directly. In addition, in the past the Commonwealth has negotiated large volume aggregate agreements with steeper discounts and better terms. The bidder must indicate how such negotiations would be handled in the future, and how the Commonwealth can be assured that the bidder is able to offer pricing and terms equal or better than those the Commonwealth would receive in dealing with Oracle directly.
OSD will review all submissions and determine an appropriate course of action.
Any questions regarding this notice MUST be posted in the Q & A section. Phone calls, emails, or other types of communications are not acceptable. Responses are due no later than the date and time shown on the General Tab for this notice as Bid Opening Date, and must be submitted via
COMMBUYS.
1.1 Procurement Scope and Description

Contractors will be responsible for marketing their goods and/or services to Commonwealth Executive Department Agencies and other Eligible Entities.

3 APPENDIX 1 – REQUIRED TERMS FOR ALL IT STATEWIDE CONTRACTS
3.1 Enterprise Policy and Standards
The requirements set forth in this section (hereinafter the “ITD Standards” or “EOTSS Standards”) do not impose contractual obligations on Contractor with respect to its commercial off the shelf computer software, first year technical support and/or subsequent renewals of technical support and cloud services, except under the following circumstances: (1) where the Eligible Entity has included all or a portion of the ITD Standards in a solicitation (defined as an RFR (Request for Response), RFQ (Request for Quotes), IFB (Invitation for Bids) or RFP (Request for Proposals)), posted on the Commonwealth’s COMMBUYS system, either by referencing such ITD Standards in the body of the solicitation, or by posting on the COMMBUYS page for such solicitation the Operational Services Division’s Required Specifications for Information Technology; (2) where Contractor is providing customization or development services; or (3) where Contractor has expressly agreed to comply with all or a portion of the ITD Standards as set forth in an Ordering Document. Notwithstanding the foregoing, Executive Department agencies’ procurement choices and use of technology are governed by ITD Standards.
All IT systems and applications developed by, or for Executive department agencies or operating within the Massachusetts Access to Government Network (MAGNet), must conform with the Enterprise Information Technology Policies, Standards and Guidance promulgated by the Commonwealth’s CIO as they existed at the time the solicitation for a specific engagement was posted, unless otherwise specified in the solicitation, or the resulting contract. Non-conforming IT systems cannot be deployed unless the Eligible Entity and the Contractor have jointly applied for and received in writing from the Commonwealth’s CIO or his designee, notice that a specified deviation will be permitted. The Enterprise Information Technology Policies, Standards & Procedures are available at http://www.mass.gov/anf/research-and-tech/policies-legal-and-technical-guidance/it-policies-standards-and-procedures/ent-pols-and-stnds/. The Enterprise Access Control Policy is available at http://www.mass.gov/anf/research-and-tech/cyber-security/security-for-state-employees/security-policies-and-standards/enterprise-access-control-policy.html.
Please Note: Given the pace of information technology innovation, Eligible Entities and their contractors are encouraged to contact the EOTSS CommonHelp group at commhelp@state.ma.us or 1 (866) 888-2808 to signal a system or application design and development initiative. Such advance notice helps to ensure conformance with the relevant Enterprise Technology Policies, Standards and Procedures.
Contractor delivery of IT systems and applications that fail to conform to the Commonwealth’s Enterprise Information Technology Policies, Standards and Procedures, absent the Commonwealth CIO’s grant of written permission for a deviation, shall constitute breach of any Contract entered as a result of this RFR and any subsequent RFQ. The Commonwealth may choose to require the Contractor, at his own cost, to re-engineer the non-conforming system for the purpose of bringing it into compliance with Commonwealth Enterprise Information Technology Policies, Standards and Procedures.

3.5 Statewide Contract Administration Fee and Report
This Statewide Contract is subject to a 1% Contract Administration Fee, which is created pursuant to MGL c. 7, § 3B, 801 CMR 4.02 and the Transaction Fee section in this Bid and/or incorporated by reference into Statewide Contracts with the Operational Services Division (OSD). The price stated in any Bidder’s Quote price and any Contractor’s Statewide Contract shall be inclusive of this fee and Contractors shall not reflect this fee as a separate line item on customer invoices.
This fee will be based on 1% of the total dollar amounts, adjusted for credits or refunds, invoiced to Eligible Entities by the Statewide Contractor based on this Statewide Contract. All purchase orders and purchases made pursuant to this Contract are subject to this fee regardless of whether the Contract was awarded for statewide or regional coverage. For the list of entities that are eligible to use this Statewide Contract (Eligible Entities) see Section 1.5 of this Contract.
Note that if the 1% Administration Fee is deductible as a business expense for federal income tax purposes, it is also deductible as an expense for Massachusetts tax purposes.

3.5.1 Quarterly Fee Payment
For each Payment Period, Statewide Contractor shall pay to OSD a fee equal to one percent (1%) of the total invoices (adjusted for credits or refunds) issued to all Eligible Entities that have purchased from the Statewide Contractor pursuant to this Contract. All payments will be based on full calendar quarters (Payment Periods) and must be received by OSD on or before 45 days after the last day of the Payment Period (as specified below) or a Contractor will be considered in breach of contract:
Quarter Payment Period Quarterly Payment Due Date
First Quarter
January 1st – March st
May 15th
Second Quarter
April 1st – June 30 th August 15th
Third Quarter
July 1st – September th
November 15th
Fourth Quarter
October 1 – December st
February 15th
Quarterly payments will include any periods less than a full calendar quarter if a contract does not start at the first day of a quarter or end on the last day of the quarter.
Payments are to be made by check or Automatic Clearing House (ACH).
There is no charge to vendors to use ACH as OSD covers the nominal fee charged by the secure payment center for using the ACH payment method. OSD will NOT cover the convenience fee for selecting to pay by credit card. This is a fee the contractor is responsible for paying and is non refundable; the fee is over and above the 1% Administration Fee and it is calculated at 2.49% of the 1% Administration Fee to be paid.
Prior to the due date for the Statewide Contractor’s Administration Fee payment, the Statewide Contractor will receive an e-mail communication from OSD that includes all required information the Statewide Contractor must use to submit its payment. Electronically submitting your payment, which is comprised of the 1% administration fee of the total invoices issued by the Contractor to all Eligible Entities for the Quarter, will serve as the Statewide Contractor Administration Fee Report. If the total Administration Fees due for the Payment and Reporting Period are less than $50, a Statewide Contractor may carry over that balance to the next Payment and Reporting Period until the cumulative amount owed is $50 or greater (see Quarterly Reporting below for instructions).
3.5.2 Quarterly Reporting
Contractor shall submit one Statewide Contractor Administration Fee Report for each Statewide Contract for each Payment Period. If an amount greater than $50 is due for the Payment Period, then the electronic submission of the payment shall serve as submission of the Statewide Contractor Administration Fee Report, as referenced in the Quarterly Fee Payment section above. However, if the total Statewide Contractor Administration Fee due is between $0 and $50, then the Contractor must submit one Statewide Contractor Administration Fee Report for each Statewide Contract for each Payment Period. If the Statewide Contractor submits this report, it must be completely filled out, signed by the Statewide Contractor via electronic
Due Diligence Posting ITS64 / COMMBUYS BD-16-1080-OSD03-SRC01-00000006714 Page 10 signature under the pains and penalties of perjury and emailed to osdfeeadministrator@massmail.state.ma.us.
3.5.3 Audit:
If an audit authorized pursuant to the terms of the Contract indicates that Contractor has materially underpaid OSD amounts payable for the Contract Administration Fee and the Contractor does not dispute the results of such audit, then the Contractor shall remit the underpayment and be responsible for payment of any reasonable costs associated with the audit.
3.5.4 Other Terms
All amounts payable by the Contractor to OSD under this Contract that are not received by the due date specified shall bear simple interest from the date due until paid. The Late Payment Interest Rate is set by the Office of the State Comptroller on an annual basis and can be found by selecting the fiscal year in question on the Comptroller’s Fiscal Year Updates webpage.
In the event of the Contractor’s breach of this Section 3.5 including, but not limited to, non-reporting, non-payment, late reporting/payment, under-reporting/payment, the Commonwealth reserves the right to pursue any and all recourse and penalties available including, but not limited to, contract suspension and contract termination. The Commonwealth is allowed to suspend, terminate or debar pursuant to Massachusetts General Laws Chapter 29, Section 29F, as amended, and pursuant to Section 4 of the Commonwealth Terms and Conditions.
