The contractor shall furnish all labor, facilities, materials, services, transportation, preservation, packaging, packing and marking required to furnish and supply items set forth below all in accordance with (IAW) the terms, conditions, and provisions set forth herein. Detailed descriptions of the supplies or services to be furnished can be found in Section C. For additional information regarding the below Contract Line Item Numbers (CLINs) refer to “B.2 Contract Pricing.” Also see Section H, Clause H.7 for ordering procedures.

B.1(e) Other NAS Battery Requirements.

“Minimum Guaranteed Quantity/Estimated Contract Value/Maximum Limitations of Orders. The Government plans to make multiple awards of an Indefinite Delivery/Indefinite Quantity with Time and Materials provisions contract. At time of award, Base Year only, each contractor will be issued one (1) task order IAW clause H.7. The Government shall order, in terms of dollars, the guaranteed minimum quantity of $5,000 per contract awarded, during the base period. The minimum guaranteed amount is designated for Post Award conferences, Program Management Reviews, and Site Surveys. The minimum guaranteed quantity applies to the base year only. The maximum estimated dollar value applies to the sum of all orders placed against the multiple award contracts. The actual 5-year estimated dollar value of orders, for each contract, will be determined by the number of proposals rated technically qualified.”

B.2 Contract Pricing (Applicable to base contract period and all option contract periods).

(a) The pricing methods/arrangements set forth at B.3 below will be used in pricing contract effort for all CLINs as described at B.1(a) through B.1(e), as well as elsewhere in Part I—The Schedule, and applicable attachments and exhibits.

(b) For CLINs A0100B (racks), C (spill containment) through A0800B (racks), C (spill containment), A0900 Support Equipment Candidate List, B0100, B0200, C0200 and corresponding CLINs in Option contract periods 1 through 4, identified at B.4, prices shall not be adjusted.

(1) Prices for the contractor’s offerings for CLINs A0100B, C through A0800B, C are to be set forth in Attachment J.20, Vendor Proposal Price Sheet upon award. The battery rack and spill containment make, model, and Part Number are inserted in Exhibits A through H, and incorporated at Section J, Attachments J.5 through J.12.
(2) Prices for the contractor’s offerings for CLIN A0900 are to be set forth in Attachment J.20, Vendor Proposal Price Sheet upon award. The Support Equipment Candidate List, model, and Part Number are inserted in Exhibit I, and incorporated at Section J, Attachment J.13.
(3) Prices for the contractor’s offerings for CLINs B0100, B0200, C0200 and corresponding CLINs in Option contract periods 1 through 4 are to be set forth in Section-B, B.1 and Attachment J.20.

(c) For CLINs A0100A (batteries) – A0800A (batteries), and Option contract periods 1 through 4, all products/services offered by the contractor through its supplier(s) and/or subcontractor(s), pricing will be in accordance with the actual manufacturer’s published price list/catalog, as applicable, less all applicable discounts to the contractor. Prices for CLINs A0100A (batteries) – A0800A (batteries) in the Base Contract Period, shall not be adjusted.

(1) It is understood that the discount rates provided at CLINs A0100A through A0800A (Section-J Attachment J.20, Vendor Proposal Price Sheet) to the contractor’s supplier(s) and/or subcontractor(s) list/catalog price for Option Contract Period 1, as well as corresponding CLINs for Option Contract Periods 2 through 4 identified at B.4 shall apply. The contractor shall provide a copy of their or its supplier(s) and/or subcontractor(s) published price list/catalog along with supporting documentation, and completed Optional Contract Period Section – B CLINs, and Section-J Attachments J.20, Vendor Proposal Price Sheet, to the FAA Contracting Officer not later than 60 days before the last day of the Base Contract Period, as well as Options 1 through 3. (Note: Prices reflecting the negotiated discount may be rounded up or down to the nearest whole dollar in order to facilitate ordering and invoicing).
(2) Prices for the contractor’s offerings for CLINs A0100A– A0800A (Battery Strings and individual Batteries) are to be set forth in Attachment J.20, Vendor Proposal Price Sheet upon award. The Battery String and Individual Battery make, model, and Part Number are inserted in Exhibit A through H, and incorporated at Section J, Attachments J.5 through J.12.
(3) Prices for corresponding CLINs for Options 1 through 4 identified at B.4 will be established IAW paragraph (c)(1) above utilizing the format established for the respective Price Exhibit Attachment J.20, Vendor Proposal Price Sheet. See Section-H, paragraph H.6 “Economic Price Adjustment (Supplies) Option Year CLINs A1100A through A1800A, A2100A through A2800A, A3100A through A3800A, and A4100A through A4800A.”

B.3 Pricing Methods/Arrangements

(a) CLIN A0100A through A0800A (Battery String/Individual Battery)for the Base Period is priced on a firm-fixed-price basis. Corresponding CLINs for Options 1 through 4 as identified at B.4 are priced on a fixed-price with economic price adjustment basis with adjustments based on established prices (see B.2(c) above), offered price discount, and H.6, Economic Price Adjustment (Supplies). Pricing for the Base Period and Options 1 through 4 is FOB origin.

(b) CLIN A0100B (Battery Rack) and C (Spill Containment) through A0800B and C, and A0900 (Support Equipment)for the Base Period as well as all corresponding CLINs for Options 1 through 4 is priced on a firm-fixed-price basis.

(c) CLIN B0300 (installation) for the Base Period, as well as all corresponding CLINs for Options 1 through 4 identified at B.4, is Not-to-Exceed (NTE) amount, with an estimated quantity of 167 sites per year. Negotiated price per site task order issued as a firm-fixed-price basis that includes labor, travel, per diem, and any miscellaneous hardware needed to install the battery string. Battery string is furnished under CLINs A0100 through A0800 or is Government Furnished Equipment (GFE); cost of shipping and recycle/disposal covered under CLINs B0400 and B0500; and, Testing and Test Data Report covered under CLIN B0600.

(d) CLINs B0400 and B0500 (delivery-recycle/disposal) for the Base Period, as well as all corresponding CLINs for Options 1 through 4 identified at B.4, are Not-to-Exceed (NTE) amounts with and estimated quantity for each CLIN of 167 sites. Negotiated price per site task order issued as a firm-fixed-price basis. Reimbursed at contractor’s cost IAW Section-H, paragraph H.5. Used when CLINs A0100 through A0800, as well as all corresponding CLINs for Options 1 through 4 identified at B.4, are ordered and installed using CLIN B0300, and corresponding Options 1 through 4, or installed by others.

(e) CLIN C0100 firm-fixed-price, for the Base Period, as well as all corresponding CLINs for Options 1 through 4 identified at B.4 is for Program Plan and Program Management Cost Report. This CLIN is exercised at the Contracting Officer’s option. The Contracting Officer will determine if this report is needed less frequently than monthly. That decision is based on number of task orders being processed by the vendor.

(f) CLIN C0201 and C0202. A fixed-price per staff hour, not including per diem and travel, pricing arrangement will be used for this CLIN. Base Period, as well as all corresponding CLINs for Options 1 through 4 identified at B.4, is Not-to-Exceed (NTE) amount. This CLIN is exercised at the Contracting Officer’s option to cover conferences, program management reviews, and meetings not associated with individual installation projects or task orders. The number of vendor personnel funded under this CLIN, to attend conferences and meetings, is determined by the Contracting Officer before the conference or meeting.

(g) CLINS D0100 and D0101 for the Base Period, as well as all corresponding CLINs for Options 1 through 4 identified at B.4, is Not-to-Exceed (NTE) amount. These CLINs are used when CLIN C0200 is exercised and at the direction of the Contracting Officer to cover conferences, program management reviews, and meetings not associated with individual installation projects or task orders, reimbursed IAW H.8. The number of vendor personnel reimbursed for travel, to a meeting or conference, is determined by the Contracting Officer prior to any meeting or conference. Meetings held at the Vendor’s office of record, City or County, are not eligible for Travel and Per Diem reimbursements.

(h) CLINS B0100-B4100 are firm-fixed-price and include per diem and travel within the 48 contiguous United States to perform Site Surveys when directed at NAS facilities where battery system replacement is required IAW Attachment J.1, paragraph 7.1.1. Site Surveys outside the 48 states are amended to include travel and per diem differential costs.

(i) CLINS B0200 – B4200 are firm-fixed price.

(j) CLIN B0600 Testing and Test Data Report for the Base Period, as well as all corresponding CLINs for Options 1 through 4 identified at B.4, is Not-to-Exceed (NTE) amount, with an estimated quantity of 167 sites per year. Negotiated price per site task order issued as a firm-fixed-price basis that includes labor, travel, per diem, and any miscellaneous equipment needed to test and record test data. Battery string installation covered under CLIN B0300.

C.1 STATEMENT OF WORK

The Contractor shall furnish all required labor, plant, materials, fixtures, equipment, tools, test equipment, technical data, technical expertise and all other facilities necessary to provide all parts and services as described in the Statement of Work and Battery System Equipment Characteristics, Section J, Attachments J.1 and J.2, respectively, in accordance with the terms, conditions, and provisions set forth herein

C.2 EMERGENCY SITUATIONS AND EXERCISES DURING CONTRACT CLA.4548 PERFORMANCE CONTRACT PERFORMANCE (JULY 2015)

(a) Emergency situations and exercises are temporary exceptions to the prohibition of contractor personnel not being subject to the direction and control of Government personnel when performing non-personal contract services in FAA facilities.
(b) All contractor personnel at a FAA work site or facility during an actual emergency shall conform to the procedures posted or directed by FAA officials responsible for emergency response at that site or facility. Such officials include evacuation wardens/monitors, security personnel, Emergency Readiness Officers, management, etc.
(c) Contractor personnel shall participate in all emergency exercises, including evacuations, as part of performance under this contract. On rare occasions and based on advance arrangements that are then announced at the time of an exercise, contractor personnel will be excused from evacuations.
(d) Contractor management/supervisors shall ensure that each contractor employee assigned work in FAA facilities possesses a general awareness of emergency and evacuation procedures at all locations where the employees might be during an emergency or exercise. Information on emergency procedures may be requested from the Contracting Officer’s Representative (COR) or a designated FAA contact point at the work site.

PART I-SECTION D

PACKAGING AND MARKING

D.1 PACKING AND PACKAGING

All deliverables under this contract shall be preserved and packaged in accordance with the most economical and best commercial practices to assure delivery at the destination and to prevent deterioration and damage due to shipping, handling and storage hazards.

D.2 REPORTS AND OTHER DOCUMENTATION

Reports and other documentation, including Contract Data Requirements List (CDRL) items, shall be submitted electronically to the Contracting Officer and designated Contracting Officer’s Representative (COR.)

E.1 INSPECTION AND ACCEPTANCE

Inspection of the supplies and services to be furnished hereunder will be made by the Contracting Officer’s Technical Representative and acceptance will be made in writing by the Contracting Officer upon successful completion of all testing and Contractor Acceptance Inspection (CAI).

E.2 INSPECTION AND ACCEPTANCE OF DOCUMENTS

Inspection and acceptance of documents shall be in accordance with each CDRL.

E.3 INSPECTION AND ACCEPTANCE AT DESTINATION (JANUARY 1997) CLA.1908

(a)Final inspection and acceptance shall be at destination.
(b)Although source inspection by the Government is not anticipated under this contract, the provisions of this clause shall in no way be construed to limit the rights of the Government under the following AMS clauses: Inspection of Supplies--Fixed-Price (3.10.4-2), Inspection of Services--Fixed-Price and Cost Reimbursement (3.10.4-4), and Inspection—Time-and-Materials and Labor-Hour (3.10.4-5).

DELIVERIES OR PERFORMANCE

F.1 DELIVERABLES/DELIVERY SCHEDULES

Deliverables/delivery schedules for equipment and services are specified below:

(a) CLINs A0100-A0400 Battery string shall be delivered within 60 calendar days from receipt of delivery order.
(b) CLINs A0500-A0800 Battery string shall be delivered within 21 calendar days from receipt of delivery order.
(c) CLIN A0900 Support Equipment Candidate List (SECL) delivery shall be 30 calendar days from receipt of Delivery Order.
(d) CLIN B0100, B0200, and B0600 IAW the CDRLs.
(e) CLIN B0300 Standard battery string replacement shall begin within: 21 calendar days from receipt of task order for CLINs A0500-A0800; and 60 calendar days from receipt of task order for CLINs A0100-A0800.
(f) CLINs B0400 Delivery commensurate with CLINs A0100 through A0800 delivery times.
(g) CLIN B0500 battery string recycle/disposal coordinated with battery delivery plus one (1) day.
(h) CLIN C0100 IAW the CDRLs.
(i) CLIN C0200, D0100 and D0101 IAW SOW 3.1.3, pre-approval by Contracting Officer required.
(j) CLIN E0100 To-Be-Determined.

(Note: Deliverables/Delivery schedules cited in (a) through (j) above apply to corresponding CLINs for Options 1 through 4 identified in Contract Section-B, paragraph B.4.)

F.2 PLACE OF PERFORMANCE

The effort required by this contract shall be performed at the contract facility and various FAA locations and will be specified in the individual task/delivery orders.

F.3 EQUIPMENT DELIVERY (CLINs B0400)

The Contractor shall deliver battery strings and all supporting equipment at the site specified in the task/delivery order in accordance with the requirements herein and the SOW. The Contractor shall remove and dispose of the replaced battery string by recycling, in accordance with the SOW.

(a) DELIVERY. The contractor shall, as required, provide equipment delivery service to locations within the 48 contiguous United States.
(b) OUTSIDE CONTIGUOUS UNITED STATES. The contractor shall, as required, provide equipment delivery service to locations outside the 48 contiguous United States.
(c) GROUND LEVEL DELIVERY. The contractor shall provide ground level delivery service (sometimes referred to as “lift gate truck” service) as required where no further movement of equipment is performed by the carrier, other than deliver equipment to the site and remove from the truck to ground level. This delivery service used when CLINs B0400 battery strings are installed by others.
(e) INSIDE DELIVERY. The contractor shall provide inside delivery service as required to remove equipment from delivery truck and place the equipment inside the facility. This delivery service is only used when CLIN B0400 battery strings are installed by others.

F.4 RECYCLE/DISPOSAL (CLIN B0500)

Recycle all spent batteries in accordance with Federal, State and Local regulations. Provide recycle documentation to the Contracting Officer or Resident Engineer. The Contractor shall deliver arrange for pickup, transportation and recycling of battery strings. Contractor shall remove and dispose of the replaced battery string by recycling, in accordance with the SOW.

F.5 AUTHORIZED PERFORMANCE (JULY 2015) CLA.0168

The execution of a contract shall not constitute authority for the contractor to commence performance. Performance shall be ordered by the issuance of a formal delivery order by an authorized Contracting Officer of the Mike Monroney Aeronautical Center. Orders issued orally or by written telecommunications shall reference a formal delivery order number and shall be confirmed by issuance of the formal delivery order.

F.6 CHANGE TO INDIVIDUAL DELIVERY ORDER SCHEDULE (JANUARY 1997) CLA.1137

(a) The delivery schedule(s) of all delivery orders issued hereunder shall be established in accordance with the terms of the contract.
(b) In the event that the Contractor fails to deliver in accordance with the established delivery schedule(s) and if such failure is not due to an excusable delay as defined in the Default clause of this contract, the Government and the Contractor may at the Government's option, negotiate a revised delivery schedule(s) in exchange for adequate consideration to the Government. A contract modification will not be required, but the delivery order(s) shall be amended in writing accordingly.
(c) A delivery order change or amendment made pursuant to this clause shall not affect the delivery schedule(s) of any other delivery order(s) issued under this contract.
(d) This clause shall not limit the Government's rights under the Default clause.

F.7 CONTRACT PERIOD (JANUARY 1997) CLA.1604

The effective period of this contract is one (1) year from date of award, or as may be extended by options issued hereunder.

F.8 ACCELERATED DELIVERY (JANUARY 1997) CLA.1817

Any Schedule for delivery or performance may be expedited at the contractor's option, if without additional expense to the Government.

PART I-SECTION G

CONTRACT ADMINISTRATION DATA

G.1 WARRANTY - PRODUCTS

(a) Battery(s). The battery contractor(s) shall be responsible for all F.O.B. destination costs during the warranty period, e.g. interconnection parts, packaging, handling, shipping and transportation. Warranty begins 60 calendar days from date of delivery, or date of battery string installation, whichever occurs first. Parts used for replacements are warranted for the longer of 90 days or the remainder of the original warranty period. The Contracting Officer (CO) will give written notice of any defect or nonconformance to the contractor within a reasonable period of time after discovery. Replacements of contract items shall be made promptly and on a FOB destination basis.
(b) Minimum warranty period:
(1) CLINs A0100-A0400 thirty-six (36) months from date of installation or thirty-eight (38) months from date of shipment, whichever occurs first, prorated through the design life.
(2) CLIN A0500-A0800 thirty-six (36) months from date of installation or thirty-eight (38) months from date of shipment, whichever occurs first, prorated through the design life.
(3) CLIN A0900 twelve (12) months from date of delivery.

(Note: Warranties cited in (1) and (2) above apply to corresponding CLINs for Options 1 through 4 identified in Contract Section-B, paragraph B.4.)

(c) This clause does not limit the FAA’s rights under the contract in relation to latent defects, fraud, or gross mistakes that amount to fraud and rights provided under the uniform Commercial Code.
