About this file
This document is an Interconnection and Metering Agreement established by the City of Pasadena's Department of Water and Power (PWP) for distributed renewable energy generation facilities of 200 kilowatts or greater that connect directly to Pasadena's electric distribution grid. The agreement applies to customers providing eligible renewable energy resources—including solar and other renewable electrical generation facilities—as defined under California Public Utilities Code Section 399.12 who have executed a Power Purchase Agreement (PPA) with Pasadena. Customers must submit facility plans and design packages for PWP approval prior to construction and obtain all required governmental authorizations and permits. The generating facility must conform to National Electrical Code, Institute of Electrical and Electronics Engineers standards, California Energy Commission requirements, and Pasadena's Regulations 21 and 23. Customers cannot commence parallel operation of the facility until receiving written approval from PWP's Authorized Representative, which must be provided within ten working days of receiving all required documentation and the final governmental inspection approval. The agreement allows PWP to require curtailment, interruption, or reduction of energy deliveries for maintenance, emergency situations, force majeure events, compliance with electrical practices, or if the facility endangers personnel, the grid, the environment, or property. Customers must provide thirty days' written notice prior to facility removal or decommissioning.
Cost responsibility is divided between PWP and the customer: PWP is responsible for designing, installing, and funding upgrades within the public right-of-way up to the premises line for grid interconnection, while customers design, install, and fund all internal equipment and improvements located within the premises line. PWP furnishes, installs, and owns revenue-quality meters to measure energy generation and charges a meter fee to cover purchase and installation costs. Customers with generating facilities under one megawatt in nameplate capacity must secure and maintain commercial general liability insurance with a combined limit of one million dollars per occurrence; customers with facilities exceeding one megawatt must negotiate insurance coverage in good faith as reflected in Exhibit A. The agreement is governed by California law with venue in Los Angeles County and becomes effective upon execution by both parties. The agreement terminates on the earliest of: the final day of the delivery term specified in the PPA, mutual written agreement to terminate, or thirty days after written notice of breach if the breach is not cured within that period. After termination, any electric service provided by PWP to the customer shall be governed by applicable sections of the Pasadena Municipal Code Chapter 13.04.
