The agreement is between the State of Florida Department of Environmental Protection and SedVision, LLC, with project management oversight provided by Lydia Walker for the Department and Denver J. Stutler, Jr. for the Contractor. The project is located at the City of Bowling Green Wastewater Treatment Facility in Florida.

The Contractor shall provide services to map and estimate the loss of capacity in the City of Bowling Green's wastewater oxidation ditch tank due to accumulated debris (sand and grit). The contract is structured as cost reimbursement with a total Task Assignment value of $21,945.00. Key deliverables include submission of a mapping plan within 60 days of assignment, completion of the mapping process within 40 days of plan approval, and delivery of final documentation within 120 days of mapping completion. Final deliverables consist of a map identifying debris location with supporting quantitative and visual data, and calculations of debris volume and tank capacity loss expressed as a percentage. The Department's Contract Manager must provide written acceptance of deliverables before payment is authorized, with a 15-day review period; failure to accept within this timeframe results in deemed rejection. The contract includes penalty provisions whereby invoices are reduced by 1% for each day the Contractor fails to meet agreed timelines. ATTACHMENT 1

1. Scope of Work.

The Contractor shall provide services to map and estimate the loss of capacity in publicly owned utilities’ wastewater tanks due to accumulated debris at an oxidation ditch at the City of Bowling Green WWTF. Sediment sampling is not included but may be added upon request from the utility and written approval from the Department’s Contract Manager.

2. Definitions.

In this Contract, the following terms shall be defined as set forth below:

a. Debris: Solid material (sand and grit) that accumulates at the bottom of wastewater tanks.

b. Publicly Owned Utilities: utilities owned by governmental entities or political subdivisions/public utility districts.

3. Contractor Responsibilities.

a. Tasks and timeline. Contractor will provide a mapping plan to the Department for each tank assigned within 60 days of assignment. The plan will include a price, estimated timeline and schedule of events. Once a plan is submitted, the Department will have ten (10) days to review and approve the plan. Once a plan is approved, Contractor may begin the mapping process in accordance with the agreed upon schedule.

Within forty (40) days of an approved plan, Contractor will use its scientifically-backed method of determining the amount of debris within an assigned tank and its loss of capacity according to the plan submitted to the Department.

b. Deliverables. Within 120 days of completion of the mapping process, Contractor will provide to the Department and the public utility:

i. A map showing the location of accumulated debris within the assigned wastewater tank(s), along with any supporting data (quantitative and/or visual) collected during the mapping process; and

ii. Its calculations of volume-proportioning amounts for the debris and the loss of capacity of the assigned tank(s) as a percentage, along with a sufficient explanation of how these calculations were achieved.

c. Performance Measures. The Department’s Contract Manager will review the documentation to verify that the deliverables are completed as described above. Upon review and written acceptance by the Department’s Contract Manager, the Contractor may proceed with payment request submittal.

Maximum Budget for TA 39: $21,945.00

4. Department Responsibilities.

The deliverables must be received and accepted in writing by the Department’s Contract Manager before payment. If Department’s Contract Manager does not accept the deliverables within 15 days of receipt, they will be deemed rejected.

5. Enforcement.

The Department reserves the right to reject deliverables as incomplete, inadequate, or unacceptable due, in whole or in part, to the Contractor’s lack of satisfactory performance under the terms of the Contract. Failure to fulfill the applicable technical requirements or complete all tasks or activities in accordance with the Scope of Work will result

Rev. 7/26/2020 in rejection of the deliverable and the associated invoice. No payment will be made for deliverables deemed unsatisfactory by the Department. In the event that a deliverable is deemed unsatisfactory by the Department, the Contractor shall: a. Re-perform the services needed for submittal of a satisfactory deliverable, at no additional cost to Department, within thirty (30) days of being notified of the unsatisfactory deliverable. b. If a satisfactory deliverable is not submitted within the specified time frame, the Department may, in its sole discretion: 1) assess liquidated damages if specified in the Contract or Task Assignments; 2) request from the Contractor agreement to a reduction in the amount payable; 3) suspend all Work until satisfactory performance is achieved; and/or 4) terminate the Contract for failure to perform. In addition, as a financial consequence the Department will reduce an invoice by 1% for each day that the Contractor fails to meet an agreed upon timeline, unless the timeline is extended in writing by the Department.
