About this file

Amendment No. 1 to Contract No. GC121 is executed between the Florida Department of Environmental Protection and WSP USA Inc., located at One Penn Plaza, New York, New York 10119. This amendment reflects a corporate merger in which Ecology and Environment, Inc., the original contractor, ceased to exist on September 1, 2020, and was merged into WSP USA Inc., the surviving corporation. WSP USA Inc. assumes all contractual rights, duties, liabilities, and responsibilities of the predecessor firm under the original contract effective June 4, 2020. The amendment updates the contractor name and Federal Employer Identification Number (FEID) from that of Ecology and Environment, Inc. to WSP USA Inc. (FEID 11-1531569).

The contract provides staff augmentation services for site management under the Petroleum Restoration Program (PRP). Amendment No. 1 adds a comprehensive dispute resolution provision requiring claims to be presented in writing within 30 days of arising, followed by informal conference within 10 days and formal conference within 30 days of the Department's written response. Either party may request mediation at the seeking party's expense, and unresolved claims may be litigated in Leon County, Florida courts. All other terms and conditions of the original contract remain in effect, with amendment provisions controlling in the event of any inconsistencies with the underlying contract.
