About this file
This document is a draft AIA Document A101-2017 Standard Form of Agreement between Owner and Contractor for a stipulated sum construction contract, adopted in conjunction with the Willow Run Park Renovation & Expansion project in Port Orange, Florida. The agreement establishes the contractual framework for construction services and incorporates AIA Document A201-2017 General Conditions of the Contract for Construction by reference. The contract documents define the work scope, commencement date, substantial completion requirements, contract sum, payment terms, dispute resolution procedures, and termination provisions. The document is presented as a template with blank fields requiring completion by the contracting parties, including identification of the owner, contractor, architect, project description, contract sum amount, payment schedules, contract time in calendar days, retainage percentages, liquidated damages terms, and dispute resolution methods. The agreement specifies that the contract documents consist of the executed agreement, general and supplementary conditions, drawings, specifications, addenda issued prior to execution, and modifications issued after execution.
The payment structure outlined in the agreement provides for progress payments based on applications for payment submitted by the contractor and certificates for payment issued by the architect, with monthly billing periods and specified payment timelines. Retainage provisions allow the owner to withhold a specified percentage or amount from each progress payment prior to substantial completion, with release of retained amounts upon completion of the work. The contractor is responsible for providing all labor, materials, equipment, and services necessary for proper execution and completion of the work unless otherwise specified in the contract documents. The agreement establishes the architect as the initial decision maker for claims and disputes unless the parties mutually agree to appoint another individual, with provisions for binding dispute resolution through arbitration or litigation as selected by the parties. The document requires the contractor to provide performance and payment bonds as set forth in the insurance and bonds exhibit and to maintain comprehensive insurance coverage throughout the project term.
