The DUNS number is a nine-digit number assigned by Dun and Bradstreet, Inc. INSTRUCTIONS, CONDITIONS AND NOTICES TO CONTRACTORS
INSTRUCTIONS
16.601 TIME-AND-MATERIALS CONTRACTS.
(a) Definitions for the purposes of Time-and-Materials Contracts.
“Direct materials” means those materials that enter directly into the end product, or that are used or consumed directly in connection with the furnishing of the end product or service.
“Hourly rate” means the rate(s) prescribed in the contract for payment for labor that meets the labor category qualifications of a labor category specified in the contract that are—
(1) Performed by the contractor;
(2) Performed by the subcontractors; or
(3) Transferred between divisions, subsidiaries, or affiliates of the contractor under a common control.
“Materials” means—
(1) Direct materials, including supplies transferred between divisions, subsidiaries, or affiliates of the contractor under a common control;
(2) Subcontracts for supplies and incidental services for which there is not a labor category specified in the contract;
(3) Other direct costs (e.g., incidental services for which there is not a labor category specified in the contract, travel, computer usage charges, etc.); and
(4) Applicable indirect costs.
(b) Description. A time-and-materials contract provides for acquiring supplies or services on the basis of—
(1) Direct labor hours at specified fixed hourly rates that include wages, overhead, general and administrative expenses, and profit; and
(2) Actual cost for materials (except as provided for in 31.205-26(e) and (f)).
(c) Application. A time-and-materials contract may be used only when it is not possible at the time of placing the contract to estimate accurately the extent or duration of the work or to anticipate costs with any reasonable degree of confidence. See 12.207(b) for the use of time-and-material contracts for certain commercial services.
(1) Government surveillance. A time-and-materials contract provides no positive profit incentive to the contractor for cost control or labor efficiency. Therefore, appropriate Government surveillance of contractor performance is required to give reasonable assurance that efficient methods and effective cost controls are being used.
(2) Fixed hourly rates.
(i) The contract shall specify separate fixed hourly rates that include wages, overhead, general and administrative expenses, and profit for each category of labor (see 16.601(e)(1)).
(ii) For acquisitions of noncommercial items awarded without adequate price competition (see 15.403-1(c)(1)), the contract shall specify separate fixed hourly rates that include wages, overhead, general and administrative expenses, and profit for each category of labor to be performed by—
(A) The contractor;
(B) Each subcontractor; and
(C) Each division, subsidiary, or affiliate of the contractor under a common control.
(iii) For contract actions that are not awarded using competitive procedures, unless exempt under paragraph (c)(2)(iv) of this section, the fixed hourly rates for services transferred between divisions, subsidiaries, or affiliates of the contractor under a common control—
(A) Shall not include profit for the transferring organization; but

(B) May include profit for the prime contractor.
(iv) For contract actions that are not awarded using competitive procedures, the fixed hourly rates for services that meet the definition of commercial item at 2.101 that are transferred between divisions, subsidiaries, or affiliates of the contractor under a common control may be the established catalog or market rate when—
(A) It is the established practice of the transferring organization to price interorganizational transfers at other than cost for commercial work of the contractor or any division, subsidiary or affiliate of the contractor under a common control; and
(B) The contracting officer has not determined the price to be unreasonable.
(3) Material handling costs. When included as part of material costs, material handling costs shall include only costs clearly excluded from the labor-hour rate. Material handling costs may include all appropriate indirect costs allocated to direct materials in accordance with the contractor's usual accounting procedures consistent with Part 31.
(d) Limitations. A time-and-materials contract may be used only if—
(1) The contracting officer prepares a determination and findings that no other contract type is suitable. The determination and finding shall be—
(i) Signed by the contracting officer prior to the execution of the base period or any option periods of the contracts; and
(ii) Approved by the head of the contracting activity prior to the execution of the base period when the base period plus any option periods exceeds three years; and
(2) The contract includes a ceiling price that the contractor exceeds at its own risk. The contracting officer shall document the contract file to justify the reasons for and amount of any subsequent change in the ceiling price. Also see 12.207(b) for further limitations on use of Time-and- Materials or Labor Hour contracts for acquisition of commercial items.

**NEW** PERFORMANCE EVALUATIONS
The Contractor’s performance will be documented on the Standard Contractor Performance Report which will be completed by the Contracting Officer’s Representative upon completion of the contract. This form is the only performance evaluation form that will be accepted by the Contracting Officer. A copy of the performance evaluation report will be provided to the contractor upon completion of the contract and final payment.
The evaluation will be input into the National Institute of Health (NIH) Contractor Performance System (CPS) and will be used in past performance evaluations for future acquisitions. (a) Definition. "Facsimile proposal," as used in this provision, means a proposal, revision or modification of a proposal, or withdrawal of a proposal that is transmitted to and received by the Government via facsimile machine.
(b) Offerors may submit facsimile proposals as responses to this solicitation. Facsimile proposals are subject to the same rules as paper proposals.

FAR 52.225-10 NOTICE OF BUY AMERICAN ACT—CONSTRUCTION MATERIALS
(MAY 2002)
(a) Definitions. “Construction material,” “domestic construction material,” and “foreign construction material,” as used in this provision, are defined in the clause of this solicitation entitled “Buy American Act—Construction Materials” (Federal Acquisition Regulation (FAR) clause 52.225-9).
(b) Requests for determinations of inapplicability. An offeror requesting a determination regarding the inapplicability of the Buy American Act shall submit the request with its offer, including the information and applicable supporting data required by paragraphs (c) and (d) of the clause at FAR 52.225-9.
(c) Evaluation of offers.
(1) The Government will evaluate an offer requesting exception to the requirements of the Buy American Act, based on claimed unreasonable cost of domestic construction material, by adding to the offered price the appropriate percentage of the cost of such foreign construction material, as specified in paragraph (b)(3)(i) of the clause at FAR 52.225-9.
(2) If evaluation results in a tie between an offeror that requested the substitution of foreign construction material based on unreasonable cost and an offeror that did not request an exception, the Contracting Officer will award to the offeror that did not request an exception based on unreasonable costs
(d) Alternate offers.
(1) When an offer includes foreign construction material not listed by the Government in this solicitation paragraph (b)(2) of the clause at FAR 52.225-9, the offeror also may submit an alternate offer based on use of equivalent domestic construction material.
(2) If an alternate offer is submitted, the offeror shall submit a separate Standard Form 1442 for the alternate offer, and a separate price comparison table prepared in accordance with paragraphs (c) and (d) of the clause at FAR 52.225-9 for the offer that is based on the use of any foreign construction material for which the Government has not yet determined an exception applies.
(3) If the Government determines that a particular exception requested in accordance with paragraph
(c) of the clause at FAR 52.225-9 does not apply, the Government will evaluate only those offers based on use of the equivalent domestic construction material, and the offeror shall be required to furnish such domestic construction material. An offer based on use of the foreign construction material for which an exception was requested—
i. Will be rejected as nonresponsive if this acquisition is conducted by sealed bidding; or
ii. May be accepted if revised during negotiations.

EVALUATION FACTORS FOR AWARD
EVALUATION OF QUOTES
The Government will issue an order as a result of this Request for Quotations to the responsible quoter whose quote conforming to the solicitation will be most advantageous to the Government. Evaluation will be made based on the following order of precedence:
(1) Ability to meet and/or accelerate schedule,
(2) Experience with remodeling/restoring historical structures,
(3) Experience with remodel and rehabilitation work,
(4) Past performance, and
(5) Price.
Item 1. The contractor shall provide a proposed schedule indicating total time required to complete work items numbered 1 through 11 in the Schedule. It is understood that additional items added under the time and materials portion of this work may require adjustment of the schedule. Time is of the essence of this contracts; preference will be given to quoters with faster total schedules.
Items 2 through 4. The Contractor shall complete one attached Contractor performance data sheet for each project they have performed which is relevant to the evaluation criteria listed below (at least 3 are recommended where the contractor has more than one project for reference). Performance data sheets should pay particular attention to items 2 through 4 in the criteria list.
The Government may, issue orders to other than the lowest quote, waive minor informalities or irregularities in quotes received, or elect to not award at all. If necessary, the Government may conduct discussions with any or all quoters. The Government may issue an order on the basis of quotes as received, without entering into discussions with any quoters. Therefore, each initial quote should contain the quoter's best terms.
