About this file

This is a pre-proposal meeting slideshow for Illinois Tollway's Request for Proposal 25-1089 for Bond Underwriting Services. The Illinois Tollway seeks to establish contracts with a pool of qualified municipal bond senior underwriters to meet or exceed specified mandatory requirements. The procurement intends to allow multiple firms to become qualified vendors, with opportunities for new firms to join the pool annually. A pre-proposal meeting was held on August 4, 2026, at 1:00 p.m. CT via Microsoft Teams. Written questions from potential offerors are due by 5:00 p.m. CT on August 6, 2026, and should be submitted to Shakeyla Taylor at smtaylor@getipass.com. An addendum containing all questions and answers will be published in BidBuy no later than August 14, 2026. Proposals must be submitted electronically in BidBuy (Bid #B-51492) by Friday, August 28, 2026, at 10:30 a.m. CT. Selected firms will enter into contracts with an initial term of ten years, with all contract expirations aligned to September 29, 2036, regardless of individual qualification or execution dates.

Offerors must agree to bill at a set rate not to exceed $2.00 per $1,000 of bond issued and must sign and return Attachment B (Pricing Document) with their proposal; failure to agree to this rate will result in rejection. Mandatory requirements include MSRB broker-dealer registration, experience as a senior underwriter on at least one $100 million or greater toll authority bond issuance since 2021, and experience as senior or co-senior underwriter on at least one $50 million or greater State of Illinois or related entity bond issuance since 2021. A Business Enterprise Program goal of 9% utilization is required, with no Veteran Business Program goal. Proposals will be scored on technical responsiveness (109 points), commitment to diversity (22 points), and pricing (26 points), for a total of 157 possible points, with a minimum of 105 points required for award consideration. Selected firms will be assigned to specific bond issuances through random but equitable distribution among qualified vendors.

RFP Specifications and Scope Tollway Finance Department

Michael McIntyre, Sr. Manager of Finance, Debt and Treasury

RFP SPECI FICATIO NS: BACKGROUND

• It is intended that this procurement will meet the Illinois Tollway’s need for Bond Underwriting Services.

• The procurement process is intended to allow multiple firms to become qualified Vendors and during the term of the contract to allow, once annually, new firms to join the existing qualified pool of vendors

• This procurement process provides for prequalification, agreement to perform at a set rate, and final selection based on random and equitable distribution of work among qualified vendors.

Presented on August 4 , 2026

RFP SPECI FICATIO NS: GOAL AND EXPECTATIO NS

• Purpose: establish contracts with a pool of qualified municipal bond senior underwriters (“Underwriters”) that meet or exceed the mandatory requirements specified in the RFP

• The selected firms shall work with the Tollway, Tollway’s financial/municipal advisor(s) and outside counsel in the delivery of services contemplated by this RFP

• For a given bond issuance, firms will be selected from the pool on a random basis (using a drawing device such as a lottery drawing device) to fill senior manager and co-senior manager roles on a transaction and, as is customary, firm(s) serving as senior managing underwriter(s) will also be required to enter into a bond purchase agreement with the Tollway for that particular bond issue

Presented on August 4, 2026 20

Expectations

• Co-manager roles are expected to be assigned to BEP firm(s) designated by the awarded senior managers that enter into a contract with the Tollway.

• Each of the resulting contracts with the qualified firms shall have an initial term of ten (10) years. All contracts with senior managers will expire ten (10) years from the date of first execution of a contract with an awarded Offeror in connection with this procurement, regardless of the contracted firm’s qualification date. For example, if the first contract with an awarded Offeror is executed by all parties on September 30, 2026, then the expiration of all contracts regardless of qualification or contract execution date will be September 29, 2036.

• Per Illinois Joint Committee on Administrative Rules (“JCAR”) Part 1 Chief Procurement Officer for General Services Standard Procurement, Section 1.2036(b)(5)(C), vendors are to be prequalified once per fiscal year.

Presented on August 4, 2026 21

Expectations (continued)

• For vendors awarded as a result of this RFP, in addition to standard annual disclosure requirements, annual prequalification will be in the form of a statement of no material change to the firm or key personnel assigned to the Tollway.

• For vendors not awarded as a result of this RFP, there will be an opportunity on an annual basis on or about April 1st every year to submit a proposal with their updated qualifications

• Assignment to specific bond issuances will be based on Offeror’s qualifications, agreement to perform at a set rate as described in the RFP, and order of selection based on a random, but equitable distribution of work among qualified vendors.

• To ensure equitable distribution of work, once a vendor is selected to serve on a bond issue such vendor will not be included in subsequent random drawings until all qualified vendors have been selected to participate in a bond issue.

• An assignment for a given bond issuance is expected to consist of 3 – 6 firms plus the BEP firms designated by those selected firms.

Presented on August 4, 2026 22

Expectations (continued)

• Contractors who are included in the Pool shall submit documentation, no less than annually, certifying that they remain in compliance with the mandatory requirements per this RFP, specifically no material change to the firm or key personnel. Contractors that fail to provide the statement of no change and fail to requalify during the annual open period will be removed from the pool.

• A material change to a firm is considered any merger or acquisition, which results in a change to the firm’s name or ownership structure; any material change to key personnel is a change in the individuals who are identified in their response as the lead banker or lead underwriter who are expected to have authorization to execute a bond purchase agreement on behalf of their firm.

• Tollway expects to award a do-not exceed contract to any or all Offeror’s who meet the mandatory, minimum requirements, based on a negotiated set rate of not to exceed $2.00 per $1,000 bond, as described in the RFP

Presented on August 4, 2026 23

Expectations (continued)

• Mandatory Requirements with evidence:

• Registration as a broker-dealer with the Municipal Securities Rulemaking Board (“MSRB”)

• Brief overview of firm

• Since 2021, experience as senior underwriter on at least one $100 million or greater par amount issued by a toll authority and/or secured by toll or turnpike revenues

• Since 2021, experience as a senior underwriter or co-senior underwriter on at least one $50 million or greater State of Illinois or a State of Illinois authority, university or agency (Bonds issued by conduit issuers where the obligor is not affiliated with the State of Illinois do not count for purposes of this RFP).
