About this file
This is an Exhibit A contract document between Flores & Associates, LLC (the "Vendor") and the City of Burleson, Texas (the "City"), establishing the legal and administrative framework governing their agreement. The exhibit serves as an integral part of the master agreement and outlines the foundational terms that govern the relationship between the parties. While the specific products or services, project scope, quantities, response dates, due dates, site visits, bidder meetings, award dates, and contract term are not detailed in this exhibit, the document establishes that this is an independent contractor relationship rather than an employment arrangement.
The exhibit addresses critical legal provisions including governance under Texas law with dispute resolution in Johnson County courts or federal courts for the Northern District of Texas. The document explicitly preserves the City's governmental immunity and acknowledges constitutional and statutory limitations on the City's authority to enter into certain contractual terms, including liability waivers, indemnification provisions, and limitations on legal remedies. The exhibit further stipulates that the City's compliance with the Texas Public Information Act shall not constitute a violation of the agreement, ensuring transparency obligations are maintained. No specific pricing terms, set-asides, funding amounts, or incumbent information are provided in this exhibit; those details would be contained in the primary agreement document or related exhibits.
