About this file
This is an AIA Document A201-2017 General Conditions of Contract for Construction used by the Savannah-Chatham County Public School System (SCCPSS) for the West Chatham Schools Project, a Construction Manager at Risk (CMR) engagement identified as ESPLOST RFP C27-01. The contract establishes the comprehensive terms and conditions governing the relationship between the Owner (SCCPSS), the Contractor/CMR, the Architect (Hussey, Gay, Bell & DeYoung International, Inc.), and all subcontractors and suppliers involved in the project. The project is located at 820 Pine Barren Road, Pooler, Georgia, with an estimated initial Stated Cost Limitation of $186,951,000. The contract document is a standard 2017 AIA form that has been modified by the District to reflect Georgia public school district requirements, including sovereign immunity waivers limited to written contracts and specific authority requirements for contract modifications. Key provisions address construction administration, payment applications and certificates, change order procedures, scheduling requirements, submittal processes, and dispute resolution mechanisms, with the District retaining ultimate decision-making authority rather than delegating to an Initial Decision Maker as is typical in AIA agreements.
The contract incorporates detailed requirements for the Contractor's performance, including mandatory submission of a P6 construction schedule in XER format within specific timelines, monthly schedule updates, and detailed submittal schedules coordinated with construction progress. The Contractor must provide a competent superintendent subject to Owner and Architect approval and shall comply with strict personnel conduct standards including professional appearance, government-issued photo identification, background checks, and prohibitions on tobacco, alcohol, drugs, and firearms on District property. The District explicitly addresses its status as a Georgia public school district with sovereign immunity protections, requiring that all contract modifications, change orders exceeding $50,000, and claims for additional time or cost comply with Board Policy FGG and written authorization procedures. The contract utilizes the District's Project Management Information Software (currently e-Builder) for document management and submittal tracking at no cost to the Contractor. Insurance, bonding, indemnification, and warranties are required in accordance with the AIA A201-2017 standard conditions as modified, and all disputes are subject to the District's claims procedures with mediation and arbitration provisions.

ARTICLE 1 GENERAL PROVISIONS
§ 1.1 Basic Definitions § 1.1.1 The Contract Documents
The Contract Documents are enumerated in the Agreement between the Owner and Contractor (hereinafter the Agreement) and consist of the Agreement, Conditions of the Contract (General, Supplementary and other Conditions), Drawings, Specifications, Addenda issued prior to execution of the Contract, other documents listed in the Agreement, and Modifications issued after execution of the Contract. A Modification is (1) a written amendment to the Contract signed by both parties, (2) a Change Order, (3) a Construction Change Directive, or (4) a written order for a minor change in the Work issued by the Architect and approved by the Owner by an agent with appropriate authority under Board Policy based on the nature and dollar amount of the change. Unless specifically enumerated in the Agreement, the Contract Documents do not include the advertisement or invitation to bid, Instructions to Bidders, sample forms, other information furnished by the Owner in anticipation of receiving bids or proposals, the Contractor’s bid or proposal, or portions of Addenda relating to bidding or proposal requirements. The terms of the Agreement and these General Conditions control over any drawing, specification or other document prepared by the Architect.
§ 1.1.2 The Contract The Contract Documents form the Contract for Construction. The Contract represents the entire and integrated agreement between the parties hereto and supersedes prior negotiations, representations, or agreements, either written or oral. The Contract may be amended or modified only by a written Modification or Change Order approved by the Owner by a representative with express authority from Owner’s governing body, the elected School Board, or with authority pursuant to Board Policy, based on nature and dollar amount of the amendment or Change Order. The Contract Documents shall not be construed to create a contractual relationship of any kind (1) between the Contractor and the Architect or the Architect’s consultants, (2) between the Owner and a Subcontractor or a Sub-subcontractor, (3) between the Owner and the Architect or the Architect’s consultants, or (4) between any persons or entities other than the Owner and the Contractor. The Architect shall, however, be entitled to performance and enforcement of obligations under the Contract intended to facilitate performance of the Architect’s duties.
§ 1.1.3 The Work The term “Work” means the construction and services required by the Contract Documents, whether completed or partially completed, and includes all other labor, materials, equipment, and services provided or to be provided by the Contractor to fulfill the Contractor’s obligations. The Work may constitute the whole or a part of the Project.
§ 1.1.4 The Project The Project is the total construction of which the Work performed under the Contract Documents may be the whole or a part and which may include construction by the Owner and by Separate Contractors.
§ 1.1.5 The Drawings The Drawings are the graphic and pictorial portions of the Contract Documents showing the design, location and dimensions of the Work, generally including plans, elevations, sections, details, schedules, and diagrams.
§ 1.1.6 The Specifications The Specifications are that portion of the Contract Documents consisting of the written requirements for materials, equipment, systems, standards and workmanship for the Work, and performance of related services.
§ 1.1.7 Instruments of Service Instruments of Service are representations, in any medium of expression now known or later developed, of the tangible and intangible creative work performed by the Architect and the Architect’s consultants under their respective professional services agreements. Instruments of Service may include, without limitation, studies, surveys, models, sketches, drawings, specifications, and other similar materials.
§ 1.1.8 Initial Decision Maker Because the Owner is a Georgia public school district, it has elected not to delegate its decision-making authority with respect to claims to an “Initial Decision Maker,” as that term is normally used in the AIA contract framework. The District will consider the recommendation of the Architect on all disputed

While an effort has been made to remove reference to the “Initial Decision Maker” throughout this Contract, any remaining reference should be construed in a manner that leaves final decision-making authority with the Owner, unless a contrary result is directed by a Court of competent jurisdiction after the resolution of any applicable appellate rights.
§ 1.2 Correlation and Intent of the Contract Documents § 1.2.1 The intent of the Contract Documents is to include all items necessary for the proper execution and completion of the Work by the Contractor. The Contract Documents are complementary, and what is required by one shall be as binding as if required by all; performance by the Contractor shall be required only to the extent consistent with the Contract Documents and reasonably inferable from them as being necessary to produce the indicated results.
§ 1.2.1.1 The invalidity of any provision of the Contract Documents shall not invalidate the Contract or its remaining provisions. If it is determined that any provision of the Contract Documents violates any law, or is otherwise invalid or unenforceable, then that provision shall be revised to the extent necessary to make that provision legal and enforceable. In such case the Contract Documents shall be construed, to the fullest extent permitted by law, to give effect to the parties’ intentions and purposes in executing the Contract.
§ 1.2.2 Organization of the Specifications into divisions, sections and articles, and arrangement of Drawings shall not control the Contractor in dividing the Work among Subcontractors or in establishing the extent of Work to be performed by any trade.
§ 1.2.3 Unless otherwise stated in the Contract Documents, words that have well-known technical or construction industry meanings are used in the Contract Documents in accordance with such recognized meanings.
§ 1.3 Capitalization Terms capitalized in these General Conditions include those that are (1) specifically defined, (2) the titles of numbered articles, or (3) the titles of other documents published by the American Institute of Architects.
§ 1.4 Interpretation In the interest of brevity the Contract Documents frequently omit modifying words such as “all” and “any” and articles such as “the” and “an,” but the fact that a modifier or an article is absent from one statement and appears in another is not intended to affect the interpretation of either statement.
§ 1.5 Ownership and Use of Drawings, Specifications, and Other Instruments of Service § 1.5.1 Documents prepared by the Architect are instruments of the Architect’s service for use solely with respect to this Project. Depending on the terms of the contract between Owner and Architect, the Documents prepared by the Architect shall be either property of the Owner or property of the Architect licensed to Owner for use on the Project. The Contractor, subcontractors, sub-subcontractors, and suppliers are authorized to use and reproduce the instruments of service solely and exclusively for execution of the Work. The instruments of service may not be used for other Projects or for additions to this Project outside the scope of the Work without the specific written consent of the Architect and Owner.
§ 1.5.2 The Contractor, Subcontractors, Sub-subcontractors, and suppliers are authorized to use and reproduce the Instruments of Service provided to them, solely and exclusively for execution of the Work.
All copies made under this authorization shall bear the copyright notice, if any, shown on the Instruments of Service. The Contractor, Subcontractors, Sub-subcontractors, and suppliers may not use the Instruments of Service on other projects or for additions to the Project outside the scope of the Work without the specific written consent of the Owner, Architect, and the Architect’s consultants.
§ 1.6 Physical and Electronic Notice The following notices under this Agreement shall be transmitted through a physical writing delivered either by Certified U.S. Mail, return receipt requested, or private commercial carrier such as Federal Express, UPS, or DHL, with a copy by email. to the physical and email addresses set forth below: 1) notices by one party alleging the breach of this Agreement by another party, 2) notices by one party seeking to terminate this Agreement before it expires in the ordinary course of business after Final Completion and any applicable warranty period, and 3) notices changing the physical or email address for notices under this Agreement.
