B-001 - Labor Categories
The labor rates specified herein are fixed hourly rates which include the following: wages, indirect costs (including overhead, fringe benefits and general and administrative expenses), and profit.
The Contractor and/or the Government may request adding to or deleting from the labor categories listed in Schedule B. If categories are added, the parties will negotiate the labor rate of said categories prior to incorporation into the contract.
All new labor rates shall be calculated in the same manner as in the Contractor's cost proposal submitted in response to the solicitation. The profit/fee rate shall be the same as in the Contractor's cost proposal submitted in response to this solicitation.
B-002 - Option Year Increases
The contract employer shall make the determination on FLSA status.
The Service Contract Act (SCA) requires contractors and subcontractors performing services on prime contracts in excess of $2,500 to pay service employees in various classes no less than the wage rates and fringe benefits found prevailing in the locality, or the rates (including prospective increases) contained in a predecessor contractor's collective bargaining agreement. The Department of Labor (DOL) issues wage determinations on a contract-by-contract basis in response to specific requests from contracting agencies. These determinations are incorporated into the contract. The contractor shall comply with applicable SCA provisions at all times.
The Fair Labor Standards Act (FLSA) establishes minimum wage, overtime pay, recordkeeping, and child labor standards affecting full-time and part-time workers in the private sector and in Federal, State, and local governments. Some positions under this contract are under the purview of the FLSA, and others are exempt. It is the contractor’s responsibility to comply with applicable FLSA wage provisions at all times, even if applicable prevailing wages have not been incorporated into the contract.
The contractor shall clearly indicate and label which positions/labor categories are covered by, or exempt from, the FLSA on any and all proposals and on the list of labor categories incorporated into the contract. In accordance with the terms and conditions of the IDIQ, contract option year hourly rates will be adjusted as follows:
FLSA EXEMPT POSITIONS
The maximum salary hourly rates shall be in accordance with the US Office of Personnel Man- agement (OPM) General Schedule (GS) Locality Pay table for Grades 7 through 15 (steps 1 through 10) and the Executive Schedule (ES)(levels V-I) for the geogrphical area specified on each task order, found at www.opm.gov.
If and when the rates on the GS and ES pay tables are adjusted by Executive Order, then the contractor may submit revised rates accordingly. After negotiations with the contracting officer, the salary rate may be adjusted using the same rate adjustments provided by OPM for the GS and ES pay tables. The new rates will be incorporated and in effect after modification to the IDIQ contract.
The new rates will apply to any new Task Orders issued after modification is complete.
Existing Task Orders rates may be adjusted at the exercise of any subsequent Option Periods. Adjustments to labor rates will not be retro active and will be effective as per the modification signed by the Contracting Officer.
POSITIONS GOVERNED BY WAGE DETERMINATION
As defined by the FLSA and the SCA, certain contract labor categories are required to pay the wage rates established by DOL Wage Determination (WD15-4281, as amended). Contract rates will be adjusted in accordance with the terms and conditions of the amended wage determination.
The contractor shall monitor DOL’s Wage Determinations OnLine website (https://www.wdol.gov/sca.aspx) on a monthly basis for any changes to the applicable wage determination.
If the amended wage determination rates are higher than the current contract rates for applicable labor categories, the Contractor shall provide the updated rates for the overall contract, as well as the rates for each affected task order, by labor category, as a modification request to the contracting officer.
The Contractor shall notify the Contracting Officer of any rate increase, or decrease, claimed within 30 days after a new wage determination is issued. The notice shall contain a statement of the amount claimed and the change in fixed hourly rates, and any relevant supporting data, including payroll records, that the Contracting Officer may reasonably require.
Upon agreement of the parties, the contract hourly rates shall be modified in writing. The Contract- or shall continue performance pending agreement on or determination of any such adjustment and its effective date. New applicable rates will be incorporated to the IDIQ, and in effect, after fully executed modifica- tion to the IDIQ. Affected task orders will be modified accordingly to reflect new wage determination rates, and to provide funding for increased rates, as applicable.

Approved providers can be found at the DOL website at http://www.dol.gov/owcp/dlhwc/lscarrier.htm.

The Government will direct the Contractor to undertake work performed under this award via Task Order (TO). The Government will issue all Task Orders in writing. The following procedures apply relating to the issuance of a TO:
1. The Government anticipates that the Task 1 TO will be issued at time of award.
1. Under Task 1, the Government will from time-to-time direct the Contractor to prepare a Task Order Request for Proposal (TORP) for the design and delivery of a pilot assistance project to a beneficiary country as specified by the Government.
1. After receiving the request to develop a TORP from the Government, the Contractor prepares the TORP. The TORP shall consist of two physically separate documents, as follows:
1. Technical/Management Proposal: This document shall provide all information necessary to explain the Contractor’s approach to the pilot assistance project outlined in the TORP, and the anticipated period of performance to complete all work specified in the TORP. It shall include both the proposed technical and management approach for the pilot assistance project. The section of the TORP containing the Contractor’s technical approach shall not exceed 10 pages and the section of the TORP containing the Contractor’s management approach shall not exceed 5 pages.
1. Cost/Price Proposal: This is the only document in which cost/pricing information may appear. In this document, the Contractor shall detail the labor categories that it anticipates using in performance of the Task Order, the number of hours of each labor category proposed, a comprehensive listing of all materials and equipment it anticipates using, the cost for those materials and equipment, and any anticipated travel-related expenses. The Cost/Price Proposal shall include pricing out logistics associated with the delivery of the pilot assistance project, including the cost of hiring a venue, supporting any necessary travel, accommodation, Meals and Incidental Expenses (M&IE) of the foreign national beneficiaries of the pilot assistance project, and providing any necessary translation services. Once the Government determines that the proposal is realistic and reasonable, and following any necessary negotiations, the CO will issue a TO. The Contractor shall not perform any work until a formal Task Order has been executed between the Department of State (DoS) CO and a duly authorized representative of the Contractor, except when the DoS CO has otherwise given express authorization to the Contractor to proceed. Any work conducted absent such authorization may be subject to ratification by the Department of State Procurement Executive, as outlined in FAR 1.602-3 and DOSAR 601.602-3, and any expenses incurred may not be eligible for reimbursement.

In the management section of their proposal, the Contractor shall explain how they propose to staff the requirements as explicated in Tasks 1 and 2 above.
(2) The Contractor agrees that a partial basis for award of this contract is the list of key personnel proposed. Accordingly, the Contractor agrees to assign to this contract those key persons whose resumes were submitted with the proposal necessary to fulfill the requirements of the contract. No substitution shall be made without prior notification to and concurrence of the Contracting Officer. During the first ninety days of performance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment.

The Contracting Officer shall be notified in writing of any proposed substitution at least forty-five days, or ninety days if a security clearance is to be obtained, in advance of the proposed substitution. Such notification shall include:
(1) an explanation of the circumstances necessitating the substitution;
(2) a complete resume of the proposed substitute; and
(3) any other information requested by the Contracting Officer to enable him to judge whether or not the Contractor is maintaining the same high quality of personnel that provided the partial basis for award.

(a) The Contractor warrants that, to the best of its knowledge and belief, there are no relevant facts or circumstances which would give rise to an organizational conflict of interest, as defined in FAR Subpart 9.5, or that the Contractor has disclosed all such relevant information.
