BPA Solicitation Solicitation # 12639520Q0094

TERMS AND CONDITIONS

1. DESCRIPTION OF AGREEMENT: This is a solicitation to establish a fixed-priced Blanket Purchase Agreement (BPA) or BPAs. Pursuant to Federal Acquisition Regulation (FAR) 13.303, Blanket Purchase Agreements, the Contractor agrees to the following terms of a BPA EXCLUSIVELY WITH USDA-APHIS. The contractor shall deliver dry, whole corn in accordance with the BPA Statement of Work (Attachment 2) to the BPA delivery locations when requested by the Contracting Officer or the authorized representative of the Contracting Officer.

a. The specified period for this BPA begins at the date established, to be shown in

Block 3 of the SF Form 1449 of the BPA, and ends 5 calendar years later.

b. Purchases after the specified period or exceeding the aggregate total dollar limitation shall not be authorized, nor considered an obligation.

1. The aggregate dollar limitation is five hundred thousand dollars ($500,000.00) or $100,000.00 per year. There is no minimum order guarantee under this

BPA.

c. Review for compliance to new statute or directive shall be completed, at least annually, before the anniversary of the BPA’s effective date. Any revisions to the BPA, as a result of this review, shall be accomplished by a bi-lateral modification.

d. This agreement may be unilaterally terminated at any time by either party with a thirty (30) day notification and may be rewritten or revised at the option of the Contracting Officer.

e. The point at which the order becomes a binding contract is after the written acceptance by the Government to an oral or written order for supplies.

2. EXTENT OF OBLIGATION: This BPA does not obligate any funds. The

Government is obligated only to the extent of authorized call orders actually placed against this BPA.

3. PRICING: The prices to the Government for all supplies under this BPA shall be as low as, or lower, than those charged the supplier’s most favored customer for comparable supplies under similar terms and conditions. Prices for items listed on the Price Schedule (SF 1449) shall be fixed for at least 12 months from the start date of the BPA. BPA call orders or purchase card orders against the BPA will authorize delivery and funding.

4. PURCHASE LIMITATION: BPA call orders and purchase card orders placed by individuals authorized under this BPA shall not exceed the dollar limitation listed on the Individuals Authorized to Place Calls, and under no circumstances shall call orders exceed $100,000.00.

12639520Q0094 Dry, Whole Corn Page 7 of 25

5. LIMITATIONS OF INDIVIDUALS AUTHORIZED TO PLACE CALL

ORDERS AND DOLLAR AMOUNT: A list of individuals authorized to place call orders and purchase card orders under this agreement, identified either by position title or by individual’s name, organizational component, and the dollar limitation per purchase for each position title or individual, shall be furnished to the contractor by the Contracting Officer. This list shall be kept current by the contract administrator.

a. List of Individuals and their dollar limitation:

1. Contracting Officer and Purchasing Agent, APHIS, MRPDS, ASD, Minneapolis, MN, not to exceed $100,000.00.

2. Additional Individuals for ordering and invoicing with specific dollar limitations may be assigned before the BPA is awarded and with a BPA modification SF-30 Form signed by the Contracting Officer after the award.

6. RECEIPT AND ACCEPTANCE OF PURCHASES: Receipt of purchases shall be indicated by signature and date on the appropriate form by the authorized Government representative. This shall be subject to acceptance by the assigned inspector or customer when compared to the documentation of the original call. A sales slip, delivery ticket, and/or SF Form 1449 may be used for receipt and acceptance.

7. INVOICES: The Contractor shall submit electronic invoices online through the

Invoice Processing Platform (IPP) for each new BPA call order. IPP is a secure, web-based system that manages government invoicing. Enroll at https://www.ipp.gov.

8. DELIVERY: All items will be FOB Destination pricing and delivered to the locations listed in the Statement of Work, except for Line Item 15 which will be picked up by USDA staff, if needed (Attachment 2).

9. SPECIFICATIONS: The purpose of this BPA is to obtain dry, whole corn in accordance with the product Statement of Work (Attachment 2), when requested by the Contracting Officer or the authorized representative of the Contracting Officer.

10. TECHNICAL POINT OF CONTACTS (TPOCs):

CLAUSES INCORPORATED BY FULL TEXT

52.252-2 Clauses Incorporated by Reference (Feb 1998)

This contract incorporates one or more clauses by reference, with the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.

Also, the full text of a clause may be accessed electronically at this address:

http://acquisition.gov/far/index.html

52.212-1 Instructions to Offerors—Commercial Items (Tailored)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449).

(b) Submission of Quotes. Submit quotes by EMAIL to Michael Chiodi at Michael.J.Chiodi@usda.gov on or before the date/time specified in this solicitation. See box 8 on page 1 of SF1449.

(c) Submission deadline. Quotes must be received by the date and time specified in this solicitation. A late quote will not be considered unless it is received before award is made and the Contracting Officer determines that accepting the late quote would not unduly delay the acquisition. In the case of an emergency or unanticipated event that delays Government operations so that quotes cannot be received, the deadline will be extended by one working day.

(d) Terms of and content. Quotes must be based on the terms of this solicitation. The Government may reject any quote that is not based on these terms in every respect. Quotes must contain all of the information required by the solicitation.

(e) Contract award. The Government intends to evaluate quotes and award a contract without discussions. Therefore, a quote should contain the quoter’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all quotes if such action is in the public interest; accept other than the lowest-cost offer; and waive informalities and minor irregularities in quotes received. Quoters are responsible for ensuring http://acquisition.gov/far/index.html mailto:Michael.J.Chiodi@usda.gov

Dry, Whole Corn Page 9 of 25 completeness of quotes. The Government may evaluate solely on the information provided with the initial quotation.

(f) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of a quote, the quoter acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the quoter does not become registered in the SAM database by the response date specified in the solicitation, the Contracting Officer may proceed to award to the next otherwise successful registered quoter. Quoters may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.sam.gov.

(g) Requests for information. The contracting officer will not notify unsuccessful quoters that responded to this solicitation. Quoters may request information on award(s) resulting from this solicitation from the contracting officer.

(End of Provision)

52.212-2 Evaluation—Commercial Items (OCT 2014)

(a) The Government will award a competitive, firm-fixed price 5-year BPA (or BPAs) resulting from this solicitation to the responsible offeror with the lowest cost, technically-acceptable product. Technical acceptability will be determined based on the corn being dry and free from mold. Final acceptance of the product will be made after delivery for each order to confirm that the offered corn meets the specifications.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced.

Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

52.212-3 Offeror Representations and Certifications—Commercial Items (DEC 2019)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) website located at https://www.sam.gov/portal. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(1) □ Are, □ are not presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(4) □ Have, □ have not, within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,500 for which the liability remains unsatisfied.

(i) Taxes are considered delinquent if both of the following criteria apply:

(A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).
