About this file

This is a Sole Source Procurement Notice filed by the Salt Lake City School District (SLCSD) Purchasing Department for the award of a digital content services contract without engaging in a standard competitive procurement process. The SLCSD intends to award a five-year contract with renewal options to OverDrive, Inc. for digital library services that enable school libraries to lend eBooks, digital audiobooks, and other digital content through a device-neutral platform. The justification for sole source procurement is based on OverDrive being the only source capable of providing the specified unique services and proprietary materials, including a customized website service integrated with the library's ILS system, OverDrive's Next Generation library platform, specialized APIs for content integration, Media Station for in-library discovery, download capabilities for various devices, and exclusive access to major book series including Harry Potter in multiple languages. No specific response date, site visit, or bidder's meeting is identified in this notice, as this is a sole source award rather than a competitive solicitation.

The estimated annual contract value is $9,400. The procurement is subject to a public notice and comment period to allow other interested and qualified vendors to submit challenges demonstrating alternative sources or comparable services. The SLCSD has confirmed through market research and checks of the state procurement system that no other vendors offer equivalent services with the same integrated functionality and proprietary content access. The contact person for the requesting department is Tiffany Hall and Sam Quantz from Teaching & Learning - Libraries, Information Technology, and the vendor contact is Quinn Danko at OverDrive, Inc., located in Cleveland, Ohio. No personal, financial, or fiduciary relationships between the SLCSD and OverDrive were disclosed. The contract will be executed in the form of a Purchase Order for Services upon completion of the solicitation process and approval by the SLCSD Purchasing Department.

ATTACHMENT A - COST BENEFIT ANALYSIS

Utah Code Annotated $63G-6a-802 (Utah Procurement Code) anticipates instances where the cost to transilion from a product or services is unreasonable or cost-prohibitive. These costs are referred to as transitional costs by definition.

Transitional costs means the costs ofchanging from an existing provider of a procurement item to anothir provider of that procurement item; or from an existing type of procuremenl item to another t)?e; includes training costs; conversion costs;

compatibility coss; costs associated with system downtime; disruption ofservice costs; stafftimi necessary to implement the change; installation costs; and ancillary software, hardware, equipment, or construction costs; and does not include the costs ofpreparing for or engaging in a procurement process; or conaact negotiation or drafting costs.

Because there are vendors who "could" compete for the product or service (this request is not a sole source) ifnot for the transitional costs, the law requires additional details to support the determination in the form ofa cost benefit analysis. The purpose is to flush out the frgures to support the determination. This form is to be completed for all proposed contracts/purchases where transitional costs (Section B) are cited for not competing the oppornrnity. 'l'he fonn rnust be completed in its entirety and be submitted with the main tbnn above.
