I. APPLICABILITY OF THE A/E MANUAL

Except as may be modified in this RFP or by the A/E Contract, the A/E Manual shall apply to the A/E

Contract awarded pursuant to this RFP. The A/E Manual is incorporated by reference into this RFP in its entirety.

Offeror's attention is directed to the A/E Manual (Chapter 2, Definitions), the Terms and Conditions of the A/E Contract, and the Supplemental General Conditions for the definitions of terms used in this

RFP. The terms "Agency" and "Owner" are used interchangeably in the material referenced in this

RFP and mean the Virginia State Corporation Commission (SCC) and with whom the successful

Offeror will enter into an A/E Contract.

The provisions of the A/E Manual and Terms and Conditions of the A/E Contract and Supplemental

General Conditions shall be construed as necessary to apply to the SCC. For example, the terms

“Commonwealth,” “Agency,” and “Owner” in the A/E Manual and Terms and Conditions of the A/E

Contract shall mean SCC.

II. PURPOSE

The purpose of this RFP is to solicit proposals with the intent to enter into a contract through competitive negotiations for Professional Services and related work by an architectural or engineering firm authorized to do business in the Commonwealth of Virginia with experience in providing

Professional Services and Nonprofessional Services for large-scale, multi-year high-rise office renovation projects on a congested urban site and, in particular, demonstrated success in the design of government buildings showcasing an elevated civic presence.

The A/E shall provide Professional Services for the Project described in Part V of this RFP consistent with the A/E Manual, as revised, and latest directives issued by the Division of Engineering and

Buildings (DEB) concerning construction, Nonprofessional Services, and Professional Services for new and renovated state buildings.

III.BACKGROUND

SCC is an independent government agency established in 1902 to regulate and oversee a wide range of business and economic activities within the state. SCC exercises authority over utilities, insurance, financial institutions, securities, retail franchising, and railroads while serving as Virginia’s central filing office for corporations and other business entities and implementing the Commonwealth’s

Health Benefit Exchange. Unique in its structure, SCC combines administrative, legislative, and judicial powers. Its mission is to balance the interests of citizens, businesses, and consumers by ensuring fair competition, protecting consumer rights, and promoting economic stability.

SCC carries out its services at the Tyler Building, 1300 East Main Street, Richmond, Virginia and additional offices in the Bank of America Building, 1111 East Main Street, Richmond, Virginia. The

Project will renovate and modernize the entirety of the Tyler Building to establish it as a modern office space reflecting an elevated judicial and government presence consistent with the important work of

SCC and harmonious with the General Assembly Building and other civic buildings in and being developed for the Capitol Square area of Richmond. The Project also will bring all SCC employees and operations together in the Tyler Building through the efficient and updated use of the available space.

The Project will entail a full interior renovation of the Tyler Building and replacement of major

(Rev. 07/22) Page 4 of 10 mechanical, electrical, plumbing, audio/visual, security systems, furniture, fixtures and equipment as well as roof elements.

The Tyler Building was constructed in 1991 and first occupied in 1993 and contains 327,508 gross square feet and 269,101 rentable square feet. The building contains 11 floors, a penthouse above grade, and an auxiliary office space located on Level 2 of the adjoining parking deck. Floors 1 through

5 each contain approximately 37,000 square feet per floor and floors 6 through 11 each contain approximately 16,000 square feet per floor. The auxiliary office space is 2,813 square feet with ingress/egress onto Main Street. A portion of the first floor is below-grade. Exterior entrances to the building are present at the first and second levels from Main and Bank Streets. The attached parking deck is owned by the Commonwealth of Virginia Department of General Services. Common utility and life safety systems are shared between the Tyler Building and parking deck; the deck and supporting utility infrastructure will need to remain in operation during renovation.

The building is constructed with concrete framing elements and decks. The exterior facade consists of granite panels as well as individual metal windows and curtainwall system. The roof system includes a built-up membrane. Interior construction includes drywall partitions; wood doors with metal frames;

vinyl, carpet, ceramic, and granite floor finishes; ceramic tile, paint, wood, and stone panel wall finishes; and acoustic ceiling tile and gypsum ceiling finishes. No significant interior renovations have been completed since construction, but several mechanical system replacements were completed in

2010.

The Tyler Building is owned by SCC. The real property within and on which the Tyler Building is constructed is owned by the Commonwealth of Virginia Department of General Services.

The Project will renovate the building to accommodate a future headcount of not less than 883 FTEs, plus at least three courtrooms, hearing rooms, judicial offices, and public service spaces. Most, if not all, interior mechanical, electrical, plumbing, audio/visual, and security systems will be replaced. A commercial kitchen will be decommissioned as part of the renovation.

General Program Requirements and Finishes

The finished Project will provide modern, attractive, and welcoming office environments that meet the needs of today’s workforce and maintain long-term functional and aesthetic relevance. Courtrooms, hearing rooms, and judicial offices will have an elevated level of finish and commensurate with the civic importance of judicial proceedings. Public spaces for accessing and interacting with staff of SCC

Clerk’s Office and for participating in public hearings and meetings will be finished at the same elevated level as the courtrooms. All ground floor, public access areas, courtrooms, hearing rooms, and public meeting spaces will include enhanced security features. Enhanced security features will be utilized to ensure only authorized access to, and the security of, non-public work and office areas.

A/E Services must accommodate meetings with and input from numerous stakeholders, including the

SCC Commissioners, Division Directors, and Chief Administrative Officer. There are three

Commissioners, the work of whom are supported by nine regulatory divisions, three legal divisions, and eight administrative divisions.

Optional Project A/E Services for Swing Space

The following services are optional and will be awarded at the discretion of SCC if necessary.

SCC plans to lease office space in the Richmond metropolitan area (“Swing Space”) to serve as temporary offices for SCC operations during the renovation of the Tyler Building. The Swing Space

(Rev. 07/22) Page 5 of 10 will consist of approximately 50,000 square feet of Class A or B office space.

A/E Services for the Swing Space will consist of designing fully functional temporary workspaces

(“Test Fit”) for use by approximately 200 employees each day plus a public-facing and accessible space for use by the Clerk of the Commission, courtroom, hearing room(s), large conference room(s), and small conference rooms. A/E Services also will include related support spaces, such as bathrooms, kitchens, storage, etc. The Test Fit design should include modular or reconfigurable layouts to support hot desking, pop up meetings, and rotating use of space by different employees or teams. If required, the A/E shall provide working drawings for the buildout of Swing Space for temporary occupancy by

SCC for 24 to 36 months.

A/E Services for Swing Space will require A/E meetings with and input from numerous stakeholders, including the SCC Commissioners, Division Directors, and Chief Administrative Officer to ascertain the needs of each Division for occupancy of Swing Space. The A/E may also be required to work with the Swing Space lessor to ensure the working drawings for Swing Space are coordinated with and compatible with the lessor’s requirements and existing spaces and mechanical and other systems, and fully compliant for issuance of the appropriate permits by the City of Richmond (“Swing Space

Working Drawings and Coordination”).

VIII. EVALUATION AND AWARD OF CONTRACT

A. Evaluation Criteria: Proposals shall be evaluated by the Agency using the following criteria:

1. Expertise, experience, and qualifications of the Offeror’s primary personnel in each

(Rev. 07/22) Page 8 of 10 discipline required to provide the services described in Section V, Scope of Services.

b. Proposed approach and demonstrated capability to collaborate effectively with organizational leadership to understand operational mission requirements and telework expectations, ensuring the development of space solutions that maximize efficiency, support productivity, and align with organizational objectives.

2. Expertise, experience and qualifications of any special consultants proposed for providing the services described in Section V, Scope of Services.

3. Geographic location of the Offeror’s office where work will be performed in relation to the Project location.

4. Offeror’s current and projected workload, plan to complete the scope of services, and ability to complete the work in a timely manner.

5. Expertise and experience of the Offeror in providing services on projects of similar size, scope, and features as those required on the Project.

Proposals will be evaluated using the information and responses timely and properly provided by each Offeror. Offerors will be ranked based on their ability to exceed, meet, or not meet each of the evaluation criteria.

B. AWARD OF A/E CONTRACT: After evaluation of the Proposals received in response to the

RFP, the Agency shall engage in individual discussions and interviews with two or more

Offerors with professional competence to provide the required services and deemed fully

DGS-30-300

(Rev. 07/22) Page 9 of 10 qualified, responsible, and suitable and on the basis of the ranking of the Offerors’ initial proposals. Repetitive informal interviews are permitted. Offerors shall be encouraged to elaborate on their qualifications, performance data, and staff expertise relevant to the proposed contract. Offerors may also propose alternate concepts or methodology.

At the conclusion of the informal interviews and based on the evaluation factors set forth in

Section VIII and the information provided and developed in the selection process to this point, the Agency shall again rank, in the order of preference, the interviewed Offerors whose professional qualifications and proposed services are deemed most meritorious. The Agency’s ranking of an Offeror’s proposal is not the sole factor for award.

Negotiations shall then be conducted with the Offeror ranked first. If a contract satisfactory and advantageous to the Agency can be negotiated at a fee considered fair and reasonable, the award shall be made to that Offeror. Otherwise, negotiations with the Offeror ranked first shall be formally terminated and negotiations conducted with the Offeror ranked second, and so on, until a contract can be negotiated at a fair and reasonable fee. Should the Agency determine in writing and in its sole discretion that only one Offeror is fully qualified, or that one offer is clearly more highly qualified and suitable than the others under consideration, a contract may be negotiated with and awarded to that Offeror.

IX. FEES

The fee for A/E Services shall be negotiated on a lump sum basis considering the Scope of Services required, the estimated manhours required for each level/discipline, and the typical labor rates for the various skill levels required for the Services. The A/E’s fee proposal will be submitted to the Agency in the event of negotiations with the Offeror substantially in the form of the A/E Fee Proposal

Worksheet (DGS-30-012 CO-2.3) attached as Attachment D. A Memorandum of Understanding prepared by the Agency will document the negotiated acceptable labor rates for the various levels/disciplines and these rates will be used for any hourly rate work of the A/E that is authorized by the Agency (see Attachment E for template for the MOU).
