15.3. Offers will be evaluated using the criteria under FAR 52.212-5, Evaluation – Commercial Items.

Noncompliance with the Request for Proposal (RFP) requirements may delay the Government's ability to evaluate the proposal and may result in elimination of the proposal from further consideration for contract award.

2.2. The Offer. The submission of the documentation specified below will constitute the Offeror's acceptance of the terms and conditions of the RFP, concurrence with the Performance Work Statement (PWS), and the proposed contract type.

2.3. As set forth in FAR 52.215-1(f)(1), the Government intends to award a contract resulting from this solicitation to the responsible Offeror whose proposal represents the best value after evaluation in accordance with the factors in the solicitation; therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a price and technical standpoint.

2.4. These instructions prescribe the format for the proposal and describe the approach for the development and presentation of proposal data. These instructions are designed to ensure the submission of necessary information to provide for the understanding and comprehensive evaluation of proposals.

2.5. If an Offeror believes that the requirements in these instructions contain an error, an ambiguity, omission, or are otherwise unsound, the Offeror shall notify the Contract Specialist AND the Contracting Officer in writing with supporting rationale. 4.3.1 Consent Letters. The Offeror shall provide an outline of how the effort required by the RFP will be assigned for performance within the Offeror’s corporate entity and among the proposed major subcontractor(s), teaming partner(s), and/or joint venture partner(s). The information provided for the prime offeror and each proposed major subcontractor must include the entire company name, company address, CAGE Code, DUNS Number and type of work to be performed. Additionally, the Offeror shall provide Consent Letters authorizing the release of past performance information executed by each subcontractor, teaming partner, and/or joint venture partner. Past performance information concerning subcontractors cannot be disclosed to or requested from a private party without the subcontractor’s consent. Because a prime contractor is a private party, the Government requires consent before disclosing subcontractor present and past performance information to the prime contractor and/or requesting such information about the prime contractor from references. The completed consent forms shall be submitted as part of the Past Performance volume.

4.3.2 Past Performance References. The Offeror shall identify between three (3) and five (5) recent and relevant past performance references the Offeror, and/or its Teaming Partner(s), performed as a Prime or as a subcontractor.

4.3.2.1 Task orders shall be considered a separate past performance reference unless the Offeror identifies IDIQ and all associated Task Order awards for same requirement, which will be counted as one past performance submission, and the Government will expect to see one (1) overarching reference (CPARS or Performance Assessment Questionnaire).

4.3.2.2 For each past performance reference, the Offeror shall provide the following information: Name of effort;

contract and/or task order number; contract type (specific type such as Fixed-Price (FP), Cost Reimbursement (CR), Time & Material (T&M), etc); period of performance; Government point of contact responsible for monitoring performance under the contract (name, phone, email, address); Administrative Contracting Officer (name, phone, email, address); dollar value of work actually performed during the five (5) years prior to the date for receipt of offers; and the specific primary task area(s) for which the Offeror believes the reference demonstrates relevancy and quality of services performed under the reference. If the work was performed as a subcontractor, also provide the name of the prime contractor and Point of Contact (POC) within the prime contractor organization (name, phone, email, address).

4.3.2.3. The Offeror shall describe the objectives achieved and demonstrate how each past performance reference is recent and relevant to the requirement of this RFP.

4.3.2.3.1. To be recent, the effort must have been performed for six (6) months or longer during the five (5) years prior to date for receipt of offers. Evaluation will focus only on work experience already performed. Yet-to-be performed work, experience prior to the last five (5) years, and work performed for less than six (6) months will not be considered.

4.3.2.3.2. To be relevant, the effort must be similar in scope and magnitude to the services being procured under this solicitation. Scope is the measure of the services similarity to the requirements identified in the PWS. Magnitude is the measure of the similarity of the dollar value that exists between the current requirement and the past performance reference. Magnitude will be evaluated using the dollar amount of work actually performed on the past performance reference during the five (5) years prior to the date for receipt of offers.

4.3.2.4 The Offeror shall demonstrate the quality of work performed by the Offeror, or its Teaming Partner(s), for each past performance reference by providing one (1) of the two (2) requirements described below. Submission of CPARS or Performance Assessment Questionnaires (PAQs), or both is acceptable.

4.3.2.4.1 For all contracts identified by the Offeror as a past performance reference, the Offeror shall forward a copy of the Performance Assessment Questionnaire (PAQ) and Cover Letter (Attachment 4) to the points of contact responsible for monitoring performance under such contracts. The PAQ cover letter includes instructions to return completed PAQs by electronic mail to the points of contact responsible for receiving proposal submissions identified in paragraph 1.3. of this solicitation no later than the closing date and time identified in block 8 of the SF 1449. The Offeror shall identify when, and to whom (with contact information), each PAQ and Cover Letter were sent. (*Note that once references have been submitted to the Government, they do not need to be resubmitted in response to extended RFP deadlines.)

4.3.2.4.2 For all contracts identified by the Offeror as past performance references, the Offeror shall provide a copy of all completed performance assessment reports from the Contractor Performance Assessment Reports System (CPARS). Teaming Partners may submit completed performance assessment reports directly to the points of contact responsible for receiving proposal submissions identified in paragraphs 1.2. and 1.3. of this solicitation no later than the closing date and time identified in block 8 of the SF 1449. Submission requirements of paragraph 1. of this solicitation apply to the submission of CPARs information from Teaming Partners. The Offeror shall identify in its proposal whether CPARS for a past performance reference will be separately submitted by a Teaming Partner as described above. Failure to submit these requirements may render a reference unusable and will not count against the required number of references as the Government will not be able to consider how well the Offeror performed work on the past contract.

4.4. Volume IV -- FACTOR 3: PRICE. This volume shall consist of all information required to support proposed prices. The Offeror shall not include pricing information in Volumes II, or III of its Proposal. The Offeror shall provide annual fully burdened hourly labor rates for each labor category listed in the Pricing Schedule. Should a contract be issued to the Offeror, the proposed fully burdened labor rates proposed by the Offeror will become part of the contract (considered to be binding) and be the maximum rate allowable (ceiling rate) for that labor category when pricing task orders and task order modifications under the IDIQ, SATOC. The proposed fully burdened hourly labor rates may not be adjusted except as provided by FAR Clause 52.222-43, Fair Labor Standards Act and Service Contract Labor Standards-Price Adjustment (Multiple Year and Option Contracts). ADDENDUM TO FAR 52.212-2

ADDENDUM TO 52.212-2 EVALUATION – COMMERCIAL ITEMS

1. Basis for Award.

1.1. This acquisition will be solicited, evaluated and awarded using the subjective Best Value Tradeoff process conducted in accordance with FAR Part 15.3, Source Selection, as supplemented by the Defense Federal Acquisition Regulation Supplement (DFARS) and the Army Federal Acquisition Regulation Supplement (AFARS). A contract will be awarded to the Offeror deemed responsible in accordance with the FAR, as supplemented, whose proposal conforms to the solicitation’s requirements and is judged the best value to the Government. Award will be based upon an integrated assessment of all non-price and price factors.

1.1.1. The Government will award an Indefinite Delivery Indefinite Quantity (IDIQ), Single Award Task Order Contract (SATOC) (pursuant to FAR 16.504(c)(ii)(D)(3)) set aside for a Women-Owned Small Business (WOSB) firm.

1.1.2. As a basis for award, trade-offs between price and non-price factors are permitted. An award will be based upon an integrated assessment of all non-price and price factors. A proposal that demonstrates extensive experience and understanding in their technical approach may be worth more to the Government than a proposal that only meets the minimum requirements. THEREFORE, THE GOVERNMENT RESERVES THE RIGHT TO AWARD TO AN OFFEROR WITH OTHER THAN THE LOWEST PROPOSED PRICE. Price will become increasingly more important as non-price factors become increasingly equal.

1.2. Offers received for less than the stated requirement will be considered ineligible for award. As set forth in FAR 52.215‐1(f)(1), the Government intends to award a contract resulting from this solicitation to the responsible Offeror whose proposal represents the best value after evaluation in accordance with the factors in the solicitation. Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a price and technical standpoint. IAW DFARS 215.306(c)(1), discussions may be held.

However, the Government may choose to award a contract without discussions. If discussions are determined unnecessary and award is made from initial proposals, proposals rated as ‘Unacceptable’ or ‘Marginal’ in Evaluation Factor 1 or a Performance Confidence Assessment rating of ‘No Confidence’ in Factor 2 will not be considered for award.

1.2.1. In the event that discussions are held, a competitive range determination will be made. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals. Any proposal deemed less than technically ‘Acceptable’ will not be included in the award consideration. Upon completion of discussions, the Government will request that any Offerors remaining in the competitive range submit a final revised proposal.

1.3. Evaluation Factors. The proposal will be evaluated under three (3) factors:

Factor 1: Mission Capability

Sub-factor 1: Program Management Sub-factor 2: Technical Approach Sub-factor 3: Quality Approach

Sub-factor 4: Sample Task Order Execution Plans Factor 2: Past Performance Factor 3: Price

1.3.1. Order of importance.

1.3.1.1. The Mission Capability (Factor 1) is more important than Past Performance (Factor 2). In accordance with FAR 15.304(e)(1), all non-priced Factors when combined are significantly more important than Price (Factor 3).

THE GOVERNMENT RESERVES THE RIGHT TO AWARD TO AN OFFEROR WITH OTHER THAN THE

LOWEST PROPOSED PRICE. Price will become increasingly more important as non-price factors become increasingly equal.

1.3.1.2. Of the four (4) sub-factors, the Technical Approach (Sub-factor 2) is more important than Sample Task Order Execution Plans (Sub-factor 4). Sample Task Order Execution Plans (Sub-factor 4) is more important than Program Management (Sub-factor 1) and Quality Approach (Sub-factor 3) when combined.

1.3.2. Statements that the Offeror understands, can, or will comply with the PWS statements paraphrasing the PWS may be considered unacceptable. Offerors shall assume that the Government has no prior knowledge of their facilities and experience. The Government will base its evaluation on the information presented in the Offeror's proposal.

1.3.3. FACTOR I – MISSION CAPABILITY. Mission Capability will be assigned an overall adjectival rating.

Under the Mission Capability Factor, an offeror shall address the following:

Sub-factor 1: Program Management Sub-factor 2: Technical Approach Sub-factor 3: Quality Approach Sub-factor 4: Sample Task Order Execution Plans

1.3.3.1. Sub-factor 1 - Program Management: The offeror’s Program Management approach shall address the following:

1.3.3.1.1. Organizational and Team structure.

1.3.3.1.1.1. The Government will assess the Offeror’s organization structure, including the key position(s), qualifications of the position(s), and what authority the individual(s) possess; what parts of the organization are responsible for managing and accomplishing what work (identify each organizational element, i.e., Division/Branch/Team); where decision making authority lies within the organization; explain how will you simultaneously manage multiple task orders; and identify what specific work the prime, subcontractors or teaming partners are performing. The Government will assess the proposed key personnel and review the resume for each key personnel. The Government will assess the Offeror’s ability to manage and integrate teaming partners/subcontractors into their organization. The Government will assess the working relationship between the prime and their teaming partners/subcontractors at the corporate level and employee level. When teaming partners/subcontractors are performing the work, the Government will assess the oversight of teaming partners/subcontractors to include performance monitoring and timely resolution of any issues that may arise.

1.3.3.1.1.2. Recruitment and Retention Plan. The Government will assess the Offeror’s plans for recruitment and retention of personnel to meet mission objectives, to include the initial hire, the ability to replace departing personnel in a timely fashion, and the ability to retain qualified personnel.

1.3.3.2. Sub-factor 2 - Technical Approach: The Government will assess the Offeror’s understanding of the services required by the Performance Work Statement (PWS) to include all efforts necessary to meet the requirement (i.e., demonstrated performance providing support to Army Concept and Capability Development; Planning and execution of Army concept development experimentation; knowledge of Army Science and Technology programs and process and application within experimentation; Scenario development within experimentation programs;

Modeling and Simulation/Digital Engineering; Studies and Analysis; knowledge of Modular/Future Force operational sustainment concepts and doctrine; and Information Technology and System Administration), to include proposed processes, schedule, procedures, innovations, and assumptions of support. The Government will assess how the Offeror would accomplish each major functional area including, the identification of major work processes, process interfaces, and the outputs of these processes; if the Offeror’s technical approach ensures efficient, quality, and timely performance and if the Offeror adequately describes how services will be scheduled, to include employment of any automated systems or work loading procedures.

1.3.3.3. Sub-factor 3 - Quality Approach: The Government will evaluate this Sub-factor by assessing the Offeror’s Quality Control Plan (QCP) at the IDIQ level. The plan at the IDIQ level may be broad and is not required to be in depth as a plan that may be required at the individual task order level. Each Offeror shall explain how it will provide and maintain quality services at both the IDIQ level and the task order level. Elements of the QCP include methods to identify and correct deficiencies; the relationship between his quality control personnel and the proposed organization including reporting requirements; and feedback.

1.3.3.4. Sub-factor 4 - Sample Task Order Execution Plans (TOEPs): The Government will assess the Offeror’s understanding of the requirement by evaluating the two (2) sample TOEPs which IAW task ordering procedures shall include the adequately addressed resources required for each of the following sample Performance Work Statements (PWSs): Attachment 2 – MSSPIX Assessment and ALPA Experimentation Support Services sample PWS AND Attachment 3 – Experimentation and BLCSE System Administration and Facility Support Services sample PWS.

1.3.4. FACTOR 2 – PAST PERFORMANCE. The Past Performance evaluation will assess the offeror’s probability of meeting the solicitation’s requirements as indicated by that offeror’s record of past performance. Past Performance is assessed at the factor level after evaluating aspects of the offeror’s recent past performance and focusing on performance that is relevant to the services being procured under this solicitation. There are three (3) aspects of the past performance evaluation: recency, relevancy, and quality.

1.3.4.1. Recency Assessment. An assessment of the past performance information will be made to determine if it is recent. Past performance information that fails this condition will not be evaluated.

1.4.4.2. Relevancy Assessment. To be relevant, the effort must be similar in nature of work, size, and complexity.

The Government will conduct an in-depth evaluation of all recent performance information obtained to determine if it is the same or similar in nature of work, size, and complexity to the services being procured under this solicitation.

Recent past performance is defined as not more than five (5) years prior to the date for receipt of offers; relevant in terms of similar nature of work, size and complexity.

1.4.4.2.1. A relevancy determination of the offeror’s subcontractor(s) (including joint venture partner(s) and major and critical subcontractor(s)) past performance will be made. In determining relevancy for individual contracts, consideration will be given to the effort, or portion of the effort, being proposed by the offeror, teaming partner, or subcontractor whose contract is being reviewed and evaluated. In establishing what is relevant for the acquisition, consideration should be given to what aspects of an offeror’s contract history would give the most confidence that the offeror will satisfy the current procurement.
