The Government will consider how well the Offeror complied with the instructions when evaluating the Offeror’s ability to perform the requirements of the solicitation. The Government will consider an Offeror’s non-compliance with these instructions, or any attempt to take advantage of loopholes in these instructions, to be indicative of the type of conduct that it may expect from the Offeror during contract performance.

The Government will focus its inquiries on the Offeror’s (including major subcontractors) record of performance as it relates to the solicitation requirements that the Offeror or major subcontractor is proposed to perform, including cost, schedule, performance and management of subcontractors. Offerors are reminded they must include the most recent and relevant efforts (performance within the past five (5) years) in their proposal. Absent any recent and relevant past performance history or when the performance record is so sparse that no meaningful rating can be reasonably assigned, the Offeror will not be evaluated either favorably or unfavorably on past performance.

VOLUME 5 – FACTOR 5: COST/PRICE.

This volume shall consist of all information, required to support proposed costs and prices. Competition is anticipated; therefore, Certified Cost and Pricing Data are not currently required in accordance with FAR 15.403-1(b)(3). However, the Government reserves the right to request such data prior to award if none of the exemptions in FAR 15.403-1(b) apply. The information submitted in this volume shall comply with the cost element format FAR 15.408, Table 15-2, and the requirements set forth below. There is no page limitation for Volume 5.

Offeror shall provide proposed price and/or profit as required for all CLINs except for FFP Labor CLINs 0003, 0006, and 0009 (which are normalized) in Section B.

Each Offeror’s cost/price proposal shall contain sufficient quantitative and narrative documentation necessary to adequately support and explain the reasonableness of the proposed cost/price proposed in proposal Section B. Offeror proposals shall conform to the reporting criteria in FAR 15.408, Table 15-2, which prescribes the FAR’s generally accepted format for cost proposals. More specifically, each Offeror’s cost proposal shall be broken out by cost element as specified in Table 15-2, II Cost Elements. To help ensure this requirement, a Microsoft Excel workbook titled "LOE Spreadsheet" has been provided as an attachment to this solicitation. Instructions for completing Solicitation Attachment 5 (LOE_Spreadsheet.xls) are contained in that file. FAR 15.403-5(b) allows the Contracting Officer to specify the format of other than cost or pricing data or data other than cost or pricing data to facilitate and enhance cost/price analysis. These spreadsheets will help facilitate a more efficient, consistent, and fair evaluation of each Offeror’s proposal, and aid in post-award contract administration. Offerors are permitted to alter the format of the spreadsheet (e.g., add and subtract rows, columns, and formulas as necessary, etc.) in order to conform to the nuances of the Offeror’s accounting and estimating systems. However, it is requested that the general format be maintained as much as possible for Government evaluation purposes. Offerors are required to fill in rates for all labor categories included in Solicitation Attachment 5 (LOE Spreadsheet), regardless of whether or not projected LOE hours are associated with the labor category. However, only those labor categories with projected LOE hours will be used in calculating each Offeror’s total evaluated cost/price. Offerors must not deviate from the stated LOE hours provided in Solicitation Attachment 5 (LOE Spreadsheet) or their proposal will not be considered for award.

Offerors shall provide a FFP price for the Transition-In, and Transition-Out CLINs (CLINs 0001 and 00011) which shall reflect the Transition Plan described in the proposal for Technical Factor 3, Transition Plan. Each transition period shall be for a period of 45 calendar days described in Volume 3 above. This price shall include all costs associated with the Offeror’s proposed transition plan which shall include, but not be limited to, travel and material during the transition period of performance. Each Offeror shall enter the number of personnel and hours in the transition sections of Solicitation Attachment 5 (LOE Spreadsheet). Only the labor categories provided in Solicitation Attachment 5 (LOE Spreadsheet) may be used.

For proposal purposes, an “estimated” normalized amount for Other Direct Costs (ODC) CLINs 0004/0007/0010 and FFP CLINs 0003/0006/0009 will be provided. Each Offeror shall include these estimated normalized amounts in their proposal. Any material handling and/or G&A may be applied to ODCs as appropriate. Since ODCs are estimated amounts that may or may not occur, NO PROFIT shall be proposed on normalized CLIN amounts (CLINs 0004/0007/0010) for the purposes of this solicitation.

Offerors are encouraged to provide whatever supplemental information necessary to help the Government understand why the proposed costs are reasonable. Supporting narrative shall be submitted in Microsoft Word or Excel (2007 or later) compatible format. Any supporting schedules shall be submitted in a Microsoft Excel (2007 or later) compatible readable format.

This requirement is set aside exclusively for small business under NAICS Code 518210

– Data Processing, Hosting, and Related Services. The small business size standard is $32.5 million. As a set aside, the Prime must be compliance with FAR Clause 52.219-

14. The Government shall use evaluated underlying cost/price data when making a responsiveness determination concerning an Offeror’s compliance with FAR Clause 52.219-14, Limitations on Subcontracting. Clause paragraph 52.219-14 (c) (1) states, “Services (except construction). At least 50 percent of the cost of contract performance incurred for personnel shall be expended for employees of the concern.” Per FAR

52.219-14, to be eligible for a small business set aside award, in the case of services, the at least 50 percent of the cost of the contract must be incurred for employees of the prime contractor.

Each Offeror is to provide two electronic copies of their cost/price proposal. The Excel version of the completed Attachment (LOE_Spreadsheet.xls) shall also be included with the rest of the proposal submission. One shall be locked (read only) and one shall be open. Worksheet formulas shall be readable.

Additionally, submission of current Forward Pricing Rate Agreements (FPRAs), Forward Pricing Rate Proposals (FPRPs), Forward Pricing Rate Recommendations (FPRR), any DCAA Provisional Billing Rate Agreements (PBRAs) issued in accordance with FAR 52.216-7(e) or other agreements with the cost proposal may be submitted to support the reasonableness, and allowability of the Offeror’s direct and indirect rates/costs, if this information is available. If such agreements do not exist, Offerors shall provide their forward pricing indirect expense rate forecast for each rate, to include expense pool by expense account as well as allocation base details. Offerors shall also provide three years’ historical pool and base detail (same information as provided for forecasted rates) for each indirect expense rate.

Per FAR 52.222-46, Evaluation of Compensation for Professional Employees, “As part of their proposals, offerors will submit a total compensation plan setting forth salaries and fringe benefits proposed for the professional employees who will work under the contract.” It further states that the “professional compensation proposed will be considered in terms of its impact upon recruiting and retention, its realism, and its consistency with a total plan for compensation.” The offeror shall submit with their proposals their plan for total compensation including details on its fringe benefits; details such as, but not limited to, paid time off, health benefits, and any other benefits it provides. The costs paid by the offeror and the employee shall be clearly identified.

Offerors and subcontractors shall describe the basis of the direct labor rates proposed and shall submit documentary evidence indexed to the spreadsheet, to prove the reasonableness of the direct labor rates, (i.e. for Professional Labor Category- Program Manager.)This information is being requested for review/evaluation under FAR 52.222- 46 and not for a cost realism review. In this submission, the offeror should utilize as many of the following mechanism as needed:

Direct labor rates from any of the rate agreements (i.e. FPRA/P/R, PBRA, etc.)

referenced in the paragraph above.

Rates proposed in FY Final Rate/Incurred Cost submissions to DCAA required by FAR 52.216-7(d) may also be used where applicable to substantiate the reasonableness of proposed rates. These rates should be escalated as appropriate.

Payroll or W-2 salary data showing the direct labor rate paid to current or past employees who have performed the same or similar work.

Signed letters of intent signed by the offeror/subcontractor and prospective employees showing labor rate/salary to be paid to the employee.

If none of the above is available, market research salary survey labor rate data may be proposed as long as the salary survey labor rates are truly reflective of the actual rates anticipated to be experienced during performance of the contract and the offeror/subcontractor shall provide a statement indicating that it can realistically obtain labor at the proposed rate(s).

Note: Offerors/subcontractors are free to use whatever salary survey resources that are available. However, the service used shall be described in the cost proposal. Also, the input assumptions, together with a copy of the data output extract, shall also be included in the cost proposal and indexed to the "Supporting Labor Detail" tab of the spreadsheet. Finally, salary survey results are normally exhibited in the form of a statistical bell curve. Offerors and subcontractors are cautioned to not use labor rate salary data on the lower portion of the bell curve unless it can be demonstrated by the offeror/subcontractor that it can realistically obtain labor at those rates.

In accordance with DFARS Subpart 244.3, the Offeror’s purchasing system must be reviewed to determine adequacy for award. To substantiate this, the Offeror shall provide evidence of a contractor purchasing system review (CPSR) from DCMA if available. In the event that a CPSR has not been conducted by DCMA, the Offeror shall provide a completed Solicitation Attachment 4, TAB 5 (Purchasing System Review Form) documenting compliance with the requirements of DFARS Clause 252.244- 7001(c).

In accordance with FAR 15.404-3(b)(1) each Offeror shall conduct appropriate price and/or cost analysis to establish the reasonableness and realism of proposed subcontractor cost/prices. Evidence of their review shall be submitted as part of the Offeror’s cost/price proposal. Any subcontractor proprietary information can be submitted under separate cover to contracting officer if the subcontractor declines to provide documentation to the Offeror.

While the use of uncompensated overtime is not encouraged per FAR 37.115-2(a), if any of the Offeror or subcontractor labor rates contain "uncompensated overtime" as defined in FAR 52.237-10 the Offeror and/or subcontractor shall so indicate the existence of uncompensated overtime and its cost/price impact on the Offeror’s or subcontractor's proposal to the Offeror as part of the Offeror’s cost/price proposal.

Additionally, per FAR 52.237-10(e), the offeror shall include a copy of its policy addressing uncompensated overtime with its proposal.

The impact of any prevailing DoL Wage Determinations shall be considered and incorporated as necessary in proposing direct labor rates for Fair Labor Standards Act (FLSA) non-exempt personnel/wage categories covered by the Service Contract Act as referenced in FAR Part 22. Since wage increases/adjustments for proposed FLSA/SCA non-exempt labor will be covered by DoL Wage Determination changes during the life of the contract, Offerors are NOT to apply escalation to non-exempt base labor rates covered by DoL. Escalation can be applied to FLSA exempt labor categories (i.e.

management, professional, and administrative) as defined by DoL, however, escalation cannot be applied to FLSA/SCA non-exempt wage categories for the purposes of this solicitation and resulting contract.
