A. ACQUISITION APPROACH

The Best Value Trade-Off source selection process will allow for a tradeoff between non-price factors and price—allowing the Government to accept other than the lowest priced proposal or other than the highest technically-rated proposal to achieve a best-value contract award. This acquisition will use FAR Part 15 and is intended to minimize the complexity of the solicitation, the evaluation, and the source selection decision while maintaining a process designed to foster an impartial and comprehensive evaluation of the offerors’ proposals, leading to selection of the proposal representing the best value to the Government.

The primary NAICS code for work under this procurement is 238220 (Plumbing, Heating, and Air-Conditioning Contractors) with a small business size standard of $15,000,000 in average annual receipts.

In accordance with FAR 19.705-2, the following actions were taken to determine whether a subcontracting plan is required for this acquisition: (a) determine if the proposed contractual action meets the dollar threshold ($1.5M for construction) at 19.702(a)(1); (b) determine if subcontracting possibilities exist by considering (1) if firms engaged in the business subcontract for performance or maintain sufficient in-house capabilities to perform work, and (2) likelihood for the need to prequalify products. A review of the requirements of the work indicates that subcontracting opportunities exist. This work requires a variety of disciplines to include structural, mechanical, electrical, controls, and equipment demolition and disposal. Based on this determination, if the offeror is a large business, a subcontracting plan is required to be submitted with the proposal.

As prescribed in FAR Part 19.708(b)(1), the solicitation includes FAR clause 52.219-9, Small Business Subcontracting Plan, Alternate II. The Small Business Subcontracting Plan is not a requirement for evaluation in source selection, but rather a requirement for award to a large business concern. The Subcontracting Plan will be incorporated into the resultant contract and the contractor’s implementation of Subcontracting Plan evaluated as part of the project evaluation completed in the Contractor Performance Assessment Reporting System (CPARS).

B. BASIS FOR AWARD

The award will be made based on the best overall (i.e., best value-tradeoff) proposal that is determined to be the most beneficial to the Government, with appropriate consideration given to the four (4) evaluation factors:

Factor 1: Technical

Subfactor 1.1 HVAC Experience Subfactor 1.2 Schedule Subfactor 1.3 Construction Management Experience

Factor 2: Past Performance Factor 3: Small Business Participation Factor 4: Price

Relative Importance of Factors and Subfactors

1) Factor 1 (including subfactors 1.1, 1.2, and 1.3) is more important than Factor 2

2) An acceptable rating in each subfactor (1.1, 1.2, and 1.3) is required to be considered acceptable for Factor 1

3) Under Factor 1, subfactors 1.1 and 1.2 are approximately equal in importance

4) Under Factor 1, subfactors 1.1 and 1.2 are each more important than subfactor 1.3

5) Factor 1 is more important than Factor 3

6) Factor 2 is more important than Factor 3

7) Factors 1, 2, and 3 when combined are significantly more important than Factor 4

8) However, when proposals are of relatively equal merit for the non-price factors, price becomes more important.

C. FACTORS AND SUBFACTORS TO BE EVALUATED

1) FACTOR 1 – TECHNICAL

a. SUBFACTOR 1.1: HVAC EXPERIENCE

Offerors shall submit the following for Subfactor 1.1:

At least three (3) but no more than five (5) summaries of completed projects, or close-to-complete projects (over 75% physically complete) in the past ten (10) years, demonstrating experience in at least three (3) relevant projects similar in scope, magnitude, and complexity in the design, manufacturing, and installation of commercial HVAC systems.

Provide a detailed narrative of demonstrated experience describing how you successfully accomplished large scale projects requiring HVAC rehabilitation and construction, cooling tower installation, heat exchanger installation, construction of building system controls (automated or otherwise), plumbing, electrical, and fire protection (alarm and suppression).

Relevant projects includes the following criteria:

i. Replacement/installation of a water source heat pump ceiling unit system with associated ductwork

ii. Work was accomplished in a commercial office building of 50,000 square feet or larger

iii. Installation of digital building system HVAC controls

iv. Provided HVAC system testing and commissioning

Subfactor 1.1 will be considered more favorably if relevant projects submitted include:

i. HVAC replacement was conducted in occupied commercial office buildings, providing that information is included in the narrative regarding how the offeror minimized impact to ongoing operations and occupants

ii. HVAC replacement included predominantly nights and weekend work

iii. Replacement or installation of a cooling tower

v. Replacement or installation of a heat exchanger

vi. Integration of HVAC system to the fire alarm and suppression system

iv. The offeror has previously worked with proposed major subcontractors

b. SUBFACTOR 1.2: SCHEDULE

Offerors shall submit the following for Subfactor 1.2:

Overall project schedule is to verify the Team’s experience in understanding the project scope, submittal schedules, equipment procurement and delivery, installation, key milestones, and contract required schedule constraints. Submitted schedule shall be legible and in Gantt chart format using Microsoft Office Project format (minimum accepted format). Show task durations, including Government review times for submittals (30 calendar days) where applicable, start and finish milestones, and relationships.

The Offeror shall use the following dates:

Notice to Proceed (NTP) date of November 1, 2015 Start of on-site construction activities date of March 1, 2016

The schedule shall be task oriented, indicating the number of calendar days, after the NTP date, by which milestones are to be achieved. At a minimum, the schedule must address:

i. Mobilization and preparatory work

ii. Submittal review

iii. Long lead order items (i.e. Cooling Tower, Air Handlers, Heat Exchangers)

iv. Phasing

v. Allowable work hours

vi. Cooling tower replacement

vii. Heat exchanger replacement

viii. Work window for the Computer Room

ix. Testing and Commissioning complete

x. Training complete

The Offeror may choose a critical path or other method; however, project schedule shall be graphically represented. Include necessary, extra, or unusual efficiencies that will be required to meet the schedule. The maximum allowable schedule should not exceed the stated duration specified in Contract Clause, FAR 52.211-10 Commencement, Prosecution, and Completion of Work.

The Government will evaluate the schedule to assess the Offeror’s understanding of the scope and complexity, and the Offeror’s capability to execute the project.

Subfactor 1.2 will be rated more favorably if:

The project schedule clearly demonstrates an on-site construction duration that is significantly shorter than required by the Contract, rather than simply demonstrating an adequate understanding of the scope, restrictions, major milestones and general understanding of the various events that can affect start and completion of the project. Significantly shorter duration is defined as a minimum of 8 weeks. This shorter duration schedule must be accompanied with a narrative that explains how the shorter duration will be achieved.

Note: if the Offeror is awarded the Contract, and the submitted proposal includes a Schedule that demonstrates an on-site construction duration that is significantly shorter than required by the Contract, the Government will incorporate the schedule into FAR Clause 52.211-10 Commencement, Prosecution, and Completion of Work to reflect the offered on-site construction duration.

c. SUBFACTOR 1.3: CONSTRUCTION MANAGEMENT EXPERIENCE

The proposal must include relevant experience for on-site Construction Management. The Offeror must demonstrate experience with the overall management of Contractor Quality Control programs or plans for at least two (2) projects similar in scope and complexity to this solicitation and the requirements in Specification 01 45 04.00 28 Contractor Quality Control.

Relevant construction management experience includes the following criteria:

i. Management and supervision of all on-site construction activities

ii. Management and supervision of subcontractors, fabricators, and suppliers

iii. Management of contractor quality control systems and organizations

iv. Scheduling, reviewing, certifying, and managing submittals

v. Management of verification and acceptance testing plans and procedures

Limit responses to those that best demonstrate the experience of the Offeror’s proposed team (including subcontractors).

In responding to this subfactor, the objective is to demonstrate to the technical evaluators that the offeror clearly has the capability to successfully complete the project by explaining in detail how the demonstrated experiences are similar to the work described in the solicitation.

Using Attachment A, provide a detailed narrative that explains how each demonstrated experience is relevant to the work described in the solicitation. Additional pages may be used as necessary to provide required detail. Failure to provide sufficient detail explaining how each demonstrated experience is relevant to the work described in the solicitation may be noted as a weakness. This narrative should demonstrate that the offeror clearly has the capability to successfully complete the project. Provide sufficient detail regarding the work and its relevance to this solicitation. Failure to adequately provide sufficient detail may be considered a weakness.

Demonstrated experiences should include the location/conditions, duration, dollar value, any unusual coordination requirements as well as any problems encountered and corrective action taken to successfully complete the project. Each project identified must include a contract number, a reference contact name, address and telephone number, as well as email address if available.

If any portion of the demonstrated experience is subcontracted, clearly identify that work as such, and provide the required experience of that subcontractor as it relates to work the subcontractor is performing. Provide a letter of commitment for any subcontractor proposed to be used in the following positions or items of work:

(1) Mechanical Subcontractor

(2) Electrical Subcontractor

(3) Fire Protection Subcontractor

(4) Commissioning Agent

(5) HVAC Technician

A letter of commitment is defined as a letter from the subcontractor on official Company letterhead (1) addressed to the prime contractor, (2) identifying the work they intend to perform, and (3) stating that they are willing to be bound to perform the identified work if the prime receives this contract. Failure to provide a letter of commitment from a proposed major subcontractor will be noted as a significant weakness.

If any portion of the work provided as demonstrated experience was performed by the Parent Company and/or subsidiary of the offeror, clearly identify that work as such and provide the required experience of the Parent Company and /or Subsidiary as it relates to work the Parent Company and/or subsidiary will be performing on the requirements described herein. Provide a letter of commitment from the proposed Parent Company and/or subsidiary of the offeror. The letter shall be on the Parent Company and/or subsidiary letterhead.

If the submission of demonstrated experience is based on one individual, the individual’s affiliation with the offer must be explained in detail (consultant, employee, partner, etc.). In addition, a letter of commitment from the individual as described in the requirements above.

A completed project is defined as work performed under a “project” that is physically complete and the customer has taken beneficial occupancy.

A close-to-complete project is defined as work performed under a “project” that is over 75% physically complete. If a close-to-complete project is presented, the offeror shall explain which elements of the work are not completed and the completion percentage.

Any demonstrated experience (to include subcontractors) provided here for consideration in this subfactor, should also have a corresponding submission in the past performance factor.

It is not necessary that all the elements required on this subfactor be performed on the same project; however, experiences that include all the elements being accomplished on the same project would be rated more favorably.

Evaluation Methodology for Factor #1, all subfactors, shall use Combined Technical/Risk Ratings as follows:

Rating Description

Outstanding Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. Strengths far outweigh any weaknesses. Risk of unsuccessful performance is very low.

Good Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.

Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance. Risk of unsuccessful performance is no worse than moderate.

Marginal Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements. The proposal has one or more weaknesses which are not offset by strengths. Risk of unsuccessful performance is high.

Unacceptable Proposal does not meet requirements and contains one or more deficiencies. Proposal is unawardable.

2) FACTOR 2 – PAST PERFORMANCE

The past performance evaluation will result in an assessment of the offeror’s probability of meeting the solicitation requirements. The Offeror's past performance will be evaluated based on its own past performance and/or Joint Venture Partners, and on the past performance of any Major Subcontractors and/or Suppliers. Offerors will be evaluated based on the information provided in the proposal and any other available information determined appropriate by the Government.

When evaluating past performance the following will be taken into consideration:

a. The relevance of the project to the requirements of the solicitation. Relevancy of past performance information will be determined on the same basis as under Factor 1.

b. How well the contractor performed on recent projects.

c. Trends in the Offeror’s past performance.

d. The number of problems, type and severity of the problems, and the effectiveness of corrective actions taken to ensure progress with project completion to minimize the schedule and cost impacts, and overall quality.

e. Evaluations, letters of appreciation, and commendations from customers.

f. Negative comments may negatively impact evaluation of Offeror’s past performance.

If the negative past performance information (either pertaining to the Offeror or any of the Offeror’s major subcontractors) adversely impacts an Offeror’s proposal assessment, the Offeror will have an opportunity to address any such information on which it has not had a previous opportunity to comment. This opportunity may occur during clarifications, communications or discussions, at the discretion of the Contracting Officer, dependent upon whether discussions are anticipated, and, if they are, if they have been opened. At no time during this process, will the names of the individuals providing reference information about an Offeror’s past performance be revealed to a third party.

The Government reserves the right to verify claims made by the Offeror and not to consider relevant those projects that are not substantiated.

Unavailability of Past Performance Information: IAW FAR Part 15.305(a)(2)(iv), in the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available, the Offeror may not be evaluated favorably or unfavorably on past performance.

Instructions: A Past Performance Questionnaire (PPQ) included in this solicitation at Attachment B. When completing the PPQ, ensure correct phone numbers and email addresses are provided for the client point of contact. Completed PPQs should be submitted with your proposal. However, if the Offeror is unable to obtain a completed PPQ from a client for a project(s) before the proposal due date, the Offeror shall, at a minimum, submit with the proposal the first page of the PPQ with blocks 1 through 4, as well as block 5 completed. This will allow the Government an opportunity to contact the client directly. Additionally, if the client requests, PPQs may be submitted directly from the client to the Government’s point of contact. In such cases, the client may submit to the Government point of contact listed in Block 7 of Standard Form 1442.

Offerors shall not incorporate by reference into their proposal any PPQs previously submitted for other Solicitations/Requests for Proposals. However, this does not preclude the Government from utilizing previously submitted PPQ information in the past performance evaluation.

In addition to the above, the Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including CPARS, using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the offeror.

Evaluation Methodology for Factor #2:

Using the following relevance scale:

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

Each Offeror will be assigned a Performance Confidence Assessment Ratings as follows:

Substantial Confidence Based on the offeror's recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence Based on the offeror's recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Limited Confidence Based on the offeror's recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the offeror's recent/relevant performance record, the Government has no expectation that the offeror will successfully perform the required effort.

Unknown Confidence (Neutral)

No recent/relevant performance record is available or the offeror's performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

3) FACTOR 3 – SMALL BUSINESS PARTICIPATION PLAN

All Offerors (both large and small businesses) will be evaluated on the extent of participation of small business concerns in performance of this contract opportunity.

Offerors shall use Attachment C to provide their Small Business Participation Plan. All offerors will be evaluated on the level of proposed participation of small businesses in the performance of acquisition (as small business prime offerors or small business subcontractors) relative to the objectives and goals established herein. The government will evaluate:

1. The extent to which such firms, as defined in FAR Part 19, are specifically identified in proposals;

2. The extent of commitment to use such firms. The proposal will be rated more favorably under this subfactor if it contains an enforceable commitment in the form of a letter of commitment (LOC);

3. Identification of the complexity and variety of the work small firms are to perform;

4. The extent of participation of small business prime offerors and small business subcontractors in terms of the percentage of the value of the total acquisition;

5. The realism of the proposal; and

6. The extent to which the offeror meets or exceeds the goals. The goals for this procurement are:

a. Small Business 10% of the total contract value;

b. Small Disadvantaged Business (SDB) 1.5% of the total contract value;

c. Woman-Owned Small Business (WOSB) 1.0% of the total contract value;

d. Historically Underutilized Business Zone (HUBZone) 0.5% of the total contract value;

e. Veteran Owned Small Business (VOSB) 0.5% of the total contract value;

f. Service Disabled Veteran Owned Small Business (SDVOSB) 1.0% of the total contract value;

g. Note – for example – that a participation plan that reflects 1% of the contract value for WOSB would also count towards the overall Small Business Goal; and percentages for SDVOSB also count towards VOSB).

Evaluation Methodology for Factor #3 shall use Combined Technical/Risk Ratings as follows:

4) FACTOR 4 - PRICE

Offerors must submit completed Contract Line Item Numbers (CLINs) with unit price, quantity, and extended price. All extensions of the unit prices shown will be subject to verification by the Government. In case of discrepancy between the unit price and the extended price, the unit price will govern.

An evaluation will be performed on the proposed prices. The evaluation will not be assigned an adjectival rating. However, it will be evaluated for completeness and reasonableness as follows:

a. Completeness - To be complete, the Offeror must provide all data that is requested and necessary to evaluate the price. The Government will assess the extent to which the proposed prices comply with the content and format requirements set forth in this solicitation.

b. Reasonableness - The Offeror's proposal is evaluated through price analysis techniques as described in FAR Subpart 15.305(a) (1) and 15.404-1(b). For price to be reasonable, it must represent a price that provides best value to the Government when consideration is given to prices in the market, (market conditions may be evidenced by other competitive proposals), and technical and functional capabilities of the Offeror. The Offeror's price will be evaluated to determine if any are unreasonably high or low in relation to the anticipated work under the contract, as well as with current industry standards.

D. NOTICES TO PROSPECTIVE OFFERORS

1. General. Late submissions will not be considered. Electronic or faxed proposal submissions will not be considered. Proposals shall be clearly marked on the outside of the package with the solicitation number. The closing date annotated on the pre-solicitation notice via FedBizOpps is for FedBizOpps archiving purpose only.

2. Amendments to the RFP. Any and all amendments to this RFP will be issued electronically and be available via www.fbo.gov . It is the Offeror’s responsibility to continuously check for any amendments to this RFP and acknowledge any and all amendments as specified in block 11 of the Standard Form 30.

3. Site Visit. A site visit will be conducted. Please refer to FAR Clause 52.236-27 Alt I in Section 00100.

4. System for Award Management. Contractors (including Joint Venture entities) shall be registered in the System for Award Management (SAM) prior to contract award. For more information, see the SAM website at https://www.sam.gov. Please ensure that NAICS code 238220 (Plumbing, Heating, and Air-Conditioning Contractors) is listed on your SAM registration.

5. Expenses Incurred The Government will not reimburse any costs incurred or associated with preparation and submission of any response(s) to this solicitation.

6. Discussions. The Government reserves the right to accept other than the lowest priced offer or to reject all offers. The Government will not award a contract to an Offeror whose proposal contains a deficiency, as defined in FAR 15.001. Award will be made to the Offeror providing the best value to the Government based on the proposal package and the requirements of this solicitation. The Government intends to award this contract based on initial proposals received without discussions with Offerors, therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a technical and a price standpoint. The Government reserves the right to conduct discussions as determined necessary by the Contracting Officer. The Government may request additional information that clarifies, supplements and/or changes, proposals submitted from Offerors determined to be in the competitive range. Competitive Range: The competitive range may be limited for purposes of efficiency in accordance with FAR

15.306 (c)(2). Offerors are urged to reflect their best possible terms; to include price-related elements, since less than the best potential price(s) could result in exclusion of the proposal from further consideration. The Government reserves the right to award to other than the lowest proposed price; however, the degree of importance of price related elements as a factor will become greater as the technical proposals approach equality.

The greater the equality of technical proposals, the more important price shall become in selecting the Best Value to the Government. Unrealistically high or low proposed prices may be grounds for eliminating a proposal from the competitive range based upon assessment that the Offeror does not understand the requirement or the Offeror has made an unrealistic proposal.

7. Joint Ventures. A joint venture is defined as follows: a legal business entity formed between two or more companies (parties) to undertake the performance activities of a contract together. This does not include other arrangements such as “teaming agreements” or “strategic alliance” which are not recognized as bona fide joint ventures for the purposes of this solicitation. A company that is part of a joint venture shall submit a legally binding joint venture agreement. The Government will not evaluate the capability of any contractors that are not included in the joint venture agreement. Joint ventures shall include a copy of the legal joint venture agreement signed by an authorized officer from each of the firms comprising the joint venture with the chief executive of each entity identified. If submitting a proposal as a joint venture, the experience and past performance of each of the joint venture partners can be submitted for the joint venture entity. The experience for each joint venture partner will be considered the experience of the joint venture entity. Page and project form limits apply to the joint venture as a whole. Prospective Offerors that submit proposals may not change their firm (including Letters of Commitment (LOC) and proposed subcontractors) or their Joint Venture firms, if selected to submit Final Proposal Revisions (FPR).

8. Subcontractors. The Government recognizes that completion of a project is often a team effort. Therefore, if an Offeror wishes to be credited with experience and/or past performance of a subcontractor (i.e., a firm that is not a member of the Joint Venture), an LOC signed by the proposed subcontractor must be submitted. The letter of commitment must be submitted even if the firm is in some way related to a Joint Venture partner (for example, the subcontractor is a subsidiary of a Joint Venture partner, or a subsidiary of a firm to which a Joint Venture partner is also a subsidiary). If a letter of commitment is not submitted, the experience and past performance of subcontractor firms will not be considered.

9. Proposal Submission. Any costs related to proposal preparation and submission will not be reimbursed by the Government.

Larger format drawings or tables may be added by folding them to fit within the binder. Paragraphs should be separated by at least one blank line. In order to reduce proposal size, the Offeror must confine the proposal to recent and relevant information and documentation sufficient to provide an adequate basis for evaluation.
