About this file

This amendment to a solicitation modifies the terms for a service contract to provide maintenance and property control support for medical equipment owned by U.S. Army Reserve units. Key changes include extending the proposal due date to April 15, 2020, revising the evaluation factors to place greater importance on technical approach and past performance relative to price, and requiring resumes for key personnel. The performance work statement and contract line items were also updated to more accurately describe the preventative maintenance services in CLIN X001 and the corrective maintenance and training services to be ordered separately through the contract. The solicitation seeks proposals from Service Disabled Veteran Owned Small Businesses to provide maintenance support for one base year and three option years to the 99th Medical Equipment Concentrations Site on behalf of Army Reserve medical units.

INSTRUCTIONS TO OFFERORS

ADDENDUM TO 52.212-1

BASIS OF AWARD

The Government will award a contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

The Government will make a selection for award using the best value trade off process. In accordance with FAR

2.101, “Best value” means the expected outcome of an acquisition that, in the Government’s estimation, provides the greatest overall benefit in response to the requirement. The best value is determined by comparing differences in the value of non-price features. In making this comparison, the Government is more concerned with obtaining superior non-price factors than with establishing a contract at the lowest overall price to the Government.

The Government intends to evaluate offers and award a contract without discussions with Offerors. Therefore, the Offeror’s initial offer should contain the Offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary.

The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received. The Government also reserves the right to make no award.

Evaluation Factors are summarized below, but are fully described in solicitation provision 52.212-2 Evaluation – Commercial Items:

Evaluation Factors are listed in relative order of importance

1. Technical Approach

2. Past Performance

3. Price and Rates

Technical and past performance, when combined, are significantly more important than cost or price.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Factors listed in relative order of importance

1. Technical Approach. The Government will evaluate the technical approach narrative for technical feasibility, thoroughness, and adherence to the requirements of the Performance Work Statement and to assess the Contractor’s understanding of the work. The Government will evaluate the effectiveness of the proposed technical approach to accomplish the requirements as identified in the PWS. Proposals must receive at least an adjectival rating of acceptable to be eligible for award. See Table 1 below for descriptions of the adjectival ratings.

Adjective R i

Description

Outstanding Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.

Good Proposal indicates a through approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.

Acceptable Proposal meets requirements and indicates an adequate Approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate

Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements and/or risk of unsuccessful performance is high.

Unacceptable Proposal does not meet the requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is not awardable.

2. Past Performance - The Government will evaluate the vendor's likelihood of success in performing the solicitation's requirements as indicated by that vendor's record of past performance. The vendor's past performance rating will be based on data obtained from sources such as the CPARS. Past performance of prime contractors whose firms are divided into severable segments (i.e. division, group, unit, etc.) will only be evaluated as it relates to those segments of the firm(s) that will actually perform the work.

Data such as CPARS records will first be reviewed to determine the relevancy of the past performance information.

Relevancy will be evaluated based on whether the projects are of similar size, scope, magnitude of effort and complexity to the effort described in the PWS. In addition, past performance must have occurred within three years from the closing date of this solicitation. The Performance Relevancy Ratings are described in the table below.

Past Performance Relevancy Ratings Rating Definition Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

The Government will consider the projects and will then assign an overall adjectival rating as depicted in the table below.

Adjectival Rating Description

Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown.

Unacceptable Based on the offeror’s performance record, the Government does not have a reasonable expectation that the offeror will be able to successfully perform the required effort.

In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown (or “neutral”) past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered “acceptable.”

3. Price and Rates - The Government will evaluate the price proposal for fairness, reasonableness, completeness, balance, and value. Certified cost and pricing data are not required. The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more line items is significantly overstated or understated as indicated by the application of cost and/or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

Price will not receive an adjectival rating.

a. The Government will evaluate the total evaluated price by totaling the prices for all CLINs x001 and CLINs x006 (base period plus all options under 52.217-9 and up to six months of additional performance under the Option to Extend Services per 52.217-8.). The Government will evaluate the overall price and the individual CLIN prices to determine whether they are fair and reasonable in accordance with the price and technical analysis techniques at FAR 15.404-1(b) & (e). Cost Analysis and Cost Realism Analysis will not be performed, however the price proposal must include all essential elements of work and must be consistent with the technical approach described in Volume I to be considered complete. A proposal that does not price all essential elements of work or that is inconsistent with the proposal technical approach will be considered incomplete and deficient unless the offeror explicitly states in a narrative statement that those portions of the work are purposely gratis to the Government. The offeror is cautioned against using a ‘buy-in’ strategy as described in FAR 3.501 in regards to shifting costs out of CLINs X001 into the service orders. All costs for services and materials described in the PWS as attributable to the regular re-occurring maintenance and management effort must be captured in the price for CLINs X001. A ‘buy-in’ pricing strategy will be considered a price deficiency and will render the proposal unacceptable for award. Unbalanced pricing will be considered a price deficiency and will render the proposal unacceptable for award.

b. The Government will evaluate labor rates, indirect rates, and profit rate for performance of service orders for fairness and reasonableness.

Technical and past performance, when combined, are significantly more important than cost or price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
