QUESTIONS AND ANSWERS
1. My understanding is that if the SLA is within the competitive pricing range and meets the technical requirements the Government will enter in negotiations and award will be made to them?
As stated in the solicitation, if the SLA's offer is technically acceptable and its proposed price does not exceed the low priced technically acceptable small business offer by more than five percent, or one million dollars, whichever is less, for the total price for all performance periods required by the solicitation, then award will be made to the SLA.
2. Is the current contractor SLA?
Yes, the incumbent is the SLA.
3. How does the Government determine a competitive price range?
While the government does not expect to establish a competitive range for this procurement, the government reserves the right to establish a competitive range in compliance with FAR 15.306(c).
For your convenience FAR 15.306(c) is provided:
"(c) Competitive range.
(1) Agencies shall evaluate all proposals in accordance with 15.305(a), and, if discussions are to be conducted, establish the competitive range. Based on the ratings of each proposal against all evaluation criteria, the contracting officer shall establish a competitive range comprised of all of the most highly rated proposals, unless the range is further reduced for purposes of efficiency pursuant to paragraph (c)(2) of this section.
(2) After evaluating all proposals in accordance with 15.305(a) and paragraph (c)(1) of this section, the contracting officer may determine that the number of most highly rated proposals that might otherwise be included in the competitive range exceeds the number at which an efficient competition can be conducted. Provided the solicitation notifies offerors that the competitive range can be limited for purposes of efficiency (see 52.215-1(f)(4)), the contracting officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals (10 U.S.C. 2305(b)(4) and 41 U.S.C. 3703).
(3) If the contracting officer, after complying with paragraph (d)(3) of this section, decides that an offeror’s proposal should no longer be included in the competitive range, the proposal shall be eliminated from consideration for award. Written notice of this decision shall be provided to unsuccessful offerors in accordance with 15.503.
(4) Offerors excluded or otherwise eliminated from the competitive range may request a debriefing (see
15.505 and 15.506)."
4. Can the SLA increase their price during negotiations with the Government?
No. If the SLA offer is selected for award utilizing the method explained in the solicitation, the government intends to award the contract to the SLA at the price offered and evaluated per the solicitation terms.
5. Can you provide the name of the incumbent contractor?
HAWAII DEPARTMENT OF HUMAN SERVICES – HO’OPONO (State Licensing Agency)
1901 BACHELOT ST
HONOLULU HI 96817-2432
6. What is the price for the current option period (12-months)?
The current yearly price is $ 3,750,475.72.
7. What is the current Contract value? Awarded contract value: $18,686,595.71
8. What is the current contract number? W912CN-11-D-0010
9. Is the current contract a firm fixed price? Yes
10. Is the current contract a requirements or IDIQ contract? Requirements
11. Is the PWS requirement in the current contract the same as the solicitation? No
12. Who are the major subcontractors being used? Subcontractors are not being used in the current contract.
13. We are not clear on the applicable wage rates to be paid. A wage determination is provided at TE 3.
At Addendum 52.212-1 A.3.C. (5) c page 104 of 146 and in subparagraph c. we are told that a Collective Bargaining Agreement is in effect.
Our question is what rate is applicable?
In compliance with FAR 52.222-41 the rates within the Collective Bargaining Agreement are applicable for the employee classifications covered by the CBA. For your convenience FAR 52.222-41(f) is provided:
(f) Successor contracts. If this contract succeeds a contract subject to the Service Contract Labor Standards statute under which substantially the same services were furnished in the same locality and service employees were paid wages and fringe benefits provided for in a collective bargaining agreement, in the absence of the minimum wage attachment for this contract setting forth such collectively bargained wage rates and fringe benefits, neither the Contractor nor any subcontractor under this contract shall pay any service employee performing any of the contract work (regardless of whether or not such employee was employed under the predecessor contract), less than the wages and fringe benefits provided for in such collective bargaining agreement, to which such employee would have been entitled if employed under the predecessor contract, including accrued wages and fringe benefits and any prospective increases in wages and fringe benefits provided for under such agreement. No Contractor or subcontractor under this contract may be relieved of the foregoing obligation unless the limitations of 29 CFR 4.1b(b) apply or unless the Secretary of Labor or the Secretary’s authorized representative finds, after a hearing as provided in 29 CFR 4.10 that the wages and/or fringe benefits provided for in such agreement are substantially at variance with those which prevail for services of a character similar in the locality, or determines, as provided in 29 CFR 4.11, that the collective bargaining agreement applicable to service employees employed under the predecessor contract was not entered into as a result of arm’s length negotiations. Where it is found in accordance with the review procedures provided in 29 CFR 4.10 and/or 4.11 and Parts 6 and 8 that some or all of the wages and/or fringe benefits contained in a predecessor Contractor’s collective bargaining agreement are substantially at variance with those which prevail for services of a character similar in the locality, and/or that the collective bargaining agreement applicable to service employees employed under the predecessor contract was not entered into as a result of arm’s length negotiations, the Department will issue a new or revised wage determination setting forth the applicable wage rates and fringe benefits. Such determination shall be made part of the contract or subcontract, in accordance with the decision of the Administrator, the Administrative Law Judge, or the Administrative Review Board, as the case may be, irrespective of whether such issuance occurs prior to or after the award of a contract or subcontract (53 Comp. Gen. 401 (1973)). In the case of a wage determination issued solely as a result of a finding of substantial variance, such determination shall be effective as of the date of the final administrative decision.”
Could the Government provide us with the Collective Bargaining Agreement? The CBA will be made available via solicitation amendment on FBO.
If not, could the Government provide us with a conformed copy of the SCA WD that lists all classes of service employees that is to be employed under this contract? N/A
14. Could we be provided a forecasted weekend open and closure schedule (TE 5)? TE 5 is located in page 89 of 146 in the solicitation. An easier to read copy will be made available via solicitation amendment on FBO
15. TE 2 lists Brunch and Supper on weekends/holidays in DFAC 2 and 4. TE 1 provides weekend/federal and training holiday serving hours for three meal periods. Will the serving schedule be a brunch/supper cycle? If so, what are the serving hours? Will DFAC 3 serve breakfast, lunch and dinner during April 2016 through March 2021? Will DFAC 3 serve on weekends and federal holidays during April 2016 through March 2021?
TE 1 provides the meal hours for all 4 dining facilities to include holidays. Weekend openings are on a rotational basis for DFAC 2 and DFAC 4 per the Garrison Commander as stated in TE 1. TE 5 provides a tentative weekend schedule for DFACs 2 & 4. TE 5 covers the period of October 2015 to September 2016 – tentative schedules past that date are not available in addition is TE 5 is as stated a tentative weekend schedule and therefore subject to change.
16. If the Government intends to award without discussions and on initial proposals (see (8) page 104 of 146), why is a competitive range being determined? Do we have a misunderstanding of FAR 15.306c that states if discussions are to be conducted, establish the competitive range? Please refer to Answer #3.
17. E.O 13495 and FAR Subpart 22.12 establishes policy on the nondisplacement of qualified workers under Service Contracts and the US DOL prevailing wage resource book clarifies that the successor must offer employment to any current employee who will not be retained by the predecessor contract.
The question if we are hiring everyone working, why do we need to submit resumes for key personnel when they are obviously qualified?
Yes. The solicitation requires you provide resumes of your key employees.
18. PWS at paragraph 3.2 requires that the contractor assess facilities and equipment being provided for contract performance for a period of no less than 30 calendar days.
Could the Government expand on its requirements for phase-in? PWS Paragraph 3.2 will be revised via solicitation amendment to read “no more than 30 days.”
Is less time acceptable? Yes, less time is acceptable.
19. How many employees are currently on the predecessors certified service employee list or the seniority required by Far 52.222.40(n)? We assume you meant FAR 52.222-41(n). We do not have the predecessor’s certified service employee list at this time. The obligation of the predecessor contractor is not less than 10 days before completion of its contract. FAR clause FAR 52.222- 41(n) is provided for your convenience:
“(n) Seniority list. Not less than 10 days prior to completion of any contract being performed at a Federal facility where service employees may be retained in the performance of the succeeding contract and subject to a wage determination which contains vacation or other benefit provisions based upon length of service with a Contractor (predecessor) or successor (29 CFR 4.173), the incumbent Prime Contractor shall furnish the Contracting Officer a certified list of the names of all service employees on the Contractor’s or subcontractor’s payroll during the last month of contract performance. Such list shall also contain anniversary dates of employment on the contract either with the current or predecessor Contractors of each such service employee. The Contracting Officer shall turn over such list to the successor Contractor at the commencement of the succeeding contract.”
20. Will Government furnished property, services or facilities be made available (i.e. office space, storage areas, and phone services)? Office space and storage areas shall be provided, Contractor provides phone services.
21. Could the Government provide us with a statement of equivalent rates for Federal Hires (FAR 52.22.42) this data is required to ensure compliance with the solicitation 52.212-5 (c) provisions? We assume you meant FAR 52.222-42 for you convenience provided below with the information included:
“As prescribed in 22.1006(b), insert the following clause:
Statement of Equivalent Rates for Federal Hires (May 2014)
In compliance with the Service Contract Labor Standards statute and the regulations of the Secretary of Labor (29 CFR part 4), this clause identifies the classes of service employees expected to be employed under the contract and states the wages and fringe benefits payable to each if they were employed by the contracting agency subject to the provisions of 5 U.S.C. 5341 or 5332.
This Statement is for Information Only:
It is not a Wage Determination
Employee Class Monetary Wage – Fringe Benefits 01011 - Accounting Clerk I $14.20 07070 - Dishwasher $12.05 07130 - Food Service Worker $11.14
(End of Clause)
FAR 52.222-42 will be revised and made available via solicitation amendment to include a statement of equivalent rates for Federal Hires.
22. Could the Government expand on its desires and identifications of key personnel? No. Special training and qualifications required for key personnel are outlined in paragraph 2.3 of the PWS and can be found in page 59 of 146 of the solicitation.
Will any resumes be counted into the page limitation? Yes, resumes will count in the page limitation.
23. PWS paragraph 3.1.9 requires the contractor to clean exhaust hoods. Does this include the fan area above the canopy? This area is normally cleaned under a preventative maintenance contract performed by public works. Is this the procedure at Schofield Barracks and Wheeler AAF? No, the fan area above the canopy is serviced and cleaned by DPW at Schofield Barracks and Wheeler AAF
24. When will the contractor commence services prior to the opening of serving lines for the first meal of the day? The requirement is performance based. The Contractor must perform such that meal service can start promptly at the required time.
25. We are not clear on the number of copies required. Addendum to 52.212-1 at A.3.b (page 97 of 146) in the table requires only an original, but (1) states to submit original and the number of copies listed in the table. It also requires one electronic copy of all volumes to be provided on CD. Does the Government require more than an original copy? Will a single CD with all five volumes be acceptable? Submit one original hard copy of all volumes listed in the table located in page 97 under paragraph A.3.a and one electronic copy of all volumes provided on a CD as stated in Paragraph A.3 page 97 of 146 of the solicitation.
26. We are on not clear on the requirement for returning past performance questionnaires. On page 90 of 146 Enclosure 1, the letter states past performance questionnaires returned no later than 15 days after receipt or 17 February, 2016. On page 101 of 146 (3) Volume III – Past Performance paragraph d, states return of questionnaires no later than by the proposal due date. Which date should be used for the return by date for questionnaires? Provide questionnaires by no later than the proposal due date.
27. Why is the State License Agency (SLA) given priority on this solicitation when other Army installations have determined that Mess Attendant Services contracts do not come under the Randolph Sheppard Act? Please refer to Question #29.
28. Can you please clarify if there will be a range provided in terms of pricing in which the RSA will need to fall within a certain percentage of the range? As stated in the solicitation in paragraph (4) page 103 of 146 – “A SLA price proposal will be considered fair and reasonable if its proposed price does not exceed the low priced technically acceptable offer by more than five percent, or one million dollars, whichever is less, for the total price for all performance periods required by the solicitation.”
29. Why is this contract hold preference to Randolph Sheppard Act when there is no food service in the SOW? While this renewal contract is a Dining Facility Attendant services requirement, this is a follow-on procurement and not a new requirement that has been down-scoped from full food services; the previous contract was awarded under the RSA purview therefore based on the no-poaching provision in section 856 of the National Defense Authorization Act for Fiscal Year 2007 this requirement will remain subject to the priorities established by the Randolph-Sheppard Act.
In addition, the incumbent SLA contractor has expressed interest in this solicitation and will be given the priority as explained in the solicitation.
30. Requested items such as organizational charts, labor matrices and resumes will subtract many pages from our 50 page limit.
Will these items count toward the 50 page limit? Yes If so, can the page limit be extended? No. Page limit will remain as stated in the solicitation.
31. In order to sufficiently address the 12 provisions of the QCP in PWS section 4, our quality control is over 80 pages long.
Is a brief overview of our Quality Control plan sufficient to submit in the proposal? Quality Control Plan should be in accordance with PWS Paragraph 4.0 found in page 68 of 146 in the solicitation.
If not, can the page limit of the Technical volume be extended? Technical Volume Page limit will remain as stated in the solicitation.
32. I understand that the due date for questions is 02/18/16 and that the due date for proposal submissions is 02/22/16. Can the due date for proposals be extended in order to accommodate the shipping time of our proposal in order that we may incorporate changes to our proposal as a result of released Q&A? Proposal due date will remain as stated in the solicitation February 22, 2016 at 4:00PM HST. Due date for questions will be changed to allow and extra working day in order to accommodate shipping time of proposals. Addendum to 52.212-1 Paragraph (7) NOTICE OF QUESTION SUBMISSION DEADLINE located in page 104 of 146 of the solicitation will be changed via solicitation amendment on FBO to “submit questions in writing via email five (5) days prior to the closing date as stated in block 8 of the SF 1449”. New question submission deadline will be February 17, 2016.
33. The CLINs in the Section B say “FSC S201 Custodial, Janitorial Services”. Please confirm if this is the correct service type, even though it says DFA on the PWS. PSC code will be corrected via solicitation amendment to S203 Food Services.
34. in the proposal instructions on the page 101 of 146, Volume IV Price Proposal states: “the offeror shall submit prices for each CLIN and SubCLIN on Attachment 1 to the solicitation.” I was not able to locate the referenced attachment. Please provide the document. Language on Addendum to 52.212-1
(4) Volume IV – Price Proposal will be corrected to remove “Attachment 1” via solicitation amendment on FBO. The offeror shall complete the schedule section of the solicitation located in pages 3 through 51 of 146. The offeror shall submit prices for each CLIN and SubCLIN utilizing the schedule section of the solicitation.
35. Please confirm the due date for questions is 02/18/2016, which is 4 days before 02/22/2016 the proposal submission date. Please refer to question #32. Question submission deadline will be five
(5) days prior to the closing date: February 17, 2016. Proposal submission date as stated in block 8 of SF 1449: 22 February 2016 at 04:00 PM HST.
36. On the Technical Exhibit1, for Building 780, it shows the meal serving hours for breakfast, lunch and dinner for the weekend/federal & training holidays. However, in the Tech Exhibit 2, the historical headcount section shows just brunch and supper for weekend and holidays. Could you please provide the corrected information? The current contract is for brunch and supper and the historical headcounts reflect this. The renewal contract meal serving hours have been changed to breakfast, lunch, dinner on the weekends, so there is no historical headcount for the new meal serving periods required by the renewal contract.
37. On the historical headcount section for building 357, it shows 23,901 for November 2013 under Supper on Weekend/holidays which seems a lot higher than the other months. Please confirm if this high number is correct. Technical Exhibit 2- Historical Workload will be updated to reflect correct headcount for building 357 for the month of November 2013. Correct headcount is as follows:
Bldg. 357, C Quad, SB November 2013 Brunch = 2,128 Supper = 1,246
38. CLIN 0004AB should read “Each” for the Unit as it is for all the other –AB Shut down or Restart services CLINS. Unit of issue for SLIN 0004AB will be correct to “Each” via solicitation amendment on FBO.
39. For CLIN 0005 DFA Extended services, does this price include extended services for all 4 buildings?
Yes.
40. Could you please provide the number of operating days in each building? (I.E. number of weekdays, weekend/holidays, and training holidays in all 4 buildings) Estimated number of operating days are as follows:

NOTE: 3 meals are not served every operating day. “Technical Exhibit 1a – Sample Schedule NCOA” will be uploaded via solicitation amendment to provide a SAMPLE meal serving hour’s schedule.
Bldg. 780, K Quad, SB: Weekdays = 239
Weekend/Holidays, and Training Holidays = 42
Bldg. 102, AVN, WAAF: Weekdays = 239 Weekend/Holidays, and Training Holidays = 12
Bldg. 357, C Quad, SB: Weekdays = 239 Weekend/Holidays, and Training Holidays = 42
41. Can the population of the buildings in each level be provided for supplies pricing purposes? Please refer to Technical Exhibit 2 for historical headcount data.
42. Can we install timeclocks? If so, do they become the property of the government or remain as the contractor’s? Yes. Installation of timeclocks will be at the contractor’s own cost and will remain contractor property.
43. On page 97 of the solicitation where the volume production of the proposal is listed, under ‘Copies’, it lists ‘Original’. Can you confirm that only original paper versions (no copies) or each volume is required?
Please refer to Question #25
44. The technical exhibit 1 shows that the BLDG 102 and BLDG 357 C QUAD operate on weekdays, training holidays and on thanksgiving.

Would you please publish the attached CBA on FBO so all offerors have an access to the current wage rates and union terms? Addendum to 52.212-1 Paragraph (5) NOTICE OF COLLECTIVE BARGAINING AGREEMENT IN EFFECT will be corrected to reflect the most recent CBA agreement information as follows: “Collective Bargaining Agreement between the Industrial, Technical and Professional Employees Union, OPEIU Local 4873, AFL-CIO and current contractor. Effective dates for this agreement are 01-Oct-2015 thru 30-September-2016. A copy of the most current CBA will be made available via solicitation amendment on FBO.”

Volume II will be evaluated to determine whether offeror has adequate management, staffing, and quality control program resources in place to satisfactorily fulfill requirements of the solicitation performance work statement. The technical proposal shall emphasize the offeror’s personnel qualifications, corporate experience and capabilities, technical capability/approach and quality control plan in providing dining facility attendant services. (3) Volume III - PAST PERFORMANCE. The Past Performance evaluation will be accomplished by reviewing aspects of an Offeror's recent and relevant Past Performance, focusing on and targeting performance which is relevant to the effort as it directly relates to the work being procured under this solicitation and as defined in Addendum to FAR 52.212-2 Evaluation – Commercial Items.
Past Performance information described herein is required on the offeror and all subcontractors, teaming partners, and/or joint venture partners proposed to perform 15% of the proposed effort based on the total proposed price. The offeror shall submit, along with the information required in this paragraph, a consent letter, executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of adverse past performance information to the offeror so the offeror can respond to such information. For each identified effort for a commercial customer, the offeror shall also submit a client authorization letter, authorizing release to the Government of requested information on the offeror's performance.
a. The offeror shall include documentation regarding their relevant past performance as it directly relates to the work being procured under this solicitation. The offeror SHALL NOT go back any farther than 3 years for the submitted data. The past performance data shall document a successful history of past contract performance.
b. In conducting the Past Performance evaluation, the Government reserves the right to use both the information provided in the offeror’s Past Performance Volume and information obtained from other sources, such as the Past Performance Information Retrieval System (PPIRS) or similar systems, Defense Contract Management Agency (DCMA) and commercial sources. Offerors are reminded that both independent data and data provided by offerors in their proposals may be used by the Government to evaluate offeror past performance. However, the burden of providing thorough, complete, and current past performance information as requested in this paragraph remains with the offerors. Proposals that do not contain the information requested by this paragraph risk receiving an unacceptable performance rating by the Government. All past performance comments received will be taken into account and could affect the overall rating. The overall past performance evaluation is a subjective decision based on the whole of all data received. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”
c. Submission Requirements. The offeror shall submit a Past Performance Volume containing the following:
Table of Contents Summary Page describing the role of the offeror and each subcontractor, teaming partner, and
/or joint venture partner that the offeror is required to provide Past Performance Specific Relevant Contract Reference Sheets for the past performance experience in accordance with Enclosure 7.
Consent Letters executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing the release of past performance information so the offeror can respond to such information. A sample consent letter is attached as Enclosure 8).
Client Authorization Letters for each identified effort for a commercial customer authorizing release to the Government of requested information on the offeror’s performance.
Organization Structure Change History— Organizational Structure Change History. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.
Specific Relevant Contracts Format - Sheets in accordance with Enclosure 7 and are limited to 3 pages per reference. The offeror shall provide documentation outlining the offeror’s past performance with contracts, as a prime or major subcontractor, which is the same or similar in nature, size, and complexity to the services being procured under this Solicitation. The submittal shall include rationale supporting your assertion of relevance and how it was determined that the work performed previously was the same or similar in nature, size, and complexity to the work specified by this solicitation. Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort, and to what aspects of the proposed effort they relate.
