L.4.3. VOLUME III – PAST PERFORMANCE (Factor 4).
L.4.3.1. The Offeror shall organize Volume III according to Table L.2. above and further defined below:
L.4.3.1.1. Tab B – Consent Letters. In Volume III, Tab B of its Proposal, the Offeror shall provide Consent Letters authorizing the release of past performance information executed by each subcontractor, teaming partner, and/or joint venture partner. Past performance information concerning subcontractors cannot be disclosed to or requested from a private party without the subcontractor’s consent. Because a prime contractor is a private party, the Government requires consent before disclosing subcontractor present and past performance information to the prime contractor and/or requesting such information about the prime contractor from references. In an effort to assist the Government’s Past Performance Team in assessing an offeror’s past performance relevancy and confidence rating, a consent form shall be completed for each reference identified in your proposal. The completed consent forms shall be submitted as part of the Past Performance volume.
L.4.3.1.2. Tab C – Commercial Client Authorization Letters. In Volume III, Tab C of its Proposal, the Offeror shall provide, for each identified past performance reference, a Commercial Client Authorization Letter authorizing the Government to request information from the Commercial Client regarding the Offeror's and/or or Teaming Partner’s performance when Commercial Clients are used.
L.4.3.1.3. Tab D – Organization Structure Change History. In Volume III, Tab D of its Proposal, the Offeror shall provide information regarding the organization structure change history of the Offeror and its Teaming Partners. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, the Offeror shall include in Offeror’s Proposal Volume III Tab D a chart or schedule describing all such changes in the organization of the Offeror and Teaming Partners over the past five (5) years. As part of this explanation, the Offeror shall show how these changes impact the relevance of any identified past performance efforts. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the Offeror(s), Organization Structure Change History must be both specifically applicable to the efforts identified by the Offeror in Volume III of its proposal, and general enough to apply to efforts on which the Government receives information from other sources.
L.4.3.1.4. Tab E – Past Performance References. In Volume III, Tab E of its proposal, the Offeror shall identify four (4) recent and relevant past performance references the Offeror, and/or its Teaming Partner(s), performance as a Prime or as a subcontractor.
L.4.3.1.4.1. Each task order performed under an Indefinite Delivery, Indefinite Quantity (IDIQ) contract shall be considered a separate past performance reference unless the Offeror can demonstrate that the Offeror received more than one task order award consecutively for the same requirement that required the same level of performance.
L.4.3.1.4.2. For each past performance reference, the Offeror shall provide the following information: Name of effort, contract and/or task order number, period of performance, Government point of contact responsible for monitoring performance under the contract (name, phone, email, address), Administrative Contracting Officer (name, phone, email, address), dollar value of work actually performed during the five (5) years prior to the date for receipt of offers, a list of the four (4) requirements identified at paragraph L.4.2.2.1 and M.3.5.1 for which the Offeror believes the reference demonstrates relevancy and quality of services performed under the reference, if applicable.
L.4.3.1.4.3. The Offeror shall demonstrate why each past performance reference is recent and relevant.
L.4.3.1.4.3.1. To be recent, the effort must have been performed for six (6) months or longer during the five (5) years prior to date for receipt of offers.
Evaluation will focus only on work experience already performed. Yet-to-be performed work, experience prior to the last five (5) years, and work performed for less than six (6) months will not be considered.
L.4.3.1.4.3.2. To be relevant, the effort must be similar in scope and magnitude to the services being procured under this solicitation. Scope is the measure of the services similarity to the four (4) requirements identified at paragraph L.4.2.2.1 and M.3.5.1. Magnitude is the measure of the similarity of the dollar value that exists between the current requirement and the past performance reference.
Magnitude will be evaluated using the dollar amount of work actually performed on the past performance reference during the five (5) years prior to the date for receipt of offers.
L.4.3.1.4.4. The Offeror shall demonstrate the quality of work performed by the Offeror, or its Teaming Partner(s), for each past performance reference.
L.4.3.1.4.4.1. For all contracts identified by the Offeror as a past performance reference, the Offeror shall forward a copy of the Past Performance Questionnaire (PPQ) and Cover Letter (Attachment 3) to the points of contact responsible for monitoring performance under such contracts. The PPQ cover letter includes instructions to return completed PPQs by electronic mail to the points of contact responsible for receiving proposal submissions identified in paragraph L.1.3. of this solicitation no later than the closing date and time identified in block 9 of the SF33. The Offeror shall identify when, and to whom (with contact information), each PPQ and Cover Letter were sent.
L.4.3.1.4.4.2. For all contracts identified by the Offeror as past performance references, the Offeror shall provide a copy of all completed performance assessment reports from the Contractor Performance Assessment Reports System (CPARS). Teaming Partners may submit CPARs directly to the points of contact responsible for receiving proposal submissions identified in paragraph L.1.3 of this solicitation no later than the closing date and time identified in block 9 of the SF 33. Submission requirements of paragraph L.1 of this solicitation apply to the submission of CPARs information from Teaming Partners. The Offeror shall identify in its proposal whether CPARS for a past performance reference will be separately submitted by a Teaming Partner as described above. Failure to submit these requirements may render a reference unusable and will not count against the minimum number of required references as the Government will not be able to consider how well the Offeror performed work on the past contract.

L.4.4.1. In Volume IV, Tab B of its proposal, all Offerors (both small and other than small) shall propose the level of participation of small businesses (as a small business prime and/or small business subcontractor) in the performance of this requirement. Offerors proposed small business participation will be subject to becoming requirements that shall be incorporated into any resultant contract and monitored as a measure of contract compliance. These requirements apply at the prime contract and first tier subcontract levels.
L.4.4.2. Offerors are required to submit a Small Business Participation Proposal individually addressing the following areas:
The extent to which small business firms are identified by name in each category proposed;
The extent of commitment to use such firms (and binding agreements will be considered more favorably than non-binding agreements);
The complexity of the work small business firms are to perform; and The extent of participation of small business firms in terms of the total contract value (TCV)*. The minimum small business participation requirement is 36% of total contract dollars.

The apparently successful Offeror’s Small Business Subcontracting Plan shall be assessed in accordance with FAR 52.219-9 requirements and must be determined as “acceptable” by the Contracting Officer in the event of an award. The Small Business Subcontracting Plan is a materiel requirement of the solicitation and any resultant contract. A Small Business Subcontracting Plan deemed as ‘unacceptable” shall preclude an Offeror from being eligible for contract award.
To the extent there is any overlapping content between an Offeror’s proposed Small Business Subcontracting Plan and its Small Business Participation Proposal, the overlapping content must be consistent for a Subcontracting Plan to be deemed “acceptable”.
Notes:
*Subcontracting plan goals are calculated as a percentage of subcontracted dollars as opposed to small business participation, which is calculated as a percentage of the TCV dollars.
**The Small Business Subcontracting Plan shall be submitted as an individual file, separate from the Small Business Participation Proposal submission.
L.4.5. VOLUME V – PRICE (Factor 6).
L.4.5.1. Volume V of the Offeror’s Proposal shall contain all required and necessary to support its proposed prices. The Offeror shall not include pricing information in Volumes I, II, III, or IV of its Proposal. If, after receipt of proposals, the Contracting Officer determines that adequate price competition does not exist, then IAW FAR 15.403-1 the Offeror shall provide certified cost and pricing data as requested by the Contracting Officer. Similarly, if the Contracting Officer determines a fair and reasonable price cannot be established with price analysis alone, the Offeror may be asked, and shall provide, other than certified cost or pricing data IAW FAR 15.404-1(b).
L.4.5.3. TAB B – Pricing Narrative. In Volume V Tab B of the Offeror’s Proposal, the Offeror shall identify any information necessary to facilitate the Government’s evaluation of its Attachment 4 – Pricing Workbook submission.
L.4.5.3.1. If an Offeror identifies an error in Attachment 4, Pricing Workbook, the Offeror shall correct the error and disclose the error and correction in the Price Narrative.
L.4.5.3.2. If an Offeror deviates from the 1,920 productive labor year hours required in paragraph L.4.5.3.1 above, it shall fully describe it’s reasoning in the Price Narrative, Volume V Tab B, and the calculations shall be clearly shown in the Pricing Workbook.
L.4.5.4. TAB C – Attachment 4, Pricing Workbook. In Volume V Tab C of its Proposal, the Offeror shall submit a completed Attachment 4, Pricing Workbook in Microsoft Excel format, in accordance with the “Instructions” Workbook in Attachment 4 as well as the instructions provided in this solicitation. The purpose of Attachment 4, Pricing Worksheet is to provide a uniform pricing template for evaluation of Offerors for award. The “T&M Labor” Workbook in Attachment 4 identifies the Labor Categories (LCATS) that may be needed under this contract. The LCAT descriptions are located in Attachment 1, PWS – Enclosure H, Labor Categories for T&M Support. The Offeror shall specify fixed hourly rates that include wages (direct labor rates), overhead, fringes, general and administrative expenses, and profit IAW FAR 16.601(c)(2) for each year for each labor category listed in Attachment 4. The Offeror shall specify whether the fixed hourly rate for each labor category applies to labor performed by the prime Offeror, subcontractors, divisions, subsidiaries, or affiliates of the prime Offeror under a common control. The Offeror shall establish fixed hourly rates using separate rates for each labor category of labor to be performed by each subcontractor and for each labor category to be performed by the Offeror along with the contract type that will be pursued with the subcontractor. Material handling costs shall be provided IAW FAR 16.601(c)(3). Should a contract be issued, all proposed rates provided will become part of the contract (considered to be binding) and be the maximum rate allowable (ceiling rate) for that labor category and contractor when pricing time and material requirements. The specified fixed hourly rates may not be adjusted except as provided by FAR Clause 52.222-43. Therefore, Offerors are cautioned to include inflation where warranted.
L.4.5.4.1. Offerors shall use a baseline of 1,920 hours for a productive labor year, as reflected in Attachment 4. If an Offeror deviates from the 1,920 productive labor year hours, see paragraph L.4.5.3.2.
L.4.5.4.2. To facilitate proposal preparation, the Government has provided the formulas to calculate the Total Evaluated Price in Attachment 4 – Pricing Workbook. However, it is the responsibility of the Offeror to submit a complete and accurate Price Proposal. If an Offeror identifies an error in Attachment 4, the Offeror should correct the error and disclose the error and correction in the price narrative.
L.4.5.4.3. The Offeror’s price proposal shall consist of one (1) 30-day phase-in period, one (1) 11-month base, and four (4) 12-month option periods.
L.4.5.4.4. The Attachment 4, Pricing Worksheet or other Excel spreadsheet submitted by the Offeror shall not be read only or password protected. All formulas, lookup tables, and links shall be intact, and no links shall exist to files not included with the submission. Spreadsheet shall not contain hidden worksheets, cells, or sections. PDF or flat files will not be considered adequate.
Failure to comply with these formatting requirements may result in rejection of your proposal. All final monetary extensions shall be in whole dollars only.
L.4.5.4.5. L.4.5.4.5. A sample Compensation Plan is located in Attachment 4. This sample Plan, or a similar Plan providing the same content, shall be provided for each labor category deemed a 'Professional Employee' by the Offeror. Completed Plans shall be provided in the Workbook or in the Pricing Narrative.
SECTION M - EVALUATION FACTORS FOR AWARD
BASIS OF AWARD
M.1 Basis for Award M.1.1. This acquisition will be solicited, evaluated and awarded using the subjective Best Value Tradeoff process conducted in accordance with FAR Part 15.3, Source Selection, as supplemented by the Defense Federal Acquisition Regulation Supplement (DFARS), and the Army Federal Acquisition Regulation Supplement (AFARS). A contract will be awarded to the Offeror deemed responsible in accordance with the FAR, as supplemented, whose proposal conforms to the solicitation’s requirements (to include all stated terms, conditions, representations, certifications, and all other required by Section L of the solicitation); and is determined the best value to the Government using a subjective trade-off process. Award will be based upon an integrated assessment of all non-price and price factors.
As part of this assessment, the Government will determine whether exceeding the minimum requirements at an associated price provides the best value to the Government.
M.1.2. The Government intends to award a contract to the Offeror deemed responsible in accordance with FAR Subpart 9.1, as supplemented, whose proposals conform to the RFP requirements (to include all stated terms, conditions, representations, certifications, and all other information required by Section L of this solicitation), and whose proposal represents the Best Value to the Government, as determined by the Subjective Trade-Off evaluation described herein, in accordance with Federal Acquisition Regulation (FAR) Part 15.
M.1.3. As a basis for award, trade-offs between price and non-price factors are permitted. An award will be based upon an integrated assessment of all non-price and price factors. A proposal that demonstrates a superior technical approach to the four (4) identified areas in Factor 1, specific OEE experience and demonstrated value-added methodologies, a superior integrated and cross-functional total solution, Key Personnel with certifications and experience that directly relate to this requirement, and/or demonstrated innovative decision support tools experience to include enterprise digital transformation, IT modernization, Cloud enablement, and data analytics to use technology as a change driver to deliver OE using live, virtual, constructive, and gaming training capabilities; may be worth more to the Government than a proposal that only meets the minimum requirements. THEREFORE, THE
GOVERNMENT RESERVES THE RIGHT TO AWARD TO AN OFFEROR WITH OTHER THAN THE
LOWEST PROPOSED PRICE. Price will become increasingly more important as non-price factors become increasingly equal.
M.2. Award for All of the Work.
M.2.1. Offerors must provide a proposal that meets all the requirements as stated in the solicitation. Proposals failing to do so will be considered non-responsive and ineligible for award. As set forth in FAR 52.215-1(f)(1), the Government intends to award a contract resulting from this solicitation to the responsible Offeror whose proposal represents the best value after evaluation in accordance with the factors in the solicitation; therefore, the Offeror’s initial proposal shall contain the Offeror’s best terms from a price and technical standpoint. IAW DFARS 215.306(c)(1), discussions should be conducted. However, the Government may choose to award a contract without conducting discussions.
