INSTRUCTIONS TO OFFERORS

INSTRUCTION TO QUOTER’S – Addendum to 52.212-1 W50S83-23-Q-0001 – Quote Submission

INTRODUCTION:

1. The intent of this solicitation is to select one (1) contractor to provide services to support the Employee Assistance Program (EAP), for the Maine National Guard as detailed in the Performance Work Statement (PWS).

2. This solicitation is 100% set-aside for Small Business registered in the System for Award Management (SAM) under NAICS code -624190 - Other Individual and Family Services.

3. One (1) firm-fixed-price contract will be awarded as a result of this solicitation. The contract will include a base year of service and four (4) individual option years as detailed below:

4. Basis of award will be the Best Value Trade-off method as detailed in the Procedures for Submittal of Offers and Quote Evaluation Criteria.

5. Offerors submitting a quote for this project should limit submissions to data essential for evaluation of quote so that a minimum of time and monies will have been expended in preparing information required herein. However, in order to be effectively and equitable evaluated, the quote must include information sufficiently detailed to clearly describe the offeror’s ability to provide the services required. Quote should follow in the order of sequence set forth in the solicitation.

6. Offerors are required to submit a quote made up of Technical, Past Performance and a Price. All quoted material shall be submitted in with a table of contents. The sections should parallel the submission the submission requirements identified below.

7. Offerors shall furnish evidence of its insurability concerning medical liability insurance. This solicitation will be used to award a nonpersonal service contract, as defined in Federal Acquisition Regulation (FAR) 37.101, under which the professional service rendered by the contractor are rendered in its capacity as an independent contractor. The contractor shall be solely liable for the expressly agree to indemnify the Government will respect to any liability producing acts or omissions by it or by its employees or agents. The contractor shall maintain during the term of this contract liability insurance issued by a responsible insurance carrier standard coverage amount required for each option year listing in the Performance Work Statement (PWS),

8. All contractors must be registered in the System for Award Management (www.SAM.gov) to be eligible for award of a contract. No contract will be entered into with an unregistered Quoter’s. Internet access allows you to register by completing an electronic on-line registration application at https://www.sam.gov/portal/public/SAM/ On-line Representations and Certifications (ORCA) may also be filled out at this website.

9. Amendments: Amendments to this solicitation will be posted on www.SAM.gov. Paper copies of the amendments will NOT be individually mailed. By registering to receive notifications on SAM.gov, quoters will be notified by email of any new amendments that have been issued. No other notification of amendments will be provided. Potential Quoter’s are advised that they are responsible for obtaining and acknowledging any amendments to the solicitation. Failure to acknowledge an amendment may result in your offer being considered unacceptable.

10. All information relating to this RFQ, including changes/amendments and information prior to the date set for receipt of quotes will be posted on the https://sam.gov/content/opportunities

11. Basis For Award: The Government will award a purchase order resulting from this solicitation to the responsive, responsible quoter’s in accordance with FAR 9.104-1 and whose quote conforms to the solicitation. The award will be made based on the most advantageous quote that is determined to represent the best value to the Government, with appropriate consideration given to the three (3) evaluation factors. Technical, Past Performance and Price. To receive consideration for award, a rating of no less than “Acceptable” must be achieved for Technical consideration (to include all subfactors. Commercial and Simplified Acquisition Procedures will be utilized to the max extent in a streamlined evaluation IAW FAR 12.602 & FAR 13.106-2. By submission of its offer, the Quoter accepts all solicitation requirements, including terms and conditions, representation and certifications, and technical requirements. The Government reserves the right to accept other than the lowest priced offer or to reject all offers.

12. Quote Preparation Instructions: Quotes shall be based on the requirements of the solicitation and must contain the following. All information shall be confined to the appropriate file. The quoter shall confine submissions to essential matters, sufficient to define the quote in a concise manner, to permit a complete and accurate evaluation of each quote. Each file of the quote shall consist of a Table of Contents. Proprietary information shall be clearly marked.

14. Part II – Past Performance: Submission with the offer of references of similar work that can be verified by the Contract Specialist prior to award. A minimum of two references are required. No more than four references shall be submitted. Recent contracts are defined as those contracts presently being performed or which have been performed during the past three (3) years from the date of issuance of this RFQ.

15. Part III - Price: Price is not rated. Price and/or cost analysis will be used to evaluate a quoter’s price and the extent to which it is fair and reasonable. Evaluation of price will be performed using one or more of the price analysis techniques in FAR 13.106-3. Through these techniques the Government will determine whether prices are reasonable, complete, and are not unbalanced.

16. Submission of Quotes: Each part shall be submitted via email. Changes as a result of quote revisions shall be identified via track changes, including a vertical line on the left margin of the page and date of change. Digital files shall be in Microsoft Word, Excel (viewable in 2013 version) and/or .pdf only.

17. Each paragraph shall be separated by at least one blank line. A standard, 12-point minimum font size applies. Arial or New Times Roman fonts are required. Tables and illustrations may use a reduced font size no less than 8-point and may be landscape.

19. Quote File: Format. The submission shall be clearly indexed and logically assembled. Each part shall be clearly identified and shall begin at the top of a page. All pages of each part shall be appropriately numbered and identified by the complete company name, date and RFQ number in the header and/or footer. A Table of Contents should be created using the Table of Content feature in MS Word. MS Word (doc) files shall use the following page setup parameters:

Margins – Top, Bottom, Left, Right – 1” Gutter – 0” From Edge – Header, Footer 0.5” Page Size, Width – 8.5” Page Size, Height – 11”

*NOTE: 11X17” pages are acceptable for tables/graphic representations; however, each 11X17” page counts as two pages.

20. Cover letter: Provide an induction page to include Cage Code, Unique Entity Identifier (UEID) Number, and Tax Identification Number (TIN). Also include your business socioeconomic status, e.g. small business, women-owned, HUBZone, etc.

21. The cover letter submitting the quoter’s quote shall be signed by an officer of the quoter’s company authorized to commit the company; shall indicate the quote is valid for 90 calendar days; shall identify by name, title, phone number and email any person authorized to negotiate on the quoter’s behalf and should express the extent to the quoter’s commitment to achieve the objectives of the solicitation and comply with the terms and conditions of the contract. Any significant deviations to the contract should be indicated, including one’s reasons.

22. Part 1 – Technical: Quotes will be evaluated to determine whether all requirements are satisfied. During evaluation of each quote, the Government will determine a rating as prescribe in 52.212-2 – Evaluation of Offerors. Submission of the PWS is not sufficient as a submittal of understanding of the scope. The Quotes are to address each section individually and succinctly.

22.1 Sub-factor – Section 1 – Narrative - Quoter’s are required to provide a narrative of their corporate experience in proving Employee Assistance Program (EAP) services, to include: professional, comprehensive and confidential counseling and referral services for employees having a wide range of personal problems (e.g. alcohol abuse, drug abuse, financial, personal, emotional, psychological, family, legal and stress related issues) to illustrate how they will meet the requirements state in the PWS as well, as resolved any issues that come up.

22.2 Sub-factor – Section 2 – Scheduling/Staff/Methodologies - Quoter’s shall submit their Scheduling/Staff/Methodologies. At a minimum, the Quoter’s methodologies must ensure timely performance of required services within the time frames, with a sufficient number of employees to meet all requirements outlined in the PWS.

22.3 Sub-factor – Section 3 – Referral Roster - Quote’s shall provide their referral roster of resources for areas of coverage.

23. Part II – Past Performance: The past performance evaluation will consider each Quotes demonstrated Recent and Relevant record of performance for similar efforts of equal or greater complexity supplying services that meet this solicitation's requirements. A past performance rating as prescribe in 52.212-2 – Evaluation of Offerors shall be assigned for each Quoter after evaluating the recent past performance, focusing on performance that is relevant to the contract requirements.

24. Submission with the offer of references of similar work that can be verified by the Contract Specialist prior to award. A minimum of two references are required. No more than four references shall be submitted. Recent contracts are defined as those contracts presently being performed or which have been performed during the past three (3) years from the date of issuance of this RFQ. Any offeror unable to provide the minimum number will be determined non-responsive and eliminated from consideration.

24.1 Offerors are requested to provide references for federal government contracts. However, other contracts for state and local governments or for other private entities will be accepted in the absence of federal contracts.

24.2 Recency Assessment: Recent contracts are defined as those contracts presently being performed or which have been performed during the past three (3) years from the date of issuance of this RFQ. Submission with the quote of references of similar work that can be verified by the Contract Specialist prior to award. A minimum of two references are required. No more than four references shall be submitted. Any quoter unable to provide the minimum number will be determined non-responsive and eliminated from consideration. Past Performance information that fails this condition will not be evaluated.

24.3 Relevancy Assessment: If the Government evaluator(s) consider the Quoter’s past performance reference to be recent, then the Government will assess the relevancy of the referenced past performance Contract/Task Order. "Relevant" is defined as references demonstrating technical capabilities the same or similar to those required to perform this requirement.

24.4 The Government reserves the right to obtain past performance data from other sources than those identified by the Offeror in evaluating past performance. This includes, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases; interviews with Program Managers, Contracting Officers, and other designated Technical Representatives. Offerors are reminded that both independent data and data provided by Offerors in their quotes may be used by the Government to evaluate past performance. The Contracting Officer may also evaluate past performance based on direct knowledge of the Contractor’s performance on current or recent contracts.

25. Part III - Price: Executed Request for Quote: Requires the Quoter to complete blocks 17a (Block shall include CAGE code), 30a, 30b and 30c on the SF 1449. Insert proposed unit and extended prices in all Contract Line Item Numbers (CLINs). All prices shall be represented in two decimal positions only. Example: $0.27, not $0.27458. The Government shall evaluate price to determine whether or not it is considered fair and reasonable IAW FAR 13.106-3.

25.1 All services shall be provided on a firm-fixed price per employee on a per yearly basis. The yearly contract value shall depend upon fluctuations in the number of eligible employees per year. Each year the Government will provide at the time of the contract option period the number of eligible employees for the period of performance. The quantity of eligible employee is an estimated quantity, and the actual quantity of the employee unit price varies above or below the estimated quantity, an equitable adjustment in the contract price shall be made upon demand of either party. The equitable adjustment shall be based upon an increase or decrease in price due solely to the variation above or below the estimated quantity. If the quantity variation is such as to cause an increase or decrease during the period of performance of the base year or outlined option periods, either party may request in writing for an equitable adjustment in the contract price during the period of performance, without delay.

26. Exchanges: The Government intends to evaluate quotes and make award without exchanges. During the evaluation process, the Government may, at its discretion enter into exchanges or communications as needed. The Government need not enter into communications or exchanges with all Offerors. The Government, however, reserves the right to conduct exchanges if deemed in its best interest.

27. Solicitation Questions: Questions of a technical nature shall be submitted to the Contract Specialist in writing via e-mail. Oral questions of a technical nature are not acceptable due to the possibility of misunderstanding or misinterpretation. The cut-off date and time for receipt of questions is Monday, 23 January 2023 by 3:00 PM EST. Questions received after this date and time may not be answered. Questions will be answered in a formal amendment to the solicitation so all interested parties can see the answers.

28. Solicitation Deadlines: Quote packages shall be submitted electronically to Darlene R. Howes at darlene.r.howes.civ@army.mil. The email subject line must contain the following: “Quote in Response to W50S83-23-Q-0001 - EAP Services. Quotes will not be accepted by any other means. Late quotes will not be considered. Offerors will receive an email confirmation that their quote was received within two (2) business days.

28.1 Offeror’s bear the burden of ensuring that quotes, and any applicable amendments, are emailed on time. All pages of the quote must be emailed before the deadline specified in this solicitation. Failure to provide any of the required information or the providing of inadequate or unclear information may result in the offer being considered unacceptable.

FAR 52.212-2 - ADDENDUM

52.212-2 Evaluation-Commercial Products and Commercial Services (NOV 2021)

As prescribed in 12.301(c), the Contracting Officer may insert a provision substantially as follows:

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The government will utilize trade-off to determine best value. The following factors shall be used to evaluate offers:

Technical Past Performance Price

To receive consideration for award, a rating of no less than “Acceptable” must be achieved for the Technical factor (to include all sub-factors). Offerors are cautioned that the award may not necessarily be made to the lowest price offer. If non-price factors are evaluated as comparatively equal between two or more Offerors, Price may become a determinative factor. The firm that represents the best value to the Government will be selected for award in accordance with FAR 13.106-2(b)(1) Evaluation of Quotations or Offers.

The following evaluation factors and sub-factors will be used to evaluate each proposal. Award will be made to the offeror whose proposal is most advantageous to the Government based upon an integrated assessment of the evaluation factors and sub-factors described below. The Government reserves the right to make award based upon the Price factor in the event that the Technical and Past Performance evaluation results of the offerors’ proposals are substantially the same.

SUB-FACTOR 1 Section 2 – – Scheduling/Staff/Methodologies - Quoter’s shall submit their Scheduling/Staff/Methodologies. At a minimum, the Quoter’s methodologies must ensure timely performance of required services within the time frames, with a sufficient number of employees to meet all requirements outlined in the PWS.

SUB-FACTOR 1 – Section 3 – Referral Roster - Quote’s shall provide their referral roster of resources for areas of coverage.

Assigning Technical Ratings: Each offer/proposal will receive either an “Outstanding,” “Good,” “Acceptable,” “Marginal” or “Unacceptable” rating as follows:

Outstanding: Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.

Good: Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.

Acceptable: Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.

Marginal: Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.

Unacceptable: Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is unawardable.

Part II – Past Performance: The past performance evaluation will consider each Quotes demonstrated Recent and Relevant record of performance for similar efforts of equal or greater complexity supplying services that meet this solicitation's requirements. There are two aspects to the past performance evaluation:

Recency Assessment. An assessment of the past performance information will be made to determine if it is recent. To be recent, the effort must be ongoing or must have been performed during the past three (3) years from the date of issuance of this solicitation. Past performance information that fails this condition will not be evaluated.

Relevancy Assessment. To be relevant, the effort must be similar in nature of work, size, and complexity. The Government will conduct an in-depth evaluation of all recent performance information obtained to determine if it is the same or similar in nature, size, and complexity to the services being procured under this solicitation. Recent past performance is defined as not more than three (3) years from the RFQ release date; relevant in terms of similar nature of work, size, and complexity.

A relevancy determination of the offeror’s (including joint venture partner(s) and major and critical subcontractor(s)) past performance will be made. In determining relevancy for individual contract, consideration will be given to the effort, or portion of the effort, being proposed by the offeror, teaming partner, or subcontractor whose contract is being reviewed and evaluated. In establishing what is relevant for the acquisition, consideration should be given to what aspects of an offeror’s contract history would give the most confidence that the offeror will satisfy the current procurement. The past performance information provided in the proposal and obtained from other sources will be used to establish the relevancy of past performance.

Very Relevant: Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant: Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant: Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant: Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

Performance Confidence Assessment – The final step is to arrive at a single consensus performance confidence assessment for the Offeror. Assigning Past Performance Ratings: Each Past Performance submission will receive either a “Substantial Confidence,” “Satisfactory Confidence,” “Limited Confidence,” “No Confidence” or “Unknown Confidence (Neutral)” rating as follows:

Substantial Confidence: Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence: Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Limited Confidence: Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence: Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

Unknown Confidence (Neutral): No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

Part 3: Price: Price will not be assigned an adjectival rating; however, evaluation of price will be performed using one or more of the price analysis techniques in FAR 13.106-3. Through these techniques the Government will determine whether prices are reasonable and complete.

Reasonableness. The Government will evaluate the price reasonableness of the offerors' proposed prices to ensure that in its nature and amount, it does not exceed what would be incurred by a prudent person in the conduct of competitive business. The Government shall employ price analysis techniques in accordance with FAR 13.106-3 to determine that a proposed price is fair and reasonable.

Completeness. The Government reserves the right to conduct exchanges with offerors, but exchanges are not anticipated or intended. Since discussions are not anticipated or intended, the Government requires complete quotes with respect to price. A complete proposal will include all information required by this solicitation.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

The Government will evaluate option pricing in accordance with 52.212-2(b). Additionally, as part of price evaluation, the Government will evaluate its option to extend services (see FAR Clause 52.217-8) by adding one-half of the offeror's base period prices to the offeror's total price. Thus, the offeror's total price for the purpose of evaluation will include the base period, 1st option period (6-months) and 6-months – FAR 52.217-8 of the second option period. This evaluation will not obligate the Government to exercise any option under FAR 52.217-8 or FAR 52.217-9. The total sum of the base period and all option periods will represent the Total Evaluated Price. The Total Evaluated Price must be determined as fair and reasonable by the KO prior to award.

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Employee Assistance Program (EAP)

BASE YEAR: Short-term diagnostic assessment, intervention, counseling and referral services for various issues affecting employee mental and emotional well-being, which may adversely impact the employee's job performance no limited to work-related difficulties such as alcohol and other substance abuse, stress, grief, depression, anxiety, martial and family problems, eating disorders, financial/credit problems, legal concerns management consultation, organizational development services, training and education awareness; traumatic/critical incident support services, as defined in the PWS. Long term treatment and rehabilitation is not within the scope of the contract. The goal of the EAP is to enhance employee and workplace effectiveness through assisting employees with personal problems and productivity issues that may adversely impact their work performance.

The Government shall not exercise any supervision or control over the subcontract service providers performing the service herein. Such contract services providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.
