SF 1449, SOLICITATION/CONTRACT/ORDER FOR COMMERCIAL ITEMS

CONTINUATION SHEET

NOTICE TO OFFERORS

1. This Request for Proposal (RFP) is for a Firm-Fixed-Price contract for necessary work, material, equipment and controls that shall be required to install and make operational package conveyor system in Building 16. The system shall consist of floor and elevated package transport and accumulation conveyor, incline and decline belt conveyor. Supporting equipment includes bar code scanners, diverts and a video monitoring system. The Contractor shall remove the existing conveyor and dispose of it off site. The Contractor shall provide, install, test and make operable the conveyor system. The Contractor shall train government personnel to maintain the conveyor system at: DLA Distribution DLA Distribution San Joaquin, CA. located in Tracy California.

2. PERIOD OF PERFORMANCE: In accordance with Attachment 1, Technical Specifications, Final

Acceptance of this requirement is 270 days after contract award.

3. WORKING HOURS:

The work to be performed shall be during the regular working hours which consist of a 8 ½ hour period established by the Contracting Officer, Monday through Friday, normally 0700 to

1530, excluding Government holidays.

4. SITE VISIT:

Reference Page 19 of the RFP.

5. PROPOSAL DUE DATE, TIME, LOCATION: Proposals are due on January 4 2017, at 1:00 PM EST.

PROPOSALS MUST BE SUBMITTED IN HARD COPY ONLY. ELECTRONICALLY SUBMITTED PROPOSALS INCLUDING

FACSIMILE AND TELEGRAPH WILL NOT BE ACCEPTED. ALL PROPOSALS SHALL BE SUBMITTED TO THE

6. SYSTEM AWARD MANAGEMENT REGISTRATION: As stated in FAR 52.212-1, Instruction to Offeror, Paragraph (k), a prospective awardee shall be registered in the SAM database prior to award, during performance, and through final payment if any contract resulting from this solicitation. Offerors may obtain information on registration and approval confirmation requirements via the internet at http://www.sam.gov or by calling 1-888-227-2423 or 269-961-

5757.

Failure to register in the SAM database will make an offeror ineligible for award.

7. WARRANTY: Notwithstanding inspection and acceptance by the Government or any provision of this contract concerning the conclusiveness thereof, the Contractor shall warranty for a period of one year after final acceptance by the Government all systems and services provided under this contract.

During the warranty period and in the event the Contractor is not able to make remedial action himself, he shall make arrangements to have the work accomplished. The Contractor shall furnish to the Contracting Officer’s Representative (COR), the name and address of the selected individual and/or firm who can arrive at DDJC within 24 hours after notification of breakdown of the system to perform the necessary repairs.

8. PARTIAL PAYMENTS

a. Partial payments IAW FAR 32.102(d) are authorized for CLIN 0001-0003 of this contract as specified below:

*Payment 1 - For completion of demolition

*Payment 2 - For actual cost of materials delivered and accepted by the

Contracting Officer Representative (COR) to be validated with supplier invoices.

*Payment 3 - For 50% completion of the total project

*Payment 4 - For completion with operational testing

*Final payment – Shall be made upon final acceptance of all deliverables by the

Government and completion of final operation testing.

The total value of partial payments 1 – 4 shall not exceed 90 percent of the total dollar amount of CLINs 0001-0003.

b. All material and work covered by the partial payments shall, at the time of payment, become the sole property of the Government, but this shall not be construed as-

(1) Relieving the contractor from the sole responsibility for all material and work upon which payments have been made for the restoration of any damaged work; or

(2) Waiving the right to the Government to require the fulfillment of all the terms of the contract.

c. Final payment of CLINs 0001-0003 shall be made upon final acceptance of all deliverables by the Government and completion of final operational test.

d. The final payment of CLINs 0001-0003 shall be the total price less partial

Payments 1 - 4.

9. INVOICING:

Reference Attachment 4 - WAWF

The Government is not soliciting for the “same old way” of doing business. The Government encourages proposals that will achieve savings through innovative processes. Furthermore, DLA

Distribution personnel are working to eliminate unnecessary requirements and negotiating for a reduction in supplies and services prices. Therefore, your assistance is requested in reducing prices and improving our buying processes.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records

-- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the

Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor

Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the

Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)

(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. (a) Definitions. As used in this provision—

“Administrative proceeding” means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange

Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and

Armed Services Board of Contract Appeals Proceedings). This includes administrative proceeding at the Federal and State level but only in connection with performance of a

Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

“Federal contracts and grants with total value greater than $10,000,000” means—

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

“Principal” means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager;

FAR 52.215-20 -- Requirements for Certified Cost or Pricing Data and Data Other Than

Certified Cost or Pricing Data Alternate IV (Oct 2010)

(a) Submission of certified cost or pricing data is not required.

(b) Provide information described below:

(1) In those acquisitions that do not require certified cost or pricing data, the contracting officer shall—

(i) Require submission of data other than certified cost or pricing data, as defined in FAR

2.101, from the offeror to the extent necessary to determine a fair and reasonable price

DFARS 252.209-7999 – Representation By Corporations Regarding An Unpaid Delinquent Tax

Liability Or a Felony Conviction Under Any Federal Law (Deviation 2012-O00004) (Jan 2012)

(a) In accordance with sections 8124 and 8125 of Division A of the Consolidated

Appropriations Act, 2012, (Pub. L. 112-74) none of the funds made available by that Act may be used to enter into a contract with any corporation that-

(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting tax liability, where the awarding agency is aware of the unpaid tax liability, unless the agency has considered suspension or debarment of the corporation and made a determination that this further action is not necessary to protect the interest of the Government.

(2) Was convicted of a felony criminal violation under any Federal law within the preceding

24 months, where the awarding agency is aware of the conviction, unless the agency has considered suspension or debarment of the corporation and made a determination that this action is no necessary to protect the interests of the Government.

(b) The Offeror represents that –

DLAD 52.215-9023 – Reverse Auction (Oct 2013)

The Contracting Officer may utilize on-line reverse auctioning as a means of conducting price discussions under this solicitation. If the Contracting Officer does not conduct a reverse auction, award may be made on the basis of initial offers or following discussions not using reverse auctioning as a pricing technique. If the Contracting Officer decides to use on-line reverse auctioning to conduct price negotiations, the Contracting Officer will notify Offerors of this decision and the following provisions will apply:

(a) The award decision will be made in accordance with the evaluation factors as set forth in the solicitation. The reverse on-line auction will be used as a pricing technique during discussions to establish the final offered prices from each Offeror. These prices will be used in conjunction with the evaluation factors stated elsewhere in the solicitation in order to make the award decision in accordance with the basis for award stated in the solicitation.

(b) Following the decision to conduct discussions using reverse auctioning as a pricing technique, the Contracting Officer or his/her representative will provide Offerors determined to be in the competitive range with information concerning the auction process.

(c) Prior to conducting the reverse auction, the Contracting Officer may hold discussions with the Offerors concerning matters appropriate for discussion, such as issues involving technical proposals or unbalanced pricing.

(d) Unless auction instructions indicate that only Offeror’s rankings will be displayed, the lowest Offeror’s price(s) for each round of the reverse auction will be disclosed to other Offerors and anyone else having authorized access to the auction. This disclosure is anonymous, meaning that each Offeror’s identity will be concealed from other Offerors

(although it will be known to the Government; only a generic identifier will be used for each Offeror’s proposed pricing, such as “Offeror A” or “lowest-priced Offeror”). By submitting a proposal in response to the solicitation, Offerors agree to participate in the reverse auction and that their prices may be disclosed, including to other Offerors, during the reverse auction.

(e) An Offeror’s final auction price at the close of the reverse auction will be considered its final price proposal revision. No price revisions will be accepted after the close of the reverse auction, unless the Contracting Officer decides that further discussions are needed and final price proposal revisions are again requested in accordance with Federal

Acquisition Regulation (FAR) 15.307, or the Contracting Officer determines that it would be in the best interest of the Government to re-open the auction.

(f) The following requirements apply when the Government uses a commercial web-based product to conduct the reverse auction:

(1) Each Offeror identified by the Contracting Officer as a participant in the reverse auction will be contacted by Defense Logistic Agency’s commercial reverse auction service provider to advise the Offeror of the event and to provide an explanation of the process.

(2) In order for an Offeror to participate in the reverse auction, such Offeror must agree with terms and conditions of the entire solicitation, including this provision, and agree to the commercial reverse auction service provider’s terms and conditions for using its service. Information concerning the reverse auction process and the commercial service provider’s terms and conditions is embedded within the email notification sent by the on-line reverse auction pricing tool system administrator.

(3) Offerors shall secure the passwords and other confidential materials provided by the commercial reverse auction service provider or the Government and ensure they are used only for purposes of participation in the reverse auction. Offerors shall keep their own and other Offeror’s pricing in confidence until after contract award.

(4) The reverse auction system currently in use designates offers as "Lead," meaning the current low price in that auction, or "Not Lead," meaning not the current low price in that auction. In the event of a tie offer, the reverse auction provider's system designates the first offer of that price as "Lead" and the second or subsequent offer of that price as

"Not Lead." Offerors shall not submit a tie offer, since this is inconsistent with the purpose of the reverse auction. If a tie offer is submitted and no evaluation factors other than price were identified in the solicitation, the "Not Lead” Offeror that submitted the tie offer must offer a changed price; otherwise its offer will be ineligible for award if their final price in the auction is the tie offer price. If evaluation factors in addition to price were listed in the solicitation, tie offers that are "Not Lead" will be considered and evaluated in accordance with those evaluation factors.

(5) Any Offerors unable to enter pricing through the commercial reverse auction service provider’s system during a reverse auction must notify the Contracting Officer or designated representative immediately. The Contracting Officer may, at his/her sole discretion, extend or re-open the reverse auction if the reason for the Offeror’s inability to enter pricing is determined to be without fault on the part of the Offeror and outside the Offeror’s control.

(6) The reverse auction will be conducted using the commercial reverse auction service provider’s website as embedded in the email notification. Offerors shall be responsible for providing their own computer and internet connection.

(7) Training:

(i) The commercial reverse auction service provider and/or a Government representative will provide familiarization training to Offerors’ employees; this training may be provided through written material, the commercial reverse auction service provider’s website, and/or other means.

(ii) An employee of an Offeror who successfully completes the training shall be designated as a “Trained Offeror.” Only Trained Offerors may participate in a reverse auction. The

Contracting Officer reserves the right to request that Offerors provide an alternate

Offeror employee to become a Trained Offeror. The Contracting Officer also reserves the right to take away the Trained Offeror’s designation from any Trained Offeror who fails to abide by the solicitation’s or commercial reverse auction service provider’s terms and conditions.

DLAD 52.233-9000 Agency Protests (Nov 2011)

(a) Companies protesting this procurement may file a protest

(1) With the Contracting Officer,

(2) With the Government Accountability Office (GAO), or

(3) Pursuant to Executive Order Number 12979, with the Agency for a decision by the

Activity’s Chief of the Contracting Office.

(b) Protests filed with the agency should clearly state that they are an "Agency Level

Protest under Executive Order Number 12979."

(c) Defense Logistics Agency (DLA) procedures for Agency Level Protests filed under

Executive Order Number 12979 allow for a higher level decision on the initial protest than would occur with a protest to the Contracting Officer; this process is not an appellate review of a Contracting Officer's decision on a protest previously filed with the

Contracting Officer. Absent a clear indication of the intent to file an agency level protest, protests will be presumed to be protests to the Contracting Officer.

DLAD 52.233-9001 Disputes: Agreement to Use Alternative Dispute Resolution (Nov 2011)

(a) The parties agree to negotiate with each other to try to resolve any disputes that may arise. If unassisted negotiations are unsuccessful, the parties will use alternative dispute resolution (ADR) techniques to try to resolve the dispute. Litigation will only be considered as a last resort when ADR is unsuccessful or has been documented by the party rejecting ADR to be inappropriate for resolving the dispute.

(b) Before either party determines ADR inappropriate, that party must discuss the use of

ADR with the other party. The documentation rejecting ADR must be signed by an official authorized to bind the Contractor (see Federal Acquisition Regulation (FAR) clause 52.233-

1), or, for the Agency, by the Contracting Officer, and approved at a level above the

Contracting Officer after consultation with the ADR Specialist and with legal. Contractor personnel are also encouraged to include the ADR Specialist in their discussions with the

Contracting Officer before determining ADR to be inappropriate.

DLAD 52.237-9002 Key Personnel – Fixed-Price Service Contracts (Apr 2008)

(a) Certain skilled, experienced, professional and/or technical personnel are essential for successful accomplishment of the work to be performed under this contract. These are defined as "Key Personnel" and are those persons whose resumes were submitted as part of the technical/business proposal for evaluation. The Contractor agrees to use said key personnel during the performance of this contract and that they shall not be removed from the contract work or replaced unless authorized in accordance with this clause.

(b) The Contractor shall not substitute key personnel assigned to perform work under this contract without the prior approval of the Contracting Officer. Requests for approval of substitutions shall be in writing and shall provide a detailed explanation of the circumstances necessitating the proposed substitutions. The request must contain a complete resume for the proposed substitute, and any other information requested or needed by the

Contracting Officer to approve or disapprove the request. Proposed substitutes must have qualifications that are equal to or higher than the key personnel being replaced. The

Contracting Officer or his authorized representative shall evaluate such requests and promptly notify the Contractor in writing whether the proposed substitution is acceptable.

(c) If the Contracting Officer determines that (1) suitable and timely replacement of key personnel who have been reassigned, terminated or have otherwise become unavailable for the contract work is not reasonably forthcoming, or (2) the resultant substitution would be so substantial as to impair the successful completion of the contract or the delivery order in accordance with the proposal accepted by the Government at time of contract award, the

Contracting Officer may (1) terminate the contract for default or for the convenience of the Government, as appropriate, or (2) at his discretion, if he finds the Contractor at fault for the condition, equitably adjust the contract price downward to compensate the

Government for any resultant delay, loss or damage.

(d) The provisions of this clause shall be fully applicable to any subcontract which may be entered into.

Site Visit: 12:00 PM – 4:00 PM (PT) as necessary

Registration/Conference Location: Building 16 Conference room

The Pre-Proposal Conference will be conducted at the Building 16 Conference room.

The meeting point for the Site Visit: We will all meet at the Bldg 16 Conference room. The system is located at that building.

All registered participants are required to provide their own transportation to and from the Conference/Check-in Location and all areas outside of the official site visit/tour.

Participants must be registered with the Acquisition Specialist for the conference to gain access to the base. Picture Identification required.

If an emergency situation arises whereby a registered participant cannot arrive to the conference, the participant must contact David Tank at work (209)839-4534 or cell (209)606-

5475 to note that the individual will not be attending.

Base Entry Procedures:

Visitors will check in at the Pass and ID office. There they will present a proper photo

ID (i.e. driver’s license, passport, etc.). Security Officers may perform a physical check of each participant’s photo identification against the list of pre-registered participants.

Entry to the sites will be denied if participants are are not registered, and/or do not provide proper identification.

Participants are advised that the Site Visit(s) and GFE/GFP reviews/inspections involve walking through the buildings. Please indicate any special needs to Acquisition Specialist, Mogen Gilson, when requesting registration to ensure proper accommodations can be arranged.

Dress code for the conference and Site Visit(s) is casual. Participants are advised to wear appropriate clothing and closed-toe shoes to be safe and comfortable while walking through the distribution facilities. No refreshments will be served.
