About this file
This is a State of Mississippi Terms and Conditions document that establishes the standard contractual requirements for OPTFM Cooperative, Competitive, and Negotiated Contracts. The document applies to the Request for Proposals for Emergency Fuel Services (Contract No. 1130-27-R-RFPR-00001) and became effective October 1, 2025. The terms and conditions establish the foundational legal framework governing the relationship between the State of Mississippi and contractors, with explicit precedence over contractor proposals and other agreements in cases of conflict or ambiguity.
The document outlines critical operational and financial requirements including mandatory electronic payment processing through the State's payment system with payment due within 45 calendar days of invoice receipt. Contractors must maintain financial and project records for three years following final payment, with the State retaining access rights for inspection and audit purposes. The State reserves the right to terminate the contract for convenience with 10 business days' written notice if appropriated funds become unavailable or insufficient, and may also terminate for default if services are deficient and not corrected within 30 days. Additional key provisions include independent contractor status requirements, compliance with equal employment opportunity and anti-discrimination policies, e-verification of employee work eligibility, prohibition on assignment or subcontracting without written State approval, indemnification of the State against claims arising from contractor performance, and ownership of all work products and documents created under the agreement by the State. The document further requires compliance with Mississippi's public records transparency laws, prohibits oral modifications to the contract, and restricts use of contingent fee arrangements and gratuities in connection with contract procurement.
