8.2 The Authority will, at the commencement of each snow season but not later than November, pre-pay the Company a ten thousand dollar ($10,000.00) retainer, to ensure that the Company will be on 24-hour call, respond to the Airport upon one-hour notice, and be ready to perform the obligations under this Agreement (hereinafter the “Retainer”). The annual Retainer shall be used to offset fees incurred and approved by the Authority for Services rendered. Each invoice shall clearly state the total amount of current charges and the carryforward balance of the Retainer, when applicable.

8.3 The Authority shall not be obligated to submit any additional payments for invoiced amounts until the Retainer has been fully depleted. Once the Retainer is depleted, the Authority shall pay the Company in accordance with the “per” hour price indicated in the Bid Form. Should the Authority not deplete the full amount of the Retainer, upon conclusion of the respective snow season, typically May 1st, the Company will be entitled to keep any excess amount, providing the agreement is in good standing. If the Agreement is terminated, any portion of the retainer not applied to authorized invoices shall be returned to the Authority within fourteen (14) days of the effective date of such notice of termination.

9.3 In the event of changes in Insurance Carriers, the Company shall provide no less than thirty

(30) days written notice to the Authority of such anticipated change and the new insurance certificate Documents, in the required amount, must be effective and received by the Authority as of the day following the expiration date of the previous insurance policy so to prevent a gap in coverage.

9.4 The Authority shall not be liable for any damage either to person or property, sustained by the Company or by other persons due to the Airport or any improvements thereon or any part thereof or any appurtenances thereof becoming out of repair, or due to the happening of an accident in or about the airport, or due to any act or neglect of any tenant or occupant of the airport, or of any other person, except to the extent caused by the sole negligence of the Authority. Without limiting the generality of the foregoing, the Authority shall not be liable for damage caused by water, steam, sewerage, gas, bursting or leaking of pipes or plumbing or electrical causes, or the negligence of contractors, employees, agents, or licensees of the Authority, unless the damage is proved to be the result of sole negligence of the Authority.
